馬帕斯和黑海宏業合作‧尋求亞太貿易展銷城夥伴

(吉隆坡3日訊)馬帕斯(MPCORP,6548,主板產業組)與黑海宏業投資(Black Sea Horizon Investment)簽署瞭解備忘錄,以推廣大馬作為亞洲經濟走廊,並增強與中國、東盟、印度及中東的貿易及服務連接。

該公司發表文告指出,上述合作將為亞太區貿易及展銷城尋求合適夥伴,並獲得中國及大馬監管局的批准。

亞太區貿易及展銷城是消費者產品貿易據點,坐落在柔佛依斯干達經濟特區,成為中國及大馬策略性經濟夥伴平台,並將展出來自中國及多個亞洲國家所生產的產品。

該協議生效期達90天,但可在雙方同意下延長備忘錄期限。

黑海宏業投資主要涉及消費者貿易、產業發展、休閒、石油提煉及石油貿易等。(星洲日報/財經)

1.        INTRODUCTION


    The Board of Directors of MPCORP wishes to announce that the Company had on 3 October 2013 entered into a Memorandum of Understanding (“MOU”) with Black Sea Horizon Investment Holdings Limited (“Black Sea”) to promote Malaysia as Asia ‘Economic Corridor’ of trade and services link with China, ASEAN, India and The Middle East.

2.        INFORMATION ABOUT BLACK SEA


    Black Sea is incorporated in the People’s Republic of China and having its registered office at Rm.1601, 14th Floor, Building 14 Jiqingli, Chaoyang District, Beijing, China and correspondence address at 15thFloor, Mylin Tower, Gongti Donglu, Chaoyang District, Beijing, China. Black Sea is a large China State-Owned Enterprise of the People’s Republic of China under the State Council.

    Black Sea is principally involved in consumer trade, property development, hospitality, oil refineries, oil trade and others.



3.        OBJECTIVES OF THE MOU


    MPCORP and Black Sea will endeavour to coordinate and secure the relevant co-operation with appropriate partners with the approvals from the regulatory bodies in China and Malaysia for the Asia Pacific Trade and Expo City (“APTEC”) project. APTEC is a consumer products trade hub and serves as a platform for China-Malaysia Strategic Economic Partnership.



4.        INFORMATION ON APTEC


    APTEC will be the premier permanent trade and exposition “One-Stop” convenience centre for the new “Silk Route” of trade, sourcing, procurement and distribution showcase window for China manufactured consumer products as well as products made in ASEAN, Japan, Korea, Australia, New Zealand, India and The Middle East under “One-Roof”. APTEC will be located at a strategic location and easily accessible by consumers as well as capitalising on Malaysia’s all-year round conducive warm climatic environment with multi-racial lingua advantages. It would also be accessible to the vast Muslim market population exceeding 1 billion consumers coupled with the advantages of familiar international legal system.

    APTEC will be the largest showcase window of large selection and variety of products from China and many producing countries of Asia under “One-Roof” comprising an indoor exhibition trade hall space of 300,000 square metres out of the total 750,000 square metres of the total gross floor area of APTEC city. APTEC city comprising facilities such as hotels, convention halls, shopping malls, international tourist replica cities, factory discount outlets, etc. which is the “centre-fold” of the large integrated 638 acres Lakehill Resort City, Iskandar Johor.



    APTEC will serve as a launching pad for promotion of new satellites. APTEC distribution and receiving centres located in all the major port cities of China and special economic zones in Shanghai, Shenzhen-Hong Kong-Macau, Tianjin, Nanning, Xiamen, Ningpo, Dalian, acting in collaboration and synergy. There is also plan for APTEC distribution and receiving centres to operate in other countries.



5.        DURATION


    This MOU shall come into effect on the date of signing and shall remain in force for 90 days and shall be extended with the mutual agreement in writing of both parties.

6.        EFFECTS OF THE MOU


    The MOU is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding and will not have any immediate financial contribution to MPCORP for the financial year ended 30 June 2013 and financial year ending 30 June 2014 respectively.



7.         DIRECTORS’ AND MAJOR SHAREHOLDERS' INTEREST


    None of the Directors and/or major shareholders of MPCORP and/ or any persons connected to them have any interest, direct or indirect, in the MOU.



8.        STATEMENT BY DIRECTORS


    The Board of Directors of MPCORP, having taken into consideration all aspects of the MOU, is of the opinion that the MOU is in the best interest of the Company and its subsidiaries.

9.        APPROVAL REQUIRED


    The MOU is not subject to the approval of the shareholders of MPCORP or any other relevant authorities at this stage.

发展APTEC计划 马帕斯5年投30亿

(吉隆坡4日讯)马帕斯集团(MPCORP,6548,主板产业股)未来5年将投资30亿令吉,发展亚太贸易博览城(APTEC)计划,以设立一站式的采购核心。

马帕斯集团总裁兼总执行长拿督庄崇宝是在第五届世界华人经济论坛的场外向媒体表示,亚太贸易博览城将会有个展示厅,展出在中国及亚太区等地制造的消费产品。

马帕斯集团周四(3日)与中国Black Sea Horizon投资控股有限公司达成了解备忘录,推动大马成为亚洲经济走廊。

庄崇宝披露,该博览城位于大马依斯干达区,面积约达60英亩。选择该区的原因是,依斯干达毗邻新加坡国际机场,因此人们可更方便地抵达亚太贸易博览城。

同时,新加坡也是世界上最大的货柜转口中心之一。

他说道:“有鉴于良好的地理位置,因此亚太贸易博览城料将会成为南部的丝绸之路。”

庄崇宝表示,该亚太贸易博览城将专注于为中小型企业(SME)带来减轻成本的效益。

他披露:“生活水平走高,薪金涨幅一直无法追上通胀的增幅。

我们的目的是在中小型企业内创造更多的就业机会,将所有的领域都团结起来。”[南洋网财经]

- MONTHLY ANNOUNCEMENT ON THE STATUS OF DEFAULT IN PAYMENT PURSUANT TO PRACTICE NOTE 1 (“PN1”) OF THE MAIN MARKET LISTING REQUIREMENTS (“MMLR”) OF BURSA MALAYSIA SECURITIES BERHAD (“BURSA SECURITIES”)
We refer to the announcements made on 12 March 2013, 11 April 2013, 13 May 2013, 12 June 2013, 11 July 2013, 12 August 2013, 11 September 2013 and 11 October 2013 pertaining to default in payment to PN1 of MMLR of Bursa Securities (“Default”). The terms herein shall bear the same meaning as defined in the said announcements.

The Board of Directors of MPCORP wishes to announce of its intention to dispose of the Company’s investment property i.e. Wisma MPL, Jalan Raja Chulan, 50200 Kuala Lumpur (“Wisma MPL”) (which is subject to shareholders’ approval) or continuing look for potential joint-venture partners to undertake new development of Wisma MPL or seeking potential joint-venture partners in the Company’s various projects or properties to address the Default. Such measures will unlock the asset values and generate adequate cash flow for the Group to meet its cash obligation mentioned in the Default. As at 30 June 2013, Wisma MPL was valued at RM320 million by an independent professional valuer.

The Company had in its earlier announcements reported of serious potential investment with few parties for new capital injection and/or joint-ventures in the Company in various properties. The materialisation of any these joint-ventures will bring substantial cash income to the Company. This is the Company’s preferred objective than disposal of any of the Company’s assets which is more valuable to the Company.

The Company wishes to overcome this uncertainty within the next 6 months.

Further announcement will be made of any material development and changes as and when appropriate.

(吉隆坡3日訊)馬帕斯(MPCORP,6548,主要板房產)拖欠債務未償還,計劃尋找聯營夥伴或以3億2000萬令吉求售大樓。

馬帕斯為償還債務,正為旗下資產Wisma MPL尋求買家,脫售價碼為3億2000萬令吉。

該公司也正計劃物色房產聯營夥伴,以解決公司債務問題。

“這些措施將有助于提高價值與提高現金流,讓公司有足夠現金解決未償還債務。聯營夥伴的加入將為公司帶來資金,脫售公司具有價值的資產並非我們首要目標。”

該公司上週五(1日)向馬證交所申請于早上9點停牌一小時,並于10點復牌。該股閉市收在45仙,跌0.5仙,成交量26萬6400股。

马帕斯延报贷款遭申诫

(吉隆坡27日讯)马帕斯集团(MPCORP,6548,主板产业股)没有即时汇报延迟偿还兴业银行的透支及循环信贷融资事宜,遭大马交易所公开申诫。

根据文告,该公司因上述事件违反了马交所上市条例的9.03(1)及9.01(l)条文。

该公司在今年3月12日宣布,延迟偿还由兴业银行提供的透支及循环信贷融资的母金与利息。

兴业银行早在志期2007年2月12日的信函中,通知马帕斯集团透支贷款超标,并通过律师楼Messrs Azhar & Goh发出追讨信(LOD)。

截至2008年1月31日,该公司的透支及循环信贷融资(包括利息)总共是7622万4426.58令吉,相等于该公司净资产(1亿5611万6000令吉)约49%,以及占其截至2007年6月杪财年总贷款(1亿7230万8000令吉)的44.2%。[南洋网财经]

LISTING'S CIRCULAR NO. L/Q : 69318 OF 2013

Bursa Malaysia Securities Berhad (Bursa Malaysia Securities) has publicly reprimanded Malaysia Pacific Corporation Berhad (MPCORP or the Company) for breaching paragraphs 9.03(1) and 9.04(l) of the Listing Requirements of Bursa Malaysia Securities (LR) read together with paragraph 2.1(d) of Practice Note 1/2001 (PN1) for failing to make an immediate announcement in respect of the default in payments of the overdraft and revolving credit facilities granted by RHB Bank Berhad (RHB) to MPCORP.

Pursuant to paragraphs 9.03(1) and 9.04(l) of the LR and paragraph 2.1(d) of PN1, a listed issuer must make an immediate announcement of default in payments of either interest or principal sums or both in respect of a credit facility where the credit facility is 5% or more of the net assets of the listed issuer.

The public reprimand was imposed pursuant to paragraph 16.17(1) of the LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.

While Bursa Malaysia Securities has not found any of MPCORP’s directors to have caused or permitted the breach by the Company, Bursa Malaysia Securities wishes to highlight that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the listing requirements. The Board of Directors of MPCORP at the material time of default were as follows:-

Bursa Malaysia Securities views the contravention seriously and has reminded MPCORP and its Board of Directors of their obligation to uphold appropriate standards of responsibility and accountability to shareholders and the investing public.

BACKGROUND

MPCORP had on 12 March 2013 announced the default in payment of principal and interests on the overdraft and revolving credit facilities granted by RHB.

However, it was noted that:
  • RHB had vide letter dated 12 February 2007 informed the Company of the excess in its overdraft facilities where its two current accounts were in overdrawn position by RM629,215.85 as at 31 January 2007 and had exceeded the approved overdraft limit of RM43,000.000 due to interests in arrears since 30 November 2006. In addition, RHB’s solicitors, Messrs Azhar & Goh had on 18 February 2008 issued a letter of demand (LOD) to demand payment of the overdue interest in relation to the overdraft facilities of RM3,691,908.53 as at 31 January 2008; and
  • Messrs Azhar & Goh had also issued a LOD dated 27 February 2008 to demand the payment of the outstanding sum of RM29,132,518.05 due as at 31 January 2008 in respect of the revolving credit facilities of RM25,704,110.94.


The total overdraft and revolving credit facilities (including interest) in default amounting to RM76,224,426.58 as at 31 January 2008 represented approximately 49% of the Company’s net assets of RM156,116,000 and 44.2% of the Company’s total borrowings of RM172,308,000 as at financial year ended 30 June 2007.

In addition, MPCORP’s share price had also decreased by RM0.06 / 16.4% from RM0.365 on 12 March 2013 to RM0.305 on 13 March 2013, i.e. the next market day upon the PN1 announcement made by the Company.

(吉隆坡19日讯)马帕斯集团(MPCORP,6548,主板产业股)配合接棒计划,原任总执行长拿督庄崇宝宣布即日起离职,由现年31岁的儿子庄顺胜担任总执行长职。

庄顺胜拥有英国桑德兰大学的经商管理学位和商业行政高级文凭。他从2006年11月开始担任公司执行董事。

他此前已为接棒作准备,在经验丰富的庄崇宝身边学习有关产业发展、金融和企业监管等事务。他本身直接持有公司的46万9000股。

现年74岁的庄崇宝,为马帕斯集团大股东,卸任后仍会间接持有马帕斯集团1亿7713万3561股,以及6876万5804张凭单。[南洋网财经]

小股东对公司账目开炮 马帕斯同意查6年审计报告

(八打灵再也23日讯)基于小股东对公司账目提出多项质疑,马帕斯集团(MPCORP,6548,主板产业股)主席拿督赛胡申同意小股东调查过去6年审计报告的建议。

两名小股东王成发和叶志强今日在马帕斯集团股东大会上轮流对公司账目提出质疑和指控,频频上演与大股东庄氏家族对质的场面,让整场耗费近2小时的股东大会充满火药味。

总执行长否认指责

在上周才辞下总执行长一职拿督庄崇宝,以股东身份出席大会,虽然家人在旁频频劝阻,但仍挺身代董事局发言。

王成发和叶志强在股东大会上对马帕斯集团提出指责,包括庄氏家族是否挪用公司资源兴建私人洋房、曾使用盗版软件等等。

公司总执行长庄顺胜对于这些言论都予以否认。

但,基于小股东对于这些回应仍有存疑,赛胡申同意小股东调查过去6年审计报告的建议。

已致函监管单位

王成发和叶志强在股东大会结束后向记者透露,他们已在1个月前对上述指控收集相关证据,提呈于大马证劵监督委员会、大马交易所等监管单位,但却未获得回复。

不过,据他们了解,大马交易所以及小股东权益监管机构(MSWG)今日都有委任代表出席大会。

由于马帕斯集团需要透过相关人士交易(RPT)才能让营业额符合要求,免于抵触PN17条例,他们也提出将公司脱售或清盘,以变能套现作出其他投资。

庄崇宝表示,公司财务的确面临压力,倘若透过脱售旗下产业获得资金的确可以解决燃眉之急,但公司土地价值在他们坚守下已大幅提升,如MPL大厦在重新估值后,已增至至3亿2000万令吉。

MPL大楼重新发展遭质疑

此外,马帕斯集团正积极寻觅伙伴以合伙发展柔佛项目,和重新发展MPL大楼等。

不过,股东对于收益率(Yield)只有2%的MPL大厦,重新估值后能达3亿2000万令吉感到质疑。

此外,该大楼在没有获得发展准证(development order)以及其他单位拥有者100%同意下,要如何进行重新发展大计。

对于这点,公司总执行长庄顺胜表示,该大楼租用率(Occupacy)在上个季度已从60%,提高至70%。

庄崇宝则补充,当提到大楼估值必须留意到土地成本,尤其MPL大厦处于吉隆坡黄金地带,公司并不以2%收益率为目标,而是该大楼提升后的潜质。
不过,在这之前,必须与其他单位持有人的问题必须要先获得解决。

无论如何,其他小股东对于股东大会演变成个人纠纷感到无奈,王成发之前为马帕斯集团董事,并曾经与马帕斯集团有官司诉讼。

探索多元化业务

庄顺胜在股东大会结束后,对记者表示,马帕斯集团或探索多元化至新业务,但却不愿透露细节。

他表示,较早前与中国Black Sea Horizon投资控股有限公司,为亚太贸易博览城(APTEC)发展计划作出协调达成谅解备忘录外,两方也正探讨新业务的可能性。

答:一切合作还在洽谈中,目前无法给予确实回应。由于柔佛在补贴等议题出现相当多变化,是导致项目展延的原因。

小股东指控不正确 马帕斯:审计要求无根据

(吉隆坡24日讯)马帕斯集团(MPCORP,6548,主板产业股)今日发文告表示,两名小股东王成发和叶志强对於公司财务违规行为的指控不正确。

马帕斯集团表示,主席拿督斯里赛胡申在昨日股东大会上仅注意到股东提出专项审计(forensic audit)的要求,而主席和董事局认为相关要求毫无根據。

马帕斯集团表示,他们只同意在下次董事局会议上洽谈有关事宜,並表示赛胡申的回应被错误引用。

马帕斯集团强调,独立外部审计师以及内部审计师並没有指出公司在过去6年有任何财务违规行为,公司对於独立外部审计师-Messrs BDO相当满意,股东也在这次大会中同意通过所有议程,包括重新委任Messrs BDO为公司审计师的议程。

为了加强公司透明度,董事局邀请大马交易所出席这次股东大会观察者,未来他们或持续邀请大马交易所出席股东大会。

We refer to the 41st AGM of MPCORP held on 23 December 2013 and the articles published in the newspapers, namely, The Edge Financial Daily, Nanyang Siang Pau, Sin Chew Jit Poh and The New Straits Times on 24 December 2013 respectively.

The Board of Directors (the “Board”) of MPCORP wishes to announce that the Directors are not aware of any circumstances reported in the audited financial statements of the Company and the Group for the financial year ended 30 June 2013 that is misleading to the shareholders of the Company. The allegations made by the shareholders, Mr Wong Seng Huat and Mr Yap Chee Keong at the 41st AGM of the Company with regard to the Company’s financial irregularities are untrue. The Chairman of the Company, Dato’ Seri Syed Hussien bin Abdul Kadir has also observed the request of forensic audit by a shareholder. The Chairman and the Board viewed that the request is made without any basis and agreed to discuss the matter at the next Board meeting. However, the Chairman’s statement was misquoted in the articles published in the newspapers. The press did not confirm the statement with the Chairman or the Company before the article was released.

The independent external auditors and the then internal auditors have not highlighted any financial irregularities of the Company for the past 6 years. The Board and shareholders of the Company are satisfied with the quality of the independent external auditors of the Company, Messrs BDO. In addition, the shareholders of MPCORP have approved all the resolutions set out in the Notice convening the 41st AGM contained in the Annual Report 2013 of the Company including the re-appointment of Messrs BDO as the Auditors of the Company by show of hands.

To promote greater transparency in conducting the AGM, the Board has extended invitation to Bursa Malaysia Securities Berhad (“Bursa Securities”) to attend the 41st AGM as observers. Going forward, the Board may continue to invite Bursa Securities to attend the AGM of the Company as observers.

The Company wishes to clarify that officials from the Securities Commission were not present at the 41st AGM of the Company as reported in the articles.

The Company is seeking legal advices on the untruthful allegations and further announcement will be made as and when appropriate.

解决债务筹划联营 马帕斯深信不会陷PN17

(吉隆坡26日讯)正积极为债务寻找解决方案以及筹划各项联营计划的马帕斯集团(MPCORP,6548,主板产业股),对于明年的表现有信心,并指公司不会陷入PN17。

已陷入PN1行列马帕斯集团,目前已经违约的债务为9700万令吉。

根据2013财年年报显示,该公司的总债务高达2亿8422万1000令吉。

马帕斯集团总执行长庄顺胜表示,公司马不停蹄地与商业伙伴洽谈各种合作计划,包括为拖欠债务寻求解决方案,以及为位于柔佛的亚太贸易博览城(APTEC)以及天宝湖畔渡假城(Lake Hill Resort City)寻找合作伙伴等。

马帕斯集团相信,在这些计划扶持下,明年表现料能比今年佳。

“希望一切能在明年1月尘埃落定,届时,就能透露未来大计和更多细节。”

上周四(19日)才走马上任担任总执行一职的庄顺胜,今日在记者会上发表谈话,财务总监赖顺安也陪同出席。

他表示,目前正和数个国内外投资者洽谈天宝湖畔渡假城计划,以推出发展总值为3亿令吉4M和1A1的住宅项目,预计明年首季料有消息出炉。

至于与Black SeaHorizon投资控股有限公司就亚太贸易博览城签署的了解备忘录,预期明年首季或次季进入最终协议。

此外,马帕斯集团也计划多元化业务至其他领域。

询及公司1年内能否负荷多项计划?

庄顺胜强调,任何计划都会以能确保公司企稳才作出决定。

是否审查6年账目 董事部下月决定

谈及公司较早前与两名小股东的纠纷,庄顺胜表示,对方的指责毫无根据,目前正寻求律师意见以采取行动。

他表示,马帕斯集团将把这两名小股东提出对过去6年审计报告提出的审计调查(forensic audit)的要求,在1月底的董事部会议进行洽谈。

要PN17 有幾個因素的。。。如果要進。。最大可能不是欠債。。是沒有業務。。就是資本的最低5%。。

马帕斯集团今日向马交所报备上述消息,双方同意展延有关联营亚太贸易博览城(APTEC)以及天宝湖畔渡假城(LakeHill Resort City)的备忘录期限额外2个月。

根据文告,Black Sea Horizon投资在上述备忘录签署后至今期间,已进行了数次的实地考察,也委派负责合并工作的团队前来评估上述合作潜能。

1.        On 3 October 2013, MPCORP announced that the Company had entered into a Memorandum Of Understanding (“MoU”) with Black Sea Horizon Investment Holdings Limited (“Black Sea”) to promote Malaysia as Asia “Economic Corridor” of trade and services link with China, ASEAN, India and The Middle East.



    MPCORP and Black Sea will endeavour to coordinate and secure the relevant co-operation with appropriate partners with the approvals from the regulatory bodies in China and Malaysia for Asia Pacific Trade and Expo City (“APTEC”). APTEC is a consumer products trade hub and serves as a platform for China-Malaysia Strategic Economic Partnership.

    Black Sea had made a few site visits and sent their Merger and Acquisition team from 14 December 2013 to 18 December 2013 to undertake the evaluation of proposed joint-ventures on APTEC with the Company.

2.        Other than the MoU announced on 3 October 2013, as at to-date, MPCORP did not enter into any MoU with any party or parties in relation to Oil & Gas project as reported by Focus Malaysia. Thus, MPCORP is not a contracting party for the MoU entered into between Black Sea, Power Pacific Petroleum (International) Limited (“Power Pacific”) and Trans-Nusantara Venture Sdn Bhd in relation to the Oil & Gas (“MoU Oil & Gas”) as reported in Focus Malaysia.

3.        Power Pacific and Power Pacific Petroleum Sdn Bhd are not related to MPCORP nor are they subsidiary companies of MPCORP. Therefore, the statement made by Focus Malaysia on “MPCORP had recently struck off a dormant subsidiary, Power Pacific Petroleum Sdn Bhd” is untrue.

4.        The former Chief Executive Officer of MPCORP, Dato’ Bill Ch’ng has been in the oil and gas and plantation business in Indonesia as well as in the mining business in Mongolia before his investment in MPCORP in year 2004. Dato’ Bill acted as an intermediary or introducer connecting the collaboration between Black Sea and Power Pacific.

马帕斯集团前总执行长 庄崇宝疑内线交易遭起诉

(吉隆坡10日讯)马帕斯集团(MPCORP,6548,主板产业股)前任总执行长拿督庄崇宝,涉嫌内线交易案,今天被押上法庭控于58项罪状。

据控状,被告涉嫌在2008年5月14日至8月20日,通过内幕消息认购公司股票,抵触2007年资本市场及服务法令第188(2)条文。

在上述条文下,一旦罪成,可被判坐牢最高10年或最少罚款100万令吉。

被告否认所有罪状,并要求审讯。法官莫干尼允许被告由1人以30万保外候审。作为担保条件,他必须将护照交由法庭保管。

马帕斯集团独资子公司———东方珍珠城(Oriental Pearl City)地产公司,在2008年时正计划与公共信托有限公司(Amanah Raya Berhad)独资子公司———Amanah Raya发展私人有限公司(简称ADSB),在柔州依斯干达进行数百万令吉的联营发展项目。

庄崇宝涉嫌在该项投资项目未公布前购买公司股票,进而违反上述条文。

证监会在文告中说,内线交易为严重触法行为,该会将继续加强及监督这些行为,维护投资者对资本市场的信心。


【新闻背景:Lake Hill度假村利益冲突对簿公堂】

马帕斯集团2008年与Amanah Raya发展联营合作的Lake Hill度假村计划,之后也因利益冲突,最终诉诸法律途径解决。

马帕斯集团与负责这项计划的Oriental Pearl City房地产私人有限公司,在2012年时9月27日,接获ADSB发出的法庭传票,索取1亿1317万令吉的土地回售期权款项及相关利息费用。

马帕斯:没必要重审去年账目

(吉隆坡19日讯)马帕斯集团(MPCORP,6548,主板产业股)认为,其2013财年(截至6月30日止)的账目没有进行审计鉴证的必要。

该公司周二发文告表示,董事局认为进行调查及审计鉴证的要求乃属毫无根据,且公司没有理由需对其账目进行调查及审计鉴证。

马帕斯集团也指出,该公司的账目审计是由著名的独立审计公司———Messrs BDO所进行。

经过讨论后,董事局认为,除非有财务违规的证据,否则该公司没有进行调查及审计鉴证的必要。

部分小股东去年12月在马帕斯集团的股东大会上表达对公司的财务账目感到不满。

另外,马帕斯集团也针对小股东曾在股东大会上提出关于相关人士交易(RPT)的疑问,作出澄清,指相关人士交易皆符合上市条例。
