創立逾半世紀‧環球集團逆境求存

曾幾何時，在90年代初期，逛超市添購日用品已成為大馬人的一種習慣，在當時，不單城市地區擁有超市，就連鄉鎮也有超市，而將“超市概念”引入鄉鎮的即是在90年代已擁有逾20家分行的環球集團（TSTORE，5711，主板貿服組）創辦人拿督葉建南。

也許你並不曉得，當時的環球購物中心、太平超級市場、大眾購物中心、黃金購物中心、環球超級市場、統一購物中心和大山腳超級市場等皆是環球集團的分行，在環球集團成功上市後，公司進行整頓，並將超市統一稱為環球超級市場。

葉建南與友人合資創設

環球集團起源於一家位於大山腳的超級市場——大山腳超級市場，在1968年由葉建南與友人合資創設。葉建南是在一次前往香港、台灣及日本旅遊及考察時，發現這些國家的超級市場概念很普遍及受歡迎，才觸發靈感在大馬開設超市，並秉持“價廉物美，經濟實惠”

的作業方針，以中低產階級為銷售對象，並在鄉鎮地區開設超市，此大膽的嘗試成就了葉建南成為大馬零售業的佼佼者。

環球集團創立逾半世紀，是大馬歷史最悠久的超級市場及百貨市場業者，至今在全馬各地除了砂拉越外，每個州屬皆擁有分行，據其2015年年報，目前擁有74家分行，員工人數超過1萬5千人。

環球集團在創辦至今獲獎無數，更在2001年名列大馬紀錄大全，為大馬規模最龐大及歷史最悠久的超級市場和百貨連鎖集團，多年來榮獲無數獎項，包括零售業獎項。該公司也履行企業社會責任，由創辦至今，一直都進行各項慈善活動，為社會盡一份綿力。

1994年上市獲熱捧

環球集團是在超市業務開始步上軌道，並擁有24家分行時，以一家投資控股公司的身份，於1994年3月3日上市馬股主板，首日上市獲得投資者熱捧，以6令吉掛收，比發售價2令吉60仙溢價3令吉40仙或60%，風頭一時無兩。

環球集團子公司主要業務為經營超級市場及百貨公司和產業投資控股，該公司英文名為THE STORE，即是貨倉的意思，代表無所不有，並不斷為這個貨倉添加新意。

97金融風暴遭重挫

環球集團在此前業績亮眼，在上市首5年裡，凈利更是取得雙位數的增長，惟在1997年全球遭遇金融風暴之時，全球經濟欠佳，大馬消費力也減弱，環球集團也不能倖免的遭遇重挫，在截至1997年3月31日止財政年，稅前盈利下跌31%至2千零30萬令吉，雖然如此，該公司依然沒有怠慢其業務，並收購3家子公司，業務概括製造、批發和貿易，作為進軍上遊活動的一部份。

在公司業務方面，擔任公司董事經理的葉建南深諳員工即是公司資產的道理，唯才是用，給予重用及培訓，並讓有能力者晉升為公司董事部成員，也因此，旗下擁有一批忠心耿耿的員工，其兒子葉晉仲也追隨父親，在公司擔任董事一職，父子倆一同打拼，除了積極開設分行外，也進軍上遊業務。

2000年人事變故“易主”

當一切發展日漸穩定，並成功渡過金融風暴難關之時，環球集團卻在上市逾6年後，遭遇了重大的人事變故。在2000年2月，環球集團原有大股東——葉氏家族成員葉晉樹及葉晉仲宣佈脫售股權，並辭去執行董事職位，前任主席拿督阿茲茲及另一名執行董事甘德中也先後離職，由葉建南一手創辦的環球集團正式“易主”，而由大馬著名企業家丹斯里陳志遠領軍的成功集團（BJCORP，3395，主板貿服組）增購股權至10.66%，赤道世紀（Equatorial Century Sdn Bhd）則持股19.51%崛起成為大股東。

同年該公司也成功收購由現任董事經理丹斯里陳炎順創辦的太平洋霸級市場集團私人有限公司的股權，並在2001年，朝霸級市場前進，成功從本地最大超級市場與百貨業者提昇為霸級市場業者。

陳炎順在零售業擁有逾30年的經驗，在1979年20歲時即創設MCL機構有限公司，並上市馬股創業板。在1996年創設太平洋霸級市場集團私人有限公司，將霸級市場、超市及百貨市場融合為一的新概念經營手法讓他引起市場關註，他在初期擔任環球集團執行董事一職，目前則與妻子潘斯里許月麗分別擔任環球集團董事經理及執行董事。

環球集團也在2008年10月，成立獨資子公司——上海大學零售有限公司，開拓中國零售市場，並在兩年後，於香港成立獨資子公司環球零售（UNIVERSIAL RETAIL），主要涉及投資業務。

去年全球經濟放緩受衝擊

惟環球集團卻因為去年全球經濟放緩，受到衝擊，據該公司2015年年報，稅後盈利大幅度下滑37.71%至1千269萬5千令吉，營業額更是創下近5年來最低的16億3千532萬7千令吉。據該公司截至2015年12月31日首季業績報告顯示，該公司受到實施消費稅、馬幣疲弱及生活成本的增加所拖累，使得凈利下跌10.41%至314萬4千令吉，營業額則下跌44%至3億5千869萬4千令吉。

該公司認為在生活費高漲削弱了消費者消費情緒下，市場在2016年將持續充滿挑戰，惟公司將繼續努力，以確保公司在2016財政年能夠持續帶來令人滿意的財政表現。
將關閉業務不理想分行

環球集團日前舉行股東大會，據出席的小股東表示，管理層將會採取策略性行動，包括將關閉業務不理想的分行及在策略性地點開設分行，以應對經濟放緩帶來的衝擊。

根據年報，環球集團擁有46個土地、店屋等產業，分別屬於租賃地契及永久地契，截至2015年9月30日止，凈值逾4億2千380萬令吉。該公司目前的大股東為陳炎順，持股26.18%，成功集團則持股7%。（星洲日報／投資致富‧企業側寫‧文：劉玉萍）

环球集团次季净利劲挫48.3% 归咎于销售走低

（吉隆坡23日讯）环球集团（The Store Corp Bhd）2016财政年次季净利劲挫48.3%至424万令吉，或每股6.2仙，同期净赚813万令吉或每股11.9仙，归咎于销售走低。

该集团2016财年次季（截至2016年3月31日）营业额，走低18.4%至3亿8678万令吉，同期报4亿7407万令吉，主要受消费者情绪疲弱、令吉走贬、消费税（GST），以及生活成本不断上涨的影响。

然而，环球集团次季并没宣布派息。

综合首半年的业绩表现，环球集团净赚739万令吉或每股10.8仙，相比同期的1377万令吉或每股20.1仙，跌幅为46.33%，净利跌挫的原因同上。

合共两季营业额按年下跌14.7%至7亿4547万令吉，同期为8亿7443万令吉。

展望未来，由于令吉走贬，加上生活成本因消费税落实后而上涨，这家百货公司营运商预计，市况将持续艰巨。

尽管经济情况艰巨，环球集团表示，该集团将致力于确保未来财年仍取得令人满意的业绩表现。

富贵创办人成为环球集团大股东

（吉隆坡4日讯）富贵集团（Nirvana Asia Ltd）创办人丹斯里邝汉光已于11月1日成为环球集团（The Store Corp Bhd）的大股东，并增持直接股权至13.88%。

超市营运商环球集团今日向大马交易所报备，邝汉光是在11月1日，从公开市场买入环球集团618万股或9.015%股权，而成为大股东。

之后，他在11月2日通过公开市场再购入333万股，持股权进一步增至13.88%。

邝汉光也是富贵集团董事经理、执行董事兼总执行长。富贵集团是全方位殡葬服务企业。

环球集团是超市、百货公司和霸级市场营运商。

根据其网站，该集团目前在全马有75家店，其中49家是The Store Supermarket & Departmental Store、9家位于半岛的Pacific Hypermarket & Departmental Store，以及17家在东马沙巴州的Milimewa Superstore。

陈志远悉数脱售环球集团的10.5%股权

（吉隆坡8日讯）丹斯里陈志远上周二（11月1日）悉数脱售其持有环球集团（The Store Corp Bhd）的10.5%股权，后者为大马规模最大且历史最悠久的超市及百货连锁店之一。

根据大马交易所今日的一则文告，陈志远与其旗舰公司成功集团（Berjaya Corp Bhd）自11月1日起，已不再是环球集团的大股东。

这名商业巨头经已脱售这家零售公司的724万股，或相等于10.5%股权，包括由成功集团撤股的391万股，或相等于5.7%股权。

这两项交易皆通过直接交易完成，惟却没披露成交价。

值得一提的是，环球集团上周二有一批合共618万股，或相等于9.01%的股权，以每股3.20令吉或总值1977万令吉在场外易手。此成交价也比当日的闭市价2.95令吉，溢价25仙或8.5%。

根据彭博社的资料，环球集团10大股东名单中，目前除了邝汉光，以个人名义直接持有股权的只有董事经理丹斯里陈炎顺，共持4.42%股权。

同时，该公司最大股东为赤道世纪（Equatorial Century Sdn Bhd），持有21.75%股权。

截至闭市时，环球集团扬1仙，或0.34%，收2.96令吉，成交量达1300股。

富贵生命顺利下市

询及私募基金CVC资本，以超过9亿美元（约36.18亿令吉）全购香港上市的亚洲最大殓葬服务商富贵生命（Nirvana Asia）的进展，邝汉光说，该交易已成交，且富贵生命也已顺利下市。

至于最新动向，他说：“目前没有新计划，但公司正处在巩固业务的阶段。”

（吉隆坡18日訊）環球集團（TSTORE，5711，主要板貿服）截至9月底2016財年末季進一步虧損1014萬6000令吉，比較上財年同期的165萬令吉淨虧損。

環球集團向馬證交所報備，由于生活成本增加，消費者的消費情緒更為謹慎，加上今年開齋佳節的銷售期較短，造成業績表現不佳。

根據報備文件，該公司末季營業額按年下滑23%，從4億2115萬令吉減少至3億2349萬令吉。

同時，受令吉頹勢和生活成本高漲拖累，環球集團全年虧損217萬4000令吉，對比上財年同期的1270萬令吉淨利；累計營業額也由16億3533萬令吉，跌挫12%至14億3608萬令吉。

展望未來，該公司預計營運環境仍將充滿挑戰，但仍將確保未來可取得佳績。

（吉隆坡28日讯）环球集团（TSTORE，5711，主板贸服股）董事经理兼大股东丹斯里陈炎顺增持股权后，再以每股3.52令吉强制全面收购并私有化该集团。

环球集团向马交所报备，接获大股东有条件强制献购的通知。

今日，陈炎顺与夫人潘斯里许月丽，通过TYS Consolidate私人有限公司以每股3.52令吉，或总值3347万272令吉，购入950万8600股，相等于13.88%股权。

陈炎顺直接持有环球集团的4.42%股权，而在完成上述收购之后，他通过TYS Consolidate、Equatorial Century私人有限公司和许月丽，间接持有公司的37.63%股权。

邝汉光本月意外入股

同时，大股东和行动一致人士的持股率从28.16%股权，提高至42.05%股权。

因此，大股东将出价每股3.52令吉，全面献购集团剩余的股权。

文告指，大股东无意维持环球集团的上市地位。

11月1日，丹斯里邝汉光在公开市场购入环球集团，617万5300股或9.015%股权，意外崛起为该集团的大股东。

之后，他在11月2日增持股权至13.88%，相等于950万8600股。

献购价比停牌前高16.56%

每股3.52令吉的献购价，比今日暂停交易前的3.02令吉，高16.56%。

陈炎顺提高出价　3.70令吉献购环球

（吉隆坡23日讯）环球集团（TSTORE，5711，主板贸服股）今天宣佈，之前出价每股3.52令吉全面献购环球集团的陈炎顺，將献购价提高18仙或5.11%，至每股3.70令吉。

环球集团舵手陈炎顺夫妇在11月28日出价每股3.52令吉，向环球集团提出全面收购建议。

相隔不到1个月，陈炎顺在环球集团股价升破3.52令吉后，將其献购价提高至3.70令吉。

配合上述宣佈，环球集团股票从下午3时34分起暂停交易，最后掛价是3.56令吉。

环球集团將在下周二（27日）恢復交易。陈炎顺提出每股3.70令吉献购价，比23日市价3.56令吉高出14仙或3.93%。

虽然陈炎顺將献购价提高至每股3.70令吉，但和环球集团截至9月30日的每股净资產6.76令吉比较，仍相差45%。

同时，环球集团指出，这项献购建议的截止日期依然是2017年1月9日。

虽然环球集团股价现已超过陈炎顺的第1次出价每股3.52令吉，但陈炎顺在环球集团委託的独立顾问完成评估报告前就主动提高献购价，令人感到意外。

陈炎顺先前在场外增购环球集团的951万股，或13.9%股权后，持股增至42.1%，超过併购条例的33%底线，必须对环球集团提出全面收购建议。

在完成全面献购后，环球集团將除牌。
