(I)        PROPOSED JOINT VENTURE BETWEEN SURIA CAPITAL AND SBC CORPORATION BERHAD (“SBC”) TO DEVELOP A PARCEL OF DEVELOPMENT LAND OWNED BY SURIA CAPITAL MEASURING APPROXIMATELY 16.249 ACRES SITUATED AT JALAN TANJUNG LIPAT, OFF JALAN TUN FUAD STEPHENS (COASTAL HIGHWAY), TANJUNG LIPAT LOCALITY, 88400 KOTA KINABALU, SABAH (“PROPOSED JV”); AND

(II)        PROPOSED DIVERSIFICATION INTO PROPERTY DEVELOPMENT PURSUANT TO THE PROPOSED JV
We refer to the Company’s announcements on 21 May 2013, 27 May 2013, 12 June 2013, 16 August 2013, 8 October 2013, 24 October 2013 and 20 November 2013 in relation to the Proposals.

On behalf of the Board of Directors of Suria Capital, Maybank Investment Bank Berhad wishes to announce that Suria Capital and SBC (“Parties”) have today mutually agreed in writing vide exchange of letters to waive the condition precedent in relation to SBC obtaining the approval from relevant authorities for the development plan of the Jesselton Quay Project (“Development Plan”) under the joint venture agreement dated 21 May 2013 entered into between the Parties (“JVA”). Furthermore, Suria Capital has:

(i)             on 28 April 2014, settled the balance of the premium in respect of the parcel of land within Kota Kinabalu Port area measuring approximately 23.25 acres situated at Jalan Tanjung Lipat, Off Jalan Tun Fuad Stephens (Coastal Highway), Tanjung Lipat locality, 88400 Kota Kinabalu, Sabah (“Land”); and

(ii)            on 6 May 2014, obtained a separate issue document of title duly registered in the name of Suria Capital in respect of the Land.

As such, the Parties have agreed that all conditions precedent in the JVA have been fulfilled and satisfied or otherwise waived. In this regard, the JVA has become unconditional today.

For the avoidance of doubt, it remains as an obligation on the part of SBC but not as a condition precedent to obtain the approval from relevant authorities for the Development Plan. After such approval has been obtained, the Parties shall continue with the obligations in accordance with the JVA.

(吉隆坡19日訊)曙光資本(SURIA,6521,主要板貿易)旗下聯營公司Jesselton Quay與SBC機構(SBCCORP,5207,主要板建築)和興業銀行簽署貸款協議,同時宣布在碼頭私有化協議下獲得土地持有權,利好消息帶動曙光資本全日高漲12仙至2.63令吉。

利好推動曙光資本走高,開盤時先起2仙,以2.53令吉迎市,隨后該股持續走高,漲13仙至2.64令吉。休市時,該股漲11仙至2.62令吉,半日易手16萬7600股。

閉市時,該股漲12仙至2.63令吉,成交量達31萬1400股。

根據興業證券研究報告,上週五對曙光資本聯營公司Jesselton Quay而言,是重要的里程碑,公司宣布在碼頭私有化協議下獲得土地持有權。

另外,與SBC機構和興業銀行之間的貸款協議,這意味著為公司所進行的計劃帶來潛在巨大信心,這有利于計劃的發展。

碼頭產業帶動盈利‧曙光資本財測上修

(吉隆坡5日訊)曙光資本(SURIA,6521,主板貿服組)即將在今年第三季推出亞庇爵士頓碼頭(Jesselton Quay)產業計劃,分析員預料這將帶動該公司盈利增長,並成為該股獲重估的催化因素。

安聯星展研究表示,曙光資本目前的估值比同行折價逾30%,其折現後現金流估值獲得在亞庇的黃金地段和沙巴港口特許經營權所支撐。

曙光資本在沙巴營運8個港口,在特許經營權下,將投資13億6千萬令吉進行港口升級,而首9年已作出7億2千200萬令吉資本開銷,佔總額的53%,接下來21年將進行6億3千700萬令吉資本開銷。

安聯星展預期該港口業務在2014-2034特許權期間將帶來6億8千800萬令吉現金流,相等於營收和盈利每年成長3%和5%。

產業發展明日之星

曙光資本的港口業務平穩和每年平均成長約5%,而產業發展部門則為明日之星,帶動集團盈利躍升。

該集團和謝氏機構(SBCCORP,5207,主板產業組)聯手在毗鄰亞庇港口的23.25英畝地段發展爵士頓碼頭計劃,從2014至2021年期間的最低可銷售價值達到18億令吉,並獲得3億2千400萬令吉的最低擔保回酬。

該計劃將於今年第三季推出和第四季動工,假設首年認購率70%和第二年獲全部認購,預料曙光資本2015和16年稅後盈利將分別增加1千200萬令吉和2千700萬令吉。

該行將2015和16財政年盈利預測上調14%和37%,預期曙光資本在2014年的盈利成長6%至6千500萬令吉,以及在2015年增長19%至7千700萬令吉,和2016年加速成長21%至9千400萬令吉。整體而言,曙光資本在2015-16年將取得20年的複合年均盈利成長率。

這尚未納入計算預料在2015年落實的亞庇剩餘7英畝地段之脫售/發展計劃。

安聯星展給予“買進”評級,目標價3令吉75仙,相等於2015年盈利的13.7倍本益比,加上3.6%周息率,該股提供44%總回酬。(星洲日報/財經‧報道:李勇堅)

(吉隆坡23日讯)曙光资本(SURIA,6521,主板贸服股)子公司沙巴港口,获实必丹油气发展机构委任,为独家港口经营商。

根据文告,沙巴港口与实必丹油气发展机构签署了解备忘录,合作发展当地港口,前者将掌管港口所有事务。

这项合约为期5年,即日生效。

实必丹油气发展机构是沙巴政府持有公司,主要负责实必丹油气工业园的发展和管理工作。【南洋网财经】

SIGNING OF MEMORANDUM OF UNDERSTANDING BETWEEN SABAH PORTS SDN BHD AND SIPITANG OIL AND GAS DEVELOPMENT CORPORATION SDN BHD
SURIA wishes to announce that its wholly-owned subsidiary, Sabah Ports Sdn Bhd (Sabah Ports) had signed a Memorandum of Understanding (MOU) with Sipitang Oil and Gas Development Corporation Sdn Bhd (SOGDC) on the 23rd June 2014. SOGC is a wholly-owned company of the State Government of Sabah whose purpose is to own, develop, manage and market the Sipitang Oil and Gas Industrial Park (SOGIP). The objective of the MOU is to set out the basis for co-operation and collaboration between the Parties in relation to the Jetty and all matters and affairs in connection therewith. The Jetty refers to in the MOU is the Jetty and port facilities at SOGIP. Under the MOU, SOGDC is to appoint Sabah Ports to exclusively manage the Jetty and all affairs and matters in connection to the Jetty. In turn, Sabah Ports is to advice SOGDC on all matters, affair and management of the Jetty.

The MOU shall take effect from the date of 23rd June 2014 and shall be valid for a period of five (5) years unless otherwise terminated in accordance with the terms of the MOU. It was agreed that the MOU outlines the general understanding and the framework for mutual cooperation between the Parties and is aimed at paling the way to enter into a formal agreement(s).

The MOU entered into between SOGDC and SPSB will not pose any adverse financial risk to SURIA. None of the Directors or the substantial shareholder of SURIA has any interest whether direct or indirect, in the matter.

家盟吉联手 曙光资本亚庇建商场

(吉隆坡16日讯)家盟吉(GBGAQRS,5226,主板建筑股)和曙光资本(SURIA,6521,主板贸服股)今日宣布在沙巴合作打造一项综合发展计划,放眼从该州产业市场的庞大潜能中分一杯羹。

该项发展计划名为One Jesselton Waterfront,兴建亚庇港口附近的7英亩地皮上,预计净销售值达18亿令吉。

该地皮是由沙巴州政府分配给曙光资本,将会发展为一家购物广场Jesselton广场、企业办公室及零售单位。

此外,该项发展也包括服务式套房和公寓、公寓住宅及停车场设备和轮渡售票处。

曙光资本将取得总净销售值的18%比重。

家盟吉执行董事拿督阿兹占表示:“我们很高兴能够与曙光资本一起合作发展该项目,以及感谢他们对本公司的信任,一起打造亚庇下一个新地标。”

亚庇联营发展 曙光家盟吉后市看好

(吉隆坡17日讯)虽然在沙巴的联营计划没有捎来惊喜,分析员仍维持曙光资本(SURIA,6521,主板贸服股)和家盟吉(GBGAQRS,5226,主板建筑股)「买进」的投资评级。

曙光资本昨日(16日)宣布与家盟吉合作,在亚庇港口地区联营发展占地约7英亩的综合发展计划。该计划暂名「One Jesselton Waterfront」,包含住宅区、商场、办公楼、曙光资本办公室、服务套房、服务式公寓和停车场,预计最低净售价值(NSV)为11亿令吉。

家盟吉和曙光资本在该联营项目的持股率分別为82%及18%,同时,家盟吉也保证最少会给予曙光资本1亿9800万的收益。另外,该项联营计划需等待家盟吉在3个月內,取得有关当局的批准方能成行。

无论如何,上述消息並没有明显勾起投资者的购买。曙光资本股价今天股价无起落,收报2.32令吉;家盟吉股价今天下跌9仙或6.47%,至1.30令吉。此外,家盟吉的凭单家盟吉-WA今天更是大跌9仙或15.25%,至0.50令吉。

等待计划批准

安联星展投行分析员表示,由于曙光资本管理层之前已表明,会寻找合作伙伴发展上述土地,因此,对上述消息不感惊喜。在还未获得有关当局批准的情况下,分析员並没有將这项联营计划纳入曙光资本的財测考量中。

分析员维持曙光资本「买进」的投资评级,但將检討其3.55令吉的目標价。若该公司能在2015年首季获得Jesselton Quay16.25英亩发展计划的批准,將会成为重估该股的催化因素。

家盟吉方面,艾芬黄氏资本分析员表示,这项联营计划对家盟吉来说是项好消息,预料可为该公司带来1亿3500万令吉的净利。而更高的售价和容积率(floorratio),也会进一步提高这项计划的盈利贡献。

容积率是指一个发展计划上,总建筑面积与用地面积的比例。

RESTRUCTURING OF SUBSIDIARIES OF SURIA CAPITAL HOLDINGS BERHAD
SURIA wish to announce that the Company is re-organizing its business by transferring the business of its wholly owned subsidiary, Suria Bumiria Sdn. Bhd. (Suria Bumiria) into its wholly owned subsidiary SCHB Engineering Services Sdn. Bhd. (SCHB Engineering). Currently, the business activity of Suria Bumiria is ferry terminal operation. Suria Bumiria is currently operating the meet and greet terminal for cruise passengers at Kota Kinabalu Port. SCHB Engineering is the Group's construction and engineering arm and is providing project management services and has been awarded a PUKONSA Class A licence by the local authority.

The transfer of the business undertaking includes the transfer of trade receivables as well as staff of Suria Bumiria into SCHB Engineering effective 1 April 2015. With effect from 1 April 2015 onwards, SCHB Engineering will resume its existing business as well as the ferry terminal operations and property development.

The purpose of the restructuring is to capitalise on the combined skills and expertise from both companies  to undertake projects in the construction and property sectors in the future. Property development has been earmarked as one of the Group's strategies going forward and this segment of business may very well be managed by the restructured entity with the combined skills set. The Company is hoping to enhance revenue from property management, consultancy and property management services.

HANDOVER AGREEMENT BETWEEN SURIA BUMIRIA SDN BHD (SURIA BUMIRIA) (A WHOLLY OWNED SUBSIDIARY OF SURIA) AND GABUNGAN AQRS BERHAD (GBG AQRS)
We refer to our previous announcement dated 16 March 2015 and 19 March 2015 on the Joint Venture Agreement dated 16 March 2015 between SURIA and GBG AQRS on the development of the 7.0 acres of SURIA's land at Kota Kinabalu (hereinafter referred to as the "Development Land").

SURIA wish to announce that SURIA BUMIRIA have entered into a Handover Agreement with GBG AQRS on 22 April 2015 to handover the Jesselton Point operating land to GBG AQRS. The Jesselton Point operating land which consists of the Jesselton Point ferry terminal is currently operated by SURIA BUMIRIA and is part of the Development Land. Pursuant to the Joint Venture Agreement and the Handover Agreement, GBG AQRS shall be responsible  for ensuring that the essential operation of Jesselton Point ferry terminal is preserved during the development of the Development Land.

The Jesselton Point operating land will only be delivered to GBS AQRS upon the erection of a new temporary facilities by GBG AQRS. SURIA BUMIRIA agrees that GBG AQRS shall have the right to develop the Jesselton Point operating Land in accordance with the terms and conditions of the Joint Venture Agreement. In furtherance thereto, SURIA BUMIRIA acknowledges all rights that have been granted by SURIA in favour of GBG AQRS under the Joint Venture Agreement. In consideration of SURIA BUMIRIA agreeing to deliver the Jesselton Point operating land to GBG AQRS, GBG AQRS is to pay RM7 million to SURIA BUMIRIA in pursuant to the Joint Venture Agreement and Handover Agreement.

This Announcement is dated 23 April 2015.

曙光资本港口业务放缓 产业支臂料成主力

(吉隆坡8日讯)由于本地经济呆滞,沙巴港口经营商曙光资本控股有限公司(SURIA,6521,贸易服务组)预测将在截至2015年12月杪的现财政年面对港口业务的放缓,不过在其产业发展支臂在2015和16财政年的创纪录收益协助下,将减轻上述预测退步。

曙光资本控股的信心,是基于其Jesselton Quay计划的发展,已经在3月杪获得监管当局批准。

首席财务员黄洁敏透露:“我们即将作出细分,我们可能在今年第3季推介Jesselton Quay。”

曙光资本控股在2013年5月与SBC机构有限公司(SBCCORP,5207,产业组)签署一项联营,以发展上述计划。这项计划属于曙光资本控股位于亚庇23.25英亩地库的其中16.25英亩,预测总发展值达18亿令吉,分8年时间完成。

作为地主,曙光资本控股将获得最少3亿2400万令吉的担保回馈,或占总发展值的18%,在整个发展期间,以分期付款方式支付,以作为土地成本,每年金额为4050万令吉。

另外,曙光资本控股和家盟吉有限公司(GBGAQRS,5226,建筑组)在2015年3月签署一份联营协议,联手发展One Jesselton Waterfront,后者是位于其余7英亩地段的一项综合发展,净销售值将达18亿令吉。

曙光资本控股也享有这项计划净销售值的18%,或高达1亿9800万令吉。这项计划预料可在6年内完工。

除了1200万令吉初期现金付款,它也将获得1亿6640万令吉价值和1960万令吉最终现金付款,或18%净销售总额18%,视何者较高而定。

黄洁敏称:“曙光资本控股的最低享有权将包括曙光资本控股价值5201万令吉的企业办公楼、1亿1439万令吉的零售广场、以及3160万令吉现金。”

上述23.25英亩地库是由沙巴州政府拨予曙光资本控股,以作为2003年沙巴7座港口私营化99年特许权的一部分。

黄洁敏预料,One Jesselton Waterfront的建筑将在获得当局的批准后,从今年杪展开。

她说,曙光资本控股的产业发展部门将在2015和16财政年度带来‘额外收益’,而16财政年的收益将更庞大,惟她拒绝透露进一步详情。

“它将胥视SBC机构和家盟吉推介多少,而这则将观察市场因素而定。”

“我们只须确保我们的联营伙伴平台,并观察我们如果可以获得更多。”

港口业务继续是曙光资本控股的主要收益贡献者,占了2014财政年约85%的集团收益,而物流则贡献12%、渡轮终站业务2%、及承包与工程业务占1%。

曙光资本控股于截至3月杪的首财季录得1340万令吉净盈利,比前一年的1503万令吉滑落10.86%,主要是所有部门的贡献都降低。

其季度营业额则退13.6%,从之前的7152万令吉减至6179万令吉。

曙光资本控股将继续专注于其港口业务,但黄洁敏不排除产业发展业务在来年取代港口业务,成为最大收益贡献者的可能性。【光华日报财经】

In 1996, he was then appointed as the Permanent Secretary of the Ministry of Finance (Sabah) He had also served in other key appointments such as the Chief Executive Officer/ Executive Director of Sabah Bank Berhad and Sabah Development Bank, Group Chief Executive of Innoprise Corporation Sdn. Bhd. and General Manager of Ko Nelayan. His last appointment before he took his appointment in Suria Capital was the Director of the State Economic Planning Unit (Sabah).

She joined SURIA in 10 September 2001 where she was appointed as the Senior Manager of Corporate Development. On the 1 September 2004, she was then seconded to Sabah Ports Sdn. Bhd. as the General Manager of Corporate Services & Finance before holding her current post as the Chief Financial Officer of SURIA on 2 June 2010.
