李深靜與2兒不能兼任IOI房產高管

(吉隆坡22日訊)IOI集團(IOICORP,1961,主要板種植)房產業務分拆與上市計劃獲證券監督委員會放行,但批准條件之一,是丹斯里李深靜與兩名兒子不能同時擔任這兩家公司的執行職位。

IOI集團向馬證交所報備,證監會在信函中指出,IOI房產上市招股書已獲原則上批准,但有關批准須符合數項條件。

這包括李深靜和兒子拿督李耀祖及李耀昇,個別只能擔任IOI集團或IOI房產的執行職位,不可同時兼任高管之職。

在提呈招股書註冊給證監會之前,IOI集團提供IOI房產或相關公司的企業擔保必須提高和(或)轉至IOI房產。

同時,IOI房產也必須委任至少一名具資格的高級人員負責公司的法律與公司秘書事宜,此人不得與IOI集團共享。[中国报财经]

We refer to the announcements made on behalf of the Board of Directors of IOIC (“Board”), by AmInvestment Bank and RHB Investment Bank (collectively referred to as the (“Joint Principal Advisers”) on 14 May 2013, 17 May 2013 and 24 June 2013 in relation to the Proposals. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the announcement dated 14 May 2013 in relation to the Proposals.

On behalf of IOIC, the Joint Principal Advisers wish to announce that the Securities Commission Malaysia (“SC”) had vide its letter dated 21 August 2013 (which was received on 22 August 2013), approved the Proposed Distribution, Proposed Restricted Offer and Proposed Listing (collectively referred to as “Proposed Demerger and Listing”).

In the aforesaid letter, SC has stated that IOIC’s application has been approved under the equity requirement for public companies and that the listing prospectus of IOIPG has been approved-in-principle for registration. The approval by the SC is subject to the following terms and conditions:

(a) the corporate guarantees provided by IOIC for the benefit of IOI Properties Berhad, its subsidiaries and jointly controlled entities must be uplifted and/or transferred to the IOIPG Group prior to the submission of the confirmation for registration of IOIPG’s prospectus to the SC;

(b) Tan Sri Dato’ Lee Shin Cheng, Dato’ Lee Yeow Chor and Lee Yeow Seng respectively should only hold executive positions in either IOIC or IOIPG and not in both companies;

(c) IOIPG must appoint at least one (1) senior qualified personnel responsible for the legal and company secretarial matters of IOIPG Group, who is not shared with IOIC, prior to the submission of confirmation for registration of IOIPG’s prospectus to the SC;

(d) In relation to the properties of the IOIPG:-

1.Properties which are registered under the name or former name of IOIC(i) For those properties which have yet to be issued with individual/block titles, IOIC is to provide an undertaking to obtain individual/block titles from the relevant authorities at its own cost and subsequently transfer the interest into IOIPG’s or its subsidiary companies’ names.
(ii) For item (i) above and those properties which have been issued with individual/block titles, IOIPG is to provide an undertaking to transfer the interest into IOIPG’s or its subsidiary companies’ name at its own cost;
(iii) IOIPG is to disclose item (i) and (ii) above in the prospectus;
(iv) Upon listing, IOIPG/Joint Principal Advisers are to make quarterly announcements on the status of items (i) and (ii) above to Bursa Securities; and
(v) IOIPG/Joint Principal Advisers are to update the SC when such announcements are made
2.Kulai Restaurant, Bandar Putra Kulai(i) IOIPG is to provide an undertaking to rectify the express condition in the title to be consistent with the existing use;
(ii) IOIPG to disclose item (i) above in the prospectus;
(iii) IOIPG/ Joint Principal Advisers are to make quarterly announcements on the status of item (i) above to Bursa Securities; and
(iv) IOIPG/ Joint Principal Advisers are to update the SC when such announcements are made.


    ; and

(e) Joint Principal Advisers / IOIPG to fully comply with the requirements of the SC’s Equity Guidelines and Prospectus Guidelines pertaining to the implementation of the Proposed Listing.

Pursuant to the above, the Board of Directors of IOIC and IOIPG will deliberate on the conditions imposed by the SC on the Proposed Demerger and Listing and consider the appropriate course of action.

爭取债券持有人支持 IOI多付一倍「甜头」

(吉隆坡17日讯)为了爭取债券持有人的同意与支持,让把產业业务分拆上市能够顺利进行,IOI集团(IOICORP,1961,主板种植股)不借付出多一倍的「甜头」给债券持有人。       

IOI集团在一项文告中指出,將把给予2015年到期的债券持有人的同意费,提高一倍,以爭取债券持有支持让產业业务独立上市的计划。

IOI集团共发出两批不同期限的债券,一批是在2015年满期,这批债券的总额是5亿美元,年利是5.25%。

第二批总额6亿美元的债券,则是在2022年满期,年利是4.375%。

由於IOI集团的重组计划涉及把產业业务分拆上市,会影响到债券人的利益,因此,必须获得债券人的点头。

IOI集团的原本建议是,每持有2015年到期债券1000美元的人,可获得1美元同意费;而每持有2022年到期债券1000美元的人,则可获得2美元的同意费。

这是因为后者的有效期较长,所以给予较高的同意费。

但是,两批债券相差1美元的同意费,引来2015年到期债券持有人的不满。

同意费提高一倍

由於债券持有人特別大会即將於本月23日召开,IOI集团不得不把同意费提高一倍,以爭取2015年到期债券持有人的支持。

IOI集团是在8月29日向两批债券的持有人发出同意费建议,显然的相差极大的同意费让2015年到期债券持有不满。

由於临时更改同意费,IOI集团亦把接受同意费建议的最后期限,由原本的9月11日延长至9月18日。

本月23日的债券人特別大会,是IOI集团第二次嚐试爭取债券持有人的支持,以让產业业务分拆上市。

上一次的特別大会是在7月22日,但却因为出席人数没有达到法定人数而流会。

IOI集团在第一次要求召开的特別大会,並没有给予债券持有人任何同意费,所以无法让持有人心动。[东方日报财经]

正月分拆上市 IOI產业市值140亿

(吉隆坡29日讯)IOI集团(IOICorp,1961,主板种植股)股东在今日举行的股东特別大会,通过將IOI產业分拆上市的议案,这项上市计划將打造市值140亿令吉的產业公司,並將在明年1月完成。        

以產业领域13至15倍的本益比计算,该公司给予IOI產业14倍的平均本益比,这表示,IOI產业的市值將大约为140亿令吉。IOI集团预计將从这项IPO筹集19亿令吉的资金,部份资金將用作偿还IOI集团5亿美元的债务,其余作为营运资金。

50%净利派息

IOI集团董事主席李深静於IOI集团的股东特別大会后,对记者表示,希望可以將IOI產业的50%净利用作派息。这也相当於IOI集团目前的派息水平。

目前IOI產业的地库为1万英亩,当中9500英亩为可供发展地皮。李深静也透露,公司的地库中95%在大马,其余在中国及新加坡。以发展总值(GDV)计算,本地產业发展计划占65%及海外占35%。

对於预算案宣布调高產业盈利税(RPGT),李深静认为,这將不会对產业领域的真正买家带来衝击,真正受影响的会是投机者。虽然如此,他不否认,政府推出的税务措施將衝击市场情绪,短期內需求会下降,但相信这是短暂的,產业买家很快会作出调整及復甦。

至於柔佛的房產市场,在当地有地库但尚未发展的IOI集团认为,隨著公共交通的改善,將吸引更多的新加坡人居住於柔佛。。[东方日报财经]

(吉隆坡13日讯)IOI集团(IOICORP,1961,主要板种植)旗下IOI房產(IOI Properties)料在明年1月分拆上市马股,由于可提供比IOI集团更高的上涨空间,联昌证券研究建议投资者认购IOI房產。

IOI集团以5.77令吉开盘,略跌1仙后,逐步扭转跌势,早盘一度升12仙至5.89令吉。但IOI集团隨后稍收窄涨幅,休市上升6仙至5.83令吉;半日成交量达203万4000股。

午盘,该股升幅持续收窄,闭市时,IOI集团掛在5.81令吉,起4仙;交投量525万2000股。

IOI集团获准分拆房產业务,联昌证券研究预计,IOI房產可在2014年1月份上市。该行看好上述发展,並建议投资者守持IOI集团,及参与投资IOI房產。

报告指出,IOI房產每股2.51令吉的最终上市参阅价具吸引力,相信將在上市取得好彩头。不过,IOI集团股价可能有所调整,市值也可能下跌83亿令吉。

联昌证券研究给予IOI房產目標价4.02令吉,为首发股价提供60%上涨空间。

還很難計算。因為我客戶的是IOIPROP。。現在上市的是IOIPROPGROUP。。。如果沒有換的。。根據IOI的估價。。是6倍。

市值料81億‧IOI產業撼UEM陽光

(吉隆坡26日訊)馬股明年或迎來數個產業股登場,放眼在1月15日重新上市的IOI產業先拔頭籌,在上市參考價達每股2令吉51仙下,市值料達81億3千萬令吉,足以和產業巨頭實達集團(SPSETIA,8664,主板產業組)較勁。

實達或退居老三

分拆自IOI集團(IOICORP,1961,主板種植組)的IOI產業,即將在明年初上市,上市後市值估計達約81億令吉,有望一躍成為大馬第二大產業上市公司。

若以今日股價粗略估計,U E M陽光(UEMS,5148,主板產業組)目前市值約為97億令吉,依然是大馬產業股的市值龍頭。反觀,近期表現平平的實達集團,達約78億令吉,待IOI產業上市後或被迫讓位。

打房耽誤產業股上市大計政府致力打房,導致明年產業股士氣受壓,也耽誤了一些重量級產業股的上市大計,之前看好將崛起為大馬第二大產業股的依斯干達浮城控股(Iskandar WaterfrontHoldings),疑因政府政府的打房壓力展延上市。

然而,由丹斯里林剛河掌管的依斯干達浮城控股同樣來頭不小,若該公司終在明年上市,也可能讓大馬整體產業股的市值重新洗牌。該公司曾因依斯干達產業計劃火紅,被看好在上市後取代UEM置地,成為依斯干達的主要代理。

另外,森那美(SIME,4197,主板貿服組)早前頻頻增持東方(E&O,3417,主板產業組)的股權,也傳是為產業臂膀分拆上市作準備。

李深靜獲IOI產業54.21%

IOI產業今日發招股書指出,丹斯里李深靜獲分配IOI產業的54.21%股權,這項獻售計劃估計籌措約18億7千500萬令吉,所得將全盤歸給售股的股東。

“限制獻售給股東的股價為1令吉76仙,相等於IOI產業上市的最後參考價2令吉51仙的30%折價。"在大馬住宅和商業領域的交易量可望在2015年前各達1千272億和1千651億令吉之下,IOI產業對大馬產業市場保持正面,也相信產業市場的短期表現可期,尤其是巴生河流域及柔佛的產業。

打房不影響本地買家

針對大馬近期接踵而來的打房措施,IOI產業相信,產業盈利稅上調和政府上調海外產業買家的最低收購價達100萬令吉,皆不會打擊該公司的產業購興,主要是該公司的城鎮發展計劃主要放眼第一間房屋的買家並以本地市場為主。

至於發展商承擔利息計劃(DIBS)的取消,IOI產業也認為,這不至於對公司業務和財務表現造成實質影響,因公司只有數產業計劃提供發展商承擔利息方案,更重要的是,公司仍能提供其他購房津貼去吸引買家。

“然而,國家銀行和政府若進一步推出打房措施,仍可能打擊產業發展業務。"另外,IOI產業除將持續發展現有的地段和城鎮,也將繼續探討利基發展機會,不排除和有名的發展商或合適夥伴聯營發展產業。

儘管區域掀起打房風,IOI產業仍放眼提高在新加坡和中國的產業計劃,以期藉海外產業的擴張去攫取區域成長商機。

產業投資方面,IOI產業放眼在2014年杪前提高該部門的貢獻,並將淨出租地自目前約265萬增至逾500萬平方尺。

(吉隆坡26日訊)深獲市場看好的IOI房產(IOI Properties)暫訂于明年1月15日上市馬股主要板,成為2014年第一炮,可謂一馬當先。

根據招股書,該公司限制性獻售達10億6517萬4516股,每股售價1.76令吉供IOI集團現有投資者認購,每持有6股者可認購1股IOI房產,料可籌近19億令吉。

“此次限制性獻售料籌得約18億7500萬令吉,但上市目的不在籌資,因公司並未發行新股,至于限制性獻售所得,則歸售股股東。”

IOI集團(IOICORP,1961,主要板種植)向馬證交所報備,投資者可于今日早上10時起,申購IOI房產股票,截至日期為明年1月2日下午5時正。

每持3股獲送1股

招股書指出,除了限制性獻售部分,尚有21億3034萬9033股將派給母公司IOI集團投資者;每持有3股普通股者,可獲送1股IOI房產。

IOI房產進行內部重組后,旗下業務包括IOI購物商場、Palmex Industries、IOIP Capital Management等等。

In the event that the closing date and/or time for acceptance, application and payment (including Excess Application and payment of the Excess Restricted Offer Shares) is extended, the date of listing of IOIPG may be extended accordingly. Any extension will be announced in widely circulated daily Bahasa Malaysia and English newspapers within Malaysia.

* The date of the allotment of the Restricted Offer Shares to successful applicants and the Distribution Shares to Entitled Shareholders is on 10 January 2014.

只5工作日‧小股东怕来不及 IOI分拆限售期太短引不满

(吉隆坡27日讯)上市公司献售股票所给予的时限过短,引起小股东不满和质疑,甚至掀起上市公司有意刁难小股东,让大股东得以认购更多股票的“阴谋论”。

本报今天接获读者投诉,点名近期宣布分拆房产业务的IOI集团(IOICORP,1961,主板种植股),限制献售期限太短。

根据IOI集团周四(12月26日)发出的文告,申请日期从12月26日开始,至1月2日截止。

这意味,在扣除本周假日(12月28日与29日)和下周的公共假期(1月1日)后,小股东仅有5个工作日,可提交申请。

这名小股东不满时间太短,特别是适逢周末和公共假期。

这说,小股东可能无法及时提交申请和认购,但反而对大股东有,因后者可趁机吸收剩余献售股票。

《南洋商报》查看大马交易所其他上市公司的发股计划时间表后,发现最近的企业活动申请时间都偏短,特别是首次公开募股(IPO)。

例如近期IPO的公司如帝亿成功置地(TITIJYA,5239,主板产业股)和康尔国际(KANGER,0170,创业板),新股申请时间也只有5至6天。

符合上市条例

依据证券监督委员会和马交所公布的IPO批准程序,公司发行招股书后,最少11个交易日就得上市马股。

以IOI集团为例,12月26日发出招股书和公开申请,预定上市日期为1月15日,相距13个交易日,时间表符合当局条规。

小股东权益监管机构(MSWG)研究及监管部门高级经理黄云浩接受本报询问时表示,没接获有关IOI集团限售的相关投诉。

然而他个人觉得,IOI集团的申请时间稍嫌过短和不公平,因为可能有一些股东无法适时提交申请,尤其是居住在东马者。

不过,他不排除上市公司考虑到招股书有时效限制,时间距离上市不可拖太长,所以申请时间较短。

他也提到,新股上市如今可上网查询招股书内容,更方便股东。

应考量邮寄时间

至于其他发股活动,如发行附加股,相比IPO和限制献售股,申请时间可说比较长,但有小股东认为仍有不足。

黄云浩透露,他们曾收到投诉,称附加股申请时间不够长,且没有考虑到邮件寄送申请所需的时间。

马交所的上市条例中阐明,上市公司将在截止过户日期(book closing)后的3个交易日内,发出配股函和通知给股东,而申请截止日期为至少13天后。

针对此事,大马交易所通讯部表明无法即时回应本报询问。

我人在外地,昨天已经吩咐我的家人帮我去找 Remiser 拿 form, 直接填表格,代签名和买 bankdraft,当天就快邮寄出去了。

今天已经抵达 Midvally 了
