(吉隆坡13日訊)威達(WEIDA,7111,主板工業產品組)計劃將業務多元化至產業發展和產業投資項目,並看好新業務有望在中短期貢獻25%淨利比重,將召開特別股東大會尋求股東批准。

該公司發文告表示,隨著子公司Good Axis(GASB)和Bright Axiom(BASB)在今年1月杪達致聯營協議,以共同在吉隆坡一塊2.7英畝地段進行住宅/商用產業發展計劃,公司業務已多元化至產業發展領域,看好新業務有望在中短期貢獻25%淨利,並佔淨資產逾25%比重。

“此外,董事部也預期產業發展和產業投資業務將繼續尋找和爭取更多產業發展計劃,對未來盈利貢獻可能更為顯著,因此將根據上市條例要求召開特別股東大會尋求股東批准業務多元化議程。”

目前,威達主要業務為聚乙烯(polyethylene)產品製造和銷售、通訊塔、食水處理廠為主的建築活動,以及環境工程服務。(星洲日報/財經)

We refer to the announcements dated 25 October 2012, 31 October 2012, 29 January 2013, 19 February 2013, 20 February 2013 and 27 February 2013 respectively in relation to the Disposals. Unless otherwise stated, words and expressions used in this announcement shall have the same meaning as those attributed to them in the announcement dated 25 October 2012.

1.        INTRODUCTION

    As stated in the Circular, BSV owns a stone quarry located in an area measuring approximately 35 hectares and situated at Lot No. 1, Block 19, Naong, Arip, SibuArip Land District(“BSV Quarry Site”). BSV is licensed to manage a quarry to extract, process, remove and sell rock materials from the BSV Quarry Site for a period of five (5) years from 22 November 2010 to 21 November 2015 (“Quarry License”) as issued by the Land and Survey Department, Sarawak.


    The Board of Directors of Weida is pleased to announce that BSV has on 17 September 2013 entered into Quarry and Supply Agreement (“QSA”) with Blast Power Sdn. Bhd. (Formerly known as Metro Solar Sdn. Bhd.) (“BP”), a subsidiary of Weida whereby BSV has agreed to grant to BP the exclusive right to remove and sell the products produced from the rock materials extracted (“Quarry Products”) from BSV Quarry Site to BSV and third parties (“Exclusive Rights”).

2.        SALIENT TERMS OF THE QSA
The salient terms of the QSA are as follows:



      (i)        Grant of Exclusive Rights to BP


        Subject to Clause 2 (ii) below, BSV agrees to grant the Exclusive Rights to BP as follows:


        a. Exclusive sub-license to perform the following works for a period of 6 months and twenty (20) years (“Duration”) commencing from the date on which the Condition Precedent (as defined in Clause2 (ii) herein) is fulfilled in accordance with the provisions of the QSA (“Unconditional date”):


        i. blasting works which includes the process of extracting and removing the rocks extracted from the BSV Quarry Site (“Rock Materials”), which includes drilling and blasting all boulders and rock, loading and hauling the Rock Materials to the primary crusher(s), and all ancillary and incidental works carried out in respect thereof, pursuant to the terms of the QSA (“Blasting Works”); and

        ii.        quarry works which includes all processes involved in clearing the BSV Quarry Site, processing the Rock Materials extracted and removed from the BSV Quarry Site pursuant to the Blasting Works, including but not limited to operating the crusher plants and other machinery and equipment necessary in producing the Quarry Products, and all ancillary and incidental works necessary in respect thereof, to be carried out at the BSV Quarry Site by BP;
        (Collectively known as “Works”)


        b. Exclusive sub-license to remove and sell the Quarry Products resulting from the Works to BSV and/or third parties; and


        c.        Unrestricted access to the BSV Quarry Site and to access roads leading in and out of the BSV Quarry Site for the entire Duration by:

    i.        BP and a third party contractor appointed by BP which is subject to the approval of BSV to perform the Works together with their respective Contractors, employees, agents and authorised personnel in the performance of the Works and the removal of the Quarry Products for transportation, sale or collection thereof; and/or
ii.         the third party customers of BP in the removal of the Quarry Products for collection thereof,


    upon the terms and subject to the conditions of the QSA.

(ii)        Condition Precedent


      The QSA is conditional upon BSV obtaining the first renewal of the license/related permits made under BSV’s name from the relevant authorities for the commencement and/or continuation of the Works, including but not limited to the shot-firer’s licence, and all permits and licences for the possession, use and storage of explosives, and any other licences, permits or consents required for the Works and/or any other works arising out of or in connection with the Works within 3 months from the date of the QSA, subject to such extension as may be agreed between the parties (“Condition Precedent”).

(iii)        Purchase of Quarry Products by BSV

    Pursuant to the QSA, BSV covenants and undertakes to purchase from BP and BP covenants and undertakes to supply to BSV a minimum of 200,000 metric tonnes of the Quarry Products annually for a period of ten (10) years from the expiry of six (6) months from the Unconditional Date, which in aggregate amounts to 2,000,000 metric tonnes of the Quarry Products.

3.        DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST

    None of the directors and major shareholders of Weida and its subsidiaries or persons connected to them, have any interest, direct or indirect, in the QSA.

4.        DOCUMENT FOR INSPECTION

    The QSA is available for inspection at the registered office of Weida at Wisma Hock Peng, Ground Floor to 2nd Floor, 123 Green Heights, Jalan Lapangan Terbang, 93250 Kuching, Sarawak during normal office hours from Monday to Saturday (except public holiday) for a period of three (3) months from the date of this announcement.

(2) To state the name of the relevant authorities and the date of approval obtained for the development and construction, and advertising permit for the Ara Damansara Development.
(3) To quantify and to breakdown the total capital and investment outlay by WEIDA Group in the Ara Damansara Development and Mont' Kiara Development respectively.
(4) To quantify the estimated total costs and expenses of the Ara Damansara Development and Mont' Kiara Development respectively.

5年计划拓西马市场 威达建材收益料倍增

(吉隆坡27日讯)威达(马)有限公司(WEIDA,7111,工业产品组)董事经理拿督李春进预测,该公司从聚乙烯建筑材料获得的收益,将在5年时间内倍增至4亿令吉。

他说:“我们希望5年内增加半岛制造收益2倍,甚至达到3倍。”

为此,威达已拨出1亿令吉资本开销,以推动其产能,从每年2万公吨提高到5万公吨。其现有工厂目前以70%至80%产能操作。

这家以砂拉越为基地的公司,计划进军西马半岛。它已制订2阶段计划扩充本地据点,即透过其制造部门以及多元化至产业发展。

在威达于半岛的收益中,65%是由制造部门贡献,而余额则是来自工程服务领域。

虽然还没有决定兴建地点,但威达的局部计划中资本开销,将用于在半岛设立一间新工厂。它现于森美兰的汝来拥有一间工厂。

李春进指出:“目前,我们大部分制造销售是来自巴生谷,但我们看到南马的成长潜质。未来,我们可能放眼第2和第3间工厂迎合扩充计划,以及建立我们的市场地位和份额。”

威达现从沙巴和砂拉越获得78%的收益。在截至2013年3月31日止财政年,它录得5077万令吉净盈利,比一年前的3934万令吉来得高。而收益则从2012年度的3亿968万令吉,提高到3亿8318万令吉。

威达的制造部门主要是迎合水供处理领域,它生产超过200种聚乙烯建筑材料。这包括化粪池、雨水收集设备、水管道、水供处理厂以及沼气工厂。

李春进指出,所有设备是由本地设计及专利。

但这些产品的工程则于环保工程领域交叠,其中包括服务提供和计划。

威达已经多元化至其首项产业发展领域计划,即位于巴生谷的Urbana Residences@ara Damansara。

该公司计划把本身定位为精品发展商,有意在2013年第4季,即其30周年庆典时推介Urbana。

据李春进披露,Urbana将是一项服务式公寓计划,预测总发展值2亿3000万令吉。它将连接7条主要高速公路。

威达也计划明年在满家乐推介预测发展值达3亿3000万令吉的类似发展。

“建筑成本将占总发展值的约35%,若包括土地成本则更高。最终,我们将可从中获得约20%至22%的盈利。”

随着进军产业发展,威达的收益组合将在未来5年内作出改变。其环境工程对集团收益的贡献,预料将降低到20%至30%,而产业发展部门则预测占了约30%至40%。

(古晋28日讯)威达(WEIDA,7111,主板工业产品股)正在洽购位于吉隆坡的1块黄金地段,以进行综合产业发展项目。

该公司董事经理拿督李春进在出席股东常年大会后,向《星报》表示:“该地皮面积达2.84公顷,适合用来发展住宅、零售与办公室产业,预计发展总值(GDV)接近10亿令吉。

“我们正与地主洽谈,预计6个月内有结果。”

该公司刚在雪州八打灵再也阿拉白沙罗首次推介高层住宅项目———Urbana Residences,发展总值为2亿3100万令吉。

该服务式公寓楼高15层,共有356个单位,售价从50万至120万令吉(阁楼)不等,楼面面积介于807至1200平方尺。

明年推高级公寓

他说:“基本上,我们已经完成了设计和布局,就算是最小的单位,你将会发现它非常宽敞。”

该项目预计在下个月动工,并在2016年竣工。

李春进指出,Urbana Residences可衔接至多条高速大道,附近有购物中心与高尔夫球场,迟些毗邻将兴建1个会议厅与酒店项目。

他披露,该公司在3周前开放登记,吸引了约3000个潜在买家的青睐,并放眼该项目可引起本地与外国买家的瞩目,尤其是年轻买家。

明年,该公司打算在吉隆坡满家乐推出第二个住宅发展项目,即发展总值达3亿3000万令吉的高级公寓项目。

The pertentage ratio of the Proposed Disposal does not exceed the 5% threshold for transaction under the Main Market Listing Requirement of Bursa Malaysia Securities Berhad, which warrants a detail announcement.

Based on the net assets of WSE as at 31 March 2013, the expected gain to Weida Group arising from the Proposed Disposal is RM14,897.

The Proposed Disposal is expected to be completed within 30 days from the date of the share sale agreement or on such other date to be mutually agreed upon by Mr. Koh Kah Hing and WSE in writing, upon which WSE shall cease as a subsidiary of WET and Weida.

None of the directors or major shareholders of Weida nor persons connected with them has any interest, direct or indirect, in the Proposed Disposal.

The Proposed Disposal is expected to be completed within 30 days from the date of the share sale agreement or on such other date to be mutually agreed upon by WBE and the Purchasers in writing. Upon completion of the Proposed Disposal, WBE shall cease as a subsidiary of WET and Weida.

None of the directors or major shareholders of Weida and WET nor persons connected with them has any interest, direct or indirect, in the Proposed Disposal.

We refer to our announcement made on 13 December 2013 in relation to the above subject.

Weida (M) Bhd (“Weida” or the “Company”) wishes to announce that the proposed disposal of its 56% owned subsidiary, WET entire equity interesst in the capital of WBE to Ngeow Tow Heng and Chin Yoke Khim were completed on 7 January 2014. Hence, WBE has ceased as a subsidiary of Weida via WET with effect from 7 January 2014.

該公司初步進行的產業發展計劃,為在吉隆坡一塊2.7英畝土地發展住宅/商用產業的聯營計劃。該公司看好產業領域在中短期裡可貢獻25%淨利及占淨資產值逾25%比重。

過去5年(2009年截至3月31日為止財政年至2013年),該公司盈利表現良好及逐年增長,每股淨利分別為11.84仙,11.04仙,17.21仙、31.01仙,以及42.40仙。

Weida (M) Bhd. ("the Company") wishes to announce that the Company has on 1 April 2014 subscibed seven (7) ordinary shares of RM1.00 each in the share capital of MEMCOR (Malaysia) Sdn Bhd ("MEMCOR"), at a total cash consideration of RM7.00. Subsequent to the subscription of the said shares, MEMCOR became a 70% owned subsidiary of the Company. MEMCOR is currently a dormant company and its intended principal activity is telecommunications.

末季淨利大跌92% 威達仍樂觀看待本財年

財經股市28 May 2014 23:00
(吉隆坡28日訊)建築工程業務貢獻速度放緩和較高營銷費用,導致威達(WEIDA,7111,主要板工業)截至本財年3月底末季淨利按年大跌92%至1046萬8000令吉。

威達向馬證交所報備,同期營業額按年下滑24%至8153萬8000令吉。

報備文告指出,全財年淨利按年重挫85%至2259萬3000令吉;營業額則跌21%至3億2138萬令吉。

威達董事經理拿督李俊進另外發布文告指出,有信心建築業務將繼續穩健成長,政府要在全國增加建設額外1000個電訊塔計劃,或可成為公司建築業務的催化劑。截至目前,該公司已在東馬完成建設達362個電訊塔。

“我們將進一步提振服務,確保旗下所有業務保持競爭力,以繼續作出正面貢獻。”
