曾健華任富閣苑執行董事

(吉隆坡7日訊)隨Eco World發展早前收購富閣苑開發(FOCAL,8206,主板產業組)股權,Eco World首席執行員曾健華受委入主富閣苑開發的董事部,出任執行董事,自即日起生效。

49歲的曾健華在產業發展方面具備長達26年的經驗,他自5月1日受委為Eco World的首席執行員。

在曾健華加入Eco World前,他曾為實達集團(SPSETIA,8664,主板產業組)的董事,也是實達旗下Southern and Northern產業部(包括新加坡和印尼辦公處)的執行副總裁。

Eco World早前以近2億3千零68萬6千令吉收購富閣苑開發的65.05%股權,實達集團總裁兼首席執行員丹斯里劉啟盛大兒子劉添雄也推選為Eco World的董事。(星洲日報/財經)

富閣苑開發獨立顧問:小股東應拒1.4令吉獻購

(吉隆坡4日訊)富閣苑開發(FOCAL,8206,主板產業組)獨立顧問肯納格投資銀行建議,該公司的小股東應該拒絕ECO WORLD發展以每股1令吉40仙作出的全面獻購,因為有關出價是“不公平”和“不合理”的。

肯納格發文告說,根據分析,富閣苑開發的重估後淨資產值是4億2千零90萬令吉,這相等於每股1令吉66仙。ECO WORLD發展的出價比每股淨資產值拆價26仙或15.66%。

出價不公平不合理

“因此,我們認為這項出價是不公平的。”

同時,這項獻購價比較富閣苑開發截至2013年9月13日為最後一天的過去1年平均股價溢價介於49仙或53.86%,及71仙或102.9%之間;但是,富閣苑開發股價在10月28日已經高於獻購價。以9月13日至10月28日的每日平均價2令吉零9仙計算,有關出價是拆價60仙或33.01%。

這或許是因為市場認為獻購者可為富閣苑開發盈利和價值帶來正面的貢獻。

肯納格說:“因此,我們的看法是,富閣苑開發股東應該希望在公開市場脫售股票,因為比獻購價高。”

ECOWORLD發展已經持有富閣苑開發的65.05%股權。

“獻購者應該知道富閣苑開發在柔佛依斯干達土地的潛能,並且有產業發展專業和經驗以加強有關土地潛值。”

有鑑於此,加上有關產業發展的正面報導,肯納格認為,有關獻購價不合理。

献购计划料被拒绝 传Eco World 50亿资产注入富阁苑

(吉隆坡4日讯)消息传出,配合减持股权作业,Eco World发展控股有限公司料将注入总值50亿令吉资产到富阁苑(FOCAL,8206,主板产业股)。

《商业时报》引述消息人士谈话指出,在富阁苑独立董事劝请股东拒绝Eco World早前提出的献购建议后,Eco World随即提出注入资产的计划,在注入资产后,Eco World将逐步减持富阁苑持股。

该报道说,联昌银行将成为Eco World与富阁苑业务重整作业的咨询顾问。

Eco World目前持有富阁苑65.05%股权,前者早前提出以每股1.40令吉献购其余股权,不过,富阁苑独立董事与独立顾问肯纳格投行,均认为此献购价不合理。

股价走高

富阁苑今日股价走扬,闭市收在2.09令吉,起1仙或0.48%,成交量59万3900股。

作为富阁苑独立顾问的肯纳格投行早前指出,Eco World提出的献购价,低于富阁苑每股1.66令吉的净资产价值(RNAV),未能反映富阁苑的合理价。

今年9月,EcoWorld与刘添雄,即实达集团(SPSETIA,8664,主板产业股)总裁兼总执行长丹斯里刘启盛之子,与富阁苑多名大股东达成协议,以每股1.40令吉,或总值2亿3068万令吉,购入富阁苑65.05%股权晋身为大股东。

随后在10月,EcoWorld便向富阁苑提出无条件献购,但献购方有意维持富阁苑的主板上市地位。

期间,市场更一度传出土著富商丹斯里赛莫达是Eco World的后台。[南洋网财经]

少見的“不公平”又“不合理”!

富閣苑開發(FOCAL,8206,主板產業組)目前超過2令吉,大股東ECO WORLD獻議以1令吉40仙全面收購,縱然不必征求專家諮詢,這肯定是“不公平”和“不合理”的議獻。

在上述情況下,富閣苑的小股東只要在公開市場脫售股票,即比大股東議獻收購價高出許多,所以肯定不會接受大股東獻議。

有鑑於此,上週富閣苑的獨立顧問肯納格投資銀行向小股東提出的建議,認為大股東ECOWORLD提出每股1令吉40仙的全面獻購“不公平”及“不合理”,實是意料中事。

同時,富閣苑的重估後淨資產值是4億2千零90萬令吉,或相等於每股1令吉66仙,比大股東的出價1令吉40仙,比每股淨資產值溢價26仙或15.66%,也顯示出大股東的出價偏低。

話說回頭,若以獻議價1令吉40仙為准,比較市價逾2令吉水平,顯示市場對該公司的前景充滿信心,才願意以更高溢價買進富閣苑的股票。

小股東像是特別看好金牌產業發展商──丹斯里劉啟盛,日後可能參與該公司,將旗下地皮“點地成金”,而不惜以更高價格購入或持有公司股票。

同時,有關獻購價,也比富閣苑截至2013年9月13日為最後一天的過去1年平均股價溢價,介於49仙至71仙,或介於53.86%至102.9%之間,這意味著在收購計劃未浮面之前,富閣苑的股票較乏人問津,股價低於1令吉水平。

這意味著,目前它的市價遠遠高於大股東獻購價,在很大程度上,是市場非常看好大股東的介入,使市價高企不下。

無論如何,投資者特別是散戶必須厘清一點,就是發展商的金字招牌,是無形的商譽,以反映其以往良好表現所應給的一些溢價,沒有給予任何實質保證,一切都是以“願買願賣”原則為准。

有鑑於此,若以高過獻購價持有該公司股票的風險,就是一旦公司的產業發展計劃,出現較為負面發展或大市欠佳,或是達不到預期的目標,有關無形的溢價可能打回原形,甚至逆市反跌,更貼切地反映出真正市價時,將使這些小股東落入“賠了夫人又折兵”的窘境。(星洲日報/投資致富‧投資茶室:李文龍)

富阁苑股东反应冷淡 Eco World 全购失利

(吉隆坡12日讯)EcoWorld发展有限公司对富阁苑(FOCAL,8206,主板产业股)提出的收购献议在今日下午5时截止,这项献议反应冷淡,仅购得1万5000股或少于0.01%股权。

股权维持65.05%

根据富阁苑今日发出的文告显示,EcoWorld的持股率仍停留在之前持有的65.05%股权。

今年9月,EcoWorld与刘添雄,即实达集团(SPSETIA,8664,主板产业股)总裁兼总执行长丹斯里刘启盛之子,跟富阁苑多名大股东达成协议,以每股1.40令吉,或总值2亿3068万令吉,购入富阁苑65.05%股权晋身为大股东。

之后,Eco World也以相同价格,强制性全面收购富阁苑的剩余股权。

不过,较后却被独立顾问视为“不公平”

和“不合理”献购,并建议股东拒绝这项献议。因此,相信这是造成股东冷对献议的主要原因。[南洋网财经]

(吉隆坡15日讯)富阁苑(FOCAL,8206,主要板房产)获丹斯里刘启盛长子刘添雄献购后,今日宣布建议换名为生态世界发展(Eco World Development)。

该公司向马证交所报备指出,建议将公司名从现有富阁苑(Focal Aim)更换至生态世界发展,并在来临的特别股东大会上待股东表决通过。

生态世界发展由刘添雄“坐阵”,9月中向富阁苑提出献购,10月初收购计划即转至无条件,市场视这项计划为实达集团(SPSETIA,8664,主要板房产)创办人刘启盛离职后的新动作,频频追捧。

该公司联合数名股东以每股1.40令吉价格,收购富阁苑65.05%股权;该公司其他股东包括刘启盛长期合作伙伴丹斯里阿都拉锡和拿督梁国华,刘添雄个人则持股约35.05%。

今天以为他会保持+0.17 左右。谁知道最后关市之前给我跌下来了。
后悔之前 2.94 没有卖掉。

我也是后悔没在2.9多时卖,跌时再买回。这股想买来放长期投资但我老公一直叫我起时就买跌时再卖回。

(吉隆坡29日讯)在完成收购活动后,Eco World发展有限公司管理层班底纷纷入主富阁苑(FOCAL,8206,主板产业股),丹斯里阿都拉昔受委担任主席,拿督梁国华将出任富阁苑副主席。

阿都拉昔同时也是Eco World主席,他在1997年至2012年期间,曾担任实达集团(SPSETIA,8664,主板产业股)主席。

Eco World计划管理有限公司前任总财务长连国渂,则受委担任富阁苑总财务长。

其他受委任为董事的还包括刘添雄、拿督伊德罗斯、丹斯里李霖泰及邓建昌。

原任富阁苑董事经理余胜尧、執行董事余玉城及主席丹斯里拿督莫哈末拉札里,及其他董事则宣布辞职。[南洋网财经]
