擴大生產規模 CAB機構2.4億購農佳資產

（吉隆坡5日訊）為擴大規模增收入，CAB機構（CAB，7174，主要板消費）擬出價2億4200萬令吉收購農佳（FARMBES，9776，主要板消費）部分資產。
兩家公司今日分別向馬證交所報備指出，CAB機構已向農佳發出意向書（LOI），收購后者旗下3家公司資產，總值2億4200萬令吉。
CAB機構指出，此計劃有助擴大生產規模，鞏固國內外市場地位，計劃完成后肉雞場面積將增301畝、養殖場增200畝，每月雞隻生產從211萬隻增至約233萬隻，有助增加收入。
精明審核9個月
農佳在文告中指出，3家子公司農佳食品工業私人有限公司、Sinmah Breeders私人有限公司及Sinmah Livestocks私人有限公司，分別收到上述意向書，並同意給予CAB機構9個月時間，展開精明審核及可行性研究。
根據首份意向書，CAB機構出價8000萬令吉收購農佳食品工業特定資產的計劃。
農佳食品工業旗下資產包括位于馬六甲家禽加工廠土地、建築和儀器，及位于柔佛、雪蘭莪、檳城、森美蘭及彭亨的倉庫，另外尚有公司商標及客戶資料。
Sinmah Breeders公司收購資產價碼為8800萬令吉，資產包括位于馬六甲、森美蘭和柔佛的的養殖場，及執照和客戶資料。
Sinmah Livestocks公司資產價碼則是7400萬令吉，此公司旗下資產則包括位于柔佛、森美蘭及馬六甲的肉雞場，及執照和客戶資料。

售3子公司给CAB 顶佳获3利好

（吉隆坡15日讯）顶佳集团（FARMBES，9776，主板消费产品股）指出，将3家子公司的资产脱售给CAB机构（CAB，7174，主板消费产品股），可为公司带来三大好处。
顶佳集团在文告中指出，假设双方总值2亿4200万令吉的交易落实，公司预期可从中得益。
首先，公司截至去年9月杪，银行贷款总值2.5亿令吉，每年的利息开销达2000万令吉。
由此，这宗交易的所得，可用来偿还银行贷款，从而节省开销和改善未来的业绩。
第二，这3家子公司的资产，已在过去2年陷入亏损，或只捎来微小的净利贡献。
这宗交易有助公司趁机释放资产价值，取得高于9300万令吉净账面价值的收入，并强化财政状况。
最后，部分交易所得可用作其他业务营运资本，帮助顶佳集团减少依赖银行贷款。

The disposals will provide an opportunity for the Group to unlock the value of Assets 1, Assets 2 and Assets 3, which in aggregate will be higher than their total net book value of approximately RM93.0 million as at 30 September 2015, and this will enhance the financial position of the Group; and
(iii) part of the proceeds from the disposals can be utilised as working capital for the Group’s other existing businesses (i.e., feedmill and property development) and reduce the Group’s dependency on bank borrowings.

The Board of Directors of the Company wishes to announce that LOI 2 has been mutually terminated by CAB and SBSB by way of the execution of a termination letter dated 25 November 2016. The earnest deposit of RM1,760,000 received by SBSB in respect of LOI 2 has been refunded to CAB upon execution of the termination letter, with the LOI 2 becoming null and void thereafter and neither party shall have any claim against the other in relation thereto.
LOI 2 and LOI 3 are not inter-conditional. No agreement has been finalised in relation to LOI 3, as at the date of this announcement.

顶佳6300万售资产减债
（吉隆坡2日讯）顶佳集团（FARMBES,9776,主板消费品组）以6300万令吉，脱售旗下3家子公司与农场、土地等资产，予CAB机构（CAB,7174,主板消费品组），以减低银行贷款与节省银行利息。
该公司文告说，旗下子公司SINMAH农场与SINMAH多元饲料有限公司，脱售农场、土地等资产予CAB机构旗下的Farm Best Food有限公司。
两造总共签4份买卖合约，其中首项买卖涉62.49英亩永久地契地段与2农场，脱售价1772万令吉；次买卖涉8段达93.83英亩永久地契农业地，售价3205万令吉；第三买卖涉2块17.86英亩地段，售价453万；第四买卖涉7段达26.05英亩农业地，售价870万令吉。

農佳以5853萬售農地養雞場
2017年1月24日
（吉隆坡24日訊）農佳（FARMBES，9776，主要板消費）將旗下43塊農業地和26個肉雞農場，以5853萬令吉售予CAB機構（CAB，7174，主要板消費）。
雙方向馬證交所報備，交易中的43塊農業地總面積約294.35英畝。
農佳指出，繼公司將子公司售予CAB機構，現建議將相關資產也出售。該公司將專注擴展房產發展業務，包括聯營新房產發展工程、收購具房產工程或土地的公司、競標房產發展相關管理工程，或收購地庫供未來發展。
至于CAB機構將通過內部融資和銀行貸款集資，上述收購活動是該公司擴大生產規模的計劃。【中国报财经】
