勝利股份擬5股送4股

2017年4月16日
(吉隆坡16日訊)勝利股份(MENANG,1694,主要板房產)建議,每持有5股現有股,派送4股紅股,以回饋股東並改善股票流通量。

勝利股份向馬證交所報備,以5送4的比例,發送高達3億2052萬8400新股,並在較后敲定除權日。

根據報備文件,上述紅股議案主要是回饋股東,加強股東市場參與率的同時,不影響他們對公司的持股權。

同時,紅股議案也擴大該公司股本,實際反映業務規模,並提高股票的市場流通量。

一旦完成發送紅股,該公司的已發行及繳足股本將擴大至高達4億2737萬975令吉,普通股也增至高達7億2118萬8900股。

MENANG CORPORATION (M) BERHAD (the "Company") - Clarification on News Article appearing on The Edge Malaysia entitled "More issues cropping up at Menang Corp" on 14 August 2017
Query Letter Contents
We refer to the media article entitled “More issues cropping up at Menang Corp” appearing in The Edge Malaysia dated 14 August 2017, a copy of which is enclosed for your reference.

In particular, we would like to draw your attention to the underlined sentences which are reproduced as follows:-

“…Shun is alleged to have sold some pieces of land belonging to Menang and even acquired some of them for himself...”

In accordance with Bursa Securities' Corporate Disclosure Policy, kindly furnish Bursa Securities with an announcement for public release confirming or denying the above reported article in particular the underlined sentences after due and diligent enquiry with all the directors, major sharesholders and all such other person reasonably familiar with the matters about which the disclosure is to be made in this respect. In the event you deny the above reported sentence or any other part of the article, you are required to set forth facts sufficient to support the same.
The Board of Directors (“Board”) of the Company wishes to respond the matters raised with regards to the news article appearing on The Edge Malaysia entitled “More issues cropping up at Menang Corp” dated 14 August 2017 as follows:-

1.            Finance
The “debt-laden balance sheet” mentioned in the Article is misleading.  The said borrowings are derived from loan facilities to finance 3 PFI projects as disclosed in the Group’s Annual Report. The Private Finance Initiative (“PFI”) projects are generating annual cash flows of RM104.27 million per annum for next 18 years, totalling approximate cash inflow of RM1.88 billion (against total borrowings of RM680 million as reported).  This cash flow is to repay PFIs’ borrowings with a surplus to the Group. The Group has no issue in meeting loan repayment deadlines as all cash inflows are from the Government and assigned directly to our financiers.

2.            Errata - Land
The said errata in the Annual Report 2016 was not an omission as alleged. It is to clarify that the said land was already included in the Company’s list of properties under “Seremban 3 various subdivided lots” in the Annual Report 2016 (page 101 & 102). This is consistent with the manner of disclosure of the Company’s list of properties in the Annual Report 2015.

3.            Investigation Committee
The Investigation Committee (IC) was duly set up on 26 August 2016 to review Toh May Fook’s conduct that led to his suspension as a Director.  However, Toh May Fook refused to cooperate with the IC and failed to provide any substantive written reply to the IC regarding his conduct that led to his suspension. Further, at the Company’s Annual General Meeting on 29 November 2016, he failed to obtain sufficient votes to get re-elected as a Director.

4.            Other Matters
i)             The Company is not aware of any ongoing investigations into the company’s wholly owned property development unit, Menang Development (M) Sdn Bhd to-date.
ii)            In response to the allegation that “Shun is alleged to have sold some pieces of land belonging to Menang…”, it is clear and obvious that being the Group Managing Director he had the authority to enter into land transactions for and on behalf of the Company in the ordinary course of business.
iii)           On the allegation that he “… acquired some of them for himself…” the Company has no recorded transactions of sale of properties to Dato Shun Leong Kwong as alleged.
iv)           The Company was informed that the charges against Dato Shun Leong Kwong arose from a report made by the then suspended Director, Toh May Fook (a day after his suspension) relating to 2 land transactions in 2007 and 2009.  It is to be noted that neither the Company nor the relevant parties in the SPA of the said land transaction lodged any complaints or reports to the Authorities.
v)            On the allegation that “…the company had not made any announcements to Bursa Malaysia regarding the land sale, sought any independent adviser’s opinion, sent out circulars to the shareholders or sought their approval to sell the land“, the Company would like to state that the Company at all times taken the necessary steps to comply with Bursa Malaysia Securities Berhad’s Listing Requirements.

高息成本压赚幅 胜利重组PFI融资套现

(吉隆坡11日讯)面对高利息成本压缩净利赚幅的窘境,胜利机构(MENANG,1694,主板產业股)接下来计划重组公私伙伴合约(Private Finance Initiative,简称PFI)的融资,以及寻求套现途径,以节省利息成本。

同时,该公司也打算脱售非核心资產,及涉足可负担房屋市场和寻求收购巴生谷的地皮,以拉动公司业务。

胜利机构董事经理兼首席执行员朱国凉目前出席股东大会后向《东方財经》指出,由于產业发展领域充满不稳定性,该公司未来收入来源主要来自已完成的3项PFI项目。

他指出,在未来18年,PFI项目將为胜利机构带来共18亿令吉的供应费用和维修收入,但与此同时,该公司也得偿还將近6亿7200万令吉的贷款。换言之,胜利机构未来10年盈利都难以显著改善。

「所以,我们希望通过重组PFI项目的融资,或通过套现,提早偿还贷款,节省利息成本。」该公司2017財政年(6月30日结账)净负债率为1.83倍,同年承担的利息成本为5825万令吉。

有鑑于此,朱氏预计,胜利机构2018財政年盈利將按年持平,没有太大的变化。

由于PFI项目竣工,缺乏建筑业务收入,胜利机构2017財政年净利从前期的3891万令吉,锐减80.7%,至751万令吉;营业额也按年下滑41.26%,至1亿零511万令吉。

根据財报,胜利机构旗下3项PFI项目皆位于森美兰州,包括芙蓉玛拉工艺大学(UiTM)学院、本查阿南院校建筑工程及汝来玛拉工艺大学训练中心。

而上述PFI项目在2017財政年(6月30日结账)为该公司带来共9404万令吉的营业额贡献。

另一方面,朱国凉透露,胜利机构打算脱售非核心资產,如巴生、武吉拉惹、乌鲁安南、芙蓉和波德申的地皮,从中套现。

目前,该公司手头上共握有13幅地皮,当中有11幅地皮为未发展地皮,土地总面积为269.71英亩,而净账面价值仍停留在1998年至2004年的估值。

The Board of Directors of the Company wishes to announce that by a Sale and Purchase Agreement dated 9 April 2010, Menang Development (M) Sdn. Bhd. (“MDSB”). a wholly-owned subsidiary of the Company disposed the following properties detailed below measuring approximately 21.2 hectares to IMSB for a consideration of RM35,000,000 only.
