財報出現2180萬差距‧MTDACPI遭公開譴責

（吉隆坡14日訊）MTDACPI工程（MTDACPI,5924,主板建筑組）因稽查前後的財務報告出現2千180萬令吉顯著差距，牴觸上市條例，遭大馬股票交易所公開譴責。

交易所在文告中指出，MTDACPI工程2013財政年第四季未稽查淨利為3千670萬令吉，但截至2013年3月31日止稽查淨利則為了1千488萬令吉，出現2千180萬令吉或59%差距，主要是公司未對第四季庫存銷售緩慢和壞賬、過度認列淨利等作出調整。

交易所認為，MTDACPI工程有責任確保投放充份資源，以及採取必要監控和監管措施，以履行主板上市條例要求，但卻未即時對賬目進行調整，牴觸主板上市條例9.16（1）（a）條文，因此決定對之公開譴責。

同時，MTDACPI工程需通過外部稽查師對截至2015年3月31日止財報前的4份財報進行適度評估，並確保所有的董事和相關人員出席履行主板上市條例財報相關項目的培訓課程。

不過，交易所並未發現任何董事導致或引起上述違法行為，但重申上市公司董事在維持合理企業責任和透明度水平負起重要責任。（星洲日報‧財經）

BURSA MALAYSIA SECURITIES PUBLICLY REPRIMANDS MTD ACPI ENGINEERING BERHAD FOR BREACH OF MAIN MARKET LISTING REQUIREMENTS

LISTING'S CIRCULAR NO. L/Q : 72490 OF 2015

Bursa Malaysia Securities Berhad (635998-W) (Bursa Malaysia Securities) has publicly reprimanded MTD ACPI Engineering Berhad (MTDACPI) for failing to ensure that the company’s announcement dated 28 May 2013 on the fourth quarterly report for the financial year ended (FYE) 31 March 2013 (4thQR 2013) took into account the adjustments as stated in the company’s announcement dated 31 July 2013.

The failure to take into account the adjustments was in contravention of paragraph 9.16(1)(a) of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR) where a listed issuer must ensure that each announcement made is factual, clear, unambiguous, accurate, succinct and contains sufficient information to enable investors to make informed investment decisions.

The public reprimand was imposed pursuant to paragraph 16.19(1) of the Main LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.

MTDACPI is also required to review and ensure the adequacy and effectiveness of its financial reporting function and carry out a limited review on its quarterly report submissions. The limited review must be performed by the company’s external auditors for four quarterly reports commencing no later from the quarterly report for the financial period ended 31 March 2015. In addition, MTDACPI must ensure all its directors and relevant personnel attend a training programme on compliance with the Main LR pertaining to financial statements.

While Bursa Malaysia Securities has not found any of MTDACPI’s directors to have caused or permitted the breach by MTDACPI, Bursa Malaysia Securities wishes to highlight that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the Main LR. The Board of Directors at the material time were as follows:

Bursa Malaysia Securities views the contravention seriously and has reminded MTDACPI and its Board of Directors of their obligation to uphold appropriate standards of responsibility and accountability to shareholders and the investing public.

BACKGROUND

MTDACPI had reported an unaudited profit after taxation and minority interest of RM36.7 million in the 4th QR 2013 compared to an audited profit after taxation and minority interest of RM14.88 million in its annual audited accounts for the FYE 31 March 2013 (AAA 2013) which was announced on 31 July 2013. The difference of RM21.8 million between the unaudited and audited results represented a variance of 59%.

The main adjustments in the AAA 2013 were in relation to the following:under provision of tax payable and deferred tax liabilities and over recognition of profit which were due to the company’s error/oversight in the 4th QR 2013; andadditional provision of slow moving stock and bad debts which were not taken up in the 4th QR 2013 without any reasonable explanation.

The company has an obligation to ensure that there are adequate resources and to put in place all the necessary controls and governance to enable it to adhere to its obligations under the Main LR at all material time.

1510万卖地和厂房 MTD混凝土赚500万

（吉隆坡4日讯）MTD混凝土（MTDACPI，5924，主板建筑股）以1510万5000令吉，脱售地皮与厂房，从中料净赚500万令吉。

根据文告，子公司大马Associated洋灰产品（简称ACPM）是在今天，与霹雳SerbaWangi签署买卖协议。

其中，ACPM将以1298万5000令吉，卖出3片霹雳近打（Kinta）的工业地皮。

同时，还会以212万令吉，一并卖掉地皮上的厂房和机器。

MTD混凝土表示，1425万令吉的脱售收益，将用来偿还银行贷款及作为营运资本。

截至3月31日，公司应支付账款达1520万令吉，银行贷款则企于430万令吉。

MTD混凝土预计可从脱售活动中净赚500万令吉，相等于每股2仙。

脱售交易预计可在2016财年第三季完成。【南洋网财经】

LRT3工程競標失敗‧MTDACPI尋求新合約

（吉隆坡17日訊）MTDACPI工程（MTDACPI，5924，主板建筑組）在第三輕快鐵（LRT3）工程交付合作夥伴（PDP）計劃競標失敗後，目前正積極在海內外尋求新的工程，以填補日益減少的合約。

在股東特大結束後，該公司首席執行員拿督阿茲米卡里里表示，該公司的工程以及製造領域的合約大約有5億令吉，足以支持其盈利至2016年7月。

他說：“我們目前正在競標本地及海外的工程。”

但他拒絕透露目前競標合約的總值。

他解釋說：“我們一般不會衡量競標合約，因為這很容易產生誤解。我可以競標100份工程，但可能一份也不得標。公司不會拿競標總值作為能力和生產指標。我們會更注重已經獲得的合約。”

競標MRT2工程

同時，他也暗示該公司正在競標第二捷運線（MRT2）工程以及可能競標第三輕快鐵的部份工程。

至於海外業務，該公司正在競標阿聯酋、新加坡、卡達爾、斯里蘭卡以及菲律賓等國家的工程。該集團約有20至25%的營收來自海外的工程。

儘管市場認為，十一大馬計劃的宣佈提振了國內建築業，阿茲米卡里里卻有不同的看法，他認為供競標的工程並不多。

在公共工程方面，他認為只有第二捷運線以及第三輕快鐵計劃，除此之外沒有其他公共工程可以競標。

阿茲米卡里里也指出，東馬泛婆羅洲大道計劃，首相已經宣佈高達90%的合約將頒發給東馬的建築業者。

“除非以聯營的方式合作，不然我不認為我們有太大的空間。”

他說，目前的大環境不佳，現在經營環境十分挑戰。

他表示，該公司管理層會保持警戒，嚴格監控建築成本，以保證目前進行中工程可以獲利。

首季虧567萬

該公司截至6月止首季財報，虧損從去年同季的135萬令吉擴大至567萬令吉，營業額也從8千534萬下降至4千975萬令吉，下跌了45%。

截至今年3月31日，集團的負債率從去年的41%減少至目前的14%。（星洲日報／財經）

MTD混凝土菲國獲1.4億承包合約

（吉隆坡16日訊）MTD混凝土（MTDACPI，5924，主要板建築）菲律賓子公司獲得當地一份價值15億3457萬披索，或等于1億4269萬令吉的承包合約。

該公司向馬證交所報備指出，旗下子公司MTD建築私人有限公司的菲律賓子公司MTD建築與AlloyMtd Palayan公司達成是項承包合約，

合約內容主是要為菲律賓新怡詩夏省（Nueva Ecijia）設計及興建政府中心及在Palayan城市的商業中心，工程長達16.5個月，必須在2017年2月28日完工。

上述合約料將貢獻MTD混凝土及子公司的未來收益。【中国报财经】

传MTD混凝土及数财团 竞标菲律宾轻快铁工程

（吉隆坡4日讯）据菲律宾媒体报道，大马基建MTD混凝土（MTDACPI，5924，主板建筑股）以及多个财团，正在竞标当地下一个大型的基建计划。

该报道所指的项目，是建议中的轻快铁第六条路线，位于甲米地省（Cavite province），工程总值651亿披索（约59亿6800万令吉），属于官私合作的模式。

新建的轻快铁将会连接原有的第一轻快铁路线，后者路线是于该国首都马尼拉运行。

已经表达有兴趣获得预选资格的公司，包括来自菲律宾的阿雅拉机构（Ayala Corp）、生力集团（San Miguel）、Metro Pacific投资公司，以及大马的MTD混凝土（MTDACPI，5924，主板建筑股）。

MTD混凝土菲律宾市场总裁Issac David指出：“该列车可能已经有市场需求，肯定会有乘客，而兴建公共交通是我们拿手的项目。”

新路线从Bacoor的Niyog至甲米地的Dasmarinas市，菲律宾交通和通信部预计，将会有20万名甲米地居民使用该项新的公交系统。

（吉隆坡1日讯）MTDACPI工程（MTDACPI,5924,主板建筑组）有意参与菲律宾棉兰老岛（Mindanao）链接主要城市大型轨道计划。

MTDACPI工程及其他菲律宾企业，包括生力集团、商业大亨潘吉里纳（Manuel V.Pangilinan）均表示有意参与该计划。上周菲律宾交通部宣布，对棉兰老岛轨道计划书持公开态度，让私人界公平竞争，提供价格更具优势的计划书赢取工程合约。

以往因对公开招标存有偏见，这类型招标模式通常在阿奎诺政权期间避而不谈。

菲律宾交通部发言人梅尔卡多（Cherie Mercado）通过短讯表示，棉兰老岛轨道工程被“高度重视”，但她对详情不愿置评，因该计划还在早期规划阶段。

她指出，该计划还需谘询利益相关人士、受影响社区、商业集团及当地政府单位，以作出最佳安排。

MTDACPI工程属下M T D集团菲律宾公司的总裁艾萨克大卫（Isaac David）表示，该集团希望参与该计划，但因为规模庞大，仅会以大财团一分子参与。

“这是个我们知道如何建设的计划，它不只是建筑工程，更涉及房地产项目，但目前为止还未知道这个计划的财务规模。”

该计划已规划多年，但不曾实现。过去，轨道计划只专注在吕宋地区，尤其是交通阻塞问题最严重的首都大马尼拉，但随着杜特蒂总统上台，此政策出现变化。

轨道长达2000公里

去年菲律宾国家经济及发展局（NEDA）表示，该局正在研究棉兰老岛轨道计划及寻找工程顾问，以链接该地区多个城市，看好该轨道交通服务将在改善棉兰老岛内部交通链接网络扮演重要角色。

早前报道指出，该轨道计划将数个分阶段进行，一旦完成，长度可达2000公里。

传布城首要将倒购MTD混凝土

（吉隆坡8日讯）传布城首要公司（Putrajaya Perdana）将通过倒置收购MTD混凝土（MTDACPI，5924，主板建筑股）借壳上市。

《The Edge》引述消息人士指，这两家公司的股东在洽谈着，并已处于后期阶段，很快就会达成该项交易。

“整个过程顺利进行，洽谈在进行中。目前，只剩下朝圣基金局董事部在本月末，考虑有关倒置收购的决定。”

朝圣基金局持有布城首要的30%股权，而剩余70%股权则由Cendana Destini私人有限公司持有。

Cendana Destini在2012年从UBG公司接手布城首要。

业绩全然不同

沙地国际公司（Saudi International）在2010年私有化布城首要后，该公司随即在同年除牌。

虽然布城首要和MTD混凝土双双涉足建筑领域，但后者还有预制混凝土业务。

不过，两家公司的业绩表现全然不同。

截至去年12月31日财年，布城首要税后盈利达5728万令吉，而营业额则达12亿4000万令吉。

至于MTD混凝土则在截至今年6月30日首季净亏795万令吉，高于上财年同季的567万令吉净亏损；而营业额则达6013万令吉。【e南洋】

MTD ACPI证实接获企业献议

（吉隆坡12日讯）MTD ACPI Engineering Bhd回应一则新闻报道称该集团或被一家建筑公司倒置收购，今日证实已收到来自各方的数个企业献议。

然而，MTI ACPI表示，“并未针对这些献议作出需要公告或对外披露的决定，或作出任何安排”。

MTI ACPI 今日向大马交易所发布文告报备：“本公司将继续评估所接获的所有企业献议或机会，以符合MTD ACPI及股东的最高利益。”

根据最新一期的《The Edge》周刊引述业内人士的话报道指，一家由Petro Saudi International于2010年私有化的建筑公司Putrajaya Perdana被指将透过倒置收购蒙亏的MTD ACPI，并借壳上市。

该周刊报道称，这两家公司的股东正在洽谈中。

一位消息人士指出：“洽商进展顺利，料很快能达成交易。”

Cendana Destini私人有限公司持有Putrajaya Perdana的70%股权，而朝圣基金局（Lembaga Tabung Haji）则持有其余的30%股权。

MTD ACPI的主要业务为制造预制混凝土产品、加工钢铁，以及为环境工程领域提供环境工程管理及承包服务。
