董事糾紛‧發展或違規‧SCNWOLF暴跌29%

(吉隆坡2日訊)受董事部鬥爭和發展計劃方面可能出現違規行為的衝擊,SCNWOLF機構(SCNWOLF,7239,主板工業產品組)股價今日持續暴跌,大挫29.11%,以全日最低價作收。

SCNWOLF機構以平盤的39.5仙開市後,就受賣盤欺壓,股價節節下跌,最終大跌11.5或29.11%%至28仙的全日最低水平作收,全日成交量為3千307萬股。

SCNWOLF機構董事經理拿督莊孔山、主席馬漢文和5名董事宋英貴、陳文莊、鄭福仁、羅楷光和烏瑪爾7名董事,在6月17日的股東特大會被罷黜。

SCNWOLF機構的董事部如今包含6名成員,至於董事經理則懸空。

該公司獨立及非執行董事王星源日前已宣佈辭職,原因是“與管理層意見分歧及避免捲入董事部糾紛”。

疑被罷黜股東賣股

由於被罷黜被董事包括公司大股東,因此,市場揣測有關大股東會否脫售手中的SCNWOLF機構股權。

根據資料顯示,莊孔山持有SCNWOLF機構的8.7%股權,而另一名之前被罷免的董事鄭彥瑋則透過Better ProjectManagement私人有限公司持有26.54%股權。

另外,根據諮詢公司PKF-Covenant報告,已經确認公司及產業發展業務旗下子公司的8項可能違規事項。(星洲日報/財經)

两大股东退出Scanwolf

(吉隆坡9日讯)Scanwolf Corp Bhd ( Financial Dashboard) 两名最大股东,Datuk Ch'ng Kong San 和 David Chang已不再是该公司的大股东。

Scanwolf(基本面:0.55;估值:0.9)今日向大马交易所报备,作为第二大股东,持有8.68%股权的Ch'ng,在7月2日脱售所有持股权。

根据文告,Ch'ng脱售753万4000股,不再是该公司大股东。

他是在去年11月,通过私下配售,购入753万4000股,或10%股权,而成为大股东。

在另一份文告,Scanwolf宣布,由该公司单一最大股东 David Chang控制的Better Project Management私人有限公司,也不再是该公司的大股东。

Better Project在7月2日,售出1720万4000股,或19.83%股权。但文告并没有披露成交价。

在此之前,Chang是持有19.83%的单一大股东。

上个月,担任公司董事经理的Ch'ng在股东特别大会上被罢免。与他有关联的6名董事也遭罢黜。

然而,当天唯一出现的董事部成员,Scanwolf联合创办人兼大股东Datuk Tan Sin Keat保住执行董事职位。

由于公司和一些产业发展业务的子公司可能出现违规行为,Scanwolf近期备受关注。

Scanwolf在4月23日表示,委任PKF Covenant私人有限公司,针对集团营运展开调查评估。

初步报告披露,该公司和一些产业发展业务的子公司可能有违规行为。

6月2日,该公司成立4人调查委员会,对此事进行调查。

委员会成员包括董事经理Ch'ng Kong San、执行董事Soon Eng Kooi、独立非执行董事Ong Sin Guan,以及PKF Covenant的代表。

值得一提的是,随着Ch'ng、Soon 和 Ong的退出,调查委员会现在只有一名会员,即PKF Covenant的代表。

Scanwolf今日平盘收于32仙,市值为2776万令吉。

(吉隆坡14日讯)产业发展公司 Scanwolf Corp Bhd ( Financial Dashboard)宣布董事部变动后,今日涨9仙,或22%。

截至3时25分,Scanwolf(基本面:0.55;估值:0.9)扬至盘中最高的50仙,成交量有1600万股。

随着几名董事最近被罢免,该公司昨日宣布,委任Datuk Othman Talib为独立非执行主席。

今年4月23日,Scanwolf委任PKF Covenant私人有限公司,针对公司违反企业监管指控展开调查。

调查结果出炉 斯康沃夫产业项目没违规

(吉隆坡18日讯)PKFCovenant公司最终调查结果显示,斯康沃夫(SCNWOLF,7239,主板工业产品股)的产业发展项目,并未出现任何违规行为。

根据文告,PKFCovenant公司已完成有关调查,并没发现斯康沃夫滥用资金,或净利存在纰漏的问题;公司在执行联营发展协议时,可能只是较为大方和慷慨。

关注特定分销商拖债

不过,PKFCovenant公司在调查过程中,也有了额外发现,其中包括特定国外分销商,长期拖欠斯康沃夫塑料工业公司(SPISB)规模庞大的债务,这可能会造成纰漏问题。

斯康沃夫则指出,管理层正解决PKFCovenant公司早前点出的问题,即管理层利益冲突、提升公司的公开程度、严控信贷和记录营运活动。

“随着调查活动完成,我们正征询法律顾问的意见,接下来会采取适当行动和适时公布有关进展。”

早前,斯康沃夫委任PKF Covenant公司,针对旗下部分进行中的产业发展项目,进行调查检讨活动。

当时的初步结果显示,公司部分交易可能有违规,也有前董事和多个联营公司有利益冲突之嫌。【南洋网财经】

董事部纠纷落幕 Scanwolf展新篇章

(吉隆坡3日讯)今年4至6月陷入董事部纠纷的Scanwolf机构有限公司(SCNWOLF,7239,工业产品组),即将展开新的篇章,至少目前两大阵营的大股东似乎在和平合作。

Scanwolf机构管理层向《The Edge》财经日报披露:“一切都恢复正常。再也没有董事纠纷。随着新股东加入,我们目前有推动公司发展的计划,以及我们将继续取得更多产业相关工程,以加强我们的产业部门。”

Scanwolf机构是一家住宅与厨房设备制造的怡保公司,并在2011年进军产业发展市场。目前,该集团有两项旗舰发展项目,即位于霹雳的Kampar Putra和Taman Harmoni。

发展总值为3亿5500万令吉的Kampar Putra项目,将兴建于金宝占地59英亩(23.88公顷)的有期土地。

这项6期项目是涵盖住宅和商业产业的综合独立城镇,位于拉曼大学和拉曼学院附近,同时通过南北大道可轻易到达。

在2012年推出的Kampar Putra第一期,有144个住宅单位,发展总值3000万令吉。迄今为止,进展为70至80%,并已卖出85%的单位。

根据公司负责人,Scanwolf机构计划在2016年推出Kampar Putra的第二期发展,600个商务套房,发展总值为1亿2200万令吉。

“我们仍在等待有关当局的批准。希望可在12月底前办妥。”

同时,Scanwolf机构还计划在2016年首季推出Taman Harmoni项目的第二期发展,值1300万令吉。该项目位于美罗,也可轻易通过南北大道到达。

“(第二期)发展总值较首期低,主要因为将进行一些低价发展。同样地,我们也在等待有关当局的批准。”

发展总值为1600万令吉的首期Taman Harmoni项目于2011年推出,是住宅和商业产业的混合发展。认购率为70%,所有单位即将建成。

负责人说,在截至今年6月30日(2015财政年)的15个月,Scanwolf产业部门实现2260万令吉的销售,相比截至2014年3月31日(2014财年)12个月的1490万令吉。

Scanwolf机构把财年末从3月31日止,更改至6月30日,因此2015财年有15个月。

在2015财年,Scanwolf机构取得6430万令吉营业额,而税后亏损从2014财年的100万令吉,扩大至410万令吉,主要是为更严格的信贷控制政策,作出应收账款减值。

“2015年的确是充满挑战的一年,我们预计2016财年亦是。但是,我们仍放眼营业额取得增长,并希望回到全年获利水平,期望制造业务和产业业务可以表现得更好。”【光华日报财经】

內部調查結果出爐 SCANWOLF機構無不妥

(吉隆坡23日訊)SCANWOLF機構(SCNWOLF,7239,主要板工業)內部調查顯示並未錄財政虧損,調查出爐后即解散特設委員會。

該公司向馬證交所報備指出,審計公司PKF Covenant私人有限公司調查結果顯示,公司並未錄財政虧損,同時沒有證據顯示公司內部或外人涉及犯罪或刑事過失。

“以此調查結果為準,董事局認為此事件已解決,必須為公司繼續尋求更好發展,今年6月成立的調查委員會亦即時解散。”

文告指出,由于發現執行發展計劃時可能出現不法勾當及無效措施,PKF Covenant今年4月23日獲委展開調查,審核SCANWOLF機構企業監管。

根據今年5月初步調查報告,PKF公司指SCANWOLF機構房地產子公司允許Almal發展私人有限公司收購建築公司40%股權,過后又簽署盈利共享協議,間中或出現弊端。

不過最新報告翻盤,沒有發現大股東獲利益,亦沒有發現交易被動過手腳。【中国报财经】

The Board of Directors of SCANWOLF, wishes to announce that the Board had seek for legal opinion and deliberated on it.  

The Board unanimously acknowledged and took cognizance of the legal opinion given that there were no financial losses incurred by the Group, and that there were no evidence to show wrongdoings either criminal nor civil culpability perpetrated by any individual, both within or outside the Group.

Following this finding, the Board considered this matter closed and resolved to move on in charting a new course for a better and successful future of the Group.

Following the above, the Board of Directors of SCANWOLF wishes to announce that the Investigative Committee be dissolved with immediate effect.

(吉隆坡13日讯)随着产业发展项目的调查事件圆满结束,斯康沃夫(SCNWOLF,7239,主板工业产品股)宣布,早前被暂停职务的两位高层恢复原职。

该公司去年4月委任PKF Covenant公司,检讨和调查部分进行中的产业发展项目,接着也成立调查委员会。

执行董事拿督陈新杰及财务总监王志伟(皆译音),因涉及子公司呈交予银行的发货单和送货单文件不一致,而暂停职务配合调查工作;不过,经过PKF Covenant公司的调查后,没有显示出个别人士、公司内部或外部,有犯下罪行和民事过失的证据,且公司也并未招致财务亏损。

董事部征询和考虑了法律顾问的意见后,认为有关事件已获解决和结束,调查委员会因而立即解散。【南洋网财经】

供建综合巴士客运站大楼 斯康沃夫162万售霹雳2地

(吉隆坡16日讯)斯康沃夫(SCNWOLF,7239,主板工业产品股)以162万430令吉,脱售霹雳金宝(Kampar)2片面积3.72英亩的地皮,供兴建综合巴士客运站大楼。

根据文告,地皮脱售价为129万6344令吉,另加上32万4086令吉的基建贡献,总脱售价为162万430令吉,预计可在3个月内完成。

所脱售的地皮只是斯康沃夫在金宝59英亩地皮的其中3.72英亩。

TCBS主要涉及营运及提供公交服务,在怡保也有营运综合巴士客运站大楼。

斯康沃夫说,未来兴建的综合巴士客运站大楼,将提供一个完善的公交系统。

大楼内还将设有购物广场、健身中心、电影院、咖啡厅等的等候区。

Scanwolf产业相信,客运站项目将有助于提升旗下其他地皮的价值,并在近期内改善市场对当地房产的需求。

The Board of Directors of SCANWOLF, wishes to announce that the Company’s  wholly-owned subsidiary,Scanwolf Properties Sdn. Bhd. (935629 P) ("SPSB" or "Vendor") had on 13 January 2016 entered into the Sale and Purchase Agreement ("SPA")  and Infrastructure Contribution Agreement ("ICA") respectively with The Combined Bus Services Sdn. Bhd. (742897 M) (“TCBS” or “Purchaser”) for the disposal of two (2) parcels of vacant commercial land measuring approximately 3.72 acres land out of the total 59 acres land in Kampar, Perak (“Sale Land”). It is a leasehold land held under Master Lot Nos. PT 16097 to PT 16463, PT  16926, PT 16930 to PT 16932 & PT 16938 and Mukim of Kampar, District of Kampar, Perak, located within Taman Kampar Putra, Kampar, Perak for a disposal consideration of RM1,296,344.00 together with the infrastructure contribution of RM324,086.40 (“Infrastructure Contribution”) (RM8.00 per square feet for the land and an additional RM2.00 per square feet as contribution to infrastructure cost) to build an integrated bus terminal complex (“IBTC”) (“Disposal”). The total consideration for the land disposal is RM1,620,430.40 (“Disposal Consideration”).

斯康沃夫230万买办公楼

(吉隆坡30日讯)斯康沃夫(SCNWOLF,7239,主板工业产品股)子公司Scanwolf产业私人有限公司,以230万令吉向拿督吕敏强购买产业,估计3个月内完成。

吕敏强是斯康沃夫的大股东,也曾担任董事一职。

根据文告,Scanwolf产业主要涉及产业发展业务。

上述产业位于霹雳怡保,是一栋四层楼店面办公楼,附设升降梯。

该公司将通过内部融资及向银行借贷来完成收购。

斯康沃夫说,收购符合公司集中营运的计划。同时,将企业办公室重置在同一屋檐下,能提升效率和营运产能。【南洋网财经】

(吉隆坡19日讯)佳利安(KARYON,0054,主板工业产品股)以562万令吉,将雪州莎阿南的土地连带工厂,脱售给斯康沃夫(SCNWOLF,7239,主板工业产品股)。

根据文告,斯康沃夫独资子公司斯康沃夫塑料工业私人有限公司(SPISB)和佳利安独资子公司佳利安(大马)私人有限公司(KMSB)签署协议,购入面积2051平方尺和99年的租赁契约的土地,以及一间厂房。
