购Country Heights 教育
2017年2月9日
（吉隆坡8日讯）SMRT控股（SMRT，0117，创业板）宣布，以12万1令吉，向绿野集团（CHHB，5738，主板产业股）和莫哈末拉希迪，买下Country Heights 教育私人有限公司80%股权，及677万1000股可累积可赎回优先股。
该公司向马交所报备，子公司CUCMS 教育私人有限公司，今日与绿野集团及莫哈末拉希迪，签署股权买卖协议。
根据文告，SMRT控股是以10万5001令吉，向绿野集团买下Country Heights 教育私人有限公司70%股权，及677万1000股可累积优先股。
另外10%是由莫哈末拉希迪脱售。
Country Heights 教育主要是提供教育服务。
CUCMS 教育目前负责营运和管理赛城医学大学学院（Cyberjaya University College of Medical Sciences）。
绿野集团也向马交所报备指，完成脱售后，Country Heights 教育将不再是绿野集团的子公司。
脱售计划不会对该集团，截至2017财年12月杪的净利、负债，以及净资产带来重大影响。
Country Heights 教育剩余的20%股权，则由黄银明（译音）所持有。【e南洋】

Upon completion of the Acquisition, CESB shall own 80% of the ordinary shares in CHESB and all of the cumulative redeemable preference shares in CHESB, which will result in CHESB becoming a subsidiary of CESB. The remaining 20% of the ordinary shares in CHESB shall be owned by Ng Yin Ming.

取消买Country Heights 教育
2017年3月9日
（吉隆坡8日讯）SMRT控股（SMRT，0117，创业板）宣布，终止收购Country Heights 教育私人有限公司80%股权及677万1000股可累积可赎回优先股。
SMRT控股向马交所报备，子公司CUCMS 教育私人有限公司，昨日与绿野集团（CHHB，5738，主板产业股）及莫哈末拉希迪，同意终止早前的股权买卖协议。
上个月，SMRT控股宣布以12万1令吉，向绿野集团和莫哈末拉希迪，买下Country Heights 教育80%股权及677万1000股可累积可赎回优先股。
Country Heights 教育主要是提供教育服务。CUCMS 教育目前负责营运和管理赛城医学大学学院（Cyberjaya University College of Medical Sciences）。
SMRT控股称，终止收购计划不会对已发行及缴足资本与大股东持股，带来任何影响。

The Board of Directors of SMRT Holdings Berhad (“SMRT” or “the Company”) wishes to announce that CUCMS Education Sdn Bhd (“CESB”) (“Purchaser 1”), a subsidiary of the Company and Ng Yin Ming (“Purchaser 2”) (collectively “Purchasers”) had on 7 March 2017 entered into a Deed of Termination with Country Heights Holdings Berhad (“CHESB”) (“Vendor 1”) and Mohamed Rasidi Bin Harun (“Vendor 2”) (collectively “Vendors”) to terminate the Share Sale Agreement (“SSA”) for the acquisition of the Sale Shares and Sale CPRS (as defined in the SSA).

Subsequent to the execution of the SSA, the Vendor 1 wished to rescind the SSA and the Purchasers have agreed for the SSA to be rescinded as the SSA obligates the Purchasers to buy all of the Sale Shares and Sale CPRS and not part thereof. Accordingly, the Parties agreed that from the date of this Deed of Termination, subject to the terms and conditions contained therein, the SSA shall be deem terminated.

SMRT私售ASIAMET教育16.9%‧第三方投资者确认
（吉隆坡21日讯）SMRT控股（SMRT,0117,创业板贸服）宣布，旗下独资子公司SMR教育有限公司进行的私下配售ASIAMET教育（AEGB,5166,主板贸服组）的16.9%股权的第三方投资者已经获得确认。
该公司文告指出，上述私下配售16.9%股权或2亿1000万股的第三方投资者，包括Dayatahan有限公司将获得配售1亿1000万股（占8.9%股权）、大马朝圣基金局则获得配售5500万股（4.4%）、肯纳格私募股份有限公司则为3000万股（2.4%）、及肯纳格投资银行公司则为1500万股（1.2%）。
文告指出，SMRT教育有限公司与上述4个第三方投资者签署私下配售股票合约，以配售出2亿1000万股的ASIAMET教育股票之后，使后者的公众持股额达到25.4%。它是由ASIAMET教育直接配售给第三方投资者。

SMRT终止明达全球股东协议
（吉隆坡1日讯）SMRT控股（SMRT,0117,创业板贸服组）取消3年前签署的协议。
该公司在文告中说，属下Strategic Ambience公司和Creador II的Arenga Pinnata公司2015年1月12日达成协议，同意成为MASTERSKILL教育的股东，并由Arenga Pinnata公司展开全面献购。
MASTERSKILL教育已更名为明达全球（MINDA,5166,主板贸服组）。
随着整合计划完成，SMRT控股与相关公司掌握明达全球的56.98%，Strategic Ambience公司和Arenga Pinnata公司周四同意终止上述协议。

Type | Announcement | Subject | OTHERS | Description | SMRT HOLDINGS BERHAD ("SMRT" OR "COMPANY") DEED OF TERMINATION IN RELATION TO THE COLLABORATION AGREEMENT DATED 12TH JANUARY 2015 | We refer to the Company’s announcement dated 12th January 2015, in relation to the Collaboration Agreement entered between Strategic Ambience Sdn Bhd (“SASB”), a wholly-owned subsidiary of the Company and Arenga Pinnata Sdn Bhd (“Arenga”), a subsidiary of Creador II setting out the terms of their relationship as shareholders in Masterskill Education Group Berhad (which was subsequently renamed as Asiamet Education Group Berhad (“AEGB”)) with regard to the proposed conditional takeover offer which was later launched by Arenga.
SASB and Arenga have today entered into Deed of Termination to mutually terminate the Collaboration Agreement dated 12th January 2015, and acknowledge that upon such termination, there is no arrangement, understanding, promise or agreement between the parties in respect of their relationships as shareholders of Minda Global Berhad, the holding company of AEGB and the exercise of their respective voting rights in Minda Global Berhad.
