      Introduction
      The Board of Directors of GHL Systems Berhad ("GHL Systems") is pleased to inform that GHL (China) Co. Ltd ("GHL China"), a 51.25% owned subsidiary of GHL International Sdn Bhd ("GHL International") is in the process of incorporating a wholly owned subsidiary in Beijing, China, PRC. GHL China intends to subscribe for 2,000,000 shares in GHL (Beijing) Co. Ltd ("GHL Beijing") at Chinese Yuan One each (CNY 1.00) for a total consideration of CNY 2,000,000.00 (equivalent to approximately RM1,000,000.00). The authorised share capital and paid-up share capital of GHL Beijing are CNY 2,000,000.

      Background Information on GHL Beijing
      The process of incorporating GHL Beijing and commencement of its business operations in Beijing, China, PRC, includes but is not limited to application for Certificate of Approval, Business Licence, Certificate for Authorised Share Capital and other matters relating to opening of bank accounts to authenticate the remittance of the said sum share capital. GHL International is also applying to the relevant local authority for the above said investment.

      The proposed authorised and paid-up share capital for the company is Chinese Yuan Two Million (CNY 2,000,000.00) which comprises of Two Million (2,000,000) ordinary shares of Chinese Yuan One (CNY 1.00) each.

      Principal activities of GHL Beijing
      The activities of GHL Beijing are development and sale of in-house software solutions and sale and rental of electronic data capture equipment and related services that are similar in Malaysia. The company is expected to commence business operations upon obtaining all the relevant approvals from China PRC and Malaysia.

      Rationale of the Investment
      The investment in GHL Beijing is the effective implementation of GHL Systems' expansion plan to penetrate into the Asian Region. GHL Systems intends to bring world-class payment infrastructure and services to Asian region in this manner.

      The investment in GHL Beijing is to allow the Group to tap into the China market as well as to springboard into other neighbouring markets with its EMV - compliant payment solutions.

      Effects of the Investment
      The Investment will not have any effect on the issued and paid-up share capital and substantial shareholders' shareholdings of GHL Systems. The Board of Directors is of the opinion that the investment will not have significant effect to the earnings per share and net assets per share of the GHL Systems group for the financial year ending 31 December 2006.

      Sources of Funding for the Investment
      The investment of Chinese Yuen Two Million (CNY 2,000,000.00) was funded from internally-generated funds.

      Conditions of Approval
      The investment does not require the approval of shareholders of GHL Systems and other local authority save for Bank Negara Malaysia (BNM).

      Compliance to the Securities Commission's policies and Guidelines on Issue / Offer of Securities
      The investment has not departed from the Securities Commission's Policies and Guidelines on Issue/offer of securities.
      Director' and/or Substantial Shareholders' Interest
      To the best knowledge and belief of the Board of Directors of GHL Systems, none of the Directors and/or substantial shareholders of GHL and/or persons connected to them has any interest, direct or indirect in the investment in GHL Beijing.

      Document for Inspection
      The Memorandum and Articles of Association of GHL Beijing will be made available for inspection by the shareholders of GHL Systems at the Registered Office of GHL Systems at 20C, Jalan 1/64, Off Jalan Kolam Air/Jalan Ipoh, 51200 Kuala Lumpur during office hour from Monday to Friday for a period of two (2) months commencing from the date of announcement upon completion of the incorporation of the company.

      Conclusion
      The Board of Directors, having considered all aspects of the Investment, is of the opinion that the Investment is in the best interest of GHL Systems Group.

      This announcement is dated 5th October 2006.

我看暂时不会起，因为它刚发行了不少新股。试问market 有这么多股。要它起都满困难。 等吧

在如此不明朗的情况下还要进这个股的话，尽管股价不会有大变动，不过可能也要冒着被绑一段时间的险吧。。
