KUALA LUMPUR: KSL Holdings Bhd Executive Chairman Ku Hwa Seng bought 500,000 shares on the open market at RM3.84 per share yesterday.

Ku's share purchase came after the sharp rally on the Johor based property firm's share price, which marched from RM2.16 in late June to an all time high of RM3.97 last week.

Kenanga Research has re-initiated coverage on the company with a target price of RM6.63.

Ku currently holds a direct stake of 4.73% and an indirect stake of 37.47% after the latest purchase.

(新山2日訊)房地產發展商順利實業(KSL,5038,主要板房產)回饋股東支持,建議以1送1方式,派發4億8714萬9008股紅股給股東,同時建議擴大股本至20億股,與設立股息再投資計劃。

該公司將在2個月內,針對上述事宜尋求有關單位同意,若無意外可在今年末季完成這些企業活動。

順利實業今日透過文告指出,每持1股現有股的股東,可獲贈1新股,待完成發送紅股計劃,公司股本規模潛在增至9億7430萬股,每股面值50仙總值約4億8710萬令吉;目前股本3億8870萬股約值1億9430萬令吉。

該公司主席邱華成說,這項贈送紅股與股息再投資計劃,皆需獲股東與監管單位批准,日后將宣佈特別股東大會日期。

“我們已準備好在未來數年推高房產投資項目發展總值,連串企業活動都是為了反映公司運作,紅股計劃可提高股票流通讓更多股東參與投資,股息再投資不只實施有效資本管理,同時也讓股東參與公司成長。”

目前,順利實業發展總值達400億令吉,足以支撐未來17年成長。

(iv) proposed amendments to the Articles of Association of the Company to facilitate the implementation of the Proposed DRP.

第3季净利扬升2.5% 顺利砸1.2亿扩充地库

(吉隆坡28日讯)鑑于改变销售结构和正在进行的项目完成初阶段,顺利实业(KSL,5038,主板產业股)2014財政年第3季(截至9月30日止)净利按年上升2.5%,至7010万令吉,去年同期为6840万令吉;而营业额则下跌4.8%,至2亿零640万令吉,去年同期为2亿1680万令吉。

按年比较,顺利实业首9个月净利为2亿1040万令吉,超越去年同期的1亿8150万令吉;而累积营业额则从去年同期的5亿6590万令吉,成长12.1%,至6亿3440万令吉。

配合业绩出炉,管理层建议派发每股5仙的首次中期单层股息,除权和付息日待定。

另外,顺利实业主席邱华成在今日的股东大会上表示,集团將拨出总值约1亿2000万令吉,增加位于柔佛和巴生谷的总地库,至约2100英亩。

续顺利实业在过去3个月收购柔佛地不佬区佔地35英亩的土地后,该集团將继续寻找任何有潜质的土地。

他表现,该新地库將会进行住宅和酒店综合发展计划,並会带来不少于20亿令吉总发展价值(GDV)。

1.2亿新山购地 顺利实业强化依区发展

(新山28日讯)顺利实业(KSL,5038,主板产业股)近期以1亿2000万令吉购下在新山地不佬总面积35英亩的土地,将用于未来的发展计划,以在依斯干达特区内再下一城。

顺利实业主席邱华成今日出席特别股东大会后向媒体表示,这批土地分为5片,分别在今年9月与10月期间购入。

目前该集团在新山与雪州巴生谷的总发展面积已达2100英亩。

他说,位于巴生的综合城镇发展计划已完成首个阶段,目前已交屋,发展占地约20英亩,计有半独立式洋房与田字屋,共330个单位。

10亿未入账销售

“顺利实业持续100英亩土地的发展,总发展值达30亿令吉,目前,未入账销售(unbilled sales)为10亿令吉,相等于至少3年的盈利能见度。”

他补充,以上发展主要位于柔佛州的策略地点,如福林园、金芭顺利花园、努沙再也顺和花园和乌鲁地南。

约有30名小股东出席特大,在会上通过以1送1比例,派送4亿8714万9008股红股,以及股息再投资计划,回馈股东。

不惧外资对象不同

询及大量海外发展商涌入依斯干达特区,会否对本土发展商构成威胁?

邱华成认为,顺利实业与外国发展商主攻不同市场,集团旗下房产的80%买家为本地人,外国发展商的主要目标群为外国买家,有关房产的售价也较昂贵。

“我们的公寓价位平均为50万令吉,这本地人可负担的价格。”

消费税无损买气

提及明年4月即将实施的消费税,邱华成认为,基于建筑材料会涨价,房价或许会上涨2%至3%,但影响不算大。

他认为,每一个人都需要房子,因此他乐观认为消费税执行,不至于影响房屋卖气。

此外,马新两国关卡收费双边涨价,导致靠近新山关卡的商家生意下跌30%至40%,该集团旗下的KSL综合购物广场亦位于新山关卡附近。

对此,邱华成表示,生意下跌只是过渡期,人们需要时间适应关卡收费起价,新加坡人目前已接受与适应有关收费,因此已恢复过来新山消费的模式。【南洋网财经】

The Bonus Shares will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) on 22 December 2014, being the next market day after the Entitlement Date.

KSL’s Share Registrar is expected to issue and despatch the notices of allotment of the Bonus Shares to the entitled shareholders whose name appears in the Record of Depositors of KSL on the Entitlement Date not later than 4 market days after the Bonus Shares are listed and quoted on the Main Market of Bursa Securities.

On 28 November 2014, the Board of Directors of KSL (“Board”) had declared an interim single tier dividend of 5.0 sen per KSL Share (“Dividend”) for the financial year ending 31 December 2014. It is the intention of the Board to announce the entitlement date for the Dividend after the completion of the Bonus Issue. Pursuant to the Bonus Issue, the Dividend shall be adjusted to 2.5 sen per KSL Share.

Remarks :
The Dividend shall remain at 5.0 sen per KSL Share after the completion of the Bonus Issue and should not be read as 2.5 sen per KSL Share after the completion of the Bonus Issue as announced on 3 December 2014.

明年推60新产业计划 顺利实业将创新纪录

(吉隆坡8日讯)顺利实业有限公司(KSL,5038,产业组)预定将在今年杪创下纪录新高的净盈利,同时其执行主席邱华成也有信心可在明年创下另一项纪录。

他说:“明年展望看俏,我们预定于2015至2016年推介总值60亿令吉的新产业计划,其中包括高档公寓、商业和地上产业。”

其中一些计划将延续4至5年。

顺利实业截至9月30日止的未记账销售达10亿令吉,将于未来2至3年内结束。

除了产业发展,其于柔佛的KSL City购物广场和酒店,也将带来稳定持续性收入来源。

“我相信租金仍有一些调整空间,因此它在明年的表现将更佳。该广场的需求非常强劲,它吸引许多本地和新加坡人。”

KSL City购物广场的52万2000平方尺净租赁面积拥有95%高租赁率。其酒店的平均住宿率则达75%。

邱华成表示:“我们的酒店吸引越来越多业务,收费率也将调高,尤其是在周末和学校假期。”

据他透露,租金收入加上酒店经营在去年贡献了1亿3400万令吉。顺利实业有意在未来3至5年内,增加其投资产业的持续收入,从目前的20%,提高到总收入的30%。

这将给予该柔佛产业发展商在疲软市场环境中,拥有一个良好收入能见度。

顺利实业于截至2014年9月30日止首9个月录得2亿1036万令吉净盈利,已经超越截至2013年12月31日止财政年的1亿8150万令吉常年盈利。首9个月的每股收益企于54.33仙,比较2013财政年只有46.98仙。

该集团享有超过30%的健康盈利利润。除了购于依斯干达区成立前的廉宜土地成本,它拥有内部建筑支臂,也对节省成本带来许多协助。

邱华成指出:“这为我们带来逾20%的利润。我们属于抗衰退。”

他补充,这些优势是其他发展商所没有的。

顺利实业于2014年首9个月已经达到近7亿令吉的新产业销售,进行中计划的平均购买率约为55%。

顺利实业已经恢复派发股息予其股东们。该集团于一项1送1红股后,建议派发每股5仙股息,也是其3年以来的首次。

在最近的特别大会上,股东们已经批准建议中股息再投资计划。这项再投资计划被视为该集团未来可能派发经常性股息。

顺利实业34.5%凭单场外易手

(吉隆坡6日讯)顺利实业(KSL,5038,主板产业股)昨天共有6300张万凭单,或相等于凭单总数34.5%,通过场外交易。

这批凭单每股以86仙交易,比市价98仙低12仙。

该凭单于2011年8月发行,行使价为80仙,于2016年8月19日到期。

该凭单原本的行使价为1.6令吉,因1送1红股而调整。

红股发行后,共有9150万新凭单于去年12月22日上市。

目前还不知道买卖双方身分,如此巨额的数量可能属于大股东。

目前,邱氏家族透过Premier sector,直接和间接持有公司37%以上股权和凭单。

麦普思持5%

“新兴市场教父”麦朴思(Mark Mobius)透过基金于2011年购入顺利实业5%的股权而引起市场的关注。

麦朴思也是富兰克林坦伯顿新兴市场执行董事长,对顺利实业的多元化产业计划和经营模式感到钦佩。

近年来,顺利实业由柔佛和巴生的综合城镇计划蓬勃发展而推动盈利增长。

在柔佛的顺利实业城购物中心、酒店以及两个巨人超市为该公司带来稳定的租金收入。

The Issue Price represents a discount of RM0.1679 or approximately 9.66% to the adjusted volume weighted average market price (“VWAMP”) of approximately RM1.7379, which was arrived at based on the 5-day VWAMP up to and including 6 January 2015, being the last trading day prior to the Price-Fixing Date, of approximately RM1.7879 per KSL Share, and after deducting the Dividend of RM0.05 per KSL Share.

On behalf of the Board, HLIB also wishes to announce that the books closure date for the Dividend and the DRP shall be 29 January 2015. Barring any unforeseen circumstances, the new KSL Shares arising from the DRP will be listed on the Main Market of Bursa Malaysia Securities Berhad on 26 February 2015.

該公司指收購土地,是為了增加地庫供未來房產發展活動,而收購資金將通過內部融資及銀行貸款取得。

順利實業順勢而為‧邱華成締造另一紀錄年

儘管產業市場需求已趨低迷,不過具有競爭力與推出可負擔得起產業的順利實業(KSL,5038,主板產業組),看好下個財政年仍可持續成長,且有信心締造另一個紀錄年;該公司繼續放眼10億令吉銷售目標,並可從具競爭性的成本中獲取高賺益。

執行主席邱華成接受訪問時指出,該公司對產業需求仍滿懷信心,主要是所建房屋住宅都在負擔得起範圍內,過去銷售紀錄輝煌,不僅獲國人鍾愛,也獲新加坡、香港乃至中國人熱烈購買;將在下兩個財政年推出60億令吉產業計劃。

內部承包商承建
成本省30%

他相信順利實業的產業發展產品抗跌性強,除了價格在負擔範圍內是一大優勢;另一點是有關屋業計劃皆由內部承包商承建,加上很多發展產業的地皮早年購下,因此毛利潤皆在50%左右,為市場上最高者。

他預計基於上述種種因素驅動,業績也可能因此創新高,並且認為上述誘人利潤可以持續。

他表示,處於這樣的優勢中讓公司攻守皆備,即使市場趨軟,只要能達銷售一半,便可盈虧打平,處於無往不利格局。

他說,由內部承包商承建,成本至少可以節省20至30%,可獲比較永續的建築素質則不在話下。

循環收入
放眼5年增30%

該公司也涉產業投資方面,也建購物商場與酒店,公司的另一策略是藉這些商產的出租獲穩定再循環收入,目前循環收入佔營業額的20%,3至5年內放眼增長至30%。

他說,投資產業業務中目前有一座購物商場KSL City,一旦兩座商場營運後,預計營業額與盈利均可倍增。

最新計劃是在巴生建購物商場和酒店,把柔佛的商場概念沿用至巴生。他相信巴生的商場將很旺,主要是週邊人流很旺。預計巴生購物商場一年後動工,3至4年後可竣工與營運。

商場租金仍有上升空間

談到柔佛購物商場出租費率與同儕比較,他說,其出租費率平均每平方英尺11.50令吉,相比同儕18至20令吉之間,因此仍有上升的空間,而其營運成本固定在一個水平內。

“柔佛購物商場戲院的費率則為每平方英尺20令吉,餐飲業則以盈利分享方式出租,視何者為高。”

他說,最新趨勢顯示,馬幣走疲,也吸引大批獅城客到柔佛旅遊觀光或購物。

他披露,目前其投資產業的購物商場出租率達95%,而酒店的入住率也達75%。他說,酒店與購物商場屬於互補性質,配合良好。

產業發展為其核心盈利貢獻者,同時佔2013財政年營業額的8O%,其餘20%來自投資產業的租金收入與酒店營運業務。

消費稅無阻置產

邱華成說,以酒店營運來說,以往實施6%銷售與服務稅,這些賦稅均不可回扣,而實施消費稅後酒店營運可獲進項回扣,兩種情況相比,實施消費稅後約可獲2至3%淨收益。
消費稅後

可獲3%淨收益

“至於在住宅產業發展計劃方面,首幾期推展計劃通常都定價較低吸引買氣,而且為吸納消費稅定作稍微調整而定售價高2至3%。”

他指出,以20至30年攤還期釋放這2至3%的漲幅,這就顯得微不足道了,購屋者心裡都會盤算罷。

詢及產業需求是否放緩,他以過去2年為例說,兩年來柔佛產業上漲三至四成,土地成本也上漲,然而仍有很多人對購買產業趨之若鶩。因此,他認為這6%的消費稅根本阻遏不了他們擁有產業的決心。

產業計劃皆可負擔

談到購屋者銀行貸款不獲批准之情況,他說,基於公司所推出的產業計劃皆屬可負擔得起範疇內,介於50萬至60萬令吉,因此銀行一般對批准貸款較寬鬆,購其產業而不獲銀行批准貸款者僅佔5至10%,遠低於大馬房地產發展商會(REHDA)平均的40%。

他說,政府限制外國人購買國內產業措施,規定外國人只可購買100萬令吉或以上之產業,這導致外國購買旗下產業微跌;目前購買其產業者的外國人達10至15%;主要為新加坡人,也有少數中國人與香港人。

10億銷售有信心達標

邱華成指出,下個財政年放眼10億令吉銷售目標,有信心可以達致。

“過去5至10年,每年皆大幅成長,尤其今年首9個月更創成長新紀錄。”

從營業額看,2009年1億8千萬令吉,2013年飆至5億4千萬令吉,這個財政年首9個月已達5億2千萬令吉。

“以新銷售而言,上財政年獲10億令吉銷售,今年截至9個月已獲7億令吉,相信這可以持續。”

即使產業發展已放緩,然而順利實業還是正面看待市場,主要推出之產業多為50萬至60萬令吉之可負擔售價。

擁2100英畝地庫
多數位於柔特區

他說,順利實業總共有2千100英畝地庫,這些地庫可持續發展20年;80%座落在柔佛新山、昔加末、麻坡、居鑾、豐盛港等一帶,靠近新山策略地點的地庫料發展公寓與產業或酒店,可獲高發展值。大部份地庫,位於高成長的依斯干達發展區內。

他指出,預計很多新加坡資金將投資於依斯干達發展區,料順利實業也可從其強勁品牌間接從產業市場中得利,因為很多旗艦計劃坐落特別範圍內。

將推出60億產業計劃

他披露,在下兩個財政年,將推出總發展值達60億令吉之產業計劃,這些計劃可持續3至4年,即平均每年超越10億至15億令吉水平。

他說,推出的有地產業計劃集中在新山週邊城鎮,如昔加末、居鑾、麻坡等地;至於新山等首要地段,則將建高樓公寓,以商產與住宅混合發展。

在巴生,一個正待推展的大型發展計劃CANARY GARDEN@BANDAR BESTARI,總面積達450英畝,總發展值達100億令吉,將分5階段進行,將推出綜合性(商業結合住宅)產業,是公司未來盈利增長動力。該發展計劃就座落巴生萬津路的策略地點,往巴生市區車程僅15分鐘,目前正積極進行。

商產列產託
未是時機

是否將商產列入產業投資信託(REIT)?

邱華成說,目前時機仍未成熟,也有很多有興趣者對此與他接觸,一俟巴生購物商場完成,或可考慮產業投資信託(Reit)。

提到是否要有派息政策,以促成股價上揚或受激勵,他表示很多基金經理要求派股息,目前不能對此公開置評,會透過交易所公佈詳情,也正嘗試探討朝向這個方向走。

他指出,公司啟動股息再投資計劃(DRP),不過這沒有強制性,股東可以選擇是否享有股息,或者把股息再投資購股。

市場人士指出,該公司的股息再投資計劃,或是朝向固定派息政策的前奏。

或派特別股息

提到派特別股息有助激勵目前遭受低估之股價,有分析員認為其股價有上揚至8至9令吉之空間,他表示不欲公開評論,僅表示會與董事部探討這些問題。

順利實業股價2014年9月22日寫下過去5年最高,以4令吉66仙掛收。

截至2014年9月30日第三季,淨利由6千839萬6千令吉增長2.5%至7千零12萬9千令吉,首9個月淨利揚15.3%至2億1千零36萬1千令吉,前期為1億8千239萬6千令吉。公司宣佈每股派息5仙。

著重營運效益

邱華成說,集團著重營運效益的加強,並貫徹良好風險管理和企業監管。至於策略措施包括改善定價和市場策略,同時側重產品開發與創新、減低營運成本、改善現金流和確保更優渥回酬。

“各營運業務中互為支援,並持續管控以改善效率與效能。”

營運策略——不熟不做

“不熟不做”給予順利實業很大的騰挪空間;該公司選擇在熟悉的新山、昔加末與高成長區的巴生河流域營運,能夠順應市場需求很快調整,處於無往不利局面。

邱華成更深信以永續方式強化賺益的重要,順利實業獲可觀賺益是擁有本身建築臂膀,既確保建築素質和如期完工,購買已久的地皮更增強未來賺益。

“我們也採納多元和抗跌生意模式,這讓集團抗經濟週期;這從集團致力投資產業增強循環收入、發展負擔得起產業,促使業務更具韌力。”

支持資源回收

順利實業企業社會責任(CSR)以“良好教育、翠綠環境、良好健康”為主軸。

邱華成工餘之暇,愛好羽球運動。

或擬股息政策 順利實業估值誘人

(吉隆坡17日訊)順利實業(KSL,5038,主要板房產)因很可能擬定正式的股息政策,加上估值具吸引力,被肯納格證券研究視為深藏價值的股項,股價應聲漲9仙或4%至2.24令吉。

該股以2.16令吉開盤,先起1仙,在15分鐘內漲9仙或4%至2.24令吉,休市暫掛2.21令吉,升6仙,為十大上升股;半日成交量298萬8700股。該股午盤逐步收窄增幅,並掉出十大上升股,閉市報2.18令吉,增3仙,成交量達421萬2100股。

肯納格證券研究指出,該公司較早前提供介于4%至6%股息回酬,但在2011至2013財年期間卻顯得有些“安靜”沒有派息。

配合業績宣布,該公司近期建議在完成1送1附加股后,派發每股5仙中期股息。同時,股東可通過股息再投資計劃(DRP),選擇再投資股息以取得新股。

從該公司近期的股息派發和股息再投資計劃看來,肯納格證券研究相信,公司很大程度上將擬定股息政策。

肯納格證券研究因而根據30%股息派發率,預計該公司將在2014財年共派發每股11.2仙股息。

除了潛在股息政策,肯納格證券研究認為該公司估值具備吸引力。因以2014至2015財年介于5.4倍至5.8倍核心本益比看來,比中型資本業者的平均7.5倍至8.2倍本益比來得低。

綜合股息政策和估值2大利好因素,肯納格證券研究給于該股“跑贏大市”投資評級,目標價為2.76令吉。【中国报财经】
