The Board of Directors of the Company (“Board”) wishes to announce that AESB, an indirect wholly-owned subsidiary of the Company had on 25 October 2021, entered into a collaboration agreement (“Agreement”) with GITSB for the sub-contract works in relation to the provision of supply, laying, testing and commissioning of the pipelines from Salim Water Treatment Plant, Sibu Water Board to Kanowit Sibu Division, proposed Durin booster station, proposed elevated tank at Bukong Jagoi junction, refurbishment of existing Kanowit Reservoir at Lipus Road junction, piling works and mechanical and electrical works ("Sub-Contract Works”) for the Sarawak Water Supply Grid Program – Stressed Areas (“Project”) (“Collaboration”). AESB and GITSB are collectively be referred to as the “Parties”. Further details of the Collaboration are set out in the ensuing sections of this announcement. Query Letter Contents	We refer to Annum’s announcement dated 25 October 2021 in respect of the aforesaid matter. The estimated financial commitment required to be provided by AESB for the working capital of the project. The basis and justification for the profit sharing of 50% to each of AESB and GITSB respectively, and taking into consideration that the funding for the project until completion is to be provided only by AESB.

Unless otherwise defined, the terms and definitions used herein shall have the same meaning as defined in the announcements dated 25 October 2021 and 27 October 2021 in relation to the Collaboration. The Company wishes to provide further clarification pertaining to the Collaboration, as follows:- Saratech, the main contractor for the Project, had on 28th August 2019 awarded the Sub-Contract Works amounting to RM62.25 million to GITSB. GITSB has commenced the Sub-Contract Works since 29th August 2019. As at to-date, the Project is currently on-going and is at approximately 30% of the Sub-Contract Works. For the avoidance of doubt, the profit-sharing entitlement of the Parties pursuant to the Collaboration is based on the net profit of the entire Project. The Collaboration was undertaken for the remaining approximately 70% of the Sub-Contract Works (“Outstanding Works”). For the purposes of the Collaboration, the working capital of RM2.0 million to be provided by the AESB shall be used as the initial working capital of the Outstanding Works and any additional working capital required beyond the aforesaid working capital shall be funded and self-sustained via the collection of stages of works payment for the Sub-Contract Works throughout the Project. We refer to the announcement dated 3 October 2022 in relation to the Proposals (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein. On behalf of the Board, TA Securities wishes to announce that, after due and careful consideration of the Group’s funding requirements for its Smart Farming Business, overall macro-economic conditions and sentiment of prevailing equity market in Malaysia, the Board had resolved to revise the basis of determining the issue price of Rights Share and exercise price of Warrant as follows: (i) the issue price of Rights Share to be determined after taking into consideration the TEAP of Annum Share based on the 5D-VWAP of Annum Share up to and including the last trading day prior to the price fixing date with a discount range of 0% to 20% and in any event the issue price of Rights Share shall not be lower than RM0.3000 each. Save for this revision, other factors being considered by the Board in determining the issue price of Rights Share (as set out in Section 2.2.2(i) of the Announcement) remain unchanged. The Board is of the opinion that the revised discount quantum of the issue price of Rights Share is still deemed sufficiently attractive to encourage subscription of the Rights Shares with Warrants and also to enable the Company to raise adequate funds required for the purposes as set out in Section 3 of the Announcement; and (ii) similarly, the exercise price of Warrant to be determined after taking into consideration the TEAP of Annum Share based on the 5D-VWAP of Annum Share up to and including the last trading day prior to price fixing date with a discount range of 0% to 20% and in any event the exercise price of Warrant shall not be lower than RM0.3000 each.
