PROPOSED BONUS ISSUE AND PROPOSED TRANSFER LISTING

JADI IMAGING HOLDINGS BERHAD (“Jadi Imaging” or “Company”) PROPOSED BONUS ISSUE AND PROPOSED TRANSFER LISTING 1.        INTRODUCTION On behalf of the Board of Directors of Jadi Imaging (“Board”), RHB Investment Bank Berhad (formerly known as RHB Sakura Merchant Bankers Berhad) (“RHB INVESTBANK”) wishes to announce that the Company proposes to undertake the following: (i)        Proposed bonus issue of up to 153,027,667 new ordinary shares of RM0.10 each in Jadi Imaging (“Jadi Imaging Shares” or “Shares”) (“Bonus Shares”) on the basis of 1 new Share for every 3 existing Shares held in the Company (“Proposed Bonus Issue”); and (ii)        Proposed transfer of the listing of and quotation for the entire issued and paid-up share capital of Jadi Imaging from the Second Board to the Main Board of Bursa Malaysia Securities Berhad (“Bursa Securities”) upon completion of the Proposed Bonus Issue (“Proposed Transfer Listing”) (collectively referred to as the “Proposals”). 2.        DETAILS OF THE PROPOSALS 2.1        Proposed Bonus Issue 2.1.1        Details of the Proposed Bonus Issue The Proposed Bonus Issue will involve the issuance of up to 153,027,667 new Shares, to be credited as fully paid-up, on the basis of 1 new Share for every 3 existing Shares held by shareholders of the Company whose names appear in the Record of Depositors of the Company as at the close of business on a date to be determined and announced later by the Board (“Entitlement Date”). The actual number of new Shares to be issued pursuant to the Proposed Bonus Issue would depend on the issued and paid-up share capital of the Company as at the Entitlement Date, after taking into consideration the following: (i)        the number of Shares in issue  as at 7 May 2007 of 452,035,500 Shares; and (ii)        any new Shares that may be issued prior to the Entitlement Date in respect of any exercise of the outstanding options as at 7 May 2007 in respect of 7,047,500 new Shares granted pursuant to the Company’s employees’ share option scheme (“ESOS Options”), representing the options that are capable of being exercised prior to the Entitlement Date (“Outstanding ESOS Options”). The Company has not granted/does not intend to grant any further ESOS Options from 7 May 2007 to the Entitlement Date. 2.1.2        Capitalisation of the reserves The Proposed Bonus Issue shall be effected via the capitalisation of up to RM15,302,767, firstly from the Company’s share premium account and the remainder from the Company’s retained profits account. Based on the latest audited financial statements of Jadi Imaging and Jadi Imaging group of companies (“Jadi Imaging Group”) for the financial year ended (“FYE”) 31 December 2006 and after taking into account events subsequent to year end, i.e. the dividend declared by Jadi Technologies to Jadi Imaging on 15 February 2007, the dividend declared by Jadi Imaging on 15 February 2007 and the additional share premium arising from the exercise of ESOS Options in respect of 2,035,500 new Shares from 1 January 2007 to 7 May 2007, the total reserves available for capitalisation are as set out in Table 1. However, based on Table 1, Jadi Imaging at the company level has total reserves of only RM4,700,157. As such, Jadi Imaging does not have sufficient reserves to be capitalised for the Proposed Bonus Issue. To enable Jadi Imaging to implement the Proposed Bonus Issue, Jadi Imaging Technologies Sdn Bhd (“Jadi Technologies”), a wholly-owned subsidiary of Jadi Imaging, is required to declare net dividends to Jadi Imaging. Based on the Minimum Scenario (ie. assuming none of the Outstanding ESOS Options are exercised prior to Entitlement Date), Jadi Technologies is required to declare net dividends of RM10,367,693 to Jadi Imaging. Based on the Maximum Scenario (ie. assuming all the Outstanding ESOS Options are exercised prior to Entitlement Date), the Company will capitalise the additional share premium of RM676,560 arising from the exercise of the Outstanding ESOS Options and as such, Jadi Technologies is required to declare a lesser net dividends of RM9,926,050 to Jadi Imaging. Hence the maximum net dividends required to be declared by Jadi Technologies to Jadi Imaging to facilitate the Proposed Bonus Issue is up to RM10,367,693. The Reporting Accountants of Jadi Imaging, Messrs Horwath, had in its letter dated 21 May 2007 confirmed the following: (i)        Jadi Technologies has sufficient distributable reserves to declare up to RM10,367,693 as dividends to Jadi Imaging, based on Jadi Technologies’ audited financial statements as at 31 December 2006 and based on the unaudited management accounts as at 31 March 2007. (ii)        Based on Jadi Imaging Group’s audited consolidated financial statements as at 31 December 2006 and the latest unaudited consolidated quarterly report for the 3 month period ended 31 March 2007, Jadi Imaging Group has adequate share premium and retained profits to capitalise up to RM15,302,767 for the Proposed Bonus Issue. For illustrative purposes only, the proforma effects of the Proposed Bonus Issue on the Group’s reserves based on the latest audited consolidated financial statements of Jadi Imaging for the FYE 31 December 2006 (and after taking into account the events subsequent to year end as mentioned above) are set out in Table 2. The reserves required for capitalisation of the Proposed Bonus Issue is unimpaired by losses on a consolidated basis, based on the Company’s latest audited consolidated financial statements as at 31 December 2006 and the latest announced unaudited quarterly results for the 3 months financial period ended 31 March 2007. For the avoidance of doubt, the Group does not have any accumulated losses based on its latest audited consolidated financial statements as at 31 December 2006 and the latest announced unaudited quarterly results for the 3 months financial period ended 31 March 2007. 2.1.3        Ranking of the Bonus Shares The Bonus Shares shall, upon allotment and issuance, rank pari passu in all respects with the then existing issued and paid-up Shares of Jadi Imaging except that they will not be entitled to participate in any dividends, rights, allotments and/or any other distributions, the entitlement of which is prior to the date of allotment of the Bonus Shares. 2.1.4        Listing of the Bonus Shares An application will be made to Bursa Securities for the listing of and quotation for the Bonus Shares on Bursa Securities. 2.2        Proposed Transfer Listing As at 7 May 2007, Jadi Imaging has an issued and paid-up share capital of RM45,203,550 comprising 452,035,500 Shares. As at 7 May 2007, the Company has outstanding ESOS Options in respect of 34,296,500 new Shares. Out of this, the ESOS Options capable of being exercised prior to the Entitlement Date are in respect of 7,047,500 new Shares. Subsequent to the completion of the Proposed Bonus Issue, Jadi Imaging will have an issued and paid-up share capital of RM60,271,400 comprising 602,714,000 Shares, based on the Minimum Scenario, which complies with the minimum issued and paid-up share capital of RM60,000,000 required for companies seeking listing on the Main Board of Bursa Securities. The Company proposes to transfer the listing of and quotation for the entire issued and paid-up share capital of Jadi Imaging from the Second Board to the Main Board of Bursa Securities after the completion of the Proposed Bonus Issue. 3.        RATIONALE OF THE PROPOSALS 3.1        Proposed Transfer Listing The Proposed Transfer Listing is expected to enhance the Jadi Imaging Group’s prestige and reputation as well as the confidence of its customers, suppliers, employees and bankers. It is also expected to further enhance Jadi Imaging’s standing amongst its investors and improve the marketability of Jadi Imaging Shares. 3.2        Proposed Bonus Issue The Proposed Bonus Issue will enable Jadi Imaging: (i)        to increase the number of Jadi Imaging Shares in issue in order to improve their liquidity and marketability in the market; and (ii)        to reward shareholders of Jadi Imaging for their continuing support and allow the existing shareholders of Jadi Imaging a greater participation in the Company’s equity in terms of the number of Jadi Imaging Shares held. The Proposed Bonus Issue will also enable Jadi Imaging to meet the minimum issued and paid-up share capital requirement for a company seeking listing on the Main Board of Bursa Securities......[省略，太长了]... 基本上7223是件超稳的公司，
留意留意ltl venture holding的动向就可以。
基本上liew kim xiong家族都控制了超过40%的股权。
不稳就假。
所以投机投资这两年之内都不可能亏钱


不过






为什么这一季赚少过去年

我也还没收到支票，外波支票还要等三天过数 不过照基本面来看，7223还是不够0025来得吸引
不过7223股价波动大点

哦 那是因为CURRENCY的关系 美元跌 马币升 然后7223的生意大多数都是出口的

exchange rate最多影响5%。你算我们去年和今年兑换美金%
同级的mesdaq mqtech反而增加，虽然lng也是减少

JADI给的解释是。。。

The Group recorded a revenue of RM13.51 million for the current quarter under review against RM13.52 in the preceding quarter. The profit before tax of RM2.93 million was lower by RM0.83 million or 22.1% compared to the RM3.76 million achieved in the preceding quarter due mainly to the appreciation of the Malaysian Ringgit against the US Dollar from US$1=RM3.62 to US$1=RM3.51, an increase of 3%. In addition, the profit before tax for the preceding quarter included a rebate of RM0.57 million given by the supplier in December 2006 for purchases made by the Group in the year 2006.

However, the profit after tax of RM2.70 million was higher by  RM0.37 million or 15.9% compared to the RM2.33 million achieved in the  preceding quarter due mainly to the substantially lower provision for  deferred taxation in the current quarter compared to the preceding quarter.

不过很明显的它的COST OF SALES都增加了不少

我都没注意到，今天昏昏的
但是没说几时派和几时bonus,虽然现在票价有点贵，但是分分钟也很容易过0。40的。

日期应该会是在股东大会时订吧 管理层预期会在第四季时完成

今年股价最高去到RM0.47

其实JADI的碳粉业务是很特别的 不懂得要用什么类型的公司来和它比较

你们认为呢 ？
