出价每股80仙　成功机构献购立通

（吉隆坡27日讯）隨著丹斯里陈志远掌控的成功机构（BJCORP，3395，主板贸服股）以每股80仙或总价5607万令吉，增持立通国际（REDTONE，0032，创业板）7009万9931股股票，或相等于10.53%股权后，该机构在立通国际的持股率已提高至35.84%，触动了全面献购条例；因此，成功机构以相同的价格，即每股80仙，向立通国际剩余的4亿2702万股股票或64.16%股权，提出全面献购。同时，也建议以每股32仙，全面献购立通国际9750万1835张不可赎回可转换无担保债券（ICULS）。

无论如何，成功机构有意保留立通国际的上市地位。

配合以上企业活动，立通国际和成功机构的股票在周五下午3时开始暂停交易，直到下午5时，它们暂停交易前股价，分別是83仙和44仙。两者股票將在下周一（30日）恢復交易。

以立通国际暂停交易前掛价83仙计算，成功机构的每股80仙献购价，折价3.6%。

立通国际和成功机构今天傍晚双双发文告宣布，成功机构的间接独资子公司--Juara Sejati私人有限公司，以每股80仙，或总价5607万令吉，向立通国际主席拿督斯里赛阿里控制的Indah Pusaka私人有限公司，收购立通国际的7009万9931股股票，或相等于10.53%股权。

完成此项收购后，Juara Sejati公司和相关人士在立通国际的持股率提升至35.84%，触动了全面献购条例。

这些相关人士，包括最终献购者－－成功机构、菲律宾成功公司、Prime Credit Leasing私人有限公司、成功集团、陈志远和徐吉金（译音）。

由於已触动全面献购条例，所以最终献购者--成功机构，建议以每股80仙，收购立通国际剩余的64.16%股权，同时也以每股32仙，收购立通国际的9750万1835张ICULS。

然而，文告也指出，献购方有意维持立通国际的上市地位。

根据《彭博社》数据，立通国际週五出现为数7010万股，或佔缴足资本约10.53%的大批股票，在场外以5608万令吉，或每股80仙的价格易手。这批股权就是由Indah Pusaka公司脱售给Juara Sejati公司。

第3季净利暴涨60倍

另一方面，成功机构也在今天公布业绩，其2015財政年第3季（截至1月31日止）净利暴涨60倍，至9亿7540万令吉，去年同期为1597万令吉；营业额则按年微跌6.6%，至22亿1047万令吉，去年同期为23亿6661万令吉。

该公司首9个月净利按年激增11倍，至11亿3676万令吉，去年同期为9003万令吉；营业额也按年上涨18%，至72亿7155万令吉，去年同期为61亿5956万令吉。【东方网财经】

成功集團全購無吸引力‧立通中長期有看頭

（吉隆坡30日訊）丹斯里陳志遠旗下成功集團（BJCORP,3395,主板貿服組）打算以低於市價的每股80仙全面獻購立通國際（REDTONE,0032,創業板貿服組），肯納格研究雖認為這項計劃最後可能告吹，但建議追求短期回報的投資者不妨先接受獻購。

不過，肯納格提醒說，長期來看，立通的業務展望可受惠於大股東可能宣佈潛在企業活動、頻譜價值低估、爭取政府合約等利好，有意長期部署的投資者，則可以繼續持有立通。

立通和成功集團今日復牌略為上漲，立通升1仙至84仙，成功集團也漲2.5仙至46.5仙。

成功集團上週五（27日）公佈，在增購立通國際股權至35.84%後，触及全購門檻，因此獻議以每股80仙、每債券股32仙現金價，有條件全面收購其餘股票與債券股。

肯納格認為，由於這算是“技術全購”而非“敵意全購”，而且出價低於立通現有股價，因此不排除到最後無疾而終的可能。

該行原本以14.5倍本益比、2.68倍股價賬面值為準，將立通的目標價定在77仙，而全購價80仙高於他們的目標價，所以該行認為，追求短期回報的投資者以此價位售股，其實不算太壞。

立通長期或有展望

然而，對於長期佈局的投資者，肯納格卻有著不同的提議。

肯納格指出，柔佛蘇丹和陳志遠的成功集團近期累積立通，可能意味著該公司將大展鴻圖。

市場此前盛傳，立通和股東相同的U Mobile“眉來眼去”。

肯納格說：“粗略估計，U Mobile如果尋求上市，其潛在市值可達8億6千100萬至185億令吉。”

肯納格表示，根據他們的觀察，立通的10兆赫2.6千兆赫頻譜估值料達2億3千500萬至3億5千400萬令吉，而該公司市值為1億7千800萬至2億9千700萬令吉市值，股價賬面值和本益比分別介於1.15至1.93倍和6至10倍，以此來看，相信立通是低估的。

最後，肯納格說，立通正競標規模龐大的政府數據合約，如果脫穎而出，勢必大大提振立通的2016財政年財務表現。

立通伙拍TELKOM SIGMA　进军东南亚

（吉隆坡13日讯）立通国际（REDtone，0032，创业板）子公司立通数据中心私人有限公司，与印尼首要的端对端资讯科技方案与数据中心服务公司--PTSigma Cipta Caraka（Telkom Sigma）签署合作备忘录，这也將是该公司迈向东南亚市场的第一步。

上述双方所达成的伙伴关係，將为印尼市场提供管理式资讯科技附加价值服务和方案，以迎合该国对此类服务日益剧增的需求。

立通与Telkom Sigma的合作，不仅符合该集团放眼在东南亚市场打稳业界形象的策略，同时也將巩固立通4大核心业务之一的管理式附加价值服务。

立通在大马所提供的管理式附加价值服务，包括数据中心服务、云端服务和应用程式方案、远程放射服务，以及物联网服务。

立通今日发文告表示，该公司与印尼电讯旗下公司Telkom Sigma的合作，將加速其管理式附加价值服务的成长步伐，令该业务拥有更多机会可迈向本区域內的其他国家。

独立顾问：成功机构出价公平合理 立通4董事不接受献购

（吉隆坡27日讯）尽管独立顾问认为，成功机构（BJCORP，3395，主板贸服股）强制全面收购（MGO）立通国际（REDTONE，0032，创业板）的献议“公平且合理”，建议股东接受，但以董事经理拿督魏俊明为的首4名董事却拒绝接受。

今年3月，成功机构宣布，强制全面收购立通国际，出价每股80仙，及每股不可赎回可转换无担保债券（ICULS）32仙。

独立顾问Mercury证券认今日针对上述全购活动，发表独立评估报告，指成功机构的献议“公平且合理”。

不过，魏俊明、马修汤姆斯、查迪斯和拿督莫哈末再尼4名董事，拒绝接受该献议。

根据立通国际文告，魏俊明将脱售1826万9756股，但将保留2300万股。其余3人则完全拒绝接受献议，欲保留手上所有立通国际股权。

想参与未来发展

4人都以立通国际是私人投资，且想要参与该公司未来发展为由，拒绝接受献议。

马修和查迪斯指出，若以该公司长期内增长潜能和前景来衡量，尤其未来即将获得的工程，成功机构全购出价太低，建议股东拒绝该献议。

无论如何，魏俊明和其余6名董事，还是认同独立顾问的报告，也建议其他股东接受献议。

溢价高达12.68%

另一方面，根据Mercury证券文告，每股80仙的献议，等于立通国际以现金流贴现模式（DCF）计算，每股71至76仙的合理价格，溢价5.26%至12.68%。

报告指出，80仙的献购价，也等于立通国际截至3月26日止3年内，最高的闭市价。

3年内最高价

同时，Mercury证券认为成功集团每股32仙收购ICULS的献议也“公平”。该行解释，分析员是根据立通国际母股，评估ICULS的估值。

同时，32仙等于立通国际ICULS截至3月26日止，3年内最高闭市价。

Mercury证券也指出，近3年内，立通国际股票和ICULS价格持续趋扬，主要是因为丹斯里陈志远和成功机构旗下公司大量累积该公司股票所致。

该行说，这显示出该些股东对立通国际前景有信心。

同时，柔佛苏丹依布拉欣殿下也崛起为立通国际大股东。

业绩持续改善

此外，立通国际自2013财年，财务表现持续改善，加上去年底获得多媒体委员会（MCMC）颁发TIME3工程，都是激励立通国际前景的正面消息。

闭市时，立通国际报80仙，平盘挂收，成交量有136万800股。

至于立通国际LA（REDTONE-LA，0032LA，债券股），则以31.5仙平盘挂收，成交量有8万3200股。【南洋网财经】

大型計劃減 立通國際第3季淨利挫37%

（吉隆坡30日訊）大型數據計劃下滑和營運成本偏高，立通國際（REDTONE，0032，創業板貿服）截至2月底第3季業績增速放緩至有史以來最低，淨利按年挫37%至315萬3000令吉。

第3季營業額按年微跌3%，至3951萬5000令吉。

立通國際總執行長劉必順在文告指出，雖然企業和中小型企業市場的數據營業額在第3季期間有所提升，但不足以彌補補大型數据計划的下滑表現。

“不過，我們擁有健全的工程訂單，大型數据計划營業額下跌只是當中延遲向一些工程發出賬單所造成的暫時現象。”

立通國際向馬證交所報備，首9個月淨利按年跌12%至1287萬8000令吉。

但受惠于更高的數據服務業務，立通國際首9個月營業額按年起10%至1億1849萬令吉。

劉必順指出，數据與寬頻服務將繼續驅動公司成長，這個核心業務為公司締造了強穩且固定的收入來源。

成功机构强购截止 持立通国际52.43%

（吉隆坡22日讯）成功机构（BJCORP，3395，主板贸服股）强制全购立通国际（REDTONE，0032，创业板）今日截止，如今持有52.43%股权。

根据文告，提出全购的成功机构独资子公司Juara Sejati，截至今天下午5点，共获得16.58%股东支持，使总持股权达到52.43%，另有0.34%股权待验证。

在不可赎回可转换无担保债券（ICULS）方面，目前则持有70.59%的比例，另有0.23%待验证。

Juara Sejati早前以每股80仙，向立通国际主席拿督赛阿里买入10.54%股权，持股权因此提高至35.84%，触动33%的全购门槛，因此展开强制全购活动，出价每股80仙，或ICULS每张32仙。

长期投资者不卖 成功机构仅持立通52.43%

（吉隆坡27日讯）成功机构（BJCORP，3395，主板贸服股）强制全购立通国际（REDTONE，0032，创业板）的反应平平，相信是因为公司有两大股东崛起，有望加强竞标合约的竞争力，促使长期投资者守住不放。

肯纳格投行分析员指出，成功机构强制全购立通国际期限上周五（22日）截止，共获16.58%股东支持，持股达52.43%。

至于不可赎回可转换无担保债券（ICULS），则持有70.59%的比例。

分析员对此并不意外，因为成功机构的献购价，对长期投资者仍缺乏吸引力。

随着成功机构和柔佛苏丹依布拉欣殿下成为大股东，有望提高竞标合约竞争力，尤其是政府合约及柔佛州政府相关机构颁发的合约。

拟转主板交易

同时，预计也会进行企业活动或合作，以产生协同效应。

虽然成功机构仍未表明立通国际的发展计划，但相信相关的计划和催化剂，将在中长期落实。

另一方面，政府和企业持续展开相关项目，可支撑公司数据、宽频和管理服务业务增长。

分析员也点出，计划转板至主板交易，也是立通国际近期的催化剂之一。

预计公司可在2016财年净赚3940万令，然而，随着一些列的雇员认股权计划和ICULS转换，每股盈利将被稀释。

分析员因而将评级改为“跟随大市”，目标价定于87仙。

立通国际全年净利大增60%

（吉隆坡31日讯）（REDTONE，0032，创业板）2015財政年末季（截至5月31日止）亏损收窄至150万令吉，去年同期凈亏756万令吉。该公司末季营业额为3187万令吉，去年同期为3427万令吉，按年下滑7.01%。

其2015財政年全年净利为1138万令吉，与去年的713万令吉比较，按年大增59.75%。其营业额则从去年的1亿4176万令吉，按年上升6.07%，至1亿5037万令吉。全年股息派发为1.10仙。

立通国际表示，有望在数个利好因素的带动下於2016財政年创下更亮眼的业绩。当中原因包括现行项目提供的经常性收入，另外还包括约1亿1000万令吉的稳健订单，以及来自其管理式附加价值服务的新收入来源。

加强语音数据设施

针对成功机构（BJCORP，3395，主板贸服股）在今年5月8日正式成为其控股公司一事，立通国际形容这是一个「令人振奋的全新成长阶段」，因为该集团可提供现成资源和全新的协作优势，预料將协助公司在2016財政年缔造更强劲的表现。

立通国际首席执行员刘必顺今日在文告中表示，「迈入全新的財政年，我们將继续专注於巩固原有的经常性收入，同时將加强语音和数据基本设施。目前，我们持有价值约1亿令吉的无线上网和电讯普及化服务计划（USP）项目，这將有助於提升我们往后的经常性收入。」

他补充说，为了確保语音服务能继续作为该公司现金流的资本，因此，该公司將提升语音和数据基本设施。而通过提升其数据服务，相信对政府、企业和中小型企业界来说更具吸引力。

同时，他也表示，「我们也观察到企业数据服务和政府数据计划呈稳健成长的趋势，并预料將强化立通在2016財政年的財务表现。」

立通國際宣佈，針對一位第三方伙伴在上年拖欠的1千504萬9千令吉欠款作出減值撥備，因為該第三方伙伴之前所宣佈的計劃已經無限期展延，因此無能力還債。

Reference is made to the announcements made on 28 November 2014 and 30 September 2014. The Board of Directors of REDtone wishes to announce that the REDtone Group will provide RM15,049,000 for impairment of a long outstanding debt owing by the third party to the Group as announced earlier (“Debt”). The third party debtor’s major contract which had been relied upon to facilitate the repayment of the Debt to the REDtone Group has been deferred indefinitely. As the third party debtor is now not able to provide any further assurance for the Debt repayment, the Board of Directors of REDtone after much deliberation and consultation with the External Auditors, has decided to provide for the Debt. The said provision will be adjusted as a prior period adjustment and the results of the previous financial year ended 31 May 2014 of the REDtone Group have been accordingly restated to reflect the adjustment. Although the provision for impairment of the Debt had a significant impact on the retained earnings as at 31 May 2014 (to be restated), it is not expected to have any material impact on the financial performance of the Redtone Group for the financial year ended 31 May 2015.
