（吉隆坡1日讯）马联工业（Malayan United Industries Bhd）今日澄清，持股98.21%的子公司美罗百货（Metrojaya Bhd）将继续通过包括MJ Department Stores私人有限公司和EIC Clothing私人有限公司的East India Company专卖店在内的多家子公司照常运营零售业务。

马联工业在5月31日向大马交易所报备，该多元化集团了解美罗百货的冬眠子公司MJ Department Stores（MDS）和East India Company Clothing（马）私人有限公司（EIC）清盘的消息让市场感到混淆。

“本公司（马联工业）谨此通知，美罗百货一如既往地透过旗下多家子公司经营零售业务，包括MJ Department Stores旗下的Metrojaya百货公司，以及EIC Clothing旗下的East India Company专卖店。这些是与MDS和EIC分开的公司。”

马联工业上周五表示，美罗百货独资子公司MDS和EIC上周三各自在股东特别大会上获得了唯一股东的批准，开始成员自愿清盘。

马联工业指出，这些子公司的清盘是马联工业持续合理化业务的一部分，目的是简化集团结构。

“此外，清盘将使马联工业集团节省与维护这些子公司相关的未来成本。清盘将不会对集团截至今年6月杪财年带来任何显著的财务或营运影响。”

“Chong Mun Yew已获委任为上述清盘案的清盘人。”

马联工业表示，MDS及EIC分别成立于1993年4月5日及1995年2月15日。

根据马联工业的网站，该集团的核心业务包括零售、酒店、食品和糖果、金融服务及房地产开发。

截至早盘休市，马联工业跌0.5仙或3.23%，至15仙，市值为4亿5400万令吉，逾250万股易手。

Description	MALAYAN UNITED INDUSTRIES BERHAD ("MUIB" OR "COMPANY")DISPOSAL BY LOYAL DESIGN SDN BHD, MUI MEDIA LTD AND MEGAWISE SDN BHD, THE SUBSIDIARIES OF MUIB, OF THE 612,123,222 ORDINARY SHARES, REPRESENTING 65.90% OF THE ISSUED SHARE CAPITAL OF PAN MALAYSIA HOLDINGS BERHAD FOR A TOTAL DISPOSAL CONSIDERATION OF RM36,727,393.32
MUIB wishes to announce that its subsidiaries namely Loyal Design Sdn Bhd (“LDSB”), MUI Media Ltd (“MML”) and Megawise Sdn Bhd (“MSB”) (Collectively referred to as the “Vendors”), had on 7 March 2024 entered into a sale and purchase agreement (“SPA”) with Exsim Hospitality Holdings Sdn Bhd (the “Purchaser” or “EHHSB”)) to dispose of 612,123,222 ordinary shares in Pan Malaysia Holdings Berhad (“PMHB”) (“PMHB Shares”) representing 65.90% of the total issued share capital of PMHB (“Sale Shares”) for a total disposal consideration of RM36,727,393.32 (“Disposal Consideration”) (“Disposal”).
