售地1MDB 未收到钱 Tadmax重组恐遇阻

(吉隆坡8日讯)Tadmax(TADMAX,4022,主板工业产品股)售地予一个马来西亚发展(1MDB)子公司,迟迟未接获买家付款,传该公司重组计划将大受影响。

Tadmax原于2月时,将旗下持有巴生310英亩土地的子公司Tadmax Power,以3.17亿令吉脱售予1MDB间接子公司Ivory Merge。

Tadmax Power在英达岛拥有301英亩土地,毗邻巴生港口自由贸易区(PKFZ)和西港(Westport),当时,有消息指,1MDB有意在该地建设发电厂。

《The Edge》财经周刊报道,在支付10%的订金之后,Tadmax就一直等不到1MDB的余款,1MDB也已向马交所两度申请延长付款期限,最新的付款期限为10月31日,至今1MDB已经第三次错过付款期限。

至截稿前,1MDB未能回应媒体询问。

暂缓私配活动

报道指出,迟迟未收到余款的Tadmax,重组计划因此受影响,因该公司计划运用这笔2.85亿令吉余款,削减2.2亿令吉的贷款。

更重要的是,取得资金偿还债务后,该公司也能再融资为巴布新几内亚的8万公顷种植地筹资发展。

该公司在上周一,完成新股发行活动,发行7200万新股予董事经理拿督法依扎阿都拉,偿还拖欠后者的3678万令吉债务。

Tadmax原订计划以每股50仙,私配相等缴足资本的10%,或相当于3727万5744股新股,筹资1860万令吉。

报道称,由于至今未能收取1MDB的付款,加上目前股价表现低迷(上周五闭市报40仙),只得暂缓私配活动。【南洋网财经】

根据文告,Tadmax目前正与Ivory Merge洽谈买卖协议的期限。

TADMAX英达岛土地 折价7%售1MDB

(吉隆坡17日讯)一个马来西亚发展(1MDB)以折价7%,向TADMAX(TADMAX,4022,主板工业产品股)购入位于巴生英达岛(Pulau Indah)的土地。

这价格比今年2月签署的销售协议折价7%或2300万令吉,总值为2亿9437万令吉,早前为3亿1734万令吉。

The Edge引述TADMAX董事经理阿诺亚报道,1MDB自行承担转换土地用途的溢价及处理一些工程,因此售价比之前低。

目前,阿诺亚是TADMAX最大股东,持股29.93%。根据早前的协议,TADMAX建议以3亿1734万令吉,脱售子公司TADMAX POWER,后者在巴生英达岛拥有地皮。

TADMAX和1MDB旗下IvoryMerge,周一签署股权销售补充协议。

文告指出,地段占地310英亩,售价调整后为2亿9438万令吉,或每平方尺21.80令吉,之前是23.50令吉。

补充协议也指出,有关地段以按物业现状出售,意味着TADMAX无需转换土地用途。

售地建议已展延3次,售价经调整后也会减少TADMAX税后收益1.5%。

TADMAX今天交投淡静,闭市时报35.5仙,起0.5仙或1.43%,成交量仅2万5000股。【南洋网财经】

1MDB還TADMAX 2億債務‧抵銷購地款項

(吉隆坡24日訊)一個大馬發展有限公司(1MDB)通過償還TADMAX資源(TADMAX,4022,主板工業產品組)為數2億零144萬令吉債務,部份抵銷收購後者土地資產計劃所需的2億9千437萬8千480令吉款項。

TADMAX資源發文告指出,1MDB拖欠的其餘5千202萬6千令吉餘款,將在股權買賣協議條款完成期限前繳付。

TADMAX資源是在2014年2月宣佈,建議以3億1千733萬令吉脫售旗下獨資子公司TADMAX力量私人有限公司所有股權予1MDB旗下Ivory Merge私人有限公司,然後將大部份脫售資金用於償還貸款,僅保留5千萬令吉現金儲備。

相關交易原定在去年10月杪完成,但1MDB基於內部原因,不斷要求延遲交易時間,最後雙方在12月簽署補充協議,將收購金額下修為2億9千437萬8千480令吉,而整個收購計劃料在今年6月杪完成。

TADMAX力量核心業務為產業發展,惟成立至今卻未進行過相關發展活動。該公司在巴生擁有一塊381英畝地庫,未稽查淨資產值為1億3千838萬9千令吉。(星洲日報/財經)

Tadmax is pleased to announce that its wholly-owned subsidiary, Tadmax Builders Sdn. Bhd. (TBSB) had on 17 April 2015 incorporated a wholly owned subsidiary known as Tadmax Builders (Labuan) Sdn. Bhd. (TBL) as a private limited company under the Companies Act, 1965.  TBL is currently dormant and intended to be utilized for the Group’s construction activities in Labuan Federal Territory.

The authorised share capital of TBL is Ringgit Malaysia Four Hundred Thousand (RM400,000.00) only divided into 400,000 ordinary shares of RM1.00 each, of which two (2) ordinary shares have been issued at par and fully paid-up.

To facilitate the incorporation of TBL, Major (R) Anuar bin Adam and Mr Siow Yoon Chin subscribed to one (1) ordinary share of RM1.00 each. Both the shares held by Major (R) Anuar bin Adam and Mr Siow Yoon Chin would be transferred to TBSB, thus making TBL a wholly-owned subsidiary of TBSB.

The incorporation of TBL will not have any effect to the issued and paid-up share capital of the Company as well as its substantial shareholders’ shareholdings and is not expected to have a material effect on the earnings, net assets and gearing of the Company and the Group for the financial year ending 31 December 2015.

None of the directors and/or major shareholders and/or persons connected with the directors and/or major shareholders have any interest, direct or indirect in the incorporation of TBL.

The Board of Directors of Tadmax wishes to announce that Tadmax has on 8 June 2015 acquired the entire issued and paid-up capital of Tadmax Concrete (Labuan) Sdn. Bhd., comprising 2 ordinary shares of RM1.00 each at par value for cash consideration ("the Acquisition").  The shares were acquired equally from Aldillan bin Anuar and Siow Yoon Chin.
Aldillan bin Anuar is a Director and the son of Major (R) Anuar bin Adam who is the Managing Director and a Major Shareholder of Tadmax.  Aldillan bin Anuar and Major (R) Anuar bin Adam are collectively referred to as Related Parties.

Information of Tadmax Concrete (Labuan) Sdn. Bhd. (TCLSB)
TCLSB was incorporated on 23 April 2015 in Malaysia and has an authorised share capital of RM400,000.00 of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up.  TCLSB is currently dormant and its proposed business activity is to set up and operate a batching plant to support the Group's construction activities in Labuan Federal Territory.

Effects of the Acquisition
The Acquisition does not have any effect on the earnings per share, net assets per share, share capital and substantial shareholders' shareholdings of the Company for the financial year ending 31 December 2015.

Directors and Major Shareholders Interest

TADMAX:售地1MDB‧“無需證監會批准”

(吉隆坡30日訊)TADMAX資源(TADMAX,4022,主板工業產品組)澄清,以2億9千438萬令吉脫售旗下154公頃的地庫給一個大馬發展有限公司(1MDB)的計劃,並無須經過證券監督委員會(SC)的批准。

該公司是針對某英文媒體報告指有關賣地計劃需獲得證監會的批准,而透過交易所發文告作出上述澄清。

該公司表示,在交易所的上市條件下,公司只需確保所有相關程序符合證監會的資產估值指南及尋求股東批准有關交易。

“交易所將把公司提呈的估值文件和報告提交給證監會過目,確保符合相關指南和估值具透明性,但我們要澄清的是,有關交易並無須獲得證監會的批准。”

TADMAX資源是在去年以2億9千438萬令吉售價,將旗下154公頃土地賣給如今深陷財困的1MDB,而這項交易當時曾引起市場質疑,因數據顯示有關土地截至2011年8月的每平方呎估值只有9令吉93仙,而1MDB的收購價卻相當於每平方呎21令吉80仙。無論如何,上述土地交易已在數個月前完成。(星洲日報/財經)

Reference is made to the articles in The Malaysian Insider and The Edge on 25 June 2015 and Malaysiakini on 26 June 2015. Tadmax Resources Berhad (“Tadmax” or “the Company”) wishes to clarify that the valuation of land in connection with the Company’s sale of its Pulau Indah land in Selangor to Ivory Merge Sdn Bhd (IMSB) was NOT subjected to the approval of the Property Valuation Department of the Securities Commission Malaysia (SC).

Under the Bursa Malaysia Securities Berhad (Bursa) Listing Requirements, the Company was required to issue a circular to seek shareholders approval for the transaction and to ensure that the valuation certificates and reports submitted together with the draft circular complies with SC Asset Valuation Guidelines.

In this regard, copies of the valuation certificates and reports were referred by Bursa to SC for its views on compliance with the relevant guidelines and adequacy of disclosure of the valuation certificates.

TADMAX 英达岛地 1MDB完成收购

(吉隆坡2日讯)TADMAX(TADMAX,4022,主板工业产品股)已完成脱售雪州巴生英达岛的土地,给一个马来西亚发展(1MDB)旗下的IvoryMerge私人有限公司。

该公司向马交所报备,在双方的协议中,公司已获得土地分割的批准,并于上月26日获得额外发出的地契。

双方已相互同意这项脱售活动于上月30日完成。

在Ivory Merge完成土地审核、决算和相关文件后,预料将7月末才支付余额予TADMAX。

获3千万过渡贷款 Tadmax发展纳闽产业

二零一五年八月六日 晚上六时五十四分
(吉隆坡6日讯)Tadmax资源有限公司(TADMAX,4022,工业产品组)独资子公司Ganggarak发展私人有限公司(GDSB)获得由马建屋有限公司(MBSB,1171,金融组)颁发一项总值3000万令吉的过渡性贷款。

Tadmax资源向大马交易所报备,此过渡性贷款为期36个月,由首批贷款批出当日算起。

根据文告,该过渡性贷款将用以发展Ganggarak Permai发展计划的首期工程,工程涵盖两栋住宅公寓,一共有520个单位。

Ganggarak Permai发展计划是由Ganggarak发展负责,位于纳闽Ganggarak一块占地41.5英亩的地段,发展总值约6亿1100万令吉。

Tadmax资源在文告中表示,此发展计划包含两部分,即可负担房屋公寓以及综合发展计划(涵盖商业中心和公寓)。

可负担房屋公寓计划分为3期工程,每一期兴建520个单位的公寓。此计划包括兴建6栋楼高14层的公寓,将有1560个住宅公寓单位,工程涵盖基建、设备和便利设施,发展总值约2亿8800万令吉。

此外,综合发展计划将分为4期工程,发展总值为3亿2300万令吉。

Tadmax资源表示:“过渡性贷款将不会对Tadmax资源的已发行和缴足股本,以及股东持股权构成任何影响。”

不过,该公司指出,该笔贷款将推高Ganggarak发展的利息成本。由于此贷款用以该公司的发展计划,因此,利息成本将由Ganggarak发展的营业额来支付。

Tadmax Resources Berhad ("TRB" or "the Company")- Borrowing of Fund
1. Introduction
Pursuant to Paragraph 9.04 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, TRB wishes to announce that Ganggarak Development Sdn. Bhd. (GDSB), a wholly owned subsidiary of the Company had on 5 August 2015 accepted a Bridging Financing-i facility of RM30 million granted by Malaysia Building Society Berhad (BF-i/the Facility) for a period of up to thirty-six (36) months from the date of the first disbursement of the BF-i Tranche 1.

2. Information of the Project
The project undertaken by GDSB, involves development of a parcel of land measuring 41.5 acres located in Ganggarak, Wilayah Persekutuan Labuan. It consists of two (2) main components viz Affordable Housing Apartments and a Mixed Development comprising a commercial centre cum condominiums. The Affordable Housing Apartments which is also named as “GANGGARAK PERMAI” will have 1,560 units of residential apartments, built over six (6) blocks of 14-storeys each, complete with associated infrastructures, facilities and amenities, is targeted to generate total GDV of RM288 million. The affordable housing apartments are to be carried out in 3 phases with each phase comprising 520 units of apartments. The mixed development is to be carried out in Phase 4 separately, at a later stage with a projected GDV of RM323 million. In total, both the Affordable Housing Apartments and the Mixed Development are estimated to generate total GDV of RM611 million.     

3. Information of the Facility
The Facility will be used to part finance the development of Phase 1, comprising 2 blocks of residential apartments totalling 520 units.

4. Financial Effects
4.1 Issued and paid-up share capital and shareholdings of substantial shareholders
The Facility will not have any effect on the issued and paid-up share capital of TRB nor the shareholdings of TRB’s substantial shareholders.
4.2 Earnings
The Facility would result in GDSB incurring interest expense. The Facility would be solely used to fund the development of GDSB’s Project and such interest expenses will be covered by the revenue from the above mentioned Project.
4.3 Net assets and gearing
The Facility is not expected to have any material effect on the net assets and gearing of TRB Group save for the increase in gearing by 0.15 times computed based on the assumption of full utilization of the Facility of RM30 million via-a-vis the audited Equity attributable to the Owners of the Company of approximately RM197 million as at 31 December 2014.

5. Directors and Major Shareholders’ Interests
None of the Directors and Major Shareholders of TRB or persons connected with them have any interest, direct or indirect, in the Facility.

The Company holds seventy (70) shares, representing 70% equity interest in TPSB whilst the balance thirty (30) shares, representing 30% equity interest is held by Dato’ Syed Azmi bin Syed Othman.

To facilitate the incorporation of TPSB, Mr Aldillan bin Anuar and Dato’ Syed Azmi bin Syed Othman subscribed for seventy (70) ordinary shares and thirty (30) ordinary shares each respectively. The seventy (70) shares held by Mr Aldillan bin Anuar would be transferred to the Company, thus making TPSB a 70% owned subsidiary of the Company.

(吉隆坡29日讯)TADMAX(TADMAX,4022,主板产业股)以198万9000令吉,沽清独资子公司Usama工业私人有限公司股权。

根据文告,TADMAX昨日与2名买家,即潘福泉(人名皆译音)与赖坚,签署股权售卖协议,脱售Usama工业公司所有股权。

这宗交易获得的资金,将用作营运资本,当中主要会用来支付经常开销。

TADMAX指出,脱售Usama工业公司的主要原因,是为了卖出不活跃的子公司,并趁机取得这些公司的净资产价值。【南洋网财经】

TADMAX RESOURCES BERHAD ("Tadmax" or "The Company") -INCORPORATION OF A SUBSIDIARY COMPANY
The Board of Directors of Tadmax Resources Berhad (“Tadmax” or “the Company”) wishes to announce that it has on 12 January 2016 incorporated a subsidiary company known as Tadmax Coastal Sdn Bhd (“TCSB”) as a private limited company under the Companies Act, 1965. TCSB is currently dormant and intended to be utilized for the Group’s property development and/or construction activities.

The authorized share capital of TCSB is Ringgit Malaysia Four Hundred Thousand (RM400,000) only divided into 400,000 ordinary shares of RM1.00 each, of which two (2) ordinary shares have been issued at par and fully paid up.

To facilitate the incorporation of TCSB, Mr Aldillan bin Anuar and Mr Almiran bin Anuar subscribed to one (1) ordinary share of RM1.00 each. Both the shares held by Mr Aldillan bin Anuar and Mr Almiran bin Anuar would be transferred to the Company, thus making TCSB a 100% owned subsidiary of the Company

The incorporation of TCSB will not have any effect to the issued and paid-up share capital of the Company as well as its substantial shareholders’ shareholdings and is not expected to have a material effect on the earnings, net assets and gearing of the Company and the Group for the financial year ending 31 December 2016.
