聽說投資CLIQ能源（CLIQ，5234，主板特別併購組）沒有風險。請問你有甚麼意見？

答：
CLIQ能源是一間特別併購公司，該公司擁有3年的時間去尋找符合條件的油氣資產，如果屆時沒有找到，必須把90%在掛牌時所籌獲的資金（當時每股發售價為75仙）退還給投資者。

剩一年時間尋收購油氣資產

CLIQ能源會尋找與收購能為投資者增值的資產。它是在2013年4月10日掛牌，這意味著它尚有約一年時間，以尋找符合條件的資產（即2016年4月10日）。不然的話，將把90%資金（75仙的90%約為67.5仙）退還給投資者。

由於目前其股價走低至約65仙水平，預料一旦回退90%資金，料將每股超越65仙。所以，使一些投資者認為是沒有風險的投資，因為所持每股資金（67.5仙）高於目前市價。

不過，它也能在這一年裡找到收購油氣資產，所以，其尚充斥諸多的不明朗因素。SPAC公司面對的難題是優質油氣資產難尋，隨時必須和跨國石油生產公司競購，這些國際級石油鉅子財力雄厚，有能力出高價，若真有好資產，本地的SPAC公司也不容易搶到手。

最新的消息是，該公司在3月23日下午宣佈停牌，次日宣佈投資者期待已久的收購大計，該公司建議以1億1千730萬美元（約4億3千340萬令吉），收購哈薩克斯坦兩項油田的51%股權。

有望脫離SPAC行列

此收購對CLIQ能源意義重大，這家特別併購公司在2013年4月上市，至今已逾2年，還剩一年期限以完成收購資產行動，如今隨著交易出爐，將有望脫離SPAC行列。

不過，CLIQ能源上市時曾表示將專注在亞洲及大洋洲區域收購或參股油氣公司，並放眼印尼、菲律賓與汶萊的公司。如今點中的收購對象，竟是位於遙遠的哈薩克斯坦。

CLIQ能源在復牌後股價不起反跌，共滑跌1.5仙或2.22%至66仙，反映了這項投資無法令市場感到振奮，最大問題，可能是時機不對，也可能是對收購估值的憂慮。

截至2013財政年，哈薩克斯坦北部油田營運盈利為2千261萬5千令吉，CLIQ出價逾4億收購其中51%股權，本益比偏高，顯得代價並不廉宜。

同時，該油田2013年的盈利遠低於2012年，賺幅更從36.11%減至17.57%，呈現盈利走下坡的趨勢。更重要的是，去年下半年國際油價暴跌，對油田資產估值和盈利將有重大衝擊，也將是驗證CLIQ是否買貴了的關鍵。投資者有必要進一步留意有關收購計劃的發展。上述一點資料供參考。（星洲日報／投資致富‧投資問診‧文：李文龍）
