We refer to the announcements dated 14 August 2014, 21 August 2014, 26 August 2014, 26 February 2015, 10 March 2015, 10 April 2015, 22 April 2015, 8 May 2015, 18 May 2015, 19 May 2015 and 2 June 2015 in relation to Private Placement (“Announcements”).  Unless otherwise defined, the definitions set out in the Announcements shall apply herein.  

On behalf of the Board of Luster, TA Securities is pleased to announce that the Board had on 16 June 2015 fixed the issue price for the second tranche of the placement of up to 38,033,000 Placement Shares at RM0.10 per Placement Share (“Price-fixing Date”), being the par value of Luster Shares.

The issue price represents a premium of RM0.0133 or 15.34% to the five (5)-day volume weighted average market price of the Luster Shares up to and including 15 June 2015, being the last market day immediately preceding the Price-fixing Date of RM0.0867 per Luster Share.

(吉隆坡6日訊)LUSTER工業(LUSTER,5068,主要板工業)以420萬美元(約1786萬令吉)收購Pan柬埔寨博彩公司60%股權,賣家以后者35%股權抵押,獲300萬美元(約1276萬令吉)淨利擔保。

LUSTER工業上週五向馬證交所報備,公司與Opal Deluxe公司今日針對股權買賣協議簽署補充協議,Opal Deluxe公司必須將剩余35%股權抵押給公司作為“擔保證券”(Security Shares),每股總值2000美元(約8504令吉),合計350股。

ACQUISITION OF 60% EQUITY INTEREST IN THE ISSUED AND PAID-UP SHARES CAPITAL OF PAN CAMBODIAN LOTTERY CORPORATION LIMITED FROM OPAL DELUXE LIMITED, FOR A TOTAL CASH CONSIDERATION OF USD4,200,000.00
We refer to the announcement dated 30 April 2015 (“Initial Announcement”), 5 May 2015 and 20 August 2015 in relation to the subject matter.

Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Initial Announcement.

The Board of Directors of Luster Industries Bhd. wishes to announce that Opal Deluxe Limited and Luster Industries Bhd. have on 4 September 2015 entered into a supplemental agreement (the “Supplemental Agreement”) in relation to Sale of Shares Agreement dated 30 April 2015 (the “SSA”). The salient terms of the Supplemental Agreement are as follows:-
(i) To include the following new definition in Clause 1 of the SSA:
Security Shares”-  means the remaining thirty five percent (35%) of the issued and paid-up capital of the Company held by the Vendor, being 350 ordinary shares of United States Dollar Two Thousand (USD2,000.00) each which are mortgaged to the Purchaser in accordance with the terms of a mortgage granted by the Vendor in favour of the Purchaser.

(ii) To delete Clause 9.2 of the SSA in its entirety and replace with the following:
In the event that the Company is unable to achieve the aggregate Profit Guarantee of United States Dollar Three Million (USD3,000,000.00) by the financial year ending 31 December 2017, the Purchaser shall be at liberty to enforce the mortgage on the Securities Shares and cause the proportionate number of the Security Shares which is equivalent to the shortfall to be transferred to the Purchaser or such other person as may be nominated by the Purchaser. For the avoidance of doubt, the value of the Security Shares shall be determined based on the latest net assets of the Company as may be determined by the auditor of the Company.

In the event the shortfall in Profit Guarantee is greater than the value of the Securities Shares, the Vendor shall pay the difference between the shortfall in Profit Guarantee and the value of the Securities Shares in cash to the Purchaser.

携手大马房地产合作社 鲁斯特进军房地产

(吉隆坡9日讯)鲁斯特工业(LUSTER,5068,主板工业产品组)与大马房地产合作社(Koperasi Hartanah Malaysia Berhad,KOHAMA)联合发展产业,以让低收入者拥有本身的房屋。

鲁斯特工业是通过独资子公司Pembinaan LSP与大马房地产合作社联营这项发展计划。

另外,Aznel Development私人有限公司也参与这次房地产发展计划,该公司是所发展土地的持有公司。

鲁斯特工业创办人兼总执行长林时星在三方合作的签约仪式上表示,这项位于霹雳州彭加兰乌鲁的房地产发展计划占地80英亩,将分三期完成。

“第一期将兴建106单位的房屋,发展总值为1500万令吉,第二期发展总值为3000万令吉,第三期计划仍然商讨的阶段。”

林时星说,在这项合作计划下,鲁斯特工业子公司将负责完成兴建房子以及相关基本设施的工程。

PROFIT SHARING AGREEMENT BETWEEN PEMBINAAN LSP JAYA SDN. BHD., A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY AND KOPERASI HARTANAH MALAYSIA BERHAD
Further to the announcement dated 9 March 2016 in relation to the Tripartite Agreement between Pembinaan LSP Jaya Sdn. Bhd. (“PLSP”), Aznel Development Sdn. Bhd. (“the Proprietor”) and Koperasi Hartanah Malaysia Berhad (“KOHAMA”) (“the Principal Agreement”), the Board of Directors of Luster Industries Bhd. wishes to announce that PLSP had on the same day entered into a Profit Sharing Agreement (“the Agreement”) with KOHAMA.

(PLSP and KOHAMA are individually referred to as “Party”, and collectively the “Parties”)

Some of the salient terms and features of the Agreement are as follows:
1. SHARING OF PROFIT BETWEEN PLSP AND KOHAMA

1.1 The Parties agreed and expressly declared that the allocation for PLSP and KOHAMA on the profit derived from the proceeds of the sale of one hundred and six (106) units of terrace houses (“the said houses”) before taxation shall be as follows:-
a) the total profit up to RM4,500,000.00 shall solely belong to PLSP;
b) the profit in excess of RM4,500,000.00 up to RM5,000,000.00 shall belong to KOHAMA;
c) the profit in excess of RM5,000,000.00 shall be shared between PLSP and KOHAMA in the following proportion:-
           (i) Seventy per cent (70%) of the total proceeds from the sale of the said houses shall belong to PLSP.
          (ii) Thirty per cent (30%) of the total proceeds from the sale of the said houses shall belong to KOHAMA.

1.2 The parties agreed that the method of calculation of profit in the Agreement is as follows:-
       PBT = A – B – C
       A             –             Actual development value of the Project as may be approved by the relevant authorities
       B              –             Actual development cost of the Project
       C              –             Cost of Developer’s land to be paid to the Proprietor
       PBT         –             Profits before taxation
       The Parties will have to bear their own taxation upon distribution of profits.

2.   SHARING ON UNSOLD UNITS OF HOUSES
The Parties agreed to allocate the said houses in which are remain unsold for a period of nine (9) months from the date of completion of the said houses and shall be distributed and allocated in the following manner:-

(a) Sharing between the Proprietor and PLSP

(i) Proprietor’s Entitlement:

The Proprietor will be allocated with the unsold units with agreed sale value equivalent to RM128,000.00 for each unsold unit which shall form part of the balance sum of RM3,710,000-00 as stated in Clause 2.1(a)(iii) of the Principal Agreement provided that the Proprietor is thereafter at liberty to sell or dispose off its houses allocated to the Proprietor at a price or prices not lower than that of PLSP’s selling price.

(ii) PLSP’s Entitlement

Other than the profits which have been allocated to the Proprietor as stated above, the balance of the unsold units of the houses on the said Land shall belong exclusively to PLSP and the Proprietor shall execute relevant transfer instruments for balance of unsold units in escrow and forward the same to PLSP or PLSP’s Solicitors simultaneously upon the allocation as stated in Clause 2(a)(i) above.

(b) Sharing between the LSP and KOHAMA

The Parties agreed and expressly declared that PLSP and KOHAMA will share the unsold units of the said houses and further agree to distribute the profit from the total  proceeds from the sale of the unsold units of the said houses between PLSP and KOHAMA according to Clause 1 of this Announcement.

涉足產業復興‧魯斯特提振盈利

(吉隆坡10日訊)魯斯特工業(LUSTER,5068,主板工業產品組)以聯營方式涉足霹靂州一項中價產業計劃的復興工作,負責興建106單位排屋,達證券持正面看法,估計相關貢獻將在2017年杪兌現。

達證券指出,上述106單位排屋是首階段發展,整項計劃實際上涵蓋了300單位排屋,但已廢棄超過10年;為進行首階段發展,估計需消耗700萬令吉成本,用於基建和房屋建設。

“以每單位15萬令吉計算,第一階段發展值估計為1千600萬令吉,而且由於是先建後售模式,相關貢獻預計2017年杪才兌現。”

整體來說,達證券樂見上述發展,相信有助多元化製造業務的盈利風險,同時看好魯斯特工業有機會連帶贏得第二階段的復興工作,畢竟基建成本已被歸納進第一階段成本中。

看好柬埔寨測字業務

此外,達證券也繼續看好魯斯特工業在柬埔寨的測字業務,當地政府持續努力打擊非法博彩運作,可望讓其測字業務在未來3至5年取得顯著增長。

納入新產業計劃貢獻後,達證券上調魯斯特工業2017年財測43%,至670萬令吉,但保持按現金流折現法(DCF)14%折價算出的12仙目標價不變,給予“買進”評級。(星洲日報/財經‧報導:李三宇)

RE-ORGANISATION OF THE GROUP STRUCTURE
The Board of Directors’ of Luster Industries Bhd. (“Luster” or “the Company”) wishes to announce that its wholly-owned subsidiary, Luster Precision Engineering Sdn. Bhd. ("LPE") had on 31 March 2016 transferred its entire equity interest comprising 1,000,000 ordinary shares of RM1.00 each in Pembinaan LSP Jaya Sdn. Bhd. (“PLSP”) to Winco Precision Engineering (Melaka) Sdn. Bhd. (“WPE”), another wholly-owned subsidiary of the Company, for a total cash consideration of RM1,000,000.00 (“Internal Re-Organisation”).

PLSP will be a wholly-owned subsidiary of WPE upon completion of the Internal Re-Organisation.

The rationale for the internal Re-Organisation is to streamline its operation and activities.

The Internal Re-Organisation has no impact on the earnings per share, net assets per share and gearing, share capital and substantial shareholders shareholding of the Company for the financial year ending 31 December 2016.

The Internal Re-Organisation is not subject to the Shareholders' approval of Luster.  

None of the directors and/or major shareholders and/or persons connected with them have any interest, either direct or indirect in the Internal Re-Organisation.

This announcement is dated 31 March 2016.

鲁斯特工业多元化拓财源

(双溪大年4日讯)鲁斯特工业(LUSTER,5068,主板工业产品组)期望通过多元化业务,为公司带来新气象,开拓盈利来源。

该公司副董事经理梁惠儒日前在股东特别大会后表示,除了原有的制造业,该公司已经涉足产业发展和博彩业,预料2017年杪就能取得成果。

由于国际市场停滞不前,该公司在提高生产效益之余,也开拓更多盈利来源,目前正与英国一家公司洽谈订单,希望借美元强势之际,专注出口市场,为公司开拓更多业务。

该公司已经以联营方式,在霹雳兴建首阶段的106单位排屋,整项计划包括兴建300单位已停顿超过10年的排屋,估计成本需700万令吉。

此外,该公司在柬埔寨的博彩业务也渐入佳境,随着当地政府持续努力打击非法博彩业,该公司的保持业务可望在未来3至5年取得显著增长。

不过,为了加快发展,该公司或将引进合作伙伴。【e南洋】
