RAM：財務堅穩‧世華AA1評級保持

（吉隆坡29日訊）考慮到主要財務指標在嚴峻環境中仍然符合預期，及在本地中文報界的地位穩固，大馬評估機構（RAM）決定維持世華媒體（MEDIAC，5090，主板貿服組）5億令吉中期債券的“AA1”／“穩定”評級不變。

世華債券維持AA1

大馬評估機構也相信，2016年對世華媒體來說仍會是充滿挑戰的一年，主要是受消費和商界情緒放緩的影響，但卻看好該集團的強勁資產負債表有助對抗未來挑戰，繼續保持其領導地位。

該機構透過文告說，2014年發生史無前例的三宗空難、大馬半島東海岸水患和實施消費稅前的不明朗因素，造成廣告商紛削減開銷，世華媒體旗下印刷、雜誌和旅遊業務因而轉弱，營業額和營運盈利（EBITDA）分別按年下跌8.5%和16.5%。

馬幣貶值和一次性撥備損失也對世華媒體的表現造成一定的影響。

該機構指出，世華媒體在大馬中文報界的主導地位、強勁財務檔案和卓越流動性地位，是其AA1評級的支柱。

中文報報份市佔率89%

文告表示：“世華媒體在大馬半島中文報界的經稽查報份市佔率高達89%；按廣告開銷計，旗下4大報刊，包括《星洲日報》、《中國報》、《光明日報》和《南洋商報》的合計市佔率仍企於強穩的74%，該集團旗下的電子報業務亦取得讓人鼓舞的成長，尤其是《星洲日報》和《光明日報》。”

與此同時，香港《明報》則在當地付費中文報廣告市場中保持第6的位置，市佔率接近10%。

2016財政年首季
重新成淨現金公司

大馬評估機構補充，世華媒體的經調整負債率過去兩年持續改善，先是從2014財政年的0.7倍，降低至2015財政年的0.62倍，並於2016上半年再改善至0.52倍，歸功於債務減少。

此外，世華媒體也在2016財政年首季重新成為淨現金公司，在有規劃減債和資本開銷需求偏低的支持下，這情況可望持續下去。

“世華媒體還掌握強勁的現金製造能力，經調整營運資金（FFO）債務覆蓋比例在2015財政年企於0.42倍，2016上半年則上揚至0.47倍，顯示流動性地位卓越；截至2015年3月杪，該集團握有1億1千862萬美元現金，短期債務則只有989萬美元。”

無論如何，世華媒體的評級同時受數碼媒體普及化的影響，使傳統媒體平台如印刷、電視和電台等面對激烈競爭，有關衝擊已反映在報份流通量下滑現象上，因電子報和獨立網絡新聞平台吸引了市場目光。

《明報》母公司飆30%後 馬港世華媒體今同步停牌

（香港11日訊）隨著香港聯號公司股價飆漲后逐一停牌，世界華文媒體（MEDIAC，5090，主要板貿服）亦宣布週二（12日）上午9時開始停交易。

該公司稍晚向馬證交所報備，配合重大宣布，股項將在週二（12日）上午9時起暫停交易。

馬股上市世華媒體今日閉市揚2仙，掛62.5仙，成交量74萬300股。

香港上市《明報》母公司萬華媒體今日股價逆市勁揚，過后與附屬公司世界華文媒體雙雙于下午2時半后停牌，目前未知原因。

香港媒體報導，萬華停牌前曾飆升27%，報1.22港元（約69仙），撇除另一港股協鑫新能源股權，為今日主板表現最佳股份，成交量931萬股，涉資1062萬元（約600萬令吉）。

同系的世界華文媒體停牌前升約3%，報1.2港元（約68仙），升2.56%，成交額39.6萬元（約22萬令吉）。

報導指出，上月兩股曾有過炒作理想，市場亦曾傳阿里巴巴洽購《明報》，不過最終傳聞遭阿里否認。【中国报财经】

洽售香港万华73%　世华盈利衝击不大

（吉隆坡12日讯）世界华文媒体（MEDIAC，5090，主板贸服股）宣佈暂停交易，与脱售旗下香港子公司－－万华媒体的股权相关。分析员对此抱持中和的態度，因为不管世界华文媒体脱售万华媒体所有股权或部份股权，对其盈利的影响並不显著。

世华媒体週一傍晚发文告称，其股票于12日暂停交易，以宣佈重大消息。与此同时，在香港双边上市的世界华文媒体，和子公司--万华媒体也在周一午盘2时42分宣布暂停交易，並在晚间发文告，称將出售万华媒体集团的股权，但並未说明具体数量。

另外，世华媒体延至今日闭市后才再发文告宣佈，该公司正和潜在投资者展开初步洽谈，以脱售其持有万华媒体的2亿9270万股或73.01%股权。不过，董事局目前仍未作决定。

世华媒体股票將在周三（13日）早上9时恢復交易。

周一停牌前，香港世界华文媒体报每股1.20港元，万华媒体停牌前涨26%，至每股1.22港元。而马股掛牌的世华媒体昨天闭市报62.5仙。

肯纳格研究分析员在世华媒体公佈详情前的报告指出，对于这项消息抱持中和態度。该分析员说，无论世华媒体是否出售万华媒体的所有股权，抑或是部份股权，所带来的影响皆甚微。

有鉴于此，他维持世华媒体2016和2017財政年（3月31日结账）的盈利预测。

分析员称，截至2016財政年上半年，万华媒体的营业额按年下滑21.6%，至6870万港元，并为世华媒体香港业务贡献28.5%，或占总营业额4.5%。

「与此同时，由于消费者需求疲弱，再加上中国游客减少，导致其零售领域放缓，进而使万华媒体蒙亏106万港元。以暂停交易前掛价1.22港元计算，万华媒体的市值为4891万港元，其股价是账面价值的3倍以上。」

根据《南华早报》今早的报导，世界华文媒体没有透露买家是谁，也没有说明將出售其对万华传媒的多少持股。

万华媒体旗下有数份中文杂誌，包括《明报周刊》和汽车杂誌《TopGear极速志》。

此前，曾有传闻指，中国电商巨头阿里巴巴正洽购《明报》，不过阿里之后出面闢谣。

前景充满挑战

整体而言，肯纳格研究分析员指出，由于大马营业成本上升，使得广告市场疲弱，因此世华媒体的前景充满挑战。

不过，较低的新闻纸可为盈利提供一些支撑；然而，若令吉匯率持续走贬，也將衝击该公司的盈利，因为新闻纸是以美元计价。因此，该分析员维持世华媒体目標价0.61令吉，以及「与大市同步」投资评级。【东方网财经】

大马业务税前盈利扬10% 世华媒体第三季赚3195万

（吉隆坡26日讯）世华媒体（MEDIAC，5090，主板贸服股）截至去年12月杪第3季净赚3195万2000令吉或每股净利1.89仙，其中，大马业务税前盈利取得10.2%的显著涨幅。

根据文告，大马业务的税前盈利表现更佳，归功于成本控制策略奏效，抵消营业额按年萎缩8.1%的影响。

同时，大马业务税前赚幅达24.5%，且数码业务更取得三位数增长，因电子传播和电子商务营业额走高。

相比上财年同季的净利4557万1000令吉，世华媒体第三季净利按年跌29.89%。

派息2.15仙

同季营业额年跌23.05%，至3亿4754万6000令吉。

合计首9个月，世华媒体净赚1亿259万3000令吉或每股净利6.1仙，营业额报11亿9456万7000令吉。

集团这段期间总共派发每股2.15仙的股息，高于上财年同期的每股1.85仙。

截至去年12月杪，公司现金达1亿3167万6000美元（约5亿5354万令吉），每股净资产11.6美分（约48.75仙），且并无负债。

集团总执行长张裘昌在文告中指出，展望现财年第4季，公司将继续专注强化营运效率，并通过更多营销和降低成本策略，以取得更佳的盈利表现。

“虽然市场充满挑战但我们还是会保持谨慎态度，来推动业务发展。”

独立董事刘衍明下月杪卸任

企业界知名人士丹斯里刘衍明将在3月31日起，卸下他在世华媒体的独立董事职位。

世华媒体执行主席丹斯里张晓卿说，尽管天下无不散之筵席，对刘衍明的挥别，世华媒体董事和管理层，皆深感不舍。

在张晓卿的提议下，世华媒体董事部今日在会议上，给予刘衍明由衷的感谢和敬意，也将其贡献记录在案。

张晓卿在董事部会议上表示，刘衍明基于个人的职务繁忙，婉拒再延长他的董事任期。

世华媒体董事部今日也通过委任新独立董事拿督张启扬加入世华媒体阵容，任期于4月1日生效。

张晓卿说，张启扬华校出身，却崛为引导英文教学的佼佼者，他所开发一套独特学习理念和教学系统已随着他所创办的“立肯语言学院”在全国扩展，而得到贯彻，春风化雨，作育英才。

世华媒体董事逝世

（吉隆坡2日讯）世华媒体（MEDIAC，5090，主板贸服股）独立非执行董事天猛公拿督肯勒甘雅安纳天猛公柯，在周一（1日）逝世。

根据文告，世华媒体对肯勒的离世感到十分悲伤，并向肯勒的家属致以衷心的慰问。

“董事部也向肯勒表达由衷的谢意，感谢他过去为公司作出非常珍贵的贡献。”

肯勒得年73岁，早前曾担任前首相敦阿都拉萨和砂拉越首长的政治秘书，他持有世华媒体的13万5925股，每股面值0.10港元（约5.4仙）。

随着肯勒逝世，世华媒体的提名委员会主席职务已悬空，审计委员会成员和薪酬委员会独立非执行董事的人数，也减少至2名，不符合上市条例。

与中国官企签MOU　世华洽售万华73%股权

（吉隆坡4日讯）配合脱售万华媒体的重大宣布，世界华文媒体（MEDIAC，5090，主板贸服股）在香港及大马双边上市的股票，今日下午起暂停交易。

世华媒体香港股票今日下午1时开始暂停，而在马股上市的世华媒体股票也在下午2时30分起暂停交易。

与此同时，世界华文媒体旗下香港子公司－－万华媒体也在下午1时起宣布暂停交易。

世华媒体傍晚发文告宣布，其子公司Comwell投资有限公司今日与中国官企--青岛西海岸控股签署谅解备忘录，洽谈脱售万华媒体73.01%股权的交易。

双方同意从即日起至4月15日期限內，將不会和其他人洽商，並会致力达成协议，以完成这项交易相关的买卖协议。

世华媒体和万华的主席都是大马富商丹斯里张晓卿，万华主要在大中华地区从事媒体业务，包括杂誌出版及数位媒体业务。

在暂停交易前，万华媒体股价大幅上扬，停牌前掛价1.47港元，上升5.755%。世华媒体在香港及大马上市的股票，停牌前均没有起落，分別报1.15港元及66仙。

世华媒体將在週一复牌。较早前，世界华文媒体已经透露，正和潜在投资者展开初步洽谈，卖出其持有万华集团的2亿9270万股或73.01%股权。

售萬華獲上調評級 世華媒體復牌走高

（吉隆坡7日訊） 豐隆投銀研究相信，世界華文媒體（MEDIAC，5090，主要板貿服）宣布洽商脫售萬華媒體（OWG）股權，可能回饋股東13.3仙特別股息，將投資評級上調至“短期買進”，股價復牌走高。

豐隆投銀研究指出，萬華媒體股價自上述股權脫售宣布以來，從1.22港元（約64.25仙），升至1.47港元（約77.41仙）。

該行說，如果以萬華媒體每股1.47港元計算，世界華文媒體持股73.01%股權，可能價值2億2490萬令吉，或每股13.3仙。

考量到世界華文媒體的強勁現金流，該行不排除公司將從中所獲的部分收益，回饋股東每股13.3仙特別股息。

推薦短期買進

同時，該行認為，世界華文媒體也可能將股權脫售所獲的部分收益，多元化至其他媒體業。

基于潛在特別派息，可能催化短期股價表現，該行將該股的投資評級調高至“短期買進”，目標價為67仙。

配合上述企業宣布，該股上週五（4日）下午2時半暫停交易，于今早9時以66.5仙恢復交易，升0.5仙，大部份時間在66仙至67仙之間游走，以66.5仙掛休；半日成交量28萬9900股。閉市時該股報65仙，跌1仙，成交量38萬4000股。

数码业务劲扬 派息2.43仙
世华媒体末季赚1075万

（吉隆坡30日讯）世华媒体（MEDIAC，5090，主板贸服股）截至3月31日末季，净利按年增10.56%，同时建议派息每股2.43仙。

该公司末季净赚1074万6000令吉，优于上财年同季的972万令吉；不过，营业额则按年下跌18.33%，至2亿7664万8000令吉。

世华媒体建议于7月13日支付每股2.43仙的股息，除权日为6月20日。

累积全年，世华媒体净利跌15.2%，报1亿398万4000令吉；营业额则跌18.6%，写13亿6228万9000令吉。

根据文告，尽管严峻的市场趋势，大马业务的税前盈利赚幅在末季和全年，各别录得17.5%和21.3%，同时数码业务收入取得三位数增长，归功于电子报发行量的销售。

展望未来，世华媒体总执行长张裘昌指出，公司在现财年经历了极具挑战的营运环境。

“由于汇率波动和经济充斥不确定因素，估计下财年将持续充满挑战。”

他说，董事部谨慎看待来年的广告市场，因消费者和企业开销情绪陷入低迷。

“尽管如此，公司将推出更多创新的印刷和数码广告配套，为客户带来更大价值的市场营销解决方案。”

张裘昌指出，随着数码营销和社交媒体的使用处于增长趋势，公司将持续拨出更多的资源，强化不同的数码平台，以吸引更多客户和推动营业额。

“尽管新闻纸价格有望在下财年企稳，但若美元兑令吉和加元走高，将会影响公司的整体表现。”

（吉隆坡22日訊）配合脫售香港上市的萬華媒體（One Media）約73%股權，在大馬與香港雙邊上市的世界華文媒體（MEDIAC，5090，主要板貿服）將有重大宣佈，因此會從下週一（25日）起，在大馬及香港股票交易所同步暫停交易。

世華媒體發佈文告指出，配合售股相關事宜的宣佈，馬交所已批準該股暫停交易申請，集團今日也已配合相關售股簽署股權轉移協議。

文告指出，萬華媒體需取得香港證券及期貨事務監察委員會（SFC）的批文后，才可以對外公佈有關股權轉移協議及其他相關事宜，而基于世華媒體是獻售方，因此也將會同步停牌交易。

世華媒體是萬華媒體控股股東兼《明報》母公司，早前報導曾指出，世華媒體正與一名潛在買家處于初步洽商階段，擬全數脫售萬華媒體股權，但卻未披露潛在買家身分。

The Board of Directors of MCIL wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has approved its request for trading suspension pending release of an announcement in relation to the disposal of shares of One Media Group Limited (“OMG”) (“Proposed Disposal”). The request for suspension is made under Paragraph 3.1(c) of Practice Note 2 on Requests for Suspension of the Main Market Listing Requirements of Bursa Securities, pending the publication of an announcement containing certain inside information of the Company in relation to, among other things, the share transfer agreement which was signed today relating to the Proposed Disposal. OMG is required to obtain approval and clearance from the Securities & Futures Commission of Hong Kong (“SFC”) prior to the publication of the announcement pertinent to the share transfer agreement and other ancillary matters(1). As MCIL is a party to the Proposed Disposal, MCIL will concurrently be suspended on The Stock Exchange of Hong Kong Limited (“HKEX”) pending the clearance of the announcement of OMG by the SFC. As MCIL is also listed on Bursa Securities, the Company has also simultaneously requested for suspension on Bursa Securities. Accordingly, trading in the shares of MCIL will be suspended and uplifted simultaneously on both Bursa Securities and HKEX. Note: (1) Upon completion of the Proposed Disposal, the purchaser would be required under Rule 26.1 of the Hong Kong Code on Takeovers and Mergers (“Hong Kong Takeovers Code”) to make an unconditional mandatory general cash offer to acquire all the issued shares of OMG that are not owned or agreed to be acquired by the purchaser and/or parties acting in concert with it. 世华媒体子公司6420万美元悉数脱售万华媒体股权

（吉隆坡1日讯）在香港上市的世华媒体（Media Chinese International Ltd）以4亿9806万港元（约6421万美元或2亿5850万令吉）现金，悉数脱售其持有万华媒体（One Media Group Ltd）的73.01%股权。

世华媒体估计，在扣除截至2016年3月31日的股权净账面价值后，以及考量预估成本和相关会计调整后，脱售万华媒体可为集团带来约3亿6330万港元（约4680万美元）的收益。

世华媒体今日向大马交易所报备，独资子公司Comwell Investment Ltd与青岛西海岸控股（Qindao West Coast Holdings International Ltd）于7月22日，在世华媒体作为担保人的情况下，签署了一项股权转让协议。

该集团在文告中表示，青岛西海岸控股成立于英属维尔京群岛，最终控股股东为中国国有企业。

根据这项协议，青岛西海岸控股同意以每股约1.7016港元，比万华媒体7月22日的最后交易价1.4港元溢价21.54%，或合共8828万港元收购万华媒体的2亿9270万股。

世华媒体表示，此脱售计划也让集团以高于一年前的市价，套现万华媒体的股权投资。

万华媒体成立于开曼群岛（Cayman Islands），旗下业务包括杂志报章的出版，像是《明报周刊》（Ming Pao Weekly）、汽车杂志《Top Gear》、腕表杂志《明表》、艺人和活动活动管理等业务。

同时在马交所和香港上市的世华媒体，计划运用脱售所得摊还银行和其他贷款、为营运资本和投资筹资，以及在12个月内偿还脱售计划的相关成本。

“截至2016年3月31日，世华媒体的贷款总额近1亿1610万美元（约4亿6750万令吉）。该集团拟摊还部分未偿还贷款，合共约3320万美元。”

“同时，世华媒体也计划将部分脱售所得，充作一般营运资本以及用作投资，包括但不限于扩展电子媒体的业务。”

这项脱售计划预计将在2016年末季完成。

世华媒体在马交所上市的股票，因重大宣布而在7月25日暂停交易，该股于今日下午2时30分复盘。

张裘昌:捍卫市占率
世华媒体强攻数码业

（吉隆坡12日讯）眼见电子化趋势大热，世华媒体（MEDIAC，5090，主板贸服股）将强攻数码媒体领域，并看好该业务的营业额会在未来持续走高。

世华媒体总执行长张裘昌今天出席股东大会时表示，公司将把重心继续放在数码媒体业务，致力于捍卫市占率。

他说，数码媒体是一个无法被忽略的领域，而公司旗下的数码媒体业务，也取得稳健增长。

2016财年，集团的数码媒体营业额（包括电子报认购收入）按年增长8%，其中，末季（1月至3月）更取得24%的增长。

“目前，我们仍在单位数增长的轨道上。不过，我们已准备就绪，迎接双位数的增长表现。”

张裘昌强调，世华媒体的数码媒体业务增长迅速，公司也已分配更多人手负责相关业务。

另外，世华媒体执行董事梁秋明说，虽然数码媒体还需要时间才能“填补”印刷媒体业务落后所致的空缺，但希望日后可以追上步伐。

“别忘了，我国的数码媒体营业额增长高达68%。”

一同出席股东大会的，还包括世华媒体集团执行主席丹斯里张晓卿爵士、独立非执行董事拿督张启扬、执行董事黄泽荣、执行董事拿督斯里张翼卿、非执行非独立董事张聪、独立非执行董事邱甲坤，和独立非执行董事俞汉度。

放眼多元化商机

世华媒体也放眼多元化业务的机会，特别是可借助现有读者群和专业知识的商机。

张裘昌说：“只要是合理的、或是适合公司业务组合的任何机会，我们都会评估。但我们不会纯粹为了多元化而多元化。”

他解释，公司倾向于任何与媒体、或现有读者群相关的业务，否则就会暴露在风险之下。

中文报广告占75%

展望未来，营运环境始终充满挑战。张裘昌坦言：“相信没有人胆敢说最坏的情况已经过去。”

全球经济和消费者情绪走缓，均导致广告商保持谨慎。

根据大马尼尔森广告监播服务（Nielsen Advertising Information Services）报告，去年4月至今年3月间，所有媒体（不包括收费电视）的广告开销，按年跌了10.1%，仅达74亿令吉。

其中，报章的广告开销，更跌了12%，仅达40亿令吉。不过，中文报章的跌幅，乃是三大语文源流报章中最轻，为-9.3%。

目前，世华媒体在我国中文报章的广告开销市占率达75%。

近期完成资产回购售万华后或派特别股息

至于世华媒体在脱售了万华媒体集团（One Media Group）后，会否派发特别股息？

对此，张裘昌大卖关子，只是表示一切有待日后公布：“若有钱，当然可以派，再等等（公布）吧！”

世华媒体2015财年的派息率为50%，2016财年则扬至70%。

本月初，公司宣布获准以总值4亿9805万8320港元（约2亿5841万令吉）或每股1.7016港元（约88仙），脱售万华媒体集团（One Media Group）73.01%股权予青岛西海岸控股（国际）有限公司。

但张裘昌表示，这交易还有不少需履行的条款，且必须向后者回购万华媒体原本的部分杂志业务，即在台湾的《极速志》（Top Gear）和《明表》（MING Watch）。

他说，这是碍于中国的条例，将尽快完成回购，并在短斯内宣布详情，不过没透露价格。

大马4报不整合

针对小股东在股东大会上，提出是否会将旗下4家报馆整合为2家？

张裘昌回应：“我们有不同的读者群和广告商，因此，需要不同定位的报纸，迎合不一样的需求。”

言下之意，相信仍会保持现况。世华媒体在大马拥有4家中文报馆，包括《南洋商报》、《中国报》、《星洲日报》和《光明日报》。

美元走强 中国打贪香港旅游业务走缓

世华媒体旗下的香港旅游业务，在巴黎遭遇恐袭后，于去年下半年走缓。

张裘昌解释，美元走强，与美元挂钩的港元同样强势，导致游客访港变得昂贵。

再加上中国严打贪污，中国游客到香港旅游时，也大量减少购买名牌品。

不仅如此，航空业者也为中国市场提供直飞欧美的班机，因此，中国人已无需在香港转机，拖低消费表现。

如此一来，商家的收入也随之减少，故选择紧缩广告开销，影响世华媒体的业务表现。

张晓卿：善用新科技迎合消费需求

世华媒体集团执行主席丹斯里张晓卿爵士在大会上表示，面对全球经济变数，集团将跟着市场趋势，善用新科技和多元平台，加强新媒体，更完善地迎合消费者需求。

他指，过去一年的全球经济不景气，对媒体业带来非常严峻的考验，面对着市场消费情绪低落、不利的汇率兑换、减少广告开支，以及油价持续低迷等。

张晓卿说到，身为标志性的领航媒体机构，世华媒体持续采取各措施，将原有印刷媒体扩充，结合成电子与数码融合媒体的经营模式。

净现金逾亿

梁秋明认为，判断公司的表现不能仅看净利或盈利，现金流也很重要，特别是市况不济之际，手握现金才是王道。

“我们目前已经是处于净现金状况了。”

根据年报，世华媒体截至3月31日，2016财年的净现金企于2483万4000美元（约1亿4万9954令吉）。

张裘昌表示，公司计划偿还负债以节省利息。【e南洋】
