获彭亨基金委任管理房屋项目
OCR放眼7年获利9100万

(吉隆坡8日讯)OCR公司(OCR,7071,主板消费产品股)子公司Pangkal Teguh有限公司,获彭亨基金(Yayasan Pahang)委任为“可负担房屋发展计划”的项目管理顾问。

建2.5万间住宅产业

根据文告,这项发展计划包含建造2万5000间住宅产业,发展期限为7年。

Pangkal Teguh将为该计划提供项目管理和顾问服务,包括可行性研究和方案设计、发展设计、合约文件、合约执行和管理,以及行销和信贷控制。

以OCR公司握有Pangkal Teguh的70%股权来计算,预计会为OCR公司带来9100万令吉的盈利贡献。

Pangkal Teguh所获得的服务收费分为两种,分别为每间售价12万令吉或以下的房产,可获5500令吉;以及每间售价介于12万至15万令吉的房产,可获8000令吉。

OCR公司董事经理王家豪表示,“这项计划对公司而言,这重大的项目。目前为止,集团赢得最大规模的单一合约。”

这合约料会为OCR公司截至7月杪2017财年的净利和净资产,带来正面贡献。【e南洋】

The Board of Directors of O&C Resources Berhad (“OCR”) wishes to announce that its 70% equity subsidiary, Pangkal Teguh Sdn. Bhd. (“PTSB”), has on 8 September 2016, received a letter of award for its appointment as project management consultant  (“PMC”) from Yayasan Pahang (“YP”) of Komplek Yayasan Pahang, Tanjung Lumpur, 26060 Kuantan, Pahang for its project, Affordable Housing Development Scheme (“AHDS”), in the state of Pahang which consist of approximately 25,000 units of residential properties.

The scope of services to be provided pursuant to the said award comprises of project management and consultancy services for the AHDS in major towns in Pahang in the following phrases;-
  • Feasibility study and Schematic Design phase
  • Design Development phase
  • Contract Documentation phase
  • Contract Implementation & Management phase
  • Marketing and Credit Control
The professional fees received by PTSB would be based on the nature of works involved and scope of services as follows:-
  • RM5,500.00 for each property selling at the price of RM120,000.00 and below and
  • RM8,000.00 for each property selling at the prices between RM120,000.01 and RM150,000.00;

There is no financial commitment by OCR to PTSB on the said PMC. PTSB will source its own financing for the PMC, if any, while OCR will provide technical support such as consultation to PTSB as and when it is required in view of the vast experience in development and management of projects previously undertaken by OCR.

The duration of the said project is expected to be over a period of 7 years.

The value for this PMC award is at average of 4.8% of the gross development value of the said Project.

OCR’s profit entitlement from the above PMC is calculated based on its equity interest held in PTSB, which is at 70.0% effective interest. Total estimated profit attributable to OCR from the said PMC is approximately RM91 million over the 7 years construction period.

None of the Directors or major shareholders or persons connected with them has any interest, direct or indirect on the abovementioned PMC. The Board is of the opinion that the abovementioned PMC is in the best interest of OCR and its Group.

The above PMC will expect to contribute positively to the earnings and net assets of the OCR Group for the financial year ending 31 July 2017.

This development will consist mainly of single storey terrace and semi-detached houses.

OCR will provide technical support which includes conducting feasibility study for identification of areas to be developed, design and planning of development, assist in marketing strategies and overall project management and implementation when it is required.

OCR联营发展万宜住宅房产

2016年11月25日
(吉隆坡24日讯)OCR公司(OCR,7071,主板消费产品股)和Arra Inovasi(简称AI)有限公司达成联营协议,发展位于雪兰莪万宜的住宅产业。

OCR公司今天发文告指出,子公司Grand Superland(简称GS)有限公司将作为主要承办商,在AI公司拥有的8.7英亩地皮上,新建住宅项目。

发展总值9000万

该项目名为“Tiara Bangi Homes”,包括类型A与类型B的四层城市别墅住宅,分别有100个单位。

项目发展总值达9000万令吉,发展成本为7200万令吉。GS公司将从中获得税前盈利899万令吉。

根据合作协议,所有开支由GS公司承担,因此该公司将从银行、金融机构以及其他相关单位集资。

由于集资详情还未定案,因此OCR公司无法评估该项目,对公司负债率的影响。【e南洋】

Query Letter Contents
We refer to your Company’s announcement dated 24 November 2016, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
  • Whether any valuation was carried out on the Lands, if so, the name of the independent registered valuer, date and method of valuation and quantification of the market value. If no valuation was carried out, please elaborate further as to how the value of the Lands is being determined which form part of the gross development costs.
  • The detailed basis in arriving at the gross development value and gross development costs of RM90 million and RM72 million respectively pertaining to the said Project.
  • Existing usage of the Lands.
  • Expected commencement and completion of the Project.
  • Reasons and purpose for providing the advance of RM316,632.00 to AISB and terms of repayment to GSSB.
  • In relation to Arra Properties Sdn Bhd, the information shall include the principal activities of the company, name of directors and major shareholders together with their respective shareholdings.
  • The estimated financial commitment to be incurred by GSSB for the Development Works.
  • To state clearly why the JVA does not require the approval of the shareholders of OCR despite the highest percentage ratio applicable to the JVA is 42.10% pursuant to paragraph 10.02(g) of the MMLR.

该公司向马交所报备,首季营业额因建筑业务的盈利入账有所增加,按年走高13.41%,录得1195万6000令吉,上财年同季为1054万2000令吉。

根据OCR文告,由于原料价格和制造成本上涨,该公司的制造和销售业务正面临挑战。

OCR获一马房屋1.5亿合约

2016年12月20日
(吉隆坡19日讯)OCR公司(OCR,7071,主板消费产品股)宣布,联号公司AES Builders私人有限公司获一个大马人民房屋(PR1MA)颁发价值1亿5500万令吉的工程合约。

根据文告,OCR公司持股70%的子公司————Kita Mampan私人有限公司,拥有连号公司AES Builders中的49%股权。

AES Builders将负责位于吉隆坡武吉加里尔(Bukit Jalil)一个项目的设计、策划、采购,以及建筑工程,工程将耗时36个月。

AES Builders将是上述项目的总承包商。对于上述合约,AES Builders并未从OCR公司获得财务资助。

AES Builders将自行为该工程项目寻找资金来源,而OCR公司将提供技术支援如咨询,并在有需要时,分享发展项目的经验。

该项目的发展成本约1亿3175万令吉,并预计会为OCR公司,带来约797万令吉的净利贡献。

OCR 40万购VA产业80%

2016年12月23日
(吉隆坡22日讯)OCR公司(OCR,7071,主板消费产品股)宣布以总值40万令吉,收购Visi Anggun 产业(简称VA产业)有限公司40万股或80%股权。

OCR公司今日发表文告,将以内部集资,通过独资子公司Grand Superland有限公司完成上述收购活动。

根据文告,VA产业11月3日获得来自马来西亚回教科学大学(USIM)意向书,为后者进行可容纳共4200名学生的两项宿舍建设、经营、转让(build-operate-transfer,简称BOT)项目,及拥有400张床位的教学医院大楼BOT项目。

在OCR公司成为VA产业的最大股东后,该公司将会负责上述项目的设计、建设和经营工作。

不过,文告并没有提及项目详情,包括总发展值以及项目期限。

文告也补充,VA产业剩余股权,由Inventive资源有限公司持股15%,和莫哈末尼占迦迪持有5%。

OCR与回教大学签备忘录
探讨合建宿舍

(吉隆坡6日讯)OCR公司(OCR,7071,主板消费产品股)与马来西亚回教科学大学(USIM)签署了解备忘录,进一步探讨为USIM兴建宿舍的合作细节。

该公司昨日向马交所报备,子公司Visi Anggun产业有限公司与USIM,昨日签署了备忘录,进一步讨论计划、兴建、设计和建造学生宿舍的合作事宜。

随后,若Visi Anggun产业与USIM达成协议,双方会签署另一份具有法律效应的协议。

OCR公司指出,该备忘录的期限为1年,也可以延长。

根据文告,OCR公司在12月22日曾向马交所报备,称Visi Anggun产业接获USIM的意向书,提议以建设、经营、转让模式来打造2座学生宿舍,总共可容纳4200名学生。【e南洋】

MEMORANDUM OF UNDERSTANDING BETWEEN VISI ANGGUN PROPERTIES SDN. BHD. , A 80% OWNED SUBSIDIARY OF O&C RESOURCES BERHAD ("OCR" OR THE "COMPANY"), AND UNIVERSITI SAINS ISLAM MALAYSIA ("USIM")
(The terms used herein, unless the context otherwise states, shall bear the same meaning as those defined in the announcements dated 22 December 2016 and 27 December 2016 respectively.)

The Board of Directors of O&C Resources Berhad (“OCR” or the “Company”) wishes to announce that VAPSB, a 80% owned-subsidiary of GSSB which in turn is a wholly owned subsidiary of OCR, has on today, 5 January 2017, signed a Memorandum of Understanding (“MOU”) with Universiti Sains Islam Malaysia (“USIM”).
