The Board of Directors of YNH (“the Board”) wishes to announce that the Company had on 20 December 2013 through its Internal Group Re-organisation acquired 2,300,000 ordinary shares of RM1.00 each respectively in the Subsidiaries, representing 100% of the issued and paid-up share capital of the Subsidiaries from YNHC at a total consideration of RM8,517,771 (hereinafter referred to as “Re-organisation Consideration”).

- YNH Electrical Engineering Sdn Bhd
Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of YNH Property Bhd ("YNHProp" or "the Company") wishes to announce that the Company has on 23 July 2014 acquired the entire issued and paid-up share capital of YNH Electrical Engineering Sdn Bhd("YEESB") for a total consideration of RM2.00, resulting in YEESB becoming a wholly-owned subsidiary of the Company.  

YEESB was incorporated on 8 July 2014 as a limited company with an authorised capital of RM400,000.00 and issued capital of RM2.00 comprising 2 ordinary shares of RM1/- each fully paid. The intended principal activity of YEESB is that of electrical engineering contractors and electrical works.  As at the date of this announcement, YEESB has yet to commence operation.

The above acquisition is not expected to have any material effect on the earnings or net assets of the Company for the current financial year.

Save for Dato' Dr Yu Kuan Chon and Dato' Yu Kuan Huat who acted as subscribers in YEESB, none of the Directors or substantial shareholders or person connected to them has any interest in the aforesaid acquisition.

游禮發產業 擬未來5年產託化

(吉隆坡24日訊)儘管游禮發產業(YNHPROP,3158,主要板房產)擬未來5年產托化,或注入4項資產,不過豐隆投銀研究指出,該公司僅活躍于幾項的發展項目,難以應對成本走高衝擊,維持“守持”建議。

豐隆投銀研究說,游禮發產業暗示將在5年內設立產托,不過,該公司並沒有提供發展游禮發大廈的明确時間表。

除了游禮發大廈,豐隆投銀研究認為,其他可穩定帶來收入的資產包括,位于斯里曼絨(Seri Manjung)的永旺超市、曼絨班底醫院(Pantai Hospital),及占地面積35萬平方尺的零售商場。

雖然該公司4項資產可潛在注入,但豐隆投銀研究認為,產托化的風險包括,從極少數活躍的計劃,以及容易受到成本上升的影響。

豐隆投銀研究維持“守持”投資評級,但考量到2015財年15倍本益比預測,將目標價格從1.76令吉,上調至2.22令吉;目標價調高反映公司仍具龐大價值,只是需要時間才能資本化地庫的價值。

該股以2.18令吉開盤,跌2仙,盤中挫跌10仙至2.10令吉,休市暫掛2.11令吉,跌幅為9仙;半日成交量63萬6300股。

該股午盤收窄跌幅,閉市報2.18令吉,滑落2仙,成交量達164萬9700股。【中国报财经】

次季净利跌8.4% 游礼发130配1库存股

(吉隆坡28日讯)游礼发產业(YNHPROP,3158,主板產业股)2014財政年次季(截至6月30日止)净利微挫8.4%,至1307万令吉,去年同期为1427万令吉;营业额为1亿3887万令吉,按年上升75%,去年同期为7956万令吉。

另外,该公司2014財政年首6个月净利为3009万令吉,按年成长19%,去年同期为2527万令吉;而累积营业额则从去年同期的1亿6025万令吉,按年涨52.4%,至2亿4415万令吉。

配合业绩出炉,管理层建议,以130配1股库存股的方式,以股代息回馈股东,除权和付息日期分別落在10月24日和11月28日。【东方网财经】

INTERNAL RE-ORGANISATION OF GROUP STRUCTURE
The Board of Directors of YNH Property Bhd ("YNHProp" or "the Company") wishes to announce that the Company has on 28 October 2014 acquired 100% equity interest in YNH Hardware Sdn Bhd ("YHSB") , a wholly-owned subsidiary of YNH Construction Sdn Bhd which in turn is a wholly-owned subsidiary of YNHProp comprising 2,300,000 ordinary shares of RM1.00 each for a total consideration of RM 2,435,928.

INFORMATION ON SUBSIDIARY
YHSB was incorporated on 30 October 2007 as a private limited company with an authorised capital of RM5,000,000 and issued capital of RM2,300,000 comprising 2,300,000 ordinary shares of RM1/- each fully paid. The principal activity of YHSB is that of trading of properties and construction materials and contract works. However, YHSB had ceased its business operations since 2009.

RATIONALE FOR THE INTERNAL RE-ORGANISATION
The Internal Re-organisation is to streamline the Group structure of YNH group.

EFFECT OF THE INTERNAL RE-ORGANISATION
Upon completion of the Internal Re-organisation, YHSB will become a direct subsidiary of YNHProp.

FINANCIAL EFFECTS
The above acquisition is not expected to have any material effect on the earnings or net assets of the Company for the current financial year.

根据文告,双方是在2月4日签署该备忘录,酒店品牌命名为“希尔顿吉隆坡中心和住宅”(Hilton Kuala Lumpur City Center & Residences)。

游禮發金三角發展邁步

(吉隆坡7日訊)有句話說:“每個人都想擁有一小片地,不多。”

在寸土黃金的首都裡,游禮發產業(YNHPROP,3158,主板產業組)擁有許多發展商羨慕的東西—一片位於吉隆坡金三角的3英畝地。

游禮發產業在2004年買入該地後多次試圖發展但都失敗。直到最近,該公司最近發表的文告再次讓產業愛好者及投資者雀躍起來。

上個月,游禮發產業因為希爾頓吉隆坡中心主宅宣佈與希爾頓(Hilton)簽下諒解備忘錄。

游禮發產業企業服務主管及董事陳丹尼表示:“我們已經與希爾頓簽下MOU,現在正調解一些合約上的問題。同時我們也在改良該發展計劃的一些部份。”

游禮發產業計劃建造兩個個別品牌的酒店,一個購物廣場及兩棟公寓,發展總值為32億令吉,相比起買入時的6千300萬令吉可稱暴利。

希爾頓上門也幫助該地化解地下有3條水管及地面傾斜而不適合發展的市場傳言。

他表示:“我們已經獲得發展及一切工程需要的准證。有關單位允許我們把3條水管移至建築範圍外。”

最重要的是,希爾頓的加入可以確保這10年來走走停停的計劃發展順利。回顧之前,游禮發產業前後與3個發展商合作,但都宣佈告吹後,該公司決定獨自發展。

他表示:“只要我們找到合適的酒店營運者及固定租戶,我相信我們可以獨自完成這計劃。”他補充該公司計劃把該地變成長期固定收入源,不會賣出該產業。”(星洲日報/財經‧The Edge專版)

游禮發被遺忘了?

拿督游光春再為市場掀風浪。上週三,他躍為益馬機構(IMASPRO,7222,主板工業產品組)顯著大股東的消息浮出臺面,而該公司股價在短短兩天內跳躍了19%至1令吉89仙。

益馬機構核心業務為農藥製造,在3月初時,股價為1令吉27仙,相信是游光春為了增持該公司股權而導致股價上升。

2013年,豐隆資本(HLCAP,5274,主板金融組)欲進行私有化,惟在游光春阻止下而無法達到私有化的目的。自此以後,一些投資者開始密切留意游光春所“相中”的股項。

2014年,游光春有意向馬聯工業(M U I I N D,3891,主板貿服組)收購旗下的泛馬控股(PMHL D G,1287,主板旅店組)。早前也不斷累積佳捷協作(RAPID,7765,主板工業產品組)股權,以致泛馬控股及佳捷協作股價在市場上不斷飆升。

再審視游光春擔任執行董事的游禮發產業(YNHPROP,3158,主板產業組)表現,其股價及財務表現呆滯不前。

游禮發產業在2012至2014年,淨利分別取得4千843萬、4千305萬及4千617萬令吉,派息率則從30%跌至18%,股價近3年也只有小幅度上升。

這主要是游光春尚在等待時機發展吉隆坡蘇丹依斯邁的地庫。此外,游光春也正在策劃霹靂的地庫發展,惟賺幅不多。

作為上市公司的游禮發產業,應該設立更高的成長目標,非保持低調的發展。

簡單來說,若游光春積極投資其他公司的股票,而游禮發產業卻保持平靜,最終游禮發產業的小股東將失去持有的耐性。(星洲日報/財經‧The Edge專版)
