Description	UNCONDITIONAL TAKE-OVER OFFER BY SAS MALAYSIA PTE. LTD. (“SAS MALAYSIA”), THROUGH MAYBANK INVESTMENT BANK BERHAD (“MAYBANK IB”) TO ACQUIRE: (I) ALL THE REMAINING ORDINARY SHARES OF RM0.10 EACH IN TMC LIFE SCIENCES BERHAD (“TMC”) (“TMC SHARES”) NOT ALREADY HELD BY THE OFFEROR AND SUCH NUMBER OF NEW TMC SHARES THAT MAY BE ISSUED PURSUANT TO THE EXERCISE OF THE OUTSTANDING 3-YEAR WARRANTS 2011/2014 ISSUED BY TMC (“WARRANTS”) PRIOR TO THE CLOSE OF THE OFFER (“OFFER SHARES”); AND (II) ALL THE REMAINING WARRANTS NOT ALREADY HELD BY THE OFFEROR (“OFFER WARRANTS”), FOR A CASH OFFER PRICE OF RM0.48 PER OFFER SHARE AND RM0.08 PER OFFER WARRANT (“OFFER”)
We refer to our announcements made on 7 August 2014, 11 August 2014, 14 August 2014, 28 August 2014, 29 August 2014 and 8 September 2014 in relation to the Offer. The Board of Directors of TMC wishes to announce that the Company has received the attached press notice from Maybank IB, on behalf of the Offeror, stating that the Offer has closed at 5.00 p.m. (Malaysian time) on Thursday, 18 September 2014 (“Closing Date”). The level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice (“Press Notice”). As set out in the Press Notice, as at 5.00 p.m. (Malaysian time) on the Closing Date, the TMC Shares held by the Offeror of 614,436,872 represents 76.57% of the issued and paid-up share capital of TMC. Accordingly, TMC does not comply with the public shareholding spread requirement pursuant to Paragraph 8.02 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) which stipulates that a listed issuer must ensure that at least 25% of its total listed shares are in the hands of public shareholders. As set out in Section 5 of the Offer Document dated 28 August 2014 relating to the Offer, the Offeror intends to maintain the listing status of TMC on the Main Market of Bursa Securities. In view that the level of acceptances received by the Offeror under the Offer had resulted in the public shareholding spread of TMC being less than 25%, the Offeror will explore various options or proposals to rectify the public shareholding spread of TMC or procure TMC to explore all possible options to rectify the public shareholding spread of TMC within 3 months from the Closing Date or such extended timeframe as allowed by the relevant authorities to maintain the listing status of TMC on Bursa Securities. The Company will make the required announcement on the status of the above accordingly. （吉隆坡19日讯）TMC生命科学（TMCLIFE，0101，主板贸服股）全面献购献议已于昨日（18日）截止，新加坡亿万富豪林荣富共持有76.57%股权。

该公司向马交所报备，截至昨日，林荣富共持有6亿1443万6872股，或76.57%，公众持股权少于25%，不符合上市条例。

由于林荣富打算维持TMC生命科学的上市地位，所以将探讨各种选择或建议，在截止日期起3个月内，增加公众持股权，以符合条件。

今年8月，林荣富以1亿264万令吉，向我国企业大亨丹斯里陈志远收购TMC生命科学26.65%股权后，提出全购其余股权和凭单。

提出全购前，他通过旗下Sasteria公司，以4478万令吉向陈志远旗下的成功机构（BJCORP，3395，主板贸服股）买入11.63%股权。

过后，再以5786万令吉向成功置地（BJLAND，4219，主板贸服股）买入15.02%股权。

TMC否认大股东注入资產

（吉隆坡23日讯）TMC生命科学（TMCLIFE，0101，主板贸服股）发布文告，针对英文《星报》报导其大股东──新加坡富豪林荣福有意对该公司注入资产，澄清并无此事。

报导引述消息人士称，林荣福有意把手上所有在新加坡与大马地区的保健资产，注入TMC生命科学，包括新加坡Thomson医疗中心及雪州巴打灵再也的丽阳医院（Tropicana Medical Centre）。该公司表示，经向其董事与大股东询问後，林荣福对此表示毫不知情，而该公司亦从未接获林荣福的相关通知。

消息见报後，TMC生命科学与其凭单（TMCLIFE-WA）周二双双大热走高，前者大涨7仙或12.6%，报62.5仙，成交量达4780万6300股，是全场第7大热门股；後者则飙升7仙或43.75%，报23仙，是全场最大热门股，全天共有1亿2202万2500股易手。

Lim is a major shareholder of the company with a 76.57% stake.” “The corporate exercise, sources said, would see two hospital assets – Tropicana Medical Centre in Petaling Jaya and Thomson Medical Centre in Singapore – being parked under Bursa Malaysia-listed TMC Life.” TMC Life Sciences Berhad (“TMC Life” or “Company”) has made due enquiry with its Directors and major shareholder over the above statements and wishes to clarify that the major shareholder was not aware of the above statements as reported in the Star and the Company did not receive any notification on its major shareholder’s plan to park both hospital assets, Tropicana Medical Centre in Petaling Jaya and Thomson Medical Centre in Singapore under TMC Life. The Company will make the necessary announcement to Bursa Malaysia Securities Berhad should there be any material information that falls under the ambit of the Main Market Listing Requirements.

你说独立报告？独立报告不是劝告小股东接受献议吗？如果能够看得出股价会起，为什么它还要给小股东这样的劝告？

代表你没有看清楚。。。你有看董事的表态？？你有看到大股东最后的目标？？？

报告书要是讲目前目前价值。。。没有讲将来。。。你也没有看年报。。公司的表现和目前股东结构。。。

之前你说独立报告，讲不过去又说要看董事的表态。。还要看到大股东最后的目标。。。。

大股东的最后目标他会告诉你？包括什么时候收够票？什么时候炒高？

对都是独立报告的。。你可以看5.3 5.4 PAGE8 。。收购者的意愿。。。

PAGE 17 你可以看到独立报告没有考虑到的事情。。。

PAGE46 公司前景介绍。。。

还有两个董事由讲REJCT OFFER在PAGE6 那里。。。

我会讲你没有年报。。因为如果你有看就不会这样发表问我咯。。。

还有如果你懂。。就不会以为我逗路了。。。

听起来你比提供独立报告的会计师还要厉害，还要知道得更多，因为你有水晶球、马后炮。。。

我问你是希望你反思，不要以为可以唬人！之前，IRIS 收购 Versatile，有网友问，你说不需要开会通过。。。当时也忘了你给什么借口唬过，当时我也不想跟你争辩。。。。

股价上落，除了操控者，谁也无法准确知道。。。甚至操控手，也要看他收到多少票！

我以上讲的都是独立报告讲的。。。我没有添加什么的咯。。。

我虚心接受的。。。但也要让我知道那里出错？？？
