RGB INTERNATIONAL BHD ("RGB") - NEW ORDERS SECURED BY RGB'S WHOLLY-OWNED SUBSIDIARY, RGB (MACAU) LIMITED 1.   Introduction RGB International Bhd (“RGB” or “the Company”) is pleased to announce that its wholly-owned subsidiary, RGB (Macau) Limited has to-date secured new bulk orders worth approximately RM270 million from its existing customer in the Sales and Marketing (“SSM”) segment. 2.   Salient terms The salient terms of the orders are as follows: i) The revenue is to be recognised upon delivery of the products to the customer. ii) The products are expected to be delivered to the customer in 2023. 3.   Financial effects The orders will not have any effect on the share capital and shareholding structure of RGB. The orders are expected to contribute positively to RGB’s earnings and net assets per share for the financial year ending 31 December 2023. 4.   Risk factors The risk factors affecting the orders include order cancellation by the customer, product availability from the suppliers and fluctuation in currency exchange rates. Although RGB Group with its vast experience may undertake efforts to mitigate the various risk factors, there is no assurance that any change in the above risk factors will not have a material adverse effect on the business and operations of RGB Group. 5. Directors’ and major shareholders’ interests None of the directors and/or major shareholders of RGB, and/or any persons connected to them, have any direct or indirect interests in the said orders. The Board of Directors is referring to an article entitled "RGB International Bhd Syarikat Judi Taja Hamzah, VIP, PN: CEO dan Tan Sri di tahan SPRM?" published by Sabahkini2.com on 27 August 2023, wishes to clarify that RGB Sdn. Bhd., a wholly owned subsidiary of the Company, only does outright sale of gaming machines and its accessories and has no involvement or ownership in Malaysia's slots clubs. The Company wishes to state that it had not and will not condone any forms of ''political funding''. The Company's Directors are thus offering their full cooperation to Malaysian Anti-Corruption Commission ("MACC") investigation and had reiterated the above. The Company's Directors have no link to any politician in the country. The Company and its subsidiaries (collectively, “the Group”) are highly regulated in the jurisdictions where the Group operates. The Group adopts a zero-tolerance approach towards bribery and corruption and upholds to the highest standard of compliance. In upholding this commitment, the Group has established an Anti-Bribery & Corruption Policy in 2015 which sets out the standards the Company expects the directors, employees, agents, consultants, suppliers, vendors and any third-party intermediaries or representatives performing work or services for or on behalf of the Group to comply with in conducting business. The Board of Directors of RGBI wishes to further clarify that RGBI's Independent Non-Executive Director, Tan Sri Norazman Bin Hamidun was not arrested by the MACC. The RGBI’s Managing Director, Dato’ Seri Chuah Kim Seah is currently on bail and giving his full cooperation with the investigation and the Company wishes to highlight that the investigation had been largely focused on his private business related to slot clubs. RGB's involvement in this investigation is solely related to the sales of machines to Malaysia's slot clubs.
