Reference is made to our announcement dated 8 September 2014. The Board of Directors of GOB wishes to announce that the Adjustments have been made to the ESOS of GOB following the completion of the GOB’s renounceable rights issue of 227,338,321 new ordinary shares of RM0.50 each in GOB (“GOB Share(s)” or “Share(s)”)(“Rights Share(s)”) together with 113,669,160 free detachable Warrants (“Warrant(s)”) on the basis of two (2) Rights Shares together with one (1) free Warrant for every two (2) GOB Shares held (“Rights Issue with Warrants”) on 2 January 2015.

GOB wishes to announce that in accordance with the provisions set out in the By-Laws, the option price has been adjusted from RM1.00 to RM0.76 and additional 3,096,187 number of options have been issued pursuant to the Adjustments.

環球東方首9月營業額增20%

(吉隆坡16日訊)環球東方(GOB,1147,主要板房產)截至12月底首9個月,淨利從1950萬令吉,按年增4.7%至6041萬令吉;營業額達3億1117萬令吉,相較去年同期的2億5893萬令吉,取得按年20%成長。

不過,受梳邦再也USJ地區綜合發展較低貢獻所致,該公司截至12月底第3季淨利按年下滑37%,至541萬令吉。

該公司第3季營業額則從9821萬令吉,微跌至9731萬令吉。

經濟前景不穩定使買家維持謹慎,進而影響房市整體士氣,不過環球東方有信心可維持業績表現,因主要地庫都在策略發展地區和已開發城鎮。【中国报财经】

多元化至高端产业 环球东方明年推6亿项目

(吉隆坡11日讯)环球东方(GOB,1147,主板产业股)将业务多元化至高端产业,放眼在下财年推出发展总值6亿令吉的新产业项目,提升公司的发展规模。

执行董事黄明安在特大结束后表示,公司的高端产业具备策略位置优势,足以在充满挑战的产业领域脱颖而出,取得亮眼表现。

随着消费税的来临,以及银行放贷严谨,产业领域的前景弥漫着不明朗的氛围。

他预料售价100万令吉以下的住宅产业,走势温和持平,而100万令吉以上的高端产业,则会面临更严峻的挑战。

环球东方将在2016财年推出发展总值6亿令吉的项目。

同时,公司也专注在巴生谷和槟城地区扩充地库。

黄明安指出,冀望高端产业与策略位置的结合,能够捎来更多盈利,将公司规模提升至更高层次。

售地料进账1.4亿

环球东方今日在特大上,通过脱售2块地皮的议案,完成交易后,将取得1亿4235万令吉的资金公司2块总面积为15.56英亩的土地,将脱售予SummitView发展私人有限公司,从交易取得的资金,将用作偿还贷款和营运资本。

黄明安表示,业务发展需大笔资金,因此决定趁机释放地库价值,获取资金周转。

环球东方的Pavillion Embassy综合产业,预计下半年展开,需4至5年完成。

这项发展总值12亿令吉的高端产业,位于首都安邦路,由环球东方与大马橡胶局联营合作。

“我们需要很多流动现金,相信今年将不派发股息,预料明年才会回馈股东的支持。”

黄明安指出,目前正与总财务长邢盖铭进行商讨,考量的因素包括公司的流动现金、税务开销和营运资本等。【南洋网财经】

環球東方斥2700萬購35%股權

(吉隆坡5日訊)環球東方(GOB,1147,主要板房產)將以2700萬令吉向李健金(音譯)收購Perwira Nadi貿易私人有限公司35%股權。

環球東方今日向馬證交所報備,該公司3日(週五)與李健金簽署股權買賣協議,以2700萬令吉收購后者持有Perwira Nadi貿易公司的72萬2100股,或相當于35%。

根據報備文件指出,環球東方原已持有Perwira Nadi貿易公司65%股權,在完成上述股權收購后,將完全持有后者。

Perwira Nadi貿易公司主要從事一般貿易活動;不過該公司另擁有一家全資子公司,名為Perwira Nadi大馬私人有限公司,后者負責分銷居家用品和相關產品。【中国报财经】

环球东方4330万卖雪州地皮

(吉隆坡11日讯)环球东方(GOB,1147,主板产业股)子公司以4330万令吉,出售一块雪兰莪州租赁地皮。

文告指出,子公司Pertanian Taman Equine私人有限公司(PTESB),今日与Kemaris Resideces私人有限公司(KRSB)签署协议。

PTESB将把一块19.24英亩的雪州地皮,脱售给KRSB,预期可在明年4月前完成交易。

公司将袋入4330万令吉,其中3000万令吉偿还银行贷款,565万令吉用作营运资本,剩余资金支付相关开销和税务。

环球东方表示,在脱售地皮后,流动现金和负债水平可获改善,且取得营运资本来发展产业业务。【南洋网财经】

柏威年產託4.88億購資產

(吉隆坡17日訊)柏威年產業信托(PAVREIT,5212,主板產業投資信托組)以4億8千800萬令吉,向環球東方(GOB,1147,主板產業組)收購首邦USJ的da:men購物中心和停車場。

該公司發文告指出,管理公司——柏威年產業信托管理私人有限公司與環球東方子公司——Equine Park Country度假村私人有限公司在今日簽署買賣協議,以收購佔地3.499公頃的產業,其中涵蓋42萬零920平方呎的購物中心,以及雙層1千672個停車單位。

柏威年產業信托將通過發債籌措,料該產托負債比將從今年6月杪的15%擴大至23%,但仍低於產托50%負債比上限。

整個收購計劃料在2016財政年首季完成,預計柏威年產業信托組合規模將從將從今年6月杪的44億令吉擴大至49億令吉,並多元化資產的地緣曝險度。

與此同時,環球東方表示,相關資產的脫售所得將用來償還銀行貸款,以及融資集團營運資本。(星洲日報/財經)

PROPOSED SALE OF A SHOPPING MALL AND CAR PARK BAYS BY EQUINE PARK COUNTRY RESORT SDN BHD TO PAVILION REAL ESTATE INVESTMENT TRUST
The Board of Directors of Global Oriental Berhad ("GOB") is pleased to announce that Equine Park Country Resort Sdn. Bhd. (“EPCR”), a wholly-owned subsidiary of Taman Equine (M) Sdn Bhd which in turn is a wholly-owned subsidiary of the Company, had on 17 September 2015 entered into a conditional sale and purchase agreement with AmTrustee Berhad, acting solely as trustee for Pavilion Real Estate Investment Trust (“Pavilion REIT”), for the sale of a 5-storey shopping mall with a lower ground floor known as “da:men USJ” together with 1,672 car park bays which form part of the mixed development project currently undertaken by EPCR in USJ, Subang Jaya, Selangor for a total cash consideration of RM488 million (“Proposed Sale”). The sale proceeds arising from the Proposed Sale will be utilised to settle bank borrowings as well as to finance working capital of the group.

As the Proposed Sale undertaken by EPCR is in its ordinary course of business as a property developer, the approval from the shareholders of GOB would not be required. No other regulatory approval is required for the Proposed Sale.

None of the directors, major shareholders and/or persons connected with any of them has any interests, direct or indirect, in the Proposed Sale.

The Proposed Sale is expected to be completed in the first quarter of 2016.

4.88億售零售廣場 環球東方現金增至5.68億

(吉隆坡28日訊)環球東方(GOB,1147,主要板房產)以4.88億令吉脫售旗下零售廣場,預計售后持有現金將累積至5.68億令吉,消息提振引起投資購興,股價站8個月來最高水平。

該公司日前宣布,與柏威年產托(PAVREIT,5212,主要板產托)簽署有條件買賣協議,以4億8800萬令吉脫售梳邦再也零售廣場大門(da:men)。

特別派息率不大

《The Edge財經日報》報導,截至6月底,環球東方持有7970萬令吉現金,負債則達2億7083萬令吉,淨有形資產每股1.14令吉。不過完成脫售計劃之后,該公司現金將瞬間增至5億6770萬令吉。

根據報導估算,扣除負債額之后,該公司持有的淨現金料高達2億9683萬令吉或每股65仙,比現有市值2億7053萬令吉高出9.7%。

儘管大筆現金引發市場揣測,認為該公司有可能派發特別股息,不過熟知內情人士指出,環球東方應該會使用該筆現金擴展房地產業務及購地,派息可能性不大。

“該公司還在探討脫售所得中,用以償還銀行貸款及營運資本的實際比重,至目前為止特別派息都不在選項內。”

該公司上一次派息是在易名以前,截至2006年3月底財年,每股派息2.5仙。

受消息提振,環球東方股價上週五(25日)已站8個月最高水平,今日走勢再上看,不過閉市時掛平盤59.5仙。

目前環球東方旗下共有17項房地產,14項位于巴生谷、3項位于檳城,截至3月底的賬面淨值共2億1880萬令吉。【中国报财经】

我们持续增持G股,买入1万股(每股62仙)以及其凭单两万股(每股22仙)。持有的现金减少到约3万令吉。



环球东方改名换代

G股就是环球东方(GOB)。因为打房政策和消费者购买意愿萧条,这个时候买进产业股需要很大的勇气,且让我们分析一下是否选错了股。

这只股在前首相阿都拉时代曾经风光一时,之后就寂静下来,那时它叫怡观园资本(EQUINECAPITAL)。

公司在2012年7月改名为环球东方(GLOBALORIENTAL),正式进入改朝换代的新时代。

之后,新管理层努力耕耘,公司盈利增加。

2014年,公司账面上并没有累积亏损,却突然建议削减资本(由1令吉面值至50仙),让股东觉得疑惑。

原来公司已经打算要发附加股集资,不过,因为股价长期处于50仙,要股东以1令吉认购,殊不合理。

没有亏损却削减面值

因此,环球东方是少数几家公司做出这个建议,即账面没有亏损,却削减面值,而多出来的资本被拨到股票以及户头。印象中科恩马也是在同时做过这样的建议。

由于削减面值计划费时,附加股和雇员认股计划在2014年杪才完成,那段时间公司股价曾经涨到1.20令吉,反映了公司的实力。

不过,由于附加股计划是2配2附加股(每股50仙),而2附加股送1凭单,因此除权之后股价就大幅滑落,又回到50仙左右。

这之后,股价在8月的惊慌大跌中也面对抛售压力,掉到44仙左右。不过,当市场稳定下来,公司股价就反弹,而且一举站上60仙。

卖地奠定两年表现

从账目看来,公司的净资产一直在增长,盈利也保持在3000万令吉左右。那么,经过附加股建议之后,公司有何进展呢?

公司接下来进行了不少土地交易,以进一步加强业绩表现。

在2014年11月,环球东方宣布以1亿4235万令吉,将斯里肯邦安怡观园(Taman Equine)两块土地,脱售予新加坡青岛投资公司。

这笔交易在今年4月1日完成,得以在其2016年首季(2015年6月30日)的业绩入账,每股盈利比前期的2.4仙激涨到17.3仙,为股东带来期待已久的佳音。

之后,环球东方在8月宣布以4330万卖掉另一片地皮;更再接再励,在9月宣布以4.88亿令吉脱售其主要发展,USJ大门(DA:MEN)商业大厦以及其泊车单位给柏威年产托(PAVREIT)。

这两项交易预料在2016年3至4月完成,因此在2016至17财政年(这要看其正式完成日期而定)入账。

如此看来,公司已经奠定未来两年的增长表现。

在等待公司第二季业务报告时,我们回顾一下其2016年首季(截至今年6月30日)的业绩报告。

拜上述脱售所赐,公司的净利大涨至7880万令吉,每股净利17.3仙。这已比过去5年的全年净利还好,其净资产也跃至1.14令吉。

多年没派息美中不足

虽然好消息接踵而来,不过美中不足的是,公司多年来没有派股息。

个人觉得,这是新管理层接管之后,以改善业务为优先考虑的作风。

当公司陆续脱售资产,重新定位未来,而财务状况比之前稳健之后,股息必然不会“缺席”。

上一回我们一时犹豫,错过多美包装1.70令吉入场的机会,这次我们在公司盈利大增之际,采取先入场霸位的策略,希望会有不错的收获。

下周我们想拿环球东方来和已除牌的侨丰产业(OSKPROP)做个比较。

The Board of Directors of GOB wishes to announce that the Group had on 1 December 2015 acquired the entire equity interest in the following companies for a cash consideration of RM2.00 each for purpose of future business ventures:
  • Modern Deluxe Sdn Bhd (“MDSB”), a private limited company incorporated in Malaysia under the Companies Act, 1965 on 21 August 2015, with an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares have been issued and fully paid-up.
  • Vital Prominent Sdn Bhd (“VPSB”), a private limited company incorporated in Malaysia under the Companies Act, 1965 on 10 September 2015, with an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares have been issued and fully paid-up.
  • Amber Versatile Sdn Bhd (“AVSB”), a private limited company incorporated in Malaysia under the Companies Act, 1965 on 8 April 2015, with an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares have been issued and fully paid-up.

Upon completion of the acquisition, the structure of the new subsidiaries will be as follows:

  • MDSB and VPSB will be directly owned by Parkamaya Sdn Bhd, a wholly-owned subsidiary of GOB; and
  • AVSB will be directly owned by Versatile Flagship Sdn Bhd, a wholly-owned subsidiary of GOB.

The abovementioned companies are presently dormant.

None of the directors and/or major shareholders of GOB and/or persons connected to them have any interest, direct or indirect, in the said acquisition.
