最近沒聽說吉朗(ZELAN,2283,主板建築組)取得重大合約,目前手握多少的工程合約,可以到何時?最近企業動作及財務情況如何?

答:
是的,今年至今為止,該公司尚未取得新工程合約,惟該公司管理層表示,會積極參與投標國內建築合約,包括柔佛州的邊佳蘭綜合石油大廈計劃。

目前該公司手握工程合約值11億令吉,預料可忙碌至2017年。

雖然該公司沒有宣佈任何重大企業動作,惟在今年5月中的股東常年大會上,該公司管理高層則披露一些公司最新情況,包括公司要改善資產負債表,特別是保留盈利項目依然負數,所以,未來2、3年料不會派股息,除非近期內取得良好數目的工程合約。

截至2015年3月31日為止,該公司的總資產為6億3千零53萬4千令吉,包括非流動資產下的財務及其他應收款項為4億2千505萬9千令吉、存款/現金及銀行余款為392萬9千令吉,而在流動資產下的財務及其他應收款項為1億3千624萬2千令吉、存款/現金及銀行余款(限制)為2千144萬7千令吉,而(非限制)則有1千738萬5千令吉。

該公司的總負債為4億3千764萬5千令吉,包括非流動負債下的借貸為2億5千532萬令吉、貿易及其他應付款項為1億7千零11萬1千令吉。該公司的每股淨資產為23仙。上述一點資料供參考。(星洲日報/投資致富‧投資問診‧文:李文龍)

吉朗停建阿布扎比Meena广场 指违约要索偿

(吉隆坡17日讯)吉朗(ZELAN,2283,主板建筑股)终止阿布扎比Meena广场建筑合约,也会采取适当行动,向Meena控股索取相关损失。

根据文告,吉朗子公司吉朗控股(马)私人有限公司(ZHSB),今日向Meena控股发出通知,以终止这项合约。

吉朗指出,由于内容,因而决定终止合约。

Meena控股违约的行为,包括无法在ZHSB完成相关工程后,支付2760万迪拉姆(约3188万令吉)的金额,以及持续干扰ZHSB的索偿程序。

这项合约将在发出通知后的2周终止,ZHSB会采取适当行动,向Meena控股索取相关损失。

根据资料,吉朗在2008年3月,获Meena控股颁发总值9亿2530万迪拉姆(约10亿6375万令吉)合约,承建阿布扎比的Meena广场综合发展计划。

双方后来因工程进度延误而闹出纠纷,Meena控股更在2012年11月时,突然中断吉朗的合约。

不过,吉朗于去年9月获Meena控股支付1亿2164万迪拉姆(约1亿3979万令吉),重启Meena广场的兴建工程。

高庭裁定子公司超付 获印尼退税2184万

另一方面,吉朗子公司BUT吉朗控股(大马)私人有限公司(简称:BUT吉朗),获得总值724亿9000万印尼盾(约2184万令吉)的税务退款。

根据文告,印尼高庭裁定吉朗印尼子公司在2007财年超额支付税款。

该法院指出,BUT吉朗在2007年需缴交的税务为17.3亿印尼盾(约52万2000令吉),而公司却支付了742亿2000万印尼盾(2236万令吉)的税款和罚款,因此,高庭判决可获退税。

BUT吉朗在2009年6月26日,被印尼税务局追讨609亿印尼盾(2050万令吉)的税务和199亿印尼盾(670万令吉)的罚款。

BUT吉朗随后向印尼税务法庭申请审查,并在2012年6月29日的口头判决中,被要求支付有关款项。

该公司之后再向印尼高庭提出司法审查。【南洋网财经】

Building Contract for Procurement, Construction and Completion of Package 2 Main Construction Package of Meena Plaza Mixed Use Development Project, Abu Dhabi, United Arab Emirates between Meena Holdings LLC and Zelan Holdings (M) Sdn Bhd, Abu Dhabi Branch, as contained in the Contract Agreement dated 1 April 2008, Supplementary Agreement dated 9 June 2011 with Addendum dated 17 January 2012, and Second Supplementary Agreement dated 15 April 2014 (collectively referred to as the “Contract”)
Zelan Berhad would like to announce that the Abu Dhabi Branch of its wholly owned subsidiary, Zelan Holdings (M) Sdn Bhd (“ZHSB”), has on 17 September 2015 issued a notice to Meena Holdings LLC (“Employer”) to terminate its employment under the Contract in accordance with the provisions of the Contract based on the following defaults of the Employer:

(1)    the Employer’s failure to pay ZHSB a total sum of AED27.6 million being the certified amounts of works done and materials at site due and owing by the Employer to ZHSB under certificates of payment in accordance with the provisions of the Contract; and/or
(2)    the Employer’s continuous interference with the valuation and/or certification of ZHSB’s progress claims.
As provided under the Contract, the termination will take effect 14 days after the issuance of the abovementioned notice.
ZHSB will take the appropriate steps to pursue its claims against the Employer and recover any loss and damage arising out of the termination in accordance with the provisions of the Contract.

吉朗ICOP建築 獲9699萬分包合約

(吉隆坡21日訊)吉朗(ZELAN,2283,主要板建築)子公司和ICOP建築(馬)私人有限公司共同獲得總值9699萬令吉的雙溪冷岳污水處理廠分包合約。

吉朗向馬證交所報備,吉朗建築私人有限公司(Zelan Construction Sdn. Bhd)與ICOP建築(馬)私人有限公司共同獲得由馬礦業-住友財團(MMC-Sumitomo Consortium)頒發的分包合約,為雙溪冷岳污水處理廠建設輸水系統及進行長達16.6公里的頂管工程(Pipe Jacking)。

根據報備文件,該合約為期26個月,總值9699萬令吉(已包含消費稅)。吉朗和ICOP建築將以聯營形式進行該項工程,

Zelan Berhad (“Company”) would like to announce that its wholly owned subsidiary, Zelan Construction Sdn. Bhd. (“ZCSB”) and ICOP Construction (M) Sdn. Bhd. (“ICOP”), have on 20 October 2015 jointly accepted the award of the sub-contract for the Sewerage Conveyance System for Zone 7A & 7B under Cadangan Pembinaan Langat Centralised Sewage Treatment Plant dan Penyambungan Rangkaian Paip Pembetungan di Kawasan Tadahan Lembangan Sungai Langat Secara Reka dan Bina (“Sub-Contract Works”) from MMC-Sumitomo Consortium (“Contractor”). ZCSB and ICOP will perform the Sub-Contract Works on a joint venture basis through an entity to be incorporated.

The Sub-Contract Works involve the construction and completion of approximately 16.6 km of pipe jacking in various sizes and 164 no. of shafts for jacking and receiving pit in various sizes and depths. The Sub-Contract Sum is Ringgit Malaysia Ninety Six Million Nine Hundred and Ninety Thousand Only (RM96,990,000.00), which is inclusive of Goods and Services Tax.

The date for completion for the whole of the Sub-Contract Works shall be twenty six (26) months from the Date for Possession of the Site to be notified by the Contractor.

MMC Corporation Berhad holds 39.25% direct equity interest in the Company. This Sub-Contract therefore constitutes a related party transaction for the Company which falls within the shareholders’ mandate for recurrent related party transactions of revenue or trading nature which was granted by the shareholders of the Company on 14 May 2015.

印尼撥備回撥‧吉朗第三季多賺76%

(吉隆坡23日訊)受印尼撥備回撥和外匯收益帶動,吉朗(ZELAN,2283,主板建筑組)截至2015年9月30日止的第三季淨利增長75.86%至2千344萬5千令吉,帶動首3季淨利揚升34.08%至4千901萬9千令吉。

第三季營業額上漲49.07%至9千403萬4千令吉,首3季營業額彈升48.41%至2億9千712萬5千令吉。

吉朗在文告中表示,營收主要來自大馬和阿布札比項目的工程和建築業務貢獻。

1083萬未兌現外匯收益

盈利增長主要由於2千600萬令吉印尼撥備回撥和1千590萬令吉印尼稅務回退及1千零83萬令吉未兌現外匯收益。

展望未來,該公司表示,已經採取正面步驟以改善表現,包括持續評估內部和外圍風險及落實控製成本策略。在手上現有計劃下,預料可取得滿意的表現。(星洲日報/財經)

阿布扎比建筑合约终止 吉朗反遭Meena索赔1.08亿

(吉隆坡18日讯)吉朗(ZELAN,2283,主板建筑股)与Meena控股的纠纷还未平息,原本计划向后者索赔的吉朗,昨天却被“反将一军”,接获Meena控股的索赔保证金通知。

根据文告,子公司吉朗控股(大马)私人有限公司,昨天傍晚从中东汇丰银行接获通知。

银行表示,昨天从Meena控股接获两项索赔通知,分别要求吉朗赔偿一笔4098万997迪拉姆(约4781万6513令吉),及5154万9002迪拉姆(约6016万984令吉)的保证金。

对此,依据阿布扎比法律顾问建议,吉朗控股(大马)将采取必要方法,来反驳及驳斥Meena控股索赔要求。

今年9月17日,吉朗宣布,终止阿布扎比Meena广场的建筑合约,同时也会采取适当行动,向Meena控股索取相关损失。

合约无故终止

吉朗表示,由于Meena控股违反合约内容,因此才决定终止合约。追溯至2008年3月,吉朗当时获Meena控股颁发总值9亿2530万迪拉姆(约10亿6375万令吉)的合约,负责在阿布扎比打造Meena广场。

2.    the Guarantee under Reference No. PEBDUB044461 issued by the Bank on 28 August 2014 in favour of the Employer amounting to AED51,549,002.39.

Based on the advice given by its legal counsels in Abu Dhabi, ZHSB shall take the necessary steps to refute and contest the validity of the abovementioned demands made by the Employer. The Company will make further announcements on any material development on the matter.

CONCESSION FOR THE DEVELOPMENT OF INTEGRATED TRANSPORT TERMINAL AT GOMBAK, SELANGOR DARUL EHSAN (PROJECT)
Further to the announcements made on 15 March 2012, 13 September 2012 and 4 September 2014 on the above Project, Zelan Berhad (“Company”) wishes to announce that its subsidiary company, Terminal Bersepadu Gombak Sdn Bhd (“TEGAS” or “Concession Company”), has on 30 December 2015 entered into a Supplemental Agreement to the Concession Agreement (“SA”) with the Government of Malaysia (“Government”). The execution of the SA is to comply with the Government’s requirement in relation to the Malay Reservation Enactment [F.M.S CAP 142].

The salient terms of the SA are as follows:
(1)    the deletion of the requirement on the revocation of the “Malay Reservation” status of the Project Land;
(2)    the execution and completion of the sale of shares from the Company to Landasan Kapital (M) Sdn Bhd (“LKSB”);

Pursuant to the execution of the SA, the Company wishes to further announce that it has on 30 December 2015 entered into a conditional Share Sale Agreement (“SSA”) with LKSB on item (2) above, in relation to the sale of its entire shareholding of 950,000 ordinary shares of RM1.00 each representing 95% of shares in TEGAS for a total cash consideration of Ringgit Malaysia One Million (RM1,000,000.00).

The SSA is conditional upon the respective parties having secured the financing in respect of the Project and having obtained the approvals from its board of directors, its shareholders (if necessary) and its relevant existing financier for the sale and purchase transaction.

Upon completion of the SSA, the Company or its nominee is granted with the right of first refusal to carry out the construction works for the Gombak Integrated Transport Terminal and the Middle Ring Road 2 Upgrading Works.

Following the completion of the SSA, TEGAS shall cease to be a subsidiary of the Company.

(吉隆坡6日訊)吉朗(ZELAN,2283,主要板建築)子公司吉朗建築本月7日與ICOP建築及吉朗綜合聯署聯營協議,聯合執行總值9699萬令吉分包合約。

該公司向馬證交所報備指出,將在聯營公司持有80股權,並在是項合約下,為冷岳(Langat)濾水站,建造污水輸送系統,其中包括建造及完成全長16.6公里水管道。

文告指出,是項合約預計會在26個月內完成,合約總值9699萬令吉。

吉朗去年10月20日從馬礦業及三井住友合組的財團手中獲得合約,同年12月中獲通知接管這項合約。

The proposed name of the JV Company is Zelan ICOP Consortium Sdn Bhd and it shall be a special purpose joint venture company between ZCSB and ICOP to carry out the sub-contract works for Cadangan Pembinaan Langat Centralised Sewage Treatment Plant dan Penyambungan Sungai Langat Secara Reka dan Bina.

鵝嘜交通總站 吉朗獲3億合約

(吉隆坡18日訊)吉朗(ZELAN,2283,主要板建築)子公司吉朗建築獲Terminal Bersepadu Gombak私人有限公司頒發總值3億737萬令吉合約,將作為雪蘭莪鵝嘜綜合交通總站(Gombak Integrated Transport Terminal,簡稱GITT)建設工程的主要承包商。

吉朗向馬證交所報備,吉朗建築、Terminal Bersepadu Gombak和Landasan Kapital(馬)私人有限公司昨日就該項目簽署合約。

去年12月30日,吉朗與Landasan Kapital簽署股權脫售協議(SSA),以100萬令吉將Terminal Bersepadu Gombak的95%股權脫售給后者。

根據該協議,吉朗或其子公司將擁有GITT或第二中環公路(MRR2)的建設工程優先權。

同時,吉朗亦宣布Terminal Bersepadu Gombak同意委任Landasan Kapital為第二中環公路的主要承包商。【中国报财经】

We refer to the announcements made on 15 March 2012, 13 September 2012, 4 September 2014 and 31 December 2015 on the above Project.

Pursuant to the execution of the Share Sale Agreement between Zelan Berhad (“Company”) and Landasan Kapital (M) Sdn Bhd (“LKSB”) (“Share Sale Agreement”) on 30 December 2015, the Company wishes to announce that its 95% owned subsidiary company, Terminal Bersepadu Gombak Sdn Bhd (“TEGAS”), has on 17 February 2016 entered into a Tripartite Agreement with its wholly owned subsidiary, Zelan Construction Sdn Bhd (“ZCSB”) and LKSB.

Under the Tripartite Agreement, the parties have agreed as follows:
(1) in respect of the construction works for Gombak Integrated Transport Terminal (“GITT Works”), TEGAS agrees to appoint ZCSB to be the main contractor for the execution of the GITT Works with the contract price of Ringgit Malaysia Three Hundred Seven Million Three Hundred Seventy Four Thousand Seven Hundred Three (RM307,374,703.00) on such terms and conditions to be agreed upon between TEGAS and ZCSB; and

(2) in respect of the Middle Ring Road 2 Upgrading Works (“MRR2 Works”), the Concession Agreement dated 15 March 2012 states that the works shall be awarded by the Government to TEGAS in accordance with the terms and conditions of the Design and Build Contract (“Contract”) to be entered into between the Government and TEGAS.
Upon finalisation of such Contract, TEGAS agrees to appoint LKSB to be the main contractor for the execution of the MRR2 Works and LKSB agrees to appoint ZCSB to carry out sub-contract works related to the MRR2 Works on such terms and conditions to be agreed upon between LKSB and ZCSB.

The above contracts are expected to contribute positively to the Group’s earning in the current financial year.

末季转亏1853万 吉朗全年净利挫38%

(吉隆坡19日讯)由于旗下业务普遍表现欠佳,吉朗(ZELAN,2283,主板建筑股)截至12月31日末季,转亏1853万2000令吉,逊于上财年同季的净赚1257万2000令吉。

不过,营业额按年涨28.91%,至1亿1197万3000令吉,上财年同期为8686万2000令吉。

全年净利按年下挫38%,至3048万7000令吉;营业额则扬42.51%,报4亿909万8000令吉。

吉朗指出,公司在本财年的营业额,将由国内项目订单、鹅唛综合车站工程合约、国际回教大学分校基础研究中心的资产管理服务收费所支撑。

同时,该公司也会积极取得更多建筑合约和实施成本管理措施。【南洋网财经】

(吉隆坡9日訊)吉朗(ZELAN,2283,主要板建築)獲頒3778萬令吉建設工程。

吉朗向馬證交所報備,獨資子公司吉朗建築私人有限公司,今日接獲來自BBCC發展私人有限公司頒發的工程意向書(LOA),以參與建設4層樓臨時銷售處、示範單位及單層地下室。

根據報備文件,上述不含稅合約價值3777萬7019令吉,工程為期9個月,估計今年12月8日竣工。

吉朗相信,是項工程將貢獻公司2016財年的盈利表現。【中国报财经】

Zelan Berhad (“Company” or “Zelan”) would like to announce that its wholly owned subsidiary, Zelan Construction Sdn Bhd (“ZCSB”), has on 9 March 2016 accepted the letter of award (“LOA”) from BBCC Development Sdn Bhd for the Main Building Works of the Proposed Development of 4 Storey Temporary Sales Office, Show Unit and 1 Storey Sub-Basement, on part of Lot PT 143, Section 56, Jalan Hang Tuah / Jalan Pudu, Kuala Lumpur (“Works”).

The salient terms of the LOA are inter alia as follows:
(a) the Contract Price for the Works is RM37,777,019.10 which is exclusive of Goods and Services Tax and not subject to any price fluctuation; and
(b) the duration of the Works is 9 months, which shall commence on 9 March 2016  and complete on 8 December 2016.

The Works are expected to contribute positively to the earnings of Zelan Group for the Financial Year ending 31 December 2016.

None of the directors and/or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the above Works.

This Announcement is dated 9 March 2016.

吉朗首季净亏3757万

(吉隆坡20日讯)吉朗(ZELAN,2283,主板建筑股)截至3月杪首季,净亏3757万3000令吉或每股净亏4.45仙,去年同季则净赚1542万9000令吉。

根据文告,公司在当季陷入亏损,主要归咎于蒙受990万令吉的汇兑损失、420万令吉的融资开销、360万令吉的利息及总值2610万令吉的长期应收款项折扣。

原料装卸设施码头的贡献走低,拖累首季营业额按年跌30.25%,从8801万2000令吉,减少至6139万1000令吉。

展望今年,吉朗将专注完成现有项目,并继续竞标新国内合约。

同时,公司预期在下半年,可获得大马国际回教大学(IIUM)大学预科班中心的资产管理服务费用。【南洋网财经】

吉朗首季转亏

读者林先生问:

吉朗(ZELAN,2283,主板建筑组)最新业绩表现如何?前景如何?财务情况稳固吗?可以投资吗?

答:截至2016年3月31日为止,吉朗首季业绩从盈转亏,净亏损达到3757万3000令吉(每股净亏损为4.45仙)。

首季营业额下跌至6139万1000令吉。该公司由盈转亏,主要是受长期应收账折扣和外汇亏损影响。

谈到业务前景时,该公司表示,在现财政年里,将专注完成已经攫取的工程,并继续争取本地新的工程合约。从2016年下半年开始,该公司将从甘孟的国际伊斯兰大学大马基金中心获取资产管理服务及可收费的营收。

吉朗获2.58亿合约
负责博特拉花园沿路

(吉隆坡4日讯)吉朗(ZELAN,2283,主板建筑股)宣布,获得总值2亿5760万8209.02令吉的吉隆坡新街场至淡江高架高速公路(Sungai Besi-Ulu Kelang Elevated Expressway,简称SUKE)建筑合约。

该公司向马交所报备,旗下联营公司Zelan-Hasrat Sedaya财团,今日接到Turnpike Synergy私人有限公司颁发的得标书(LOA)。

根据吉朗,最新合约为CB2配套,将负责沿着博特拉花园路,长约1.7公里,高速大道路段主干的建筑和其他相关工程。

该公司指出,建筑合约为期30个月,将于本月29日起动工。【e南洋】

Zelan跳涨8.11% 就阿布扎比违约一事向Meena Holdings索赔

(吉隆坡22日讯)Zelan Bhd子公司指Meena Holdings LLC违约,并向后者索赔4亿5275万迪拉姆(约4亿9557万令吉),该股股价今日盘中跳涨8.11%。

截至上午10时24分,Zelan涨1.5仙至20仙,成交量达647万8000股。

Zelan独资子公司Zelan Holdings(马)私人有限公司(ZHSB)指Meena Holdings违约,而双方在阿布扎比进行一项Meena Plaza综合发展项目。

Zelan表示,已获得国际仲裁庭和国际商会(International Chamber of Commerce)发出的一封信函,指当局已接纳ZHSB对Meena提出的仲裁申请。

Zelan Berhad (“Company”) would like to announce that its wholly owned subsidiary, Zelan Holdings (M) Sdn Bhd (“ZHSB”), has on 18 August 2016 received a letter from the International Court of Arbitration, International Chamber of Commerce, accepting ZHSB’s Request for Arbitration against Meena Holdings LLC (“MH”) in relation to the following breaches and defaults of MH under the contract between MH and ZHSB for Meena Plaza Mixed Use Development Project in Abu Dhabi, United Arab Emirates (“Contract”):  
(1) failure to pay certified value for rectification of basement defects works;
(2) rejection of ZHSB’s application for interim extension of time;
(3) wrongful deduction of certified value of aluminium cladding panel and thermal insulation rockwool;
(4) wrongful issuance of non-compliance reports;
(5) wrongful deduction / reversal of certified value for conveying equipment;
(6) wrongful deduction / reversal of certified value for mechanical, electrical and plumbing works;
(7) failure to pay certified amounts under certificates of interim payment no. 57, 58, 60 (Rev. 1) and 61;
(8) failure to pay the termination claims provided under the Contract; and
(9) wrongful liquidation of bank guarantees / performance bonds provided by ZHSB.

Accordingly, ZHSB is claiming from MH the total sum of AED452,759,145.78 as the loss and damage and payments it is entitled to recover from MH by consequence of ZHSB’s termination of the Contract due to the defaults of MH.

The Company will make further announcements on any material development on the matter from time to time.

吉朗子公司遭反索赔6.69亿

(吉隆坡8日讯)吉朗(ZELAN,2283,主板建筑股)宣布,原本独资子公司吉朗控股(大马)私人有限公司向Meena控股索赔损失,却遭对方反索赔5亿9100万阿联酋迪拉姆(相等于6亿6895万令吉)。

8月18日,吉朗控股接获国际仲裁庭及国际工商会的通知,接受该公司要求对Meena控股提出进行仲裁的申请。

吉朗控股指Meena控股违反有关位于阿布扎比的Meena大厦综合发展项目的合约,而提出仲裁申请,并索赔总值4亿5276万阿联酋迪拉姆(约5亿1248万令吉)的损失。

不过,之后却在本周四(6日)接获国际仲裁庭及国际工商会的通知,Meena控股将会进行反诉,并索赔5亿9100万阿联酋迪拉姆。【e南洋】

Further to its Announcement dated 19 August 2016 in relation to the arbitration initiated by Zelan Holdings (M) Sdn Bhd (“ZHSB”) against Meena Holdings LLC (“MH”) under the contract between MH and Zelan (“Contract”) for Meena Plaza Mixed Use Development Project in Abu Dhabi, United Arab Emirates (“Project”), Zelan Berhad (“Company”) would like to announce that ZHSB, a wholly owned subsidiary of the Company,  has on 6 October 2016 received a letter from the International Court of Arbitration, International Chamber of Commerce, stating that it has received MH’s Answer to ZHSB’s Request for Arbitration, whereby MH counterclaims against ZHSB the sum of AED591 million for the following items:

(1) Structural strengthening and repair works together with necessary associated rework;
(2) Mechanical, Electrical and Plumbing replacement work and necessary associated rework;
(3) Rectification / alteration of the façade works;
(4) Loss of materials currently on site;
(5) Extended consultant fees due to delays to Project completion;
(6) Third party fees;
(7) Standstill costs incurred to date and anticipated until handover of the Project works;
(8) Extra-over costs for the replacement contractor;
(9) Return of the advance payments from ZHSB’s subcontractors; and
(10) Loss of rental and revenue from the Project as a result of delayed compensation (or in the alternative, liquidated damages for delay at the maximum amount applicable under the Contract, or in an unlimited amount).

The Company will make further announcements on any material development on the matter from time to time.

吉朗第3季净利挫99%

2016年11月18日
(吉隆坡17日讯)吉朗(ZELAN,2283,主板建筑股)截至9月杪第3季,取得27万令吉净利,较上财年同季的2344万5000令吉,按年急挫98.85%。

同季营业额从9403万4000令吉,大幅收窄至3979万3000令吉。

3季亏2992万

吉朗指出,营业额收窄是基于本地工程与建筑项目收入走低,加上阿布扎比的Meena项目在本季没有带来收入。

合计首9个月,吉朗净亏2991万9000令吉,上财年同期取得4901万9000令吉净利;营业额从2亿9712万5000令吉,减少至1亿5767万7000令吉,按年跌46.93%。

展望未来,吉朗称,将继续采取积极步骤,通过不间断的内部与外围风险评估、成本管理与准时完成现有项目,来改善公司表现。【e南洋】
