（吉隆坡23日讯）马电讯（Telekom Malaysia Bhd）与国家能源（Tenaga Nasional Bhd）终止了共同制定履行国家光纤计划（NFP）实施方案的了解备忘录（MOU）。

两家集团向大马交易所报备，这是双方共同作出的决定，即时生效，但并无透露终止的原因。

“即日起，国能与马电讯一致同意停止合作NFP。”

“然而，如果未来的商业机会对双方都有利，那么这次的事件并不妨碍国能和马电讯考虑其他合作。”

马电讯前董事经理兼集团总执行长Datuk Seri Mohammed Shazalli Ramly与国能总裁兼总执行长Datuk Seri Azman Mohd，在1月16日签署相关MOU。

这两家官联公司表示，合作将充分利用双方的优势，实现最有效的成本结构，并加快光纤宽频网络的覆盖范围，以配合政府推动马来西亚数字经济的举措。

通讯及多媒体部长哥宾星上周末表示，新政府可能以国家衔接计划（National Connectivity Plan）取代前朝政府的NFP，以改善网络设备与速度。

他指出，该部正与通讯公司商讨对策。

TM's announcements on 16 January, 16 April and 16 July 2018 in respect of the MOU dated 16 January 2018 with TNB for the collaboration to establish a detailed joint proposal for Nationwide Fiberisation Plan (NFP) refers. TM wishes to announce that both TM and TNB have mutually agreed to discontinue the above MOU with immediate effect. This discontinuation however, does not preclude TM from considering other collaborations with TNB should there be future business opportunities that are beneficial to both parties. 通讯及多媒体部长哥宾星表示，两个集团终止合作，打破了垄断该行业的局面。

他说：“这也让它们（马电讯及国能）和我们及其他公司独立合作，在全国提供基建设施。很多单位已经表达了它们的担忧，若国能与马电讯合作，将会垄断整个行业。”

哥宾星在国会回复马六甲市区国会议员邱培栋提出的附加问题时说：“对于提供类似服务的公司而言，这将是一种障碍。”

国能与马电讯昨日向大马交易所报备，双方共同决定终止今年1月16日签署的了解备忘录，即时生效，但并无透露任何原因。

1. INTRODUCTION On behalf of Telekom Malaysia Berhad (“TM”)’s Board of Directors, AmInvestment Bank Berhad (“AmInvestment Bank") and Maybank Investment Bank Berhad (“Maybank IB”) are pleased to announce that TM had on 28 September 2018 lodged with the Securities Commission Malaysia (“SC”) for the proposed establishment of the Sukuk Wakalah Programmes under SC’s Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework. 2. DETAILS OF THE SUKUK WAKALAH PROGRAMMES The ICP Programme and the IMTN Programme, which have respective tenures of seven (7) and thirty (30) years from the date of first issuance, have been assigned short-term rating of P1 and long-term rating of AAA respectively by RAM Rating Services Berhad. The tenure of each ICP to be issued under the ICP Programme shall be one (1), two (2), three (3), six (6), nine (9) or twelve (12) months or any other tenure which is not more than twelve (12) months to be agreed upon, provided that the ICP matures prior to the expiry of the ICP Programme. The tenure of each IMTN to be issued under the IMTN Programme shall be more than one (1) year and up to thirty (30) years, provided that the IMTN matures prior to the expiry of the IMTN Programme. Both the ICP and IMTN shall collectively be referred to as the “Sukuk Wakalah”. The proceeds from the issuance of the Sukuk Wakalah shall be utilized by TM and its subsidiaries for their capital expenditure and business operating requirements, which shall be Shariah-compliant. For the avoidance of doubt, TM can on-lend the proceeds of the Sukuk Wakalah to its subsidiaries via Shariah-compliant facilities for the afore-mentioned purposes, which shall be Shariah-compliant. 3. RATIONALE FOR THE SUKUK WAKALAH PROGRAMMES The Sukuk Wakalah Programmes shall provide TM with the flexibility to manage its fund-raising exercise and to have an alternative access to debt funding, in addition to conventional bank borrowings. 4. INTEREST OF DIRECTORS AND/OR MAJOR SHAREHOLDERS AND PERSONS CONNECTED WITH THEM None of TM’s Directors, major shareholders and/or persons connected to them has any interest, direct or indirect, in the Sukuk Wakalah Programmes. 5.
