怡保花园发债筹10亿
打造新山Mid Valley Southkey

(吉隆坡27日讯)怡保花园(IGB,1597,主板产业股)与Southkey City私人有限公司宣布,通过双方的联营公司,发行为期8年的中期票据(MTN)筹集高达10亿令吉,打造位于新山的Mid Valley Southkey购物中心。

根据文告,怡保花园会通过联营公司——Southkey Megamall私人有限公司发行中期票据,融资该购物中心的发展和建造活动。

怡保花园集团董事经理拿督斯里陈俊明表示:“中期票据计划是集团打造Mid Valley Southkey购物中心的最新进展。”

“该计划也让我们进一步多元化资金来源,提供财务弹性,让集团找寻机会继续支持怡保花园的业务增长。”

为期8年

Southkey Megamall已经委任丰隆投行和马银行投行,为联合主要顾问。同时,丰隆投行、马银行投行,以及兴业投行,也是该计划的联合主理商和联合主承销。

上述中期票据计划,已于今日提呈相关文件予证监会,票据为期8年,以令吉为主,属于没有评级的债券。

Southkey Megamall董事经理拿督莫哈末再尼表示:“我们对Mid Valley Southkey购物中心的进展,感到很高兴。同时,也期盼该购物中心在2008年底,向公众开放。”

Mid Valley Southkey购物中心包含6层零售空间、2层底楼停车场、8层高楼停车场。

该购物中心属于Southkey Megamall总值60亿令吉的综合发展项目的一部分,将建有3座酒店、4座办公楼,以及1座服务式公寓。【e南洋】

最新进展:

怡保花园(IGB,1597,主板产业股)之前宣布脱售万丽酒店(Renaissance KL Hotel)所得资金高达10亿令吉。

怡保花园将把该些资金,注入资产投资,尤其是依区谷中城Southkey Megamall,及在伦敦和曼谷的综合发展项目。

新资产谷中城Southpoint Tower和Southkey Megamall的项目发展顺利,料在明年上半年和2018年下半年竣工。

行家建议:

谷中城Southpoint Tower包括25层的办公楼和19层的住宅公寓,料在明年4月完成。

由于该产业目前已招到主要租户,占用4层楼,因此我们预测工程结束后,出租率可达70%至80%。

伦敦的综合发展项目工程将从今年下半年,拖延至2017年杪展开施工,因为批准进度低于预期。至于曼谷的发展项目目前仍在探索项目的设计。

由于怡保花园拥有强劲的现金流,因此我们给予“超越大市”评级,目标价4.80令吉。

(吉隆坡23日訊)怡保花園(IGB,1597,主要板房產)今早停牌1小時,宣佈截至9月底第3季,淨利按年激增2.28倍至1億4811萬令吉,營業額則揚18%至3億2471萬令吉。

該公司向馬證交所報備,來自房地產發展、零售房產投資及酒店業務表現亮眼,刺激第3季業績走高,同時,因脫售房地產、廠房及設施,獲一次性收益1億3620萬令吉,進而帶動淨利暴漲。

總結首3季,怡保花園營業額按年微跌1.5%至8億6743萬令吉,淨利則漲53.4%至2億5400萬令吉。

文告指出,怡保花園在今年分別脫售3項房產,在5月份以3700萬令吉脫售吉隆坡城市快捷酒店(Cititel Express KL)、7月以4600萬美元(約2億454萬令吉)脫售位于仰光MiCasa酒店的65%持股、及在8月15日以7億6500萬令吉脫售吉隆坡萬麗酒店(Renaissance Hotel)。

目标价:4.80令吉

最新进展:

怡保花园(IGB,1597,主板产业股)截至9月底第3季,净利按年暴涨2.28倍,报1亿4811万4000令吉。营业额按年扬18.3%,报3亿2470万5000令吉。

怡保花园指出,当季营业额与净利走高,归功于房地产发展、零售投资与酒店业务的贡献。

此外,该集团透过子公司,脱售资产所获得的1亿3620万令吉收益,也贡献营业额与净利。

累积9个月,净赚按年上涨53.39%,录得2亿5399万9000令吉;营业额却萎缩1.50%,报8亿6743万4000令吉。

行家建议:

剔除掉脱售资产的收益,怡保花园的累积净利约1亿7430万令吉,占我们与市场全年预测的80%和68%,符合我们的预期,但低于市场预期。

随着零售投资与酒店业务交出比预料好的表现,加上脱售资产收益,我们上修2016财测42%。

我们看好怡保花园,创造现金流的能力,并相信该股股价被低估,因为该股具有良好资产与潜在价值,这次脱售资产10亿令吉的收益就是最好证明。

我们认为怡保花园“超越大市”,并保持目标价4.80令吉。

怡保花园末季净利跌14%

(吉隆坡21日讯)怡保花园(IGB Corporation Bhd)第四季净利下跌14.26%,主要因为产业部门的贡献走低。

截至去年12月杪末季的净利为4399万令吉,或每股3.3仙,低于上财年同期的5131万令吉,或每股3.84仙。

末季营业额由2亿8462万令吉,下滑0.61%至2亿8287万令吉。

怡保花园全年净赚2亿9799万令吉,较2015财年的2亿1690万令吉,增长37.39%;营业额从11亿7000万令吉,跌1.44%至11亿5000万令吉。

该集团表示,产业发展业务的贡献跌40%至9360万令吉,而产业投资(商业)业务的贡献跌4%至1亿2290万令吉。

然而,这被其他业务如产业投资(零售)增5%至4亿9350万令吉,以及酒店业务扬6%至3亿7970万令吉的较高贡献所减轻。

该集团目前有几个正在进行的项目,包括328 Tun Razak公寓,以及Damai Residences公寓,将于年中完成。

售酒店料获8500万.怡保花园财测调高

(吉隆坡22日讯)怡保花园(IGB,1597,主板产业组)2016财政年末季业绩符合市场预期,股价也随之走高6仙至2令吉49仙。

大众研究认为,该公司有望从今年1月脱售的万丽酒店(Renaissance Kuala Lumpur Hotel)中获益8500万令吉,因此,上调2017财政年财测37%。

大众指出,怡保花园有多个项目在进行中,包括料于今年杪在伦敦推介的综合产业项目、尚在探索设计,位于泰国曼谷的项目、等待市场恢复的18 Medini、料2018下半年亮相的柔州南部谷中城(Mid-Valley Southkey)广场等。

此外,预计今年4月完成的谷中城南塔也已寻获主要租户。

大众研究维持怡保花园“跑赢大市”评级,及维持4令吉80仙目标价不变。

金诗投资再献购怡保花园

(吉隆坡24日讯)怡保花园(IGB,1597,主板产业股)再获母公司金诗投资(GOLDIS,5606,主板消费产品股)献购,以每股3令吉收购尚未持有的股票。

金诗投资向怡保花园股东提出三项选择,其中,股东可以卖股并获全额现金,即每股3令吉现金。若持有100股,股东可得300令吉。

股东也可选择领取30%的现金,剩余的70%则获得由金诗投资发出的新股。若持有100股,可得90令吉和70股金诗投资普通股。

另外,股东也可选择领取20%现金,另外80%则获得可赎回可转换优先股(RCPS)。若持有100股,可得60令吉,以及73股金诗投资优先股。

溢价20%

该优先股每年股息为4.3%,为期7年,转换比例为1股优先股对1股金诗投资普通股。

目前,金诗投资持有怡保花园73.43%股权,由此,财力雄厚的金诗投资在这项献购中,收购剩余的26.57%股权,总数3亿5470万股,总值达11亿令吉。

献购价比怡保花园周三闭市价2.49令吉,溢价51仙或20.48%。

相比怡保花园的5日至1年交易量加权均价(VWAP),溢价介于21.46%至22.95%。

净资产折价11%

不过,献购价较该公司截至去年杪的已审计净资产,即每股3.28令吉,低8.5%;也低于未审计净资产每股3.37令吉,折价达11%。

早在2014年7月,金诗投资曾以每股2.88令吉,首次献购未持有的怡保花园(IGB,1597,主板产业股)股票。

独立顾问兴业投行,在同年10月认为,全购建议“不公平且不合理”,建议股东投反对票。最终金诗投资于11月仅持股73.32%,全面收购活动宣告失败。

分析员指严重低估

大众投行研究分析员指出,金诗投资提出的收购价,“严重低估”怡保花园应有的价值,而且毫无吸引力。

同时,分析员也提到,献购价低于该投行的每股实际净资产价值(RNAV)预测,即6.88令吉的56%。

金诗投资在向马交所报备,称这项收购能为怡保花园股东,带来释放价值的机会,同时减低该公司的控股公司折让(holding company discount)情况。

所谓控股公司折让,是指母公司旗下若有上市公司,这些子公司的市值往往无法100%反映到母公司的股价上。

分析员则反驳,金诗投资能以其他方式,如脱售怡保花园的部分资产,转作股息来回馈股东,达到“释放价值”目标。

应售资产回馈股东

大众投行研究粗略计算怡保花园资产,当中持有怡保花园产托(IGBREIT,5227,主板产业信托股)51.1%股权,总值达30亿令吉,若脱售则能作为股息回馈怡保花园股东。

另外,分析员认为,旗下总值30亿令吉的酒店和办公资产,料能轻易脱售;早前已脱售的10亿令吉资产。

“若成功脱售,上述达40亿令吉的资金,都能作为股东的释放价值机会,以股息回馈股东。”

大股东献购和私有化
怡保花园让股东抉择


2017年4月28日
(吉隆坡27日讯)怡保花园(IGB,1597,主板产业股)董事部决定,把大股东金诗投资(GOLDIS,5606,主板消费产品股)的献购与私有化献议,提呈给小股东抉择。

目前,金诗投资持有怡保花园73.43%股权,当中不包括库存股。

怡保花园指出,公司董事部代金诗投资向符合资格的股东,提呈上述献购及私有化的建议,让股东考虑独立顾问肯纳格投行所提出的意见。

今年2月23日,金诗投资向怡保花园提出献购,并让后者在3月30日前回复,让股东针对前者的献购建议作选择。

之后,怡保花园要求把评估献议的时限,延长至本周五(28日)。

若接受献议,怡保花园的合格股东有三个选择。

第一,股东可以卖股并获全额现金,即每股3令吉现金。若持有100股,股东可得300令吉。

第二,股东也可选择领取30%的现金,剩余的70%则获得由金诗投资发出的新股。若持有100股,可得90令吉和70股金诗投资普通股。

失败乃成功之母,说的是陈振南家族对全购怡保花园(IGB,1597,主板产业组)的坚定态度,但卖或不卖,则看小股东对三选一全购方案的接纳态度。

在大股东金诗投资(GOLDIS,5606,主板消费品组)四年内三度出手全购二度失败的前提下,这个故事又有新进展,上周三怡保花园董事部突然表态,直接把接受献购的决定权放到股东手上。

这也意味,在来临的股东特大上,将由小股东投票决定“卖”或“不卖”,金诗投资可否顺利抱得美人归,把这个生金蛋的资产纳入财库,全视小股东对3令吉全购价、新股及可赎回可转换优先股(RCCPS)的态度。

2015财政年年报显示,这些股东包括雇员公积金局(EPF)、政府相关及私人基金、新加坡政府及金管局、外资、大马国家银行、大马社险机构、保险公司及散户等投资者。

以小股东组合来看,持有较显著股权者多数来自基金、保险及银行等金融领域,这类型投资者通常抱着长期投资心态持有该股,要他们点头,除非买方提供难以抗拒的价码或替代方案。

市场资金紧缩,有人敲门问要不要卖股,绝对没有人会嫌钱多,大股东出价越高、条件越好就越能够动摇他们的决心,心甘情愿的卖股。

但令人沮丧的是,买家不够大方,出价依然不如预期,反倒是全购计划提供的三选一方案,其中两项结合现金、新股及优先股的收购模式较有可能吸引小股东。

因这可以让他们在未来继续享有怡保花园旗下资产及未来发展收益,避免他们在售股之后一无所有。

根据马股数据,近期积极脱售怡保花园股权的只有EPF,持股已从1月的5.44%降至3月的5.02%,之后就无进一步脱售动作。

自2月24日金诗投资宣布以3令吉全购怡保花园剩余股权后,该股从2令吉52仙飙涨15.08%或38仙,至2令吉90仙,之后的2个月内,股价一直在2令吉86仙至2令吉95仙之间徘徊。

很显然的,这个持有怡保花园最显著股权的小股东在趁高套利之际也保留其领头羊姿态,以在特大投票时掌控整体局势,为该机构争取最有利局势,让这盘买卖更划算。

怡保花园首季净利跳增122%

(吉隆坡23日讯)怡保花园(IGB Corp Bhd)首季净利跳增122%至1亿1525万令吉,或每股8.63仙,同期为5181万令吉或每股3.88仙。

怡保花园今日向大马交易所报备时说,盈利大幅上涨主要由于子公司脱售资产而获得3430万令吉的单次收益。产业投资和酒店业务也推高集团盈利。

不计这笔单次收益,截至3月杪首季净利依然走高,按年劲扬56.2%至8095万令吉。

首季营业额则从2亿8021万令吉,下跌9%至2亿5478万令吉。

该集团并没有宣布派息。

展望未来,怡保花园谨慎乐观本财年将交出满意表现,因出租率不一、投资回酬率较低,以及酒店收入自去年脱售3个物业以来走低。

“鉴于目前产业领域信心疲软,集团尚未推出任何新的发展项目。”该集团目前在吉隆坡有两个建设中的产业项目。

怡保花园业务多元.寄望维持去年表现

(吉隆坡23日讯)怡保花园(IGB,1597,主板产业组)凭藉着多元化业务,抵挡迎面吹来的产业界冷风,今年寄望维持和去年一样表现。

另外,该公司也宣布柔佛综合性产业计划Mid Valley South Key即将在明年8月18日正式开张,有信心在一年内获利。

该公司董事经理拿督斯里陈俊明在股东大会后表示,目前产业环境十分挑战,所幸公司旗下有酒店、产业投资、零售业务以及产业发展4大支柱支撑。

“我也弄不清楚为什其他发展商那么有信心,接二连三推出那么多产业项目。

我们至少还有商场租金收入,早上睡醒有现金入袋的感觉还是不错的。”

谈到其SouthKey的进展,陈俊明说,目前Southkey已经有高达60%出租面积,有潜在租户表示感兴趣,相信接近开张的时候,其出租率会更高。

他补充,该公司未来两年内将斥资2000万令吉作为公司的资本开销。此外,谷中城在今年会重新配置约2万平方尺出租面积,进行新的规划和整修,以增加出租价值。

关于其国外业务部份,该公司位于伦敦Blackfriars的项目预料,将在下个月获得当地机构批准。陈俊明说,“该地区仍位于伦敦第一区内,其发展总值约15亿英镑(约83亿4495万令吉),面积为2英亩左右。对公司来说,这是一个相当大计划。”

询及是否有将其他业务如酒店或办公楼分拆上市打算,陈俊明表示,近期银行的利息贷款比上市成本来得低,加上公司负债十分低,若需要大笔资金发展,他更倾向于融资。

询及该公司商场业务,也就是怡保花园产托(IGBREIT,5227,主板产业投资信托组)今年展望,他说公司第一季度表现比预期中来得好,相信是受惠于传统佳节的缘故。

尽管谷中城商场的第一季表现较好,但陈俊明保守看待第二季表现,他认为若不低于去年就是不错成绩了,因为第二季是零售业的传统弱季,今年目标是维持和去年一样的水平。

怡保花园首季净利成长122%

盘后怡保花园公布截至2017年3月31日止第一季业绩,产业投资和酒店领域业务贡献增加以及子公司产业脱售获利,带动首季净利成长122%至1亿1525万1000令吉。

但受到产业、酒店以及投资领域贡献减少,拖累营业额下挫9%至2亿5477万8000令吉。

金诗修改献购怡保花园2条款

(吉隆坡4日讯)金诗投资(GOLDIS,5606,主板消费产品股)修改献购与私有化怡保花园(IGB,1597,主板产业股)的两个条款,分别是修改现金与可赎回可转换优先股(RCPS)的比例,以及持有少过100股股东的选择。

怡保花园向交易所报备,已经接获金诗投资经过修改的计划书。

根据早前的文告,合格的怡保花园股东,共有三个选择。

第一,股东可以卖股并获全额现金,即每股3令吉现金。若持有100股,股东可得300令吉。

第二,股东也可选择领取30%的现金,剩余的70%则获得由金诗投资发出的新股。若持有100股,可得90令吉和70股金诗投资普通股。

第三,股东也可选择领取20%现金,另外80%则获得可赎回可转换优先股(RCPS)。若持有100股,可得60令吉,以及73股金诗投资优先股。

如今,第三选择已修改为12%现金,以及88%的RCPS。而持有100股以下的股东,如今也有以上三个选项。

早前金诗投资表示,不会发新股或RCPS给持股少过100股的股东,而这类别的股东只能获得现金。【e南洋】

On behalf of IGB, CIMB Investment Bank Berhad wishes to announce that the Board of Directors of IGB (“Board”) has today received a revised proposal (“Revised Proposal Letter”) from Goldis in respect of the Proposed Scheme.

怡保花园迎十合大马进驻新山

2017年7月20日
(吉隆坡19日讯)十合大马(Sogo Malaysia)已与怡保花园(IGB,1597,主板产业股)达成协议,将进驻后者在新山Southkey新谷中城主要百货商场。

早前,十合已宣布将进驻敦拉萨国际贸易中心、莎阿南的Central i-City、士拉央的KL Northgate、瓜拉登嘉楼的Mayang Mall及槟城的Prai Megamall。

根据《The Edge》,十合指出,该些商场将用西武或十合的品牌,并将会在未来4年内开张。

“当商场开始营业后,预计营业额将达每年15亿令吉。资本投资数额将近2亿令吉。”

十合大马董事经理拿督钟荣俊指出,他对百货商场的前景有信心,但公司的形象需重新包装。【e南洋】

Paragraph 2.7 (b) of the Proposal Letter states that Goldis will acquire the Scheme Shares with all the rights, benefits and entitlements attached thereto, including the right to all dividends and/or distributions declared, paid or made on or after the date of the Proposal Letter.

On behalf of the Board of Directors of IGB, CIMB Investment Bank Berhad wishes to announce that the Company has today, received a letter from Goldis stating that Goldis has chosen to waive any rights and entitlements to any dividends which IGB may declare, make or pay to the Scheme Shareholders for the financial year ending 31 December 2017, prior to the date of sanction of the Proposed Scheme by the High Court. As a result of this waiver, the Scheme Shareholders will now be entitled to retain any such dividends.

For the avoidance of doubt, notwithstanding the waiver set out above, Goldis will not reduce the Offer Price by an amount equivalent to the net dividend for each IGB Share which the Scheme Shareholders are entitled to retain. Similarly, if Goldis declares, makes or pays any dividend before the Consideration Shares and the Consideration New RCCPS are issued, the Consideration Shares Issue Price and the Consideration New RCCPS Issue Price will not be reduced by an amount equivalent to the net dividend for each Consideration Share or Consideration New RCCPS that the Scheme Shareholders are not entitled to.

All other terms and conditions to the Proposed Scheme as set out in the Proposal Letter and as revised by the Revised Proposal Letter remain the same.
