We refer to the announcement dated 29 February 2008.

The Board of Directors of Damansara Realty Berhad ("DBhd" or "theCompany") wishes to announce that the Company intends to seek theapproval of its shareholders for the Proposals at the forthcoming 46thAnnual General Meeting ("AGM") of the Company instead of at theExtraordinary General Meeting
("EGM") of the Company as announced on 29 February 2008.

The circular to shareholders containing information on the abovetransactions will be issued to the shareholders of DBhd in due course.

This announcement is dated 5 May 2008.

柔佛機構重組資產‧白沙羅實業或受惠

(吉隆坡22日訊)政府相關投資公司(GLICs)青睞賺益強穩的產業發展公司,紛紛整合旗下相關資產,據傳隸屬州政府的柔佛機構(Johor Corp)有意追隨國民投資公司、國庫控股等機構,致力打造產業旗艦公司,而“秋香”可能是白沙羅實業(DBHD,3484,主板產業組)。

財經週報《The Edge》引述消息報導稱,柔佛機構正重組旗下資產,其中一項計劃可能是將產業資產,包括依斯干達特區的土地納進58%子公司白沙羅實業。

“這些整合計劃將為白沙羅實業帶來即時的收益,並崛起成為柔佛主要產業公司之一。”

目前,柔佛機構透過2009年私有化的柔佛置地,掌握新山大批土地,這些資產過後可能注入白沙羅實業。資料顯示,柔佛置地在2008年擁有新山與週邊地區的2千800英畝地段。

消息人士指出,白沙羅實業可能發股向柔佛機構收購上述資產。(星洲日報/財經)

(吉隆坡22日讯)消息人士透露,柔佛机构(Johor Corp)将会把位于柔佛的产业发展计划,注入白沙罗实业(DBhd,3484,主板产业股),使后者成为其产业臂膀

根据财经周刊《The Edge》援引不具名消息人士的话指出,柔佛机构欲将产业计划注入白沙罗实业,上述产业计划应该是位于柔佛正在进行中的房屋发展计划(特别是依斯干达区)。

消息人士披露:“若白沙罗实业成了柔佛机构的产业臂膀,这有助于推动该公司成为柔佛顶尖的产业发展商,同时,也能即时为该公司提供营业额来源。”

持白沙罗58%股权
目前,柔佛机构持有白沙罗实业58%股权。

身为柔佛州政府的旗下公司,柔佛机构必须协助州政府控制房屋发展计划的价值。

另一名消息人士指出,随着柔佛将产业计划注入白沙罗实业,相信这将能提升柔佛机构发展工程的透明度,让人们知悉这些产业发展计划如何运作。

注入资产一石二鸟
较早前,市场传言柔佛机构可能会脱售旗下大型上市公司——QSR品牌(QSR,9415,主板贸服股)和肯德基(KFC,3492,主板贸服股)的股权筹资还债,但柔佛机构已否认上述传言。

“白沙罗实业可能籍由发行新股的方式,让柔佛机构将其资产转移至白沙罗实业旗下。”

白沙罗实业2011财年首半年仍面临亏损,首两季营业额共计325万令吉,较上财年同期的390万令吉下挫16.7%。

每股净资产41仙
至于亏损方面,白沙罗实业首两季共蒙受115万令吉的亏损,上财年仅面临53万9000令吉的亏损。

截至今年6月杪止,白沙罗实业的每股净资产为41仙。

消息人士接着指出:“柔佛机构将资产和产业发展计划注入白沙罗实业之举,实属‘一石二鸟’。

此举不但可提升产业发展计划的价值,同时,也能推动白沙罗实业的业绩表现。”[NanYang]

白沙羅澄清 未擬注入新資產

(吉隆坡26日訊)白沙羅(DBHD,3484,主要板房產)週二澄清,該公司未有注入新資產的計劃。

據報導,母公司柔佛機構(Johor Corp)可能會注入一些資產到該公司以釋放價值的報導,遭到馬證交所提出質詢。

針對該質詢,白沙羅通過文告說,該公司並沒上述計劃,且不知誰是消息來源。

文告披露,雖然該公司與其大股東柔佛機構,有持續討論著公司未來動向,內容包括注入資產,但都只屬于非常初步的階段。

《星報》週一的報導引述可靠消息來源,柔佛機構可能把其位于柔佛的拿督安城鎮(Bandar Dato Onn)和面積達1400公頃的丹絨蘭沙(Tanjung Langsat)工業園注入白沙羅,換取現金和公司股票。[ChinaPress]

白沙羅實業發股和現金‧購柔佛機構3公司

(吉隆坡9日訊)白沙羅實業(DBHD,3484,主板產業組)宣佈以發股和現金方式,向大股東柔佛機構收購3家產業服務公司。

白沙羅實業發出文告表示,建議以209萬令吉向Harta Consult公司和柔佛特許經營權發展公司(Johor Francise)收購HC Duraclean專業清潔公司各47.10%和27.90%股權,以及以1千800萬令吉收購Metro Parking公司各75%和15%股權。

該公司也建議以715萬令吉向白沙羅資產公司收購T M RUrusharta公司的75%股權,後者從事實業服務和設施管理及顧問業務。

白沙羅實業將透過現金和發股(每股發售價50仙)進行收購。

白沙羅實業將代Metro Parking公司償還132萬令吉預支,並以發股方式贖回Metro Parking公司的351萬令吉債券股。白沙羅實業預計發出5千923萬股新股,公司股本將從2億501萬股擴大至3億937萬股(每股面值50仙)。

上述賣主都是柔佛機構的子公司,將提供2012財政年250萬令吉的盈利擔保,柔佛機構也是白沙羅實業的大股東。

該公司表示,隨著新重組計劃出爐,該公司於2009年11月建議的換股、收購、脫售和轉移上市地位的重組計劃已告終止。(星洲日報/財經)
