诉讼案败诉  白沙罗实业须赔610万利息

(吉隆坡9日讯)白沙罗实业(DBHD,3484,主板产业股)宣布与Bangsar Hill控股私人有限公司的诉讼案中败诉,必须赔偿后者至少610万令吉的利息。

该公司昨天向马交所报备,已针对法庭最新判决作出上诉。若上诉失败,财务冲击除了达610万令吉,还包括2013年5月1日起计算的利息。

根据该公司文告,白沙罗实业早前入禀法庭,向Bangsar Hill控股针对双方于1993年的合作协议追讨2笔赔偿,金额分别达685万6597.50令吉和42万5505令吉,后者因此把这笔金额存入高庭。

但该案件于2011年10月19日被撤销,需承担堂费;Bangsar Hill控股也因此向法庭提出申请,向白沙罗实业追讨被存入法庭2笔金额的利息。

法庭裁决白沙罗实业需赔偿Bangsar Hill控股的利息,计算方式是宣判前2002年7月8日至2013年4月30日,及宣判后2013年5月1日起,685万6597.50令吉,每年8%利息;宣判前2007年11月22日至2013年4月30日,宣判后2013年5月1日起,42万5505令吉,每年8%利息。[南洋网财经]

- Updates On Legal Suits Relating to Compensation for Acquisition of Development  Rights Land for Construction of Sprint Highway
1.     INTRODUCTION
This announcement is in respect of the material litigation as disclosed in the Audited Financial Statements for the financial year ended 31 December 2012 and the quarterly financial results for the first and second quarter of 2013.

2.      DETAILS OF THE MATERIAL LITIGATION
The Company wishes to announce that pursuant to a Property Development Agreement dated 7 January 1993 (“the PDA”), Bungsar Hill Holdings Sdn. Bhd. (“BHH”) and Editry Sdn. Bhd. (“ESB”), two subsidiaries of Selangor Properties Berhad granted rights to the Company to develop approximately 15 acres of land adjacent to the Damansara Town Centre (“DTC”) Complex in Damansara Heights, Kuala Lumpur (“the Development Land”).

Part of the Development Land was compulsory acquired for the construction of Sprint Highway and the Company has filed an objection with the Land Administrator over its dissatisfaction on the decision of the Land Administrator in respect of the compensation payable to the Company.

The objections have been referred to the High Court and pending resolution of the matter, the compensation monies (RM6,856,597.50 for suit No. S3(S1)-21-90-2001 and RM425,505.00 for suit No. S4-15-13-20013) have been deposited into the High Court. 0n 15 November 2010, the High Court has ordered for the case to be transferred and heard together with another suit filed by the Company against BHH and ESB for breaches of the PDA in relation to their disregard of the Company's interest in the Development Land. However, on 19 October 2011, the case pertaining to the breaches of PDA has been struck out with costs.

BHH has filed an application for release of the compensation monies which have been deposited into Court and claimed for an interest accrued thereof.

On 30 April 2013, the Court allowed BHH’s application in respect of the release of monies whereby the compensation monies to be released and paid solely and exclusively to BHH.

3.      DECISION OF THE HIGH COURT
On 8 October 2013, the Company’s solicitors informed that the Court has allowed BHH’s application for interest claimable to the Company as follows:-
i)     Pre Judgment interest on the sum of RM6,856,597.50 from 8 July 2002 until 30 April 2013 at the rate of 8% per annum and Post Judgment interest on the sum of RM6,856,597.50 from 1 May 2013 until date of payment by the Company at the rate of 5% per annum.
ii)    Pre Judgment interest on the sum of RM425,505.00 from 22 November 2007 until 30 April 2013 at the rate of 8% per annum and Post Judgment interest on the sum of RM425,505.00 from 1 May 2013 until date of payment by the Company at the rate of 5% per annum.

It is to be noted that the above decision was made by the Senior Assistant Registrar of the High Court.

4.     FINANCIAL IMPACT
There will be a financial impact of RM6.1 million for the Pre Judgment interest ended on 30 April 2013 and an additional interest is chargeable based on respective interest rate for the outstanding sum from 1 May 2013 onwards as mentioned in Section 3. The said impact will affect the financial result of the Group for financial year ended 2013 in the event that the Judge in Chambers dismissed the Company’s appeal.

5.    STATEMENTS BY DIRECTORS
Having considered the financial impact and in consultation with the Company’s solicitor, the Board of Directors of DBhd has instructed the Company’s solicitors to file an appeal against the said decision to the Judge in Chambers.

传柔佛机构注资白沙罗实业

(吉隆坡15日讯)市场传言,柔佛机构(Johor Corp)即將把部份房產发展计划及资產注入旗下白沙罗实业(DBhd,3484,主板產业股),这项交易预计將通过现金及股票来支付。       

柔佛机构目前持有白沙罗实业58%股权,是该机构在马股上市的產业臂膀。根据柔佛机构官方网站资料,除了白沙罗实业,该机构旗下產业业务也包括,柔佛置地有限公司、TPM科技园私人有限公司、白沙罗资產私人有限公司,以及丹绒浪沙港(Tanjung Langsat Port)私人有限公司。

在去年5月大选后,柔佛机构展开一系列企业活动,包括旗下种植公司居林(Kulim,2003,主板种植股)增持伦敦上市的新不列顛棕油公司,並对其展开全面收购等。市场相信,整合產业业务是柔州机构有意进行的计划之一。

柔佛机构將產业资產注入白沙罗实业的传言在市场上流传已久,不过,一直只闻楼梯响。消息指出,柔佛新任州务大臣近期通过这项建议,因此,有关的行动预期即將进行。

在过去的接近3週,白沙罗实业股价已大幅走高,该公司从去年12月26日的0.375令吉的最低水平,飆升至今日闭市的0.48令吉。

截稿时,记者尚无法联络上白沙罗实业发言人,以就此传言作出回应。

白沙罗实业过去几年业绩表现並不稳定,该公司在2007、2008及2010財政年均蒙受亏损。2011財政年才扭转亏损的局面。虽然如此,在过去的7个季度当中,该公司有两个季度仍面对亏损,分別是2012年第2季及2013年第3季。

柔机构脱手51% 白沙罗实业易主

二零一四年二月十八日 晚上七时三十八分
(吉隆坡18日讯)柔佛机构有限公司将以7890万令吉,或每股50仙代价出售在白沙罗实业有限公司(DBHD,3484,产业组)的51%股权。

在致给大马交易所的宣布中,白沙罗实业表示,其大股东柔佛机构,已经接获来自Seaview控股私人有限公司的献议文件,以收购上述51%股份。

若建议成实,上述股票收购将使Seaview控股触及强制性全面收购尚未持有的白沙罗实业其余股票。

Seaview控股献议的附带条件包括对白沙罗实业进行精密审核、强制收购融资证明、卖方金融商批准、及有关当局包括财政部的放行。

上述条件须在一个月内达成,随后柔佛机构和Seaview控股将签署一份正式有条件股票脱售协议。

Seaview控股是一家柔佛公司,其股东为拿督达因玛烈、阿都阿兹和达因阿都拉欣。

We wish to inform that we have been notified by our major shareholder, Johor Corporation that it has today received a letter of offer from the Purchaser to acquire such number of ordinary shares of RM0.50 each in DBhd (“DBhd Shares”), representing approximately 51% of the equity of DBhd from the Vendors (“Letter of Offer”). Johor Corporation and also on behalf of the other Vendors, has on the even date accepted the Letter of Offer.

The conditions precedent stated in the Letter of Offer (subject to change and shall be as finalized in the formal Share Sale Agreement) are as follows:

(a)        Satisfaction of conditions precedent to drawdown of loan relating to the financing of the mandatory take-over offer of public portion of DBhd Shares;
(b)        Limited due diligence exercise on DBhd;
(c)        Approval of the Vendors’ financier, if applicable; and
(d)        Such other governmental or regulatory authorities’ approval including the Ministry of Finance, if required.

Consequent to the above, the Purchaser and the Vendors have agreed to enter into a conditional share sale agreement (“SSA”) to formalise the Proposed Acquisition at a date to be notified later and a more detailed announcement will be made at that juncture.

Pursuant thereto, the Purchaser has notified its potential obligation to extend a mandatory take-over offer in accordance to Section 218(2) of the Capital Markets and Services Act, 2007 and Section 9(1), Part III of the Malaysian Code on Take-Over and Mergers, 2010, to acquire all the remaining DBhd Shares other than the DBhd Shares under the Proposed Acquisition, subject to the fulfilment of the conditions precedent under the SSA and completion of the Proposed Acquisition in accordance with the SSA.

A copy of the press notice by the Purchaser is enclosed herewith for your information.

The shareholders of DBhd and potential investors are advised to exercise caution when dealing in DBhd shares, as there is no certainty that the Proposed Acquisition may proceed or result in a binding agreement. 柔佛機構續減持非核心業務

(吉隆坡19日訊)柔佛機構(JohorCorp)接受SEAVIEW控股有限公司收購白沙羅實業(DBHD,3484,主板產業組)51%股權獻議,並承諾將持續減持非核心業務股權,以符合企業重組計劃需要。

該公司總裁兼首席執行員拿督卡瑪魯汀查曼表示,通過SEAVIEW大股東的豐富經驗,相信憑藉他們的專業和企業家技能,將對白沙羅事業長期前景和財政永續性帶來顯著貢獻。

“我們逐步脫售非核心業務是集團資產合理化策略的一部份,以藉此簡化和專注與改善具備更大增長潛能的核心業務表現。”

在完成上述脫售計劃後,柔佛機構在白沙羅實業的持股將從64.8%減至13.8%。

目前,柔佛機構的核心業務為種植、產業發展、醫療保健和快餐業務。(星洲日報/財經)

Seaview7889萬入股51% 白沙羅價量齊揚遭質詢

(吉隆坡6日訊)白沙羅(DBHD,3484,主要板房產)近期股價大漲且交易火熱,在遭馬證交所發出“異常交易活動”(UMA)質詢后,稍晚公布,Seaview控股有限公司已斥7889萬令吉購買其51%股權。

白沙羅向馬證交所報備,今日接獲通知,柔佛機構(JCORP)與Seaview控股簽署股票買賣協議,后者將斥7889萬令吉或相等于每股50仙,購買柔佛機構持有的1億5778萬股。

文告指出,完成股票買賣后,Seaview控股將持白沙羅51%股權。

Seaview控股已付788萬9000令吉作為首期付款,並在簽署協議3天后付上同個數目;剩余6311萬2000令吉可在12月期間付完。

白沙羅今早開盤時先微揚0.5仙至66.5仙,股價隨后不但一直走高,交投量在開市半小時后衝破百萬股。

閉市時,該股報86仙,漲20仙或30.30%,成交量2270萬2000股。【中国报财经】

Seaview 拟进军依区和边佳兰

(吉隆坡7日讯)刚收购白沙罗实业(DBHD,3484,主板产业股)51%股权的Seaview控股私人有限公司,有意进军柔佛依斯干达区和边佳兰。

该公司主席拿督达因马力指出,想要积极参与发展迅速的南部经济走廊和提炼与石化工业综合发展计划(简称RAPID)。

他昨天与白沙罗实业大股东柔佛机构(Johor Corporation)签署股权买卖合约后,发表文告指出,Seaview计划让白沙罗实业的产业和建筑业务回春。
白沙罗实业不下市

他指出,完成收购白沙罗实业股权后,Seaview控股即时的计划是进一步拓展在白沙罗的业务。

这当中包括Metro停车场业务、TMR Urusharta设备管理、Healthcare Technical的医院顾问服务和工业清理业务。

达因马力深信,白沙罗实业还有很大的增长潜能和股东价值增长空间。

另外,Seaview收购了白沙罗实业股权后需进行强制全面献购(MGO),但该公司有意保留白沙罗实业的上市地位。【南洋网财经】

(吉隆坡9日讯)今年以来股价暴涨227%的白沙罗实业(DBhd,3484,主板產业股),今日接获大马交易所的不寻常交易活动询问(UMA)。       

大马交易所指出,由于白沙罗实业股价近期不寻常地走高,因此向该公司提出询问。同时,交易所也建议投资者留意该公司针对这项询问,所给予的答覆。

白沙罗实业股价从去年底的0.41令吉迅速走高,在短短的3个月內就已经突破1令吉水平,过去3个交易日股价就已经上涨接近二成。与此同时,该股今年的成交量也显得更活络。

该股今日一度触及1.39令吉,闭市收在1.34令吉的新高水平,全天上涨15仙,成交量达到1112万3200股。

这家柔佛州政府旗下的產业公司,今年2月宣布,大股东柔佛机构接获Seaview控股的收购献议,以每股50仙收购其持有的白沙罗实业51%股权,完成之后,Seaview將需要提出全面收购献议。

该公司在4月4日宣布,柔佛机构及买方决定將完成合约条件的期限,从4月7日展延至4月28日。【东方网财经】

(吉隆坡10日訊)白沙羅(DBHD,3484,主要板房產)因價量異常,股價攀近52週新高水平,連續兩個月遭馬證交所發出“異常交易活動”(UMA)質詢,今日下午回應稱對股價走勢原因不知情。

白沙羅向馬證交所報備,已向董事、大股東及其他相關人士了解詳情,但仍對近期的股價升勢沒有頭緒。

白沙羅今日走勢起伏不定,開市報1.29令吉,跌5仙。盤中一度升2仙或1.5%至1.36令吉,逼近52週新高紀錄1.39令吉。 該股閉市報1.32令吉,下滑2仙,成交量達754萬5000股。

將今日閉市報1.32令吉與3月份的60仙價位相比,該股至今已增長超越1倍,即上揚72仙或120%。

白沙羅今年3月6日因股價大漲且交易火熱,遭馬證交所發出“異常交易活動”質詢后公布,接獲通知,柔佛機構(JCORP)與Seaview控股簽署股票買賣協議,Seaview控股將斥7889萬令吉或相等于每股50仙,購買柔佛機構持有的1億5778萬股。

(吉隆坡24日讯)即将晋升为白沙罗实业(DBHD,3484,主板产业股)大股东的Seaview控股私人有限公司,今天出价每股50仙,强制全面献购其余49%股权。

白沙罗实业向马交所报备,Seaview控股将在4月30日完成收购51%股权,所以必须依据条例,强制全面献购其余1亿5159万1260股。
接UMA质询

Seaview控股3月向柔佛机构(Johor Corporation)与其他卖方,以每股50仙或总值7889万令吉,收购白沙罗实业的1亿5778万股或近51%股权。
不过,Seaview控股表明有意维持白沙罗实业的上市地位。

白沙罗实业表示,献购方收购股权,希望可善用他们在产业发展领域的专业和经验,特别是在依斯干达特区,以进一步扩展白沙罗实业。

柔佛机构脱手股权的消息传出后,白沙罗实业股价从3月初的60仙,一路走升至周四的1.81令吉,涨逾201%。

The Board of Directors of DBhd (“Board”) wishes to announce that JCorp has informed the Company on 24 April 2014 that all the conditions precedent to the SSA have been fulfilled on 24 April 2014. Accordingly, the SSA has become unconditional. As a result, Seaview will hold approximately 51% of the voting shares in DBhd upon completion of the SSA.

Accordingly, in accordance to Section 11 of the Malaysian Code of Take-Overs and Mergers, 2010 (“Code”), Kenanga Investment Bank Berhad served, on behalf of Seaview, a notice of the Offer on the Board, informing DBhd of Seaview’s obligation to undertake the Offer.

In accordance with the Code, the Board will appoint an Independent Adviser to advise the Non-Interested Directors of DBhd and holders of the Offer Shares in relation to the Offer. The appointment of the Independent Adviser will be announced in due course.

In addition, pursuant to the Code, the Board will upon its deliberation, announce whether it intends to seek an alternative person to make a take-over offer for the Offer Shares.

A copy of the Notice is attached herewith and will be posted to the holders of the Offer Shares within seven (7) days of receipt.

傳收購肯德基 白沙羅勁漲31仙

(吉隆坡6日訊)白沙羅(DBHD,3484,主要板房產)賣壓罩頂多日后,因市場傳言將收購柔佛機構子公司肯德基(KFC),今日終在投資者追捧下收復失地,盤中一度勁起32仙,位居10大上升股榜。

儘管如此,柔佛機構回應《The Edge財經日報》提問時,否認白沙羅將收購子公司肯德基,表示對有關獻購並不知情,公司也沒有征求收購獻議。

自大股東拿督達英馬烈宣布,以每股50仙強制獻購未持有的白沙羅股權后,疑小股東對獻購價不滿一連數日拋售。

但在最新收購傳言下,該股今日先衰后盛,早盤微跌2仙以1.30令吉低開,隨著小股東重整步伐,股價很快止跌回揚,交易近2句鐘,白沙羅攀高17仙或13%,創早盤最高水平1.49令吉且交投火熱。

休市時,白沙羅暫掛1.47令吉,起15仙,半日計有890萬9400股易手。午盤間,該股有如神助,一度攀至1.64令吉勁起32仙,閉市時報1.63令吉,漲31仙,成交量1740萬2700股。

達英馬烈是透過Seaview控股,于今年3月6日斥資7889萬令吉或相等于每股50仙,向柔佛機構收購持有的白沙羅共1億5778萬股,因持股量達51%,觸及強制獻購機制;前者將以每股50仙收購未持有股項。
 
白沙羅股價曾在4月23日創逾10年新高價位1.93令吉,截至昨日(5日),該股已滑落近32%,市場人士指出,小股東疑不滿意達英馬烈每股50仙獻購價,引發該股數日跌勢。
