卖中国塑胶业务 东方实业进账7640 万

（吉隆坡12日讯）东方实业（ORIENT，4006，主板消费产品股）以7640万令吉现金，脱售涉及塑胶业务的中国子公司。
东方实业向马交所报备，由旗下子公司所持有的东方协和塑料工业（上海浦东新区）有限公司100%股权，以1亿4422万5000人民币（约7640万令吉）脱售给上海汇阳实业有限公司。
东方协和塑料工业是一家从事销售塑料制品、音箱、注塑模具和家用电器等的公司，已注册及发行资本达1550万美元（约5022万令吉）。
东方实业表示，上述交易可为集团带来约1800万令吉的获利。
所得款项将用作集团的营运资本，此交易预期可在3个月内完成。

东方实业遭申诫

（吉隆坡27日讯）东方实业（ORIENT，4006，主板消费产品股）因没有把经审计后的净利差额，纳入在今年2月28日公布的2012财年第四季未经审计业绩内，而遭大马交易所公开申诫。
该公司当时公布的第四季未审计净利为2亿3585万令吉，而在今年4月30日公布的已审计账目中，该季净利实为2亿63万3000令吉，差额达3521万7000令吉，相等于14.9%。
马交所指出，东方实业已违反马交所主板上市条例，而向该公司发出公开申诫。
同时，马交所还要求该公司雇用外部审计师，限定检讨其提呈的季度报告，并还必须确保所有董事与相关人士出席符合主板上市条例的有关财务报表培训课程。[南洋网财经]
LISTING'S CIRCULAR NO. L/Q : 69317 OF 2013Bursa Malaysia Securities Berhad (Bursa Malaysia Securities) has publicly reprimanded Oriental Holdings Berhad (ORIENT) for failing to ensure that the announcement dated 28 February 2013 on the fourth quarterly report for the financial year ended (FYE) 31 December 2012 (4th QR 2012) took into account the adjustments as stated in ORIENT’s announcement dated 30 May 2013.
The failure to take into account the adjustment was in contravention of Paragraph 9.16(1)(a) of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR) where a listed issuer must ensure that each announcement made is factual, clear, unambiguous, accurate, succinct and contains sufficient information to enable investors to make informed investment decisions.
The public reprimand was imposed pursuant to Paragraph 16.19(1) of the Main LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.
ORIENT is also required to carry out a limited review of its quarterly report submissions. The limited review must be performed by external auditors for four quarterly reports commencing from the quarterly report for the financial period ended 31 December 2013. In addition, ORIENT must ensure all its directors and relevant personnel attend a training programme on compliance with the Main LR pertaining to financial statements. ORIENT is also required to review and ensure the adequacy and effectiveness of its financial reporting function.
While Bursa Malaysia Securities has not found any of ORIENT’s directors to have caused or permitted the breach by ORIENT, Bursa Malaysia Securities wishes to highlight that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the Main LR. The Board of Directors at the material time were as follows:

Bursa Malaysia Securities views the contravention seriously and has reminded ORIENT and its Board of Directors of their obligation to uphold appropriate standards of responsibility and accountability to shareholders and the investing public.
BACKGROUND
ORIENT reported an unaudited profit after taxation and minority interest of RM235.850 million in ORIENT’s 4thQR 2012, compared to an audited profit after taxation and minority interest of RM200.633 million in ORIENT’s annual audited accounts for the FYE 31 December 2012 which was announced on 30 April 2013. The variance of RM35.217 million between the unaudited and audited results represented a deviation of 14.9%.
The main adjustment arose from the consolidation elimination entries attributable to non-controlling interest in relation to reversal of impairment losses. ORIENT had admitted that it was an inadvertent oversight.

東方實業2子公司 交易房產省租金成本

（吉隆坡18日訊）東方實業（ORIENT，4006，主要板消費）兩家子公司簽署房地產買賣協議，以節省租金成本供未來發展。
東方實業向馬證交所報備，獨資分子公司Ultra Green私人有限公司（UG），與持股51%的子公司，即馬六甲Straits醫療中心私人有限公司（MSMC）簽署買賣協議，以3830萬6545令吉向后者收購房地產。
根據報備文件，馬六甲Straits醫療中心將透過上述議案節省租金收入，Ultra Green也可從中獲得收益，提供未來發展。[中国报财经]

东方实业1235万售地

（吉隆坡28日讯）东方实业（ORIENT，4006，主板消费股）持股60.26%的子公司－－Armstrong Auto Parts私人有限公司（AAP），与其另一独资子公司Jutajati私人有限公司签署买卖协议 ，以1235万4290令吉，脱售3块共4万8316平方呎的地皮予后者。
AAP將把脱售土地所得作为营运资金，以提高营运效率和恢復商业活动的盈利能力。
此脱售协议將会为东方实业带来390万令吉的获利，但却不会对该公司的净资產和负债率带来显著的影响。[东方日报财经]

2279万 增持49%股权 东方实业全控澳酒店

（吉隆坡31日讯）东方实业（ORIENT，4006，主板消费产品股）宣布，斥资781万5502澳元（2279万1000令吉）收购澳洲地理湾酒店（Geographe Bay Motel）单位信托的49%未持有股权。
根据文告，东方实业独资子公司Kah澳洲私人有限公司，向澳洲产业公司Inapo收购地理湾酒店单位信托的49%股权，以及该信托托管人Whitemark私人有限公司的50%股权。
同时，收购总额中的55万4244澳元（161万7050令吉）将归Inapo所有，而另726万1258澳元（2117万3828令吉）则用来支付该信托拖欠Inapo的款项。
完成后，Kah澳洲能完全持有25英亩的海边地段，可进一步扩大该地段的原有商业物业，以吸引更多游客的光临。[南洋网财经]

全年淨利失色‧東方實業2年財測下調

（吉隆坡3日訊）東方實業（ORIENT,4006,主板消費品組）2013財政年全年淨利按年挫6.5%至1億8千750萬令吉，低於市場預期、表現令人失望，分析員調低今、明後財政年每股盈利1至3%，惟調高其評級。
文秀本田電單車業務萎縮
聯昌研究說，東方實業零件部份出人意表重虧，文秀本田電單車業務也萎縮，預測電單車銷售謹慎成長。其市佔率達47%，主要是受薪者受通膨壓力和可支配收入減所衝擊。
這也是為何調低其派息低於3.5仙之緣故，2012財政年為4仙。在工業單位銷售有47%銷售，只是有關銷售都由受薪階級貢獻；惟在高通膨與可支配收入波動，對其電單車銷售仍保持謹慎。
種植業崛起為最大盈利貢獻者，第四季稅前盈利也下跌5%至5千萬令吉，主要受更低原棕油價所累。
投資收入則意外上揚，按年增長67%至5千萬令吉，主要貢獻來自其在大馬本田（Honda Malaysia）的15%持股所取得的更高股息收入；這也抵銷塑膠業務的90萬令吉虧損。酒店業務則平平和在預料之中。聯昌研究將其評級由“減碼”調高至“守住”，目標價則由8令吉零4仙調低至7令吉60仙。其股價已從歷來新高下跌34%，比其重估後淨資產值低27%。（星洲日報／財經‧報道：張啟華） |

东方实业扩大印尼种植地

（槟城7日讯）东方实业（ORIENT，4006，主板消费产品股）计划扩大油棕种植地库，特别是在印尼。
该公司总财务长黄德禄在股东大会后表示，棕仁、鲜果串与原棕油价格扬升，以及印尼与大马对生化柴油需求增加，促使种植领域继续成为集团营业额主要增长动力。
“公司计划增加印尼曼卡岛（Bangka Island）与苏门答腊南部的种植地面积，目前的种植地面积达9万1000公顷，其中5000公顷位于大马。”
简化吉打汽车业务
他说，印尼限定种植面积顶限为10公顷，东方实业目前在印尼拥有8万6000公顷，仍有增加的空间。
至于汽车业务，他指出，东方实业计划简化吉打州的汽车配备制造业务，并计划将中国奇瑞（Chery）的汽车，以及长安汽车的小型货车，引进本地组装。
他说，在房地产发展业务方面，公司将在下个月，于马六甲展开发展面积达202.7公顷的综合发展计划，预计房产发展业务员可推高今年的获利。【南洋网财经】 |

（吉隆坡15日訊）東方實業（ORIENT，4006，主要板消費）宣布提供子公司馬六甲海峽醫療中心私人有限公司（MSMC）1億令吉資金援助，以達到集團有效資金管理效益。
東方實業向馬證交所報備，有關資金援助將從內部儲備取得，作為集團內資金管理，並以最低融資成本方式，為設立醫院設施、醫療學院和其他相關營運發展融資，並改善股東財富。
這項資金援助活動將不會對東方實業2014財年股本、盈利、淨資產或負債率帶來任何影響。
至于在之前12個月，東方實業与MSMC的交易數額達1億6110萬令吉。【中国报财经】
