Citigroup to give U.S. government 34 percent stake
NEW YORK (Reuters) - Citigroup Inc (C.N) said on Wednesday it will give the U.S. government a 34 percent equity stake as part of the latest federal bailout of the nation's third-largest bank.
The government is becoming Citigroup's largest shareholder, following the completion of two exchange offers designed to bolster the capital position of the bank, widely considered the most troubled of the nation's biggest lenders.
Investors have agreed to swap about $32.8 billion of preferred securities for common stock, and the government agreed to swap $25 billion, the New York-based bank has said.
Citigroup conducted the offers after heavy credit losses and writedowns prompted a series of bailouts.
The government has injected $45 billion from the Troubled Asset Relief Program, and agreed to share losses on $300.8 billion of troubled assets.
Citigroup has also been overhauling its upper management and its board, including the addition of seven new directors this year, and is trying to shed consumer finance, insurance and toxic assets.
Less than two months ago, the bank raised capital by putting its Smith Barney brokerage into a joint venture controlled by Morgan Stanley (MS.N).
Citigroup has said it may conduct a reverse stock split before June 30, 2010 that would increase the share price, which has hovered near $3 for much of the year.
It has proposed seven possible exchange ratios, ranging from 1-for-2 to 1-for-30. Reverse splits reduce outstanding shares and are often used to boost low share prices.
Stephen Cohen, a Citigroup spokesman, said no decision has been made on whether to conduct a reverse split.
American International Group Inc (AIG.N), a troubled insurer that has also received multiple bailouts, has seen its shares fall 42 percent through Tuesday after a 1-for-20 reverse split at the end of June.
Citigroup shares closed Tuesday at $2.97 on the New York Stock Exchange. |

Tarnished Citigroup Looks Like It Could Shine Again
* AUGUST 2, 2009
By ANDREW BARY
Citigroup has been garnering investor interest amid optimism on Wall Street that the worst is over for the beleaguered banking company.
Citi shares have been pounded in the past two years, falling to around $3 from $55 because of heavy losses and a huge increase in its shares outstanding as a result of a $58 billion preferred-stock exchange offer designed to shore up the company's equity capital base.
Citi stock is down 50% this year alone, while J.P. Morgan Chase shares have risen 20%, to a recent $38, and Goldman Sachs has surged 90%, to a recent $162.
The Worst Is Past
The bullish case for Citi is that it has put concerns to rest about its viability and capital adequacy.
And, based on tangible book value, a conservative measure of shareholder equity, its stock looks inexpensive. (Book value is the value at which assets are carried on a company's balance sheet -- or the value of a company if it sold off all its tangible holdings.)
Citi has been trading at about 70% of its book value of $4.30 a share, pending completion of the preferred exchange offer that probably will boost its share count to 23 billion from the current 5.5 billion.
In contrast, J.P. Morgan and Goldman fetch about 1.6 times tangible book; Wells Fargo commands twice its book value.
"Citi is the one stone that investors haven't turned over," says John McDonald, a banking analyst at Sanford Bernstein who carries a price target of $4 on Citi shares.
Citi now has a strong capital position and a strategy to emphasize its global consumer and corporate banking franchise, as well as its investment-banking and trading businesses.
The bank plans to wind down or sell a group of businesses, including some consumer-lending operations, plus its private-label credit-card operation. Citi already has put its Smith Barney brokerage arm into a joint venture with Morgan Stanley in a move that boosted its capital. Citi owns 49% of the joint venture.
A caveat: Unlike most of its key rivals, Citigroup isn't profitable now and may not operate in the black next year either.
Attractive, Though Battered
But bulls argue that Citi could earn 65 cents a share by 2011 or 2012 and that the stock could hit $6.50 by then, even though it will have to contend with potential government meddling. Uncle Sam owns 34% of the company, obtained in exchange for bailing it out during the credit crunch.
Citi isn't in as good shape as J.P. Morgan or Goldman, but that disparity is reflected in its depressed stock price. Still, it has an attractive, if tarnished, world-wide banking franchise that could produce nice profits as the economy turns up. |
