丹绒岸外洽购探油公司 股价不起反跌4 仙

（吉隆坡12日讯）传以近10亿令吉收购海外公司的丹绒岸外（TgOffs，7228，主板贸服股），今天证实正初步洽购一家油气钻探公司；消息也带动丹绒岸外周三成交量，惟股价遭受卖压。
丹绒岸外向马交所报备，集团早前已检阅多个收购计划的建议书，包括一家油气钻探公司的收购计划，目前也正在与相关油气公司初步洽谈。
“迄今，我们没有委任任何顾问，也没有针对有关公司展开财务或法律上的精密审查。
我们将在完成精密审查后，再宣布相关资讯。”
不过，丹绒岸外并未透露收购对象是外国抑或国内公司，更没有提及潜在收购价。
丹绒岸外周三闭市报65.5仙，全日跌4仙，或5.76%，成交量则高达2684万4800股，成为全场第7热门股。
消息指10亿并购
根据媒体报道，丹绒岸外拟以近10亿令吉收购海外油气公司，而计划已进入最后阶段。
若成功收购这家拥有与管理多个岸外钻油平台的外国公司，新资产将成为丹绒岸外的主要业务。
丹绒岸外曾是岸外支援船业者，后期脱售有关业务给国家股权公司（Ekuinas）。
消息透露，丹绒岸外将透过发行新股与债券和手上现金，收购外国公司的股权。
“投行已完成初步钻研的工作，发行债券也获得正面反应。”
去年脱售部分船运资产后，丹绒岸外如今拥有超过1亿令吉现金。
国家股权公司去年以6200万令吉脱售丹绒岸外24%股权，再以2亿6000万令吉收购丹绒岸外的岸外支援船业务。

多空一线：丹绒岸外上探59仙

港股恒生工商指数于6月21日的跌势，持续冲击马股富时隆综指（FBM KLCI）的交投走势，跌破处于1760的支撑水平线。
富时隆综指于6月21日一度下探1737.66低点，它于闭市时继续处于1760点线下报收。富时隆综指30只成分股项处于一段巩固盘整走势。
富时隆综指于周四的整日波幅介于6.49点（1737.66-1762.49）。它于闭市时收1755.85点，按日回退6.49点或0.37%。
依从富时隆综指30只成分股项的表现来分析，大马股市持续处于巩固盘整走势。
富时隆综指30只成分股项处于巩固盘整水平，带领富时隆综指进入短期持续反弹走势。上升股项为306只，而下跌股项为512只。
丹绒岸外（TGOFFS，7228，主板贸服股）于6月20日闭市时反弹了。它于闭市时收48.5仙，按日涨3.5仙或7.78%。
丹绒岸外的60分钟线图表走势于6月21日的交投趋势，成功突破一道下降趋势线（B1:B2）后收在这道水平线上。它的60分钟线平滑异同移动均线指标（MACD），于6月21日的反弹交投走势已转强。
它继续处于“0”支撑线上波动，丹绒岸外的的后市的交投走势料会出现一段巩固反弹趋势。
丹绒岸外的60分钟线图表走势，于6月21日显现一段持续反弹趋势，或会上探49至59仙关口。

为新收购计划筹资 丹绒岸外私配10%

（吉隆坡23日讯）丹绒岸外（TGOFFS，7228，主板贸服股）建议，私下配售占公司缴足资本高达10%比重的新股，为新的策略收购计划集资。
丹绒岸外在文告中指出，假设私下配售价格定在每股60.5仙，公司最高能够筹得2275万6000令吉，最低则达1772万6000令吉。
此外，公司表示，从这项计划筹得的资金将用在新的策略收购计划。
目前，丹绒岸外在物色合适的商业机构或资产，以辅助现有的业务。公司表示，这些新的策略收购将是与现有业务相同或是附加业务。
虽然这项私下配售活动将冲淡公司的每股盈利，但是料收购的机构或资产可改善公司未来的净利表现。
不过，若公司无法获得股东通过有关收购计划，公司将会使用这笔资金偿还债务。

筹资收购外国公司 丹绒岸外将发债券和配股

（吉隆坡26日讯）丹绒岸外（TGOFFS，7228，主板贸服股）将采取系列筹资活动，包括债券和配股，以收购外国油气公司。
《星报》引述消息报道，该公司已进入收购行动的最后阶段；据悉，该外国油气公司，持有并营运价值接近10亿令吉的海上钻井平台。
消息称，一旦并购完成，该新资产将成为丹绒岸外的主要业务。
与此同时，知情人士透露，该债券计划，料将筹得超过5亿令吉，而剩余的收购成本将以现金及配股方式支付。”
私配筹2276万
据悉，肯纳格投行已被委任，负责上述的筹资活动。
另一方面，丹绒岸外周二宣布，计划私下配售占公司缴足资本达10%比重的新股；公司正为此鉴定合适的投资者。
这项私配计划，预计能筹得1773万令吉至2276万令吉之间的资金。
丹绒岸外过去两年都面对亏损，其中2012年录得1159万令吉的亏损。无论如何，公司在今年首季，成功转亏为盈，录得264万令吉的净利。

未有新业务 丹绒岸外靠消息满场飞

去年杪被《资匯》形容为自断米粮的丹绒岸外（TGOFFS，7228，主板贸服股），股价在全国大选后猛然飆涨。该股股价在大选前处於约30仙水平，选后首日尚且企於31仙，但隨后就如脱韁野马，飞奔逾一倍，並在5月29日创下74.5仙，是2011年4月以来的新高水平。
这家已脱售原有核心业务--海事业务，並且经歷了2年巨额亏损的过气油气公司，此时看似也搭上油气股涨潮的顺风车。
《资匯》在第201期（2012年11月26日）追踪报导丹绒岸外时，认为该公司脱售船务公司，虽获得一笔一次过收入，但也犹如自断米粮，同时，原大股东国家股权公司（Ekuinas）也售股走人。因此，该公司必须承担前路充斥不確定性的风险。（编注：国家股权公司隨后来函澄清，阐明对丹绒岸外所採取的重组措施的出发点，本刊已原文刊登在去年12月10日第203期的「我有话说」）
截至目前为止，丹绒岸外还未出手收购新业务，不过，仅靠剩下的油气產品与服务、维修和工程配套业务，也成功在2013財政年首季取得263万令吉净利。假如排除去年同期脱售资產所获的非营运收入，该公司可说重新恢復赚钱能力，税前盈利从去年同期的98万1000令吉亏损，转为486万令吉的盈利。现在的问题是，丹绒岸外目前只能算是喘定一口气，近期如坐过山车般的股价表现，合理吗？《资匯》从各种角度来看，认为该股股价存有市场炒作的成份，虽未到不合理的程度，但恐怕也不宜对该股盲目乐观。
丹绒岸外已在7月23日建议，私下配售佔缴足资本10%的股票予第三方投资者，以筹集2275万令吉，作未来策略性收购活动的用途。该股目前的股价，相信已反映了此因素，而其將做出的收购行动，则是影响未来股价表现的一大不確定因素。[东方日报财经] |

We refer to the announcements made by Kenanga Investment Bank Berhad (“KIBB”), on behalf of Tanjung, on 23 July 2013, 14 August 2013 and 21 August 2013 in respect of the Proposed Private Placement.
On behalf of the Company, KIBB is pleased to announce that the Company had on 9 September 2013 (“Price-Fixing Date”) fixed the issue price for the placement of up to 29,816,000 Placement Shares, representing up to approximately 10.0% of the issued and paid-up share capital of Tanjung excluding treasury shares as at 6 September 2013, at RM0.570 per Placement Share representing a premium of approximately 2.2% to the five (5)-day volume weighted average market price of Tanjung Shares up to and including 6 September 2013 of RM0.558 per Tanjung Share.
