Fitzroy Engineering Group has New Owners

As of 1 December 2010 Peter White-Robinson has signed a conditional sale and purchase agreement to sell his shares in Fitzroy Engineering, Fitzroy Engineering Australia and his shareholding in Fineline Services to Dialog Group Berhad (Dialog) of Malaysia (90%) with current Fitzroy Engineering Group Managing Director Richard Ellis owning 10%.

Fitzroy Engineering was established in the late 1950’s and Peter has been the sole owner since 1992.  Under Peter’s guidance and wealth of engineering and business experience the company has grown dramatically to be one of New Zealand’s largest heavy fabrication and multi-disciplined companies, attracting key maintenance contracts, and key involvement in some tremendously exciting engineering accomplishments.

Dialog Group Berhad was founded in 1984 and has grown into one of Malaysia’s leading integrated specialist technical services providers to the oil, gas and petrochemical industry. Dialog’s services encompass activities in:

接納國油建議
石油新稅務優惠納入法令

納吉宣佈，由國家石油公司建議的新稅務優惠已經獲接納，以納入石油所得稅法令中。

進一步推動開采計劃他說，這將能推廣石油與天然氣資源的全新發展，並鼓勵發展更具技術挑戰的資源和進一步推動本地開采計劃。

“這些項目將有潛能在未來20年內，為大馬帶來額外500億令吉的石油收入。”

他說，針對邊際油田發展計劃實行的投資稅豁免、減稅和出口稅豁免，也同時帶來總值81億令吉的名義權衡交易（notional trade-off）。

5項開啟資源困境的全新獎勵建議

1.高達60至100%資本支出的可免投資稅額可從法定收入中抵銷，以鼓勵發展資本密集的投資計劃。例如：提高原油采收率（EOR）、高二氧化碳天然氣田、高壓高溫（HPHT）、石油作業的深海計劃和設施計劃；

2.邊際油田開發稅從38%降至25%，以提高邊際油田商業開發的吸引力；

3.邊際油田開發可享有加速資本減免從10年減至5年，成本扣除的充份利用，將可以提高項目可行性；

4.相同合伙企業或獨資之間的不連續石油協議可享有勘探支出資格的轉讓，以提高承包商的風險承受力，並推動更多的勘探活動；

5.邊際油田發展計劃的石油生產及出口將豁免出口稅，以提高邊際油田商業發展的吸引力。

第二項計劃

明後年耗資30億
北根設油氣物流工業園

納吉指出，丹絨阿加斯石油天然氣與海事服務公司（TASBMS）將於2011至2012年耗資30億令吉，在彭亨州北根建設丹絨阿加斯石油天然氣與物流工業園。

他說，這項計劃估計可在未來10年帶來300億令吉的國民總收入，並在2020年提供3萬個商業機會。

他說，丹絨阿加斯石油天然氣與物流工業園將作為一個多功能供應基地，為區域內蓬勃發展的上游及下游工業，包括石油與天然氣勘探、開發和生產提供支援與服務。

他說，這個佔地4千260英畝的工業園將為能源和海事業提供服務，包括修船廠、加工場、供應和物流基地、原油和石油儲存庫、液態天然氣接受及儲存氣。

“此工業園也提供支援服務與設施，如港口及海事服務、廢料管理系統中心、石油天然氣學院、五星級的海員休閒站和商業中心。”

Dialog to buy 90% stake in New Zealand’s Fitzroy Engineering for RM31.7m
KUALA LUMPUR: DIALOG GROUP BHD [] is acquiring a 90% stake in Fitzroy Engineering Group Ltd (FEGL), one of New Zealand’s largest heavy fabrication and multi-disciplined engineering companies, for RM31.7 million cash.

The company said on Wednesday, Dec 1 that its wholly owned subsidiary Dialog Systems (Asia) Pte Ltd had entered into a conditional sale and purchase agreement with Peter Clayton White-Robinson to acquire the 90% stake representing 2.38 million shares.

Dialog said the share purchase would further strengthen and enhance its fabrication business in the oil, gas and petrochemical industry, leveraging on FEGL’s strengths in high quality engineering capabilities, business processes and methodologies as well as intellectual property rights for welding procedures.

“FEGL has an established track record in New Zealand and Australia for high quality engineering and are well-known for their reliability.

“The integration of FEGL into Dialog’s fabrication business will provide Dialog group with immediate access to the established New Zealand market as well as provide growth opportunities for our Australian market,” it said.

The acquisition was also in line with its strategy of focusing and growing its core businesses, penetrating new markets and investing in businesses with long term sustainable income, said Dialog.

戴樂集團將透過內部資金融資，預計明年首季可完成。

Fitzroy工程集團是紐西蘭最大重型加工與多層次工程公司，在紐西蘭北島擁有大型加工廠設備。

分析

興業研究表示，相關收購案正面，相信戴樂集團主要放眼強化紐西蘭和澳洲業務潛在機會，以及Fitzroy工程專有技術。

Fitzroy工程模擬財務信息顯示，其2011財政年首6個月淨利達450萬令吉，全年盈利可能達890萬令吉，以90%持股計算，將為戴樂集團帶來800萬淨利，並提高總盈利5%。

截至2011財政年首季，戴樂集團手握1億9千零90萬令吉淨現金，足以透過內部資金融資上述併購計劃。

大馬研究指出，根據Fitzroy工程截至2010年9月30日止首6個月，200萬紐西蘭元淨利計算，獻購價僅有2011財政年5倍本益比，但若根據500萬紐西蘭元賬面值，Fitzroy工程股價/賬面值（PBV）估值達3倍，整體收購案依舊正面。

“不過，Fitzroy工程現因收購某塊租期將在2年內屆滿的土地陷入法律糾紛，假設相關土地價格每米300紐西蘭元，或相等於1千200萬令吉，Fitzroy工程綜合收購價將提昇至7倍本益比。”

盈利貢獻不大

但大馬研究認為，縱然以7%利率計算，相關併購案將些微強化戴樂集團2012財政年盈利2%。


僑豐研究表示，Fitzroy工程在過去3年平均淨利為300萬紐西蘭元，僅是戴樂集團2011和2012財政年1億3千900萬和1億4千900萬令吉淨利目標的一小部份，鑒於盈利貢獻不大，維持戴樂集團2011和2012財政年淨利不變。
