MNC無線2股東 開特大罷免5董事失敗

（吉隆坡14日訊）MNC無線（MNC，0103，創業板科技股）兩名股東要求召開特別股東大會以罷免5位董事，但基于不符合公司條例而宣告失敗。
MNC無線向馬證交所報備，兩名共持有MNC無線956萬7000股或10.13%股權的股東，要求召開特別股東大會，以罷免5位董事成員。
根據報備文件，MNC無線接獲兩名股東，即賀卓葷和葉謝茜（人名皆譯音）的信函通知，要求召開股東特別大會，罷免5位董事成員。
不過，在經過法律咨詢后發現有關要求並不符合1965公司法令下的144條文，因此召開股東特別大會的要求宣告失敗。
賀卓葷和葉謝茜是在9月26日，要求召開特別股東大會，罷免5位董事，包括楊英孔、朱維傑、陳英侯、非獨立非執行董事郭國平，及獨立非執行董事李金春（人名皆譯音）。
同時，信函也要求，委任賀卓葷、葉謝茜、周偉平及魏子偉為董事。

MNC无线购万讯达1000万股

（吉隆坡25日讯）MNC无线（MNC，0103，创业板）宣布，通过公开市场，以总值120万令吉，收购了万讯达（MEXTER，0075，创业板）1000万股普通股。
MNC无线昨天向马交所报备，该项收购活动是该公司策略性股权投资。因为万讯达现有和核心业务，与MNC无线及旗下子公司业务可互补，因此相信2家公司合作，会提升MNC无线的价值。
不会继承债务
根据MNC无线文告，收购活动是基于万讯达的市价，将以内部融资完成。收购万讯达股权后，MNC并不会继承万讯达的债务。
另外，MNC无线指出，资讯科技领域前景乐观，加上公司业务表现稳定，万讯达的表现料持续增长。[南洋网财经]

S-3-6, S-3-7 & S-3A-6, Jaya One – Phase 3 Strata Office situated within Jaya One Commercial Centre at No. 72A, Jalan Universiti, 46200 Petaling Jaya, Selangor Darul Ehsan, for the purpose of ascertaining the fair value of the said properties.

拓展東南亞‧MNC無線洽海內外聯營

（吉隆坡28日訊）MNC無線（MNC,0103,創業板科技組）洽談海內外聯營計劃，放眼拓展業務至東南亞市場。
該公司主席陳英豪在股東大會後對《星洲財經》表示，除了維持現有業務，已鑒定新方向，在現有核心基礎上拓展其他具輔助性質的服務，包括移動平台及其他數碼服務。
“還在與大馬及海外業者探討合作事項，主要是引進移動付費方案相關技術，洽談對象已收窄至幾家，料可在未來幾個月內完成並作出宣佈。”
陳英豪補充，聯營計劃將讓MNC無線成為對方的大馬及東南亞技術合作夥伴，未來料可拓展至新加坡、印尼及泰國市場。
另外，他也預測，接下來將有更多海外公司尋求與MNC無線聯營，以拓展業務至大馬市場。
至於拓展業務資金來源，該公司董事何明發表示，目前公司日常業務運作資金充足，未來拓展若需要更多資金，將進一步探討融資方案。
盼業績轉虧為盈
對於今年業績展望，他表示當前目標是降低成本，提昇營業額，顯著減少虧損，讓業績轉虧為盈。
“希望今年可取得更好業表現，並於2015財政年轉虧為盈。”
當被詢及4月杪股價大幅波動原因時，何明發相信是受市場力量影響，與更換董事部成員無關，因經過查詢，大股東皆表示當時未參與交易，也沒有任何一方脫售股權。
“波動過後，公司股價已回揚至正常水平，股權動向趨穩，業務亦如常運作。”
該公司在過去6至9個月內，因新股東加入而更換所有董事部成員，核心業務為提供手機簡訊認證及數碼方案服務，99%業務來自本地市場。
MNC無線為4月杪股價暴跌50%至60%的小型股之一，財經週刊《The Edge》引述消息人士稱，這4家小型股暴跌，導致至少80位抽傭經紀蒙受巨額虧損。（星洲日報／財經‧報道：郭曉芳） |

（吉隆坡31日訊）MNC無線（MNC,0103,創業板科技組）宣佈，於7月23至7月25日內再脫售旗下390萬8千股的萬訊達（MEXTER,0075,創業板科技組）股權，目前僅持有後者200萬股或1.12%的股權。
MNC無線發佈文告透露，上述股權脫售的售價為53萬令吉，在納入減值回撥後的淨收益為11萬8千令吉。該筆所得款項將被用作公司營運資本。
萬訊達目前於大馬交易所創業板上市，業務為提供多類型的信息和通信技術解決方案和服務，客戶範圍主要涵蓋離散製造、電訊、醫療保健及油氣領域的跨國企業。該公司於2013財政年虧損295萬6千令吉。（星洲日報／財經）
