- Acquisition of Shares by MLB in Eco Green Services Sdn Bhd (formerly known as Eco Green Management Services Sdn Bhd)
We wish to announce that pursuant to Chapter 9, Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, MLB had on 2 December 2013, acquired 2 ordinary shares of RM1/- each, representing 100% of the total issued and paid-up share capital of Eco Green Services Sdn Bhd (formerly known as Eco Green Management Services Sdn Bhd) (“EGS”) from Leisure Farm Corporation Sdn Bhd (“LFC”) for a total consideration of RM20,000/-. LFC is a wholly-owned subsidiary of Mulpha International Bhd (“MIB”).  MIB, which holds 61.93% in MLB, is the holding company of MLB.

LFC was incorporated on 12 November 1983 and its authorised and paid-up share capital are RM5,000,000/- and RM3,150,000/- respectively. The principal activities of LFC are property development and the development of a country resort.

EGS was incorporated on 29 May 1995 and its authorised and paid-up share capital are RM100,000/- and RM2/- respectively. The principal activity of EGS is to carry on the business of maintenance services and facilities management services.

For consistency purposes, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Company’s announcement dated 29 July 2013 in relation to, amongst others, the Proposed MPM Acquisition.

We refer to the Company’s announcement dated 29 July 2013 and the circular to shareholders dated 21 November 2013 in relation to, amongst others, the Proposed MPM Acquisition.

Pursuant to the terms and conditions of the MPM SSA, MGS shall upon completion of the MPM SSA, use all reasonable endeavours to procure the release of a third party charge created in favour of CIMB Bank Berhad as security for a loan granted to MIB (“Third Party Charge”).
On behalf of the Board, KAF wishes to announce that MLB had on 10 December 2013 executed a second supplemental letter with MGS for an extension of 3 months from the MPM SSA Completion Date for fulfillment of the obligation stipulated in the MPM SSA to procure the discharge and cancellation of the Third Party Charge. Accordingly, the said obligation stipulated in the MPM SSA shall constitute a post-completion obligation which shall be fulfilled within 3 months following the MPM SSA Completion Date. In relation thereto, MGS has also undertaken to indemnify MLB and MPM from and against any and all liabilities, proceedings, claims, costs, damages and/or penalties which may be brought, suffered or levied against MLB or MPM in respect of the Third Party Charge.
  
In addition, KAF is also pleased to announce that the Proposed MPM Acquisition has been completed today, following the completion of the sale and purchase of the MPM Shares pursuant to the performance by MLB and MGS of their respective obligations under the MPM SSA.

马化卖地进账3430万

(吉隆坡1日讯)马化置地(MULPHAL,7889,主板产业股)建议以现金3430万令吉,把位于吉隆坡安邦的1块永久地皮,连同1座涵盖12个公寓单位的5层建筑物,卖给伊朗政府。

根据文告,双方已在本月25日签署有条件买卖合约,吉隆坡伊朗大使馆代表伊朗政府签约。

马化置地披露,该公司将利用上述资金支付脱售活动所需的开支、偿还贷款及充当营运资本。

该公司指出,脱售上述地皮与建筑物,主要是该公司可从中净赚1375万令吉。

同时,该公司还可利用该笔资金作为营运资本,供现有与未来产业发展项目用途。【南洋网财经】

马化置地斥3亿购子公司其余股份

二零一四年九月二十七日 晚上七时三十五分
(吉隆坡27日讯)产业发展商马化置地有限公司(MULPHAL,7889,产业组)将收购Bukit Punchor发展私人有限公司的其余股票,后者是其属下一家70%子公司,贡献该集团去年达54%的净盈利。

在致给大马交易所的文件中,马化置地称,它与已故拿督陈武昆遗属合法执行人陈幼琪已签署一份股票脱售协议,以2亿9964万令吉代价,收购Bukit Punchor发展的30%股权,包括180万股票。(人名译音)

马化置地称:“建议中收购将让促成把Bukit Punchor发展全部收益统一入马化置地集团内,并加强该集团的现有收益基础。”

上述股票收购交易将透过内部基金融资。

不过,该集团表示,这项30%股权收购行动预料不会对截至2014年12月31日止财政年的每股收益、每股净资产和负债产生任何实质影响。【光华日报财经】

Pursuant to Chapter 10, Paragraph 10.06 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, we wish to announce that MLB has on 25 September 2014, entered into a Share Sale Agreement with Mr Chan Eu Ky in his capacity as the legal executor of the estate of Dato’ RobertChan Woot Khoon for the proposed acquisition of 1,800,000 ordinary shares of RM1.00 each in Bukit Punchor Development Sdn Bhd (“BPD”), representing the remaining 30% equity interest in BPD for a total cash consideration ofRM299,640/- (“Proposed Acquisition”).   

MLB currently holds 70% of the total issued and paid-up share capital of BPD.Upon completion of the Proposed Acquisition, BPD will become a wholly-owned subsidiary of MLB.
