業績好轉‧賽柏科技不削資

（吉隆坡23日訊）賽柏科技（CYBERT，0022，創業板科技組）董事部考量近兩季業績表現好轉，宣佈終止早前建議的發股和削資攤還累積虧損計劃。

該公司發文告說，董事部是於今日會議中檢討上述建議，並得出不再繼續發股和削資計劃的結論，主要原因是考量近兩季業績表現好轉。

賽柏科技是於去年11月提出上述企業活動建議，希望透過削減股票溢價戶頭、每股削資8仙、私下配售和可轉換債券方式，攤還約568萬令吉累積虧損，並把剩餘資金用作儲備。

截至今年5月31日止第三季，賽柏科技淨利按年大漲10倍至139萬1千令吉，9個月淨利則報224萬1千令吉，比較前期為1萬1千令吉淨虧損。（星洲日報／財經）

賽柏抵觸上市條例陷困

（吉隆坡31日訊）賽柏科技（CYBERT，0022，創業板科技組）因抵觸創業板上市條例，被列為GN3陷困公司。

該公司發文告表示，作為GN3陷困公司，需要遵守上市條例8.04條文，包括12個月內提呈業務重組計劃、3個月委任一名贊助商、一旦重組計劃獲准即在6個月裡加以執行以及定期提呈公司最新訊息等，而公司現正擬定重組計劃，將適時對此作出宣佈。

與此同時，該公司截至2013年8月31日止第四季淨虧損從前期的29萬令吉擴大至246萬7千令吉，令全年淨虧損達到794萬6千令吉，去年為195萬1千令吉淨利。

第四季營業額倒退88.97%至31萬3千令吉，令全年營業額下跌68.24%至402萬2千令吉。（星洲日報／財經）

Description	1.        Introduction Pursuant to Guidance Note 3 (“GN3”) of the ACE Market Listing Requirements (“ACE LR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of Cybertowers Berhad (“Cybertowers” or “the Company”) wishes to announce that Cybertowers is an Affected Listed Issuer as it has triggered Paragraph 2.1 (a) & (b). 2.        Obligations of the Company as an Affected Listed Company As an Affected Listed Company, the Company is required to comply with the following conditions pursuant to Rule 8.04 and GN3 of the ACE LR:- i.        submit to Bursa Securities a regularisation plan and obtain Bursa Securities’ approval to implement the plan within 12 months from the date the Company announces that it is a GN3 Company; ii. appoint a Sponsor within 3 months from the date the Company announces that it is a GN3 Company and retain the said Sponsor until the Company is no longer considered as a GN3 Company by Bursa Securities under Rule 8.04(8) of ACE LR; iii. implement the regularisation plan within 6 months from the date the regularisation plan is approved by Bursa Securities. However, in the event court proceedings are involved, the Company has up to 12 months from the date the regularisation plan is approved by Bursa Securities, to complete the implementation of the regulation plan; iv. provide such information as may be prescribed by Bursa Securities from time to time for public release; v. retain the services of a Sponsor for at least 3 full financial years after the Company is no longer considered as a GN3 Company by Bursa Securities under Rule 8.04(8) of ACE LR; vi.        announce the status of the Company’s plan to regularize its condition and the number of months to the end of the relevant timeframes on a monthly basis until further notice from Bursa Securities; vii. announce the Company’s compliance or non-compliance with a particular obligation imposed pursuant to GN3 on an immediate basis; viii. announce details of the regularisation plan, which announcement must fulfill the requirements as set out in paragraph 4.2 of GN3; and ix.        do such other acts or things as may be required by Bursa Securities. 3.        Consequences of Non-Compliance with such Obligations If the Company fails to comply with any part of its obligations indicated above, Bursa Securities shall:- i.        suspend the trading of the Company’s listed securities on the next market day after 5 market days from the date of notification of suspension by Bursa Securities; and ii.        de-list the Company subject to the Company’s right to appeal against the de-listing under Rule 8.04(6) of the ACE LR. 4. Status of the Company’s Plan to Comply with the Obligation to Regularise its Condition As at the date hereof, the Company is in the process of finalising a complete regularisation plan. 賽柏塔財報資料不全 審計公司無法總結

（吉隆坡2日訊）基于兩大因素，稽核師無法為賽柏塔公司（CYBERT，0022，創業板科技股）的財務報表發表意見。

賽柏塔公司向馬證交所報備，外部審計公司即Messrs. Siew Boon Yeong & Associates針對該公司截至2013財年的財務報表，作出兩項保留意見。

第一、無法進行所有審計程序，因此無法確定存在的資產與估值。

第二、該集團目前負債超越資產約491萬令吉。這說明該公司存在重大不確定性，持續經營的能力存疑問，也持續引關注。同時，針對該公司是否有能力持續經營，董事無法提供詳細的評估。

基于上述因素，Messrs. Siew Boon Yeong & Associates指出，未能取得充分適當的審計證據，為審核意見提供基礎，因而不會對財務報表發表意見。[中国报财经]

The Board of Directors of Cybertowers wishes to announce that the Company’s External Auditors, Messrs. Siew Boon Yeong & Associates had expressed an audit disclaimer opinion in the Company's latest audited financial statements for the financial year ended 31 August 2013, as follows:- “Basis for Disclaimer of Opinion 1. The Group’s property, plant and equipment which comprises 755 units of computer servers are carried in the statements of financial position at purchase price plus all directly attributable costs of bringing the assets to their present working condition and location for their intended use less accumulated depreciation and accumulated impairment. These servers are all installed at an independent co-location service provider’s hosting facilities centre located in New Jersey,U.S.A. As we were unable to carry out all the auditing procedures which we considered necessary for our audit verification on the existence and conditions of the computer servers as at 31 August 2013, consequently we are unable to satisfy ourselves as to the existence and valuation of computer servers amounting to RM4,421,034 in the Group’s property, plant and equipment as at 31 August 2013. 2. The Group and the Company incurred losses of RM7.65 million and RM3.70 million respectively for the year ended 31 August 2013 and, as of that date, the Group’s current liabilities exceeded their current assets by RM4.91 million. These conditions indicate the existence of a material uncertainty that may cast significant doubt about the Group’s and the Company’s abilities to continue as going concerns. The going concern basis of preparing the financial statements of the Group and of the Company as stated in Note 2 to the financial statements may be inappropriate. The directors were unable to provide a detailed assessment on the Group’s and the Company’s abilities to continue as going concerns and in addition, we were not furnished with any management’s plans to deal with these events or conditions. This is not in accordance with the requirements of MFRS 101: Presentation of Financial Statements. Accordingly, we are unable to satisfy ourselves as to whether the use of the going concern basis in the preparation of the financial statements of the Group and of the Company is appropriate. Should the going concern basis of preparing the financial statement be no longer appropriate, adjustments would have to be made to reduce the value of all assets to their estimated realisable values, and to provide further estimated liabilities that may arise, and to reclassify all non-current assets and non-current liabilities as current assets and current liabilities respectively. Disclaimer of Opinion Because of the significance of the matters described in the Basis for Disclaimer of Opinion paragraphs, we have not been able to obtain sufficient appropriate audit evidences to provide a basis for an audit opinion. Accordingly, we do not express an opinion on the financial statements.” This announcement is made on 2 January 2014.
