Remarks :

私有化建議觸礁 股價下跌買進良機

私有化建議如果被少數股東否決,一般會導致股價下跌。這是因為有部分因為要參與私有化計劃的朋友或許感到失望而放棄持有相關股票。

這個現象曾經出現在今年私有化建議被推翻的億強工程(ZECON,7028,主要板建築)和毅成建築(IREKA,8834,主要板建築)。

億強工程的股價在私有化計劃被一位顯著股東推翻后,曾經從接近私有化價錢80仙水平跌倒60多仙。不過在進過一段日子后,該股已經成功上升超越私有化價並在90仙水平徘徊。

毅成機構的股價就因為該公司在通過每股90仙選擇性資本回退圖私有化失敗后進行附加股計劃,使得股價猛挫。該公司股價在私有化計劃建議后曾經在去年10月攀升到1.20令吉的水平。不過由于股東在附加股計劃只需付出65仙並獲贈1單位憑單,毅成機構的股價因此受到投資者套利,使得母股僅以62仙(截稿時)交易。認購附加股的朋友其實是付出65仙取得目前價位達到22仙的憑單(IREKA-WB),該母股和憑單總值是84仙。也算回到接近私有化價位。

資產值超股價

由于股價比大股東圖私有化的價錢跌了約三分之一,毅成機構目前提供價值投資者一個以廉價買進大股東認為該價值不止90仙的公司。雖然毅成機構在最近一兩年業績蒙虧,但其資產價值遠遠不止目前股價。

該公司的王牌是旗下持有23%的ASEANA產業。這家聯號公司目前在倫敦股票交易所主板上市。該公司市值目前達到9300萬美元(約3億令吉)。

不過ASEANA產業是一家有7年任命的公司。該公司在2015年需要征求股東意見是否要繼續。該公司目前股價只有0.44美元(約1.40令吉),比當年招股價低不少。最重要的是ASEANA產業的項目估價達2億7374萬美元(約8.7億令吉)。如果股東選擇不繼續,ASEANA產業將會逐步出售旗下資產並通過資本回退還給股東。

如果所有資本回退的話,毅成機構的23%股權應得約6300萬美元或相當于2億令吉。單單這個數目就是目前毅成機構市值的兩倍。這還不包括毅成機構其他資產。難怪大股東願意付出90仙把公司私有化。所以,私有化失敗股價重挫后進場的機會就在此。 本帖最后由 icy97 于 27-7-2014 09:56 PM 编辑

12亿订单支撑 毅成2015有望转亏为盈

(吉隆坡28日讯)毅成工程(IREKA,8834,主板建筑股)表示,以目前手握的订单总额和子公司Aseana產业公司的亏损收窄,该公司有信心可以在2015財政年转亏为盈。

同时,在建筑业务和產业业务的发展项目带动下,毅成工程希望在2017財政年(3月30日结帐)提升並扩大该2大业务的盈利贡献,並放眼2大业务的贡献比重各占一半。

毅成工程执行董事赖纹妃表示,目前的营业额贡献来源主要是来自建筑业务,即占整体营业额的80%;剩余的20%贡献比重则来自產业和其他业务。

她相信公司目前正確的轨道上发展,並对公司的发展前景表示乐观,因为该公司目前手握总值12亿令吉的合约订单。这些订单主要来自巴生谷、汝莱和加影的发展项目。

另一方面,毅成工程执行董事赖文翰表示,在12亿令吉的订单总额,其中8亿1000万令吉是未完成订单,所以相信公司在接下来的日子將非常忙碌。

赖纹妃和赖文翰在今天出席该公司的股东大会后,向媒体如此表示。

此外,赖文翰透露,该计划在年杪推出2个新盘,分別是位於汝来的dwi@RimbunKasia產业项目及加影的Asta企业园发展项目,发展总值分別是1亿3000万令吉和3亿5000万令吉。未发展土地价值20亿除此之外,他称,该公司现有的未发展土地面积是65英亩,预计发展总值为20亿令吉。

该土地预计在未来2至3年內发展,並可以为公司贡献5至6年的盈利。

此外,他表示,该公司正积极竞投总值20亿令吉的建筑合约。

毅成工程2014財政年(截至今年3月31日止)的亏损为2730万令吉,相比上一財政年的4020万令吉亏损已经收窄。

毅成工程获2.7亿合约

(吉隆坡8日讯)毅成工程(Ireka,8834,主板建筑股)基建子公司毅成工程及建筑私人有限公司,获得KLEcoCity私人有限公司总值2亿7679万令吉的合约。

这项合约是负责零售广场,办公楼A及底层的其他工作。有关合约將在10月15日开始,预期將在29个月內完工。

这是毅成工程获得的第2项KLEco City的合约,该公司目前负责建筑两栋命名为Vogue Suites Tower1的服务式公寓,预期將在2016年11月完成。有关合约的价值为2亿9824万令吉。

订单增至14.4亿

今日获得的新合约,让毅成工程的订单增至14亿4000万令吉,当中有10亿8000万令吉的合约仍在进行中。

KL Eco City项目预计將从2015財政年(3月31日结账)开始,为毅成集团带来正面的盈利贡献。

针对这项新合约,毅成工程集团董事经理拿督赖昭华表示,「第2项合约显示KL Eco City对於毅成工程的认可及信心。公司將继续凭藉47年的良好记录,以及具备各种技能的团队,为客户提供高素质的服务。」

毅成工业目前主要的工程包括,吉隆坡的Vogue Suites Tower1、大马伊斯干达特区的ImperiaPuteri Harbour(UEM阳光旗下项目)、赛城的Solstice@Pan‘gaea(侨丰產业项目)、以及捷运V7配套(负责胡仙翁城镇至Mesra园的高架桥铁轨及其他相关工程);吉隆坡嘉炳路的TheRuMa酒店及公寓,以及森美兰州汝来的Kasia Greens Homes。

毅成建築獲2億合約 為永旺建購物中心

(吉隆坡26日訊)毅成建築(IREKA,8834,主要板建築)與永旺(AEON,6599,主要板貿服)簽署超過2億令吉建築合約,以發展購物中心。

毅成建築向馬證交所報備,首先子公司Ireka工程與建築私人有限公司(簡稱IECSB),將與王寶蘭(譯音)簽署買賣協議,以2187萬令吉,收購位于芙蓉佔地面積21.52英畝的土地。

在這21.52英畝土地當中,IECSB將其中的20.88英畝土地,脫售給永旺,作為建設購物中心用途,售價為5366萬令吉。

根據報備文件,IECSB將被永旺委任為承包商,以發展、設計,及建設大型購物中心。

根據上述2187萬令吉土地收購成本,及發展成本,相信該脫售議案將帶來約680萬令吉收益。【中国报财经】

毅成董事经理调任主席

(吉隆坡31日讯)为集团未来发展策略铺路,毅成(IREKA,8834,主板建筑股)宣布一系列人事变动,包括将原任董事经理赖昭华调任为主席。

该公司向马交所报备,该些人事变动将于4月1日生效。

根据文告,原任执行董事赖文翰将接棒赖昭华调职后,留下的董事经理空缺。

同时,现年72岁原任副董事经理拿督赖佛光则将卸任,转为执行董事。空出的副董事经理一职,由现任执行董事赖玟妃接棒。

毅成也将委任陈添财(译音)为执行董事,和何家顺(译音)为独立非执行董事。

此外,现任独立非执行主席阿都拉尤斯夫和独立非执行董事郭玉豪则将退休。【南洋网财经】

5年推20億計劃‧毅成冀產業營收50%

(吉隆坡23日訊)毅成建築(IREKA,8834,主板建筑組)未來5年內將推出20億令吉的發展總值,冀未來2年產業項目貢獻營業額比例提高至50%。

同時,該公司希望可以參與即將公佈的第十一大馬計劃的競標合約機會,增加建築領域的表現。

該公司董事經理賴文翰在股東特大後表示,產業業務目前貢獻公司15%營業額,在將推出的20億令吉產業項目推動下,希望2年內產業和建築貢獻各佔50%。

他說“我們首個產業項目Kasia Green已經取得100%的認購率,今年也會在汝來及加影推出住宅及工業產業項目,兩者的發展總值為3億8千萬令吉。”

有關建築訂單方面,他說現有的訂單為14億令吉,未執行訂單為9億令吉,競標中的合約則為20億令吉。

盼競標第十一大馬計劃合約

他希望參與第十一大馬計劃的合約競標,增加訂單。

詢及聯營產業公司Aseana的近況時,賴文翰說,Aseana正在考慮脫售資產並進行回退資本,惟需要待6月以後的股東特大後,方可作最後的決定。

Aseana是英國上市公司,毅誠建築是Aseana最大的股東,持有23.07%的股權。

他說,若Aseana決定將資產脫售以釋放價值,預計毅成建築可以取得2億3千萬令吉的資本回退。

他補充,Aseana的資產約為2億6千400萬美元(約9億5千400萬令吉)。

該公司今日股東特大通過脫售芙蓉新那旺20.88英畝的地庫給永旺(AEON,6599,主板貿服組)議程。

賴文翰表示,有關地段的脫售價為5千366萬2千令吉。此外,公司也獲得永旺在該地段建築霸市的合約,該合約價值為2億零313萬9千令吉。

詢及擴展海外業務方面,他表示:“我們暫時沒有這方面的計劃。”

不過,他補充,該公司正在留意越南的市場,因為該國的經濟處於復甦中。(星洲日報/財經)

售Aseana资产获丰厚现金 毅成明年恢复派息

二零一五年六月十四日 晚上六时四十四分
产业发展暨建筑集团毅成机构有限公司(IREKA,8834,建筑组)在截至2015年3月31日止财政年,连续第3年出现赤字,净亏损226万令吉,但股东们可放眼在2016财政年恢复股息派发正常化。

毅成机构的差劲表现主要是由于最后一季未实现转移亏损、总发展值2亿令吉产业发展推介延宕、以及低利润的建筑工程。

尽管如此,毅成机构股东们至少可预期在2016财政年获得主要由23.07%子公司Aseana产业有限公司产业脱售所贡献的股息,比较自2013财政年以来都一无所有。

Aseana产业成立于2007年,惟预料会在今年清盘。其所有产业发展资产位于马来西亚和越南,预测总值10亿令吉。

脱售所得资金将分配予其股东们。而毅成机构可获得的部分约达2亿5000万令吉。

在5月22日致给股东们的函件中,Aseana产业董事部建议让股东们在公司清盘议程中投下反对票。反之,它已要求和获得大股东参与,以容许Aseana产业持续贸易直到2018年6月,以着手其‘脱售投资政策’。

在这项政策下,Aseana产业将不会进行新投资,并将开始以‘受控、有秩序和及时’方式,在未来3年内逐步套现其资产。

Aseana产业延长操作,是为了拥有更多时间,以保护股东们的价值,无须抛售其现有总值接近10亿令吉的资产组合。

与此同时,Aseana产业已承诺,基于现有现金结存和预测可收回款项,在2015年第3季回退2000万美元(7400万令吉)予股东们。

另一轮2000万美元现金回退将在今年杪之前进一步的资产脱售后落实。

截至2014年12月31日,Aseana产业的手握现金企于1620万美元。

毅成机构新上任集团董事经理赖文翰指出:“Aseana产业实际上拥有一些现金。它已脱售部分发展资产,包括一些已完成产业单位。”

“明显地,Aseana产业已履行承诺,它有信心回退过剩资金予股东们。”

“展望未来,Aseana产业将展开经常资本回退。未来3年,它将会是每年两次,可能会落在6月和12月。这将让毅成机构获得部分的款项。”

对毅成机构而言,上述承诺意味着它将在今年下半年获得1700万至3400万令吉的回退金额。

虽然它只是未来3年2亿5000万令吉金额的小部分,但它仍然对毅成机构带来缓解。后者过去数年已经吸收了Aseana产业大部分的亏损。

不过,毅成机构并不会把所有从Aseana产业获得的款项,转换为股息以派发予股东们。毅成机构将利用部分回退款额‘加强其资本基础’。

赖文翰指出:“我们希望成长公司。我认为在初期,从Aseana产业获得的回退中,将利用作强化我们的资本基础,和我们产业发展业务的进一步投资。”

“之前,我们分配了40%盈利作为股息。我们希望可再次正常化这个派发率。至于是否有额外回退予毅成机构股东们,这将由董事部作出决定。我不认为它会在今年内,但它可能在未来数年发生。”

该集团2012财政年的每股股息为5仙。上述1700万令吉的总额将可派发每股3.9仙。

毅成机构向投资者保证,从Aseana产业脱售所获得的过剩资金,将会回退予股东们。

但一些人却担忧,Aseana产业旗下部分‘失色’经营资产,如位于越南胡志明市的城市国际医院,以及沙巴山打根的资产,包括购物广泛、酒店与一些海滨地段,可能无法在3年时间内寻得买家。

惟Aseana产业大部分资产现在处于‘各个脱售洽商阶段’,其中一些建议中交易更只等待有关团体同意最终交易价格,这可对投资者带来一些缓解。

继最近山打根的绑架案后,该市的产业将可能成为最后出售项目。

赖文翰表示:“我们并没有在市场上‘求售’,我们只委任了谘询商和投资银行家,以物色可能符合我们需求的买家。未来数月将有一些洽商将拍板定案。”

尽管并非Aseana产业全部资产可在2018年6月前售出,他说,这不会是‘世界末日’。Aseana产业仍然可延长期限,以完成剩下的脱售。

在毅成机构的经营方面,赖文翰称,其建筑部门拥有订单达14亿令吉。

他补充:“我们原定推介汝来382庭院公寓和一座工业园。惟两项计划都已延宕,及没有带来贡献,但成本却依然存在。”

实际上,其建筑部门仍然录得48万3000令吉的税前盈利,而产业发展部门在2015财政年的税前盈利则达517万令吉。【光华日报财经】

答:
至少在過去6個月裡,並沒有證券行進行剖析及提供投資建議及目標價。

至於該公司是否會脫售國外企業回饋股東,實際的情況是,該公司持有23.07%股權的英國上市公司——ASEANA才是正在考慮脫售資產並進行回退資本(不是毅成建築本身)。

假如ASEANA決定將資產脫售以釋放價值,預計毅成建築可以取得總共2億3千萬令吉的資本回退。ASEANA的資產約為2億6千400萬美元(約9億5千400萬令吉)。若到時進行回退資本,而毅成建築獲得這筆錢如何處理則是另外一回事,有必追蹤進一步發展。
