Ansteel入股ESSB 50%
协德扩展产品及营运

（吉隆坡31日讯）协德（HIAPTEK，5072，主板贸服股）宣布，签署一项合作协议，以扩展联营公司Eastern Steel私人有限公司（ESSB）的产品种类及恢复钢板生产营运。

协德今日向马交所报备，与An Steel国际（Ansteel）、Orient钢铁、Chinaco投资，及ESSB签署一项合作协议。

根据文告，协德原本持有ESSB的55%股权，而Orient钢铁和Chinaco则分别持有40%和5%股权。

Orient钢铁则是协德大股东Shougang国际（新加坡）私人有限公司的独资子公司。

文告指，Orient钢铁将会脱售和转移在ESSB的股权及股东贷款给Ansteel。

此外，Ansteel将会认购ESSB发行的新股。

稀释持股

完成两项活动后，Ansteel将持有ESSB达50%股权，协德和Chinaco在ESSB的持股权则将稀释到45.83%和4.17%。

随着Ansteel入股ESSB，有助后者在去年10月暂停的钢板生产营运恢复运作。

同时，该项交易将扩展ESSB的产品种类，包括生产热轧钢（HRC），以及可能增加产能至每年150万公吨。

协德指出，预计该项交易将为集团未来净利带来贡献。【e南洋】

协德首季亏损收窄

（吉隆坡15日讯）协德（Hiap Tek Venture Bhd）首季净亏收窄，主要由于赚幅改善以及承担共同控有公司的亏损减少。

协德今日向大马交易所报备，截至10月31日的2017财政年首季，净亏为95万8000令吉，较去年同期的3720万令吉收窄。

该公司指出，共同控有公司的亏损是因为美元计价的股东贷款出现未实现外汇损失，以及与2016财年首季试产相关的成本走高。

首季营业额由3亿1740万令吉，跌12.1%至2亿7910万令吉。

贸易业务的收入为1亿3650万令吉，低于同期的1亿7790万令吉，主要由于销量较低。

制造业务的收入则从1亿3990万令吉，略走高至1亿4360万令吉。

协德执行董事符国兆表示，不计外汇损失，该公司是获利的。

“一般来说，除了不可预见的情况，公司的表现将自上财年有所改善。”

据他说，截至明年7月31日止2017财年的增长催化剂将来自赚幅提高，以及建筑领域增长。

他补充：“当钢铁价格下跌，赚幅遭压缩。现在价格已经稳定，赚幅将正常或提高。”

文告指出，第十一大马计划的发展和基础设施项目，将至少推高未来两年钢铁产品和建筑材料的需求。

令吉贬值 外汇亏损
协德明年业绩或受损

（吉隆坡16日讯）若令吉兑美元跌至5，协德（HIAPTEK，5072，主板贸服股）2017财年表现，将受令吉疲软和外汇亏损的影响。

根据《The Edge》报道，执行董事符国修（译音）称，若非联营公司Eastern Steel私人有限公司（ESSB）的外汇亏损，该公司在2017财年首季已转亏为盈。

“ESSB完全由股东融资，公司没有借贷，但有笔以美元为单位的股东贷款。外国股东Shougang国际（新加坡）私人有限公司以美元贷款。若令吉处于这个水平，我认为还好。倘若令吉兑美元降至5，我们就会有外汇亏损。”

另外，符国修指出，由于其他业务均获利，因此，公司目前的首要任务，是恢复ESSB的生产并转盈，预计明年上半年会重启生产。

同时，ESSB计划扩展下游业务至高赚幅产品。

目前，协德持有ESSB的55%股权，而Orient钢铁和Chinaco投资，则分别持有40%和5%股权。

Shougang国际（新加坡）是协德的大股东，也是Orient钢铁的母公司。

协德在10月杪与An Steel国际、Orient钢铁、Chinaco投资，及ESSB签署合作协议。

亏损减至96万

Orient钢铁将会脱售和转移在ESSB的股权及股东贷款给Ansteel，而Ansteel将会认购ESSB发行的新股。该活动预计在明年首季完成。

另一方面，截至10月31日首季，基于赚幅和联营公司亏损有所改善，协德的亏损缩减至95万8000令吉，或每股净亏0.07仙。

同时，营业额按年跌12.05%，报2亿7912万3000令吉，主要是因为贸易业务销售量较上财年同季逊色。

董事部认为，由于市场周期性及动荡，钢铁领域展望仍充满挑战。

答：业务方面，协德是在2016年6月15日，旗下拥有55%股权的公司东方钢铁私人有限公司，与香港安钢公司签署谅解备忘录，探讨和东方钢铁与香港安钢之间合作的协商领域，包括东方钢铁恢复生产、东方钢铁未来的扩充，为敲定正式协议铺路。

一旦引进安钢国际后，公司可重启自2015年10日暂停营运的生产线，同时扩大现有产品种类，以及潜在提升年产量至150万公吨。

协德在2016年财政年，集团取得11亿3800万令吉的营业额，比前期的12亿5800万令吉较少，税前亏损2462万令吉，前期亏损6646万令吉。这主要受到联合持有企业蒙亏的影响，数额达9922万令吉，加上其产品价格面对成本较高，试产增加开销，及马币汇率持续疲弱的负面影响。

在本地，市场对钢铁产品的需求继续获得经济转型计划的扶持，整体来说，本地钢铁市场依然充满挑战，廉价的进口货造成市场竞争激烈的后果，这使该公司在过去5个财政年里，取得3盈2亏的业绩，最后的2015年及2016年蒙受亏损。

该公司打算继续专注控制开销、掌控营运资本管理、扩大产品系列，以及改善产品的品质，进一步提高市场比例，以及公司的盈利赚幅。

该公司股价跌破30仙，可要注意这可能也反映出该公司于本财政年完成发售附加股、分发红股、额外凭单，以及提高雇员认股计划，而相应作出往下调整的因素。

至于该公司的管理方面，若是从过去5年的每个季度的业绩表现为准，显得相当的波动不定，若以此为据，管理尚可算扯平，相信与市场竞争激烈，特别是不受公司控制的廉价进口产品有关。

该公司今日向大马交易所公布，截至1月杪的2017财政年次季净赚390万令吉，或每股0.3仙，相比上财年同期净亏2281万令吉，或每股3.2仙。

次季其他收入为1518万令吉，高于一年前的225万令吉。

然而，次季营业额由2亿7509万令吉，下滑2.17%至2亿6913万令吉，因贸易业务的销量下降。

“制造业收入则略高于去年同期。”

2017财年首半年，净利为295万令吉，或每股0.23仙，同期净亏6003万令吉，或每股8.42仙；营业额从5亿9247万令吉，跌7.5%至5亿4852万令吉。

展望未来，协德表示，由于进出口差距扩大、市场份额不断下滑，以及东南亚国家产能增加，大马钢铁领域展望依然动荡。

“在国内，持续的监管和执法以减少进口规避、通过（纵向或横向）并购整合将成为钢铁业在大马保持为策略行业的主要催化剂。”

（吉隆坡29日讯）由于赚幅改善，激励协德（HIAPTEK，5072，主板贸服股）截至4月杪第三季，净利飙涨2.01倍，报3194万4000令吉或每股2.48仙。

协德今日向交易所报备，上财年同期净利为1058万9000令吉，或每股1.49仙。

因为钢铁价格改善销售价走高，激励当季营业额按年扬4.24%，从上财年同期的2亿8505万3000令吉，至2亿9712万5000令吉。

3季赚3489万

累计首9个月，该公司净赚3489万令吉，上财年同期则净亏4943万6000令吉；同期营业额按年下跌3.66%，报8亿4537万7000令吉。

若中国仍致力于减少钢铁产量，及实施其他能抑制价格便宜的钢铁出口至大马的举措，协德董事部表示看好我国今年钢铁领域的前景。

本地生产的钢铁多数是用在基建及建筑领域。因此，我国的钢铁领域前景，很大程度上是取决于这些领域的增长表现。

该公司指出，我国今年总值1380亿令吉的新建筑工程，预计建筑领域将维持稳健增长，并放眼会有10.3%的双位数增长。

（吉隆坡15日讯）融资成本及联营公司亏损走低，协德（HIAPTEK，5072，主板贸服股）截至10月杪首季转亏为盈，净赚1603万8000令吉。

该公司今日向交易所报备，贸易与制造业务销量降低，营业额按年减7%，报2亿5849万令吉。

此外，贸易业务营业额按年跌10%至1亿2224万令吉；制造业务营业额则是按年走低4%至1亿3624万令吉。

按季而言，营业额其实是增长13%，归功于钢铁产品售价上升。

下半年东盟6国钢铁消费料改善、大马建筑领域增长，加上中国政府持续减产，协德依然看好钢铁领域前景。

“我国钢铁需求料在下半年恢复，取得正面增幅，主力来自国家经济强劲增长。建筑领域也会再度刺激大马钢铁消费。”

为了推动成本领先策略，协德致力于持续改善产能与技术能力、扩大产品范围、采购与定价策略，以及管理营运资本。

ESSB恢復生產　协德有望扭转颓势

（吉隆坡18日讯）协德（HIAPTEK，5072，主板工业股）持有55%股权的联营公司--东方钢铁私人有限公司（Eastern Steel，简称ESSB）將在2018財政年恢復生產，该集团因此也有望在现財政年扭转连亏3年的颓势，重新获利。

该集团在2017財政年末季（截至7月31日止）亏损扩大至1亿零298万令吉，前期则净亏4156万令吉；营业额也按年下滑5.66%，至10亿7366万令吉。

协德执行董事符国兆在股东大会后对记者表示，ESSB的產能为每年70万公吨，並有望在现財政年结束前恢復运作，目前已在最后的计划阶段。

「我们有信心ESSB在首年復產就能录得盈利，同时预期整个集团的业绩亦能转亏为盈。」

询及协德现財政年会否为ESSB做出进一步的减值拨备，他表示並无此打算。

协德在2017財政年末季为ESSB作出2亿6615万令吉的非现金减值拨备，此联营公司带来的亏损扩大至1亿5499万令吉，前期则为2716万令吉。

截至目前为止，该集团在ESSB的总投资额达7亿5700万令吉。

为了扩展ESSB的產品种类及恢復其生產营运，协德在去年10月末分別和An Steel国际、东方钢铁国际和Chinaco投资公司签署合作协议，当中，东方钢铁將脱售ESSB股权给AnSteel国际。同时，An Steel国际也將认购ESSB所发行的新股。

中国减產正面

惟，基于双方无法达成最后协议，加上不愿再度延长合作协议期限，因此，目前由协德独自执行產能恢復计划。

展望未来，符国兆认为，中国在今年宣布减產对钢铁领域带来正面的影响，促使钢铁的价格回稳，相信明年仍会保持良好的势头。

至于领域风险所在，他指出，钢铁价格的波动和货幣匯率都是潜在的风险。【东方网财经】

（HIAPTEK_5072_Ind-Prod）協德成立於1993年，並於2003年上市至主板交易，是馬來西亞頂級鋼鐵公司之一，擁有超過10億令吉的營業額。HIAPTEK擁有20多年鋼鐵行業的豐富經驗，為建築、傢俬 、油氣、造船、工程和發電廠等多個行業的國內外客戶提供鋼鐵產品解決方案。其總部位於巴生港口附近，地理位置十分優越，為貨物的運輸提供了重要的優勢。

相信讀者們都可以從這張圖片看出這些鋼材都屬於鋼管吧。沒錯，HIAPTEK的產品正是以鋼管為主。因此，HIAPTEK的產品與聯合鋼鐵及四大長鋼公司的產品不一樣，所以比較不會遇到惡性競爭。HIAPTEK的直接競爭對手為CHOOBEE及MELEWAR，非直接競爭對手為WASEONG。但就以營業額為標準的話，HIAPTEK目前依然是鋼管領域的老大。HIAPTEK目前主要的盈利來源來自兩家子公司Alpine Pipe Manufacturing Sdn. Bhd. 和Hiap Teck Hardware Sdn. Bhd.。前者生產電阻焊 (Electric Resistance Welded) 鋼管和空心部件 (Hollow Sections) ；而後者則是五金貿易，提供一條龍服務（One Stop Steel Centre）。HIAPTEK是馬來西亞內少有獲得美國石油學會 API認證標準的鋼管生產商。

說到HIAPTEK，投資者目前最關注的莫過於是其子公司東方鋼鐵（Eastern Steel）了。在上一個資本開銷週期，HIAPTEK與中國首鋼集團攜手成立了聯營公司東鋼，並於登嘉樓的甘馬挽重工業園建設了一座價值RM 750M的高爐（Blast Furnace）。建設東鋼最初的目的就是為了生產窄的HRC，以供應HIAPTEK自己使用，是HIAPTEK向上垂直發展（Vertical Integration）的計劃之一。這個決策在鋼鐵價格低迷時期讓人覺得十分失敗，但如今鋼鐵價格合理，HIAPTEK建設東鋼其實也不能說是失敗的投資，更可能是他們的轉折點。好了，畢竟這個是本篇文章的大主題，所以暫時賣個關子，讓我們先看看公司目前的財務狀況。

根據2017年報，我們可以看出HIAPTEK的營業額雖然從2015年開始大幅度減少，但Profit From Operation卻不斷增加。當中，2015年所創下的高營業額便是因為有東鋼的貢獻（2015年1月開始營運），不過由於嚴重虧損，公司管理層於當年10月就宣布停止營運了。因此，這也可以充分解釋到為何2016和2017年的營業額比不上2015年了。HIAPTEK這一兩年的亮點在於他們的獲利能力的崛起。HIAPTEK的毛利率（Gross Profit Margin）從2015年的2.01%進步至2016年的9.34%，2017年更達到15.9%！這跳躍式的成長歸功於中國積極減產及世界鋼鐵價格升至相對合理的水平。隨著現在國內鋼鐵價格逐漸走高（需求方面也改善了），我相信HIAPTEK的毛利率還會有進步空間。

由上圖我們可以看到HIAPTEK屬於一家願意派發股息的公司，只是2017年公司註銷了之前投資東鋼所帶來的虧損，所以暫時不派股息。既然東鋼的Impairment都已經註銷完了，而且2018Q1也開始賺到錢了，相信HIAPTEK會在這財年重新派發股息。此外，HIAPTEK的Borrowing也有得到改善，這主要是因為之前有進行Right Issue和派發Warrant籌到一些錢還債。

東方鋼鐵（Eastern Steel）

既然HIAPTEK要重啟東鋼，那麼我們就討論一下其未來的前景。HIAPTEK持有東鋼的55%股權，而中國首鋼集團的子公司Orient Steel則持有40%，剩余5%则由中國工程公司Chinaco所持有。值得一提的是，首鋼集團目前是中國其中一家規模最大的鋼鐵公司，也是全球500大的企業（詳細資料可以自己google一下）。既然中國目前的政策對鋼鐵業不利，不排除未來首鋼集團會將技術轉移至東鋼。首鋼集團的技術水平很高，最近也推出了两款新能源汽車用無取向電工鋼。說太遠了，回到主題……

根據最近的一份馬來文報導，HIAPTEK目前已經委派一群員工前往中國河北進修，作為5月重啟東鋼的人力儲備。此外東鋼的營運主任Tee Choon Hock表示两年前鋼鐵的价格大约 RM 994/MT，導致公司營運困難而陷入停產。然而，目前的價格卻達到RM 1989/MT以上，給予他們十分充足的理由重啟東鋼（詳細報導：http://www.kosmo.com.my/niaga/eastern-steel-kembali-beroperasi-mei-depan-1.590095）如果按照東鋼的年產量，他們目前一年可以生產出70萬MT的鋼板，每一MT的售價是500 USD左右的話，保守估計東鋼全年可以達到營業額USD 300M（大約RM 11.8億，匯率USD/MYR 3.93）。我讀過2017年的營收表，假如沒有減值 ，扣除貸款利息和公司税务后，那麼HIAPTEK的淨利率（Net Profit Margin ）大约10%。以10%的淨利率作為一個參考值 ，東鋼全年則有望貢獻RM 1.18億的淨利，除於13.28億的股數，相等於每股 8.89仙！這當然還不包括目前其他子公司的貢獻。

此外，生產700萬MT鋼板的高爐只是整個擴充計劃的Phase 1的一小部分。如果未來Phase 1及Phase 2也完成的話，東鋼將擁有達到300萬MT的年產量。總的來說，東鋼是HIAPTEK永續經營的計劃之一。HIAPTEK在距離東鋼的不遠處也建設了員工宿舍，可容納大約2000名員工，規模龐大。因此，我相信管理層接下來會十分專注在東鋼的營運。

這是在HIAPTEK 2017年年報不起眼的一段話，相信很多人在速讀的時候都會忽略掉（我也不例外）。原來HIAPTEK也是有設立了一家子公司準備在未來進行開採、處理及銷售鐵礦。考慮到東鋼的高爐是以鐵礦為原料，這或許是他們未來在成本上的優勢。

HIAPTEK的隱憂是油氣領域的資本開銷減少而導致鋼管的銷量下跌。雖然目前石油價格處在USD 70/桶，但是國油仍然沒有什麼動作。除此之外，相比鋼筋和絲鋼，鋼管在大型基建的用量較少。

後話，雖然距離東鋼完全重啟還很遙遠，但以現在的表現來看，HIAPTEK在未來是十分值得被期待的。根據2018Q1的季報來看，HIAPTEK基本上已經完成了子公司（東鋼）的減值活動。管理層對於明年的Prospects也相當正面。先不考慮東鋼短期內是否能賺錢，只要東鋼成功Break-even，HIAPTEK每一季的獲利能力大概就是2仙，全年則有機會達到8仙了。如果給予10倍的P/E，合理股價是RM 0.80。如果東鋼賺大錢的話，HIAPTEK就可以揚眉吐氣了（全年EPS 有望達到16.89仙！）。
