Mesiniaga Berhad (“MB”) wishes to announce that its wholly owned subsidiary, MESINIAGA TECHNIQUES SDN. BHD. (“MTSB”) had on 31st December 2012 decided to voluntarily wind up and has appointed En. Jasni Abdul Jalil as the liquidator to administer its liquidation process.
INFORMATION ON MTSB
MTSB was incorporated on 16th December 1994 with a paid up capital of RM50,000 comprising of 50,000 ordinary shares of RM1 each.
RATIONALE OF THE LIQUIDATION
MTSB ceased operations in Year 2005. Prior to it ceasing operations, MTSB was primarily engaged in business development of new product technologies and markets. The decision to put MTSB into liquidation was made after taking into consideration that there was no further need for the company to remain in existence.
EFFECTS ON THE LIQUIDATION
MB is not expected to record any material loss arising from the liquidation of MTSB. The liquidation also will not have any material effect on the issued and paid-up share capital and substantial shareholders’ shareholdings of MB and is not expected to have any material effect on the net assets per share, gearing and earnings per share of the MB Group for the financial year ending 31 December 2013.
INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSONS CONNECTED TO MB
None of the directors and/or major shareholders of MB and/or persons connected to them has any interest, whether direct or indirect, in the liquidation.

（梳帮再也14日讯）商业机器（MSNIAGA，5011，主板科技股）董事部宣布，批准委任莫哈末菲德利为该公司新董事经理，明年1月1日起生效。
现任董事经理法迪尔将留在董事部，担任非独立非执行董事。
现年49岁的菲德利，在国内外的资讯工艺（ICT）拥有超过25年的经验，并曾在明讯（MAXIS，6012，主板贸服股）和大马惠普等公司担任高层领导职位。
在加入商业机器之前，他在明讯担任高级副总裁兼明讯商业服务主管。

业绩由盈转亏 商业机器急挫
二零一四年三月三日 晚上八时三十四分
（吉隆坡3日讯）商业机器有限公司（MSNIAGA，5011，科技组）在截至2013年第4季度业绩中盈利转亏，导致该股今日午休应声而跌，其价格一度跌至1.91令吉水平。
今日午休时，商业机器狂泻20仙或8.92%挂2.04令吉，有15万1800股转手，该公司在今早交易中一度跌至33仙缩至1.91令吉，过后，在投资者趁股价偏低进场扶盘，股价跌幅收窄。
商业机器上周五公布公司的业绩时，显示出公司业绩由盈转亏，蒙受280万令吉的净亏损，它在12年财政年内尚有1560万令吉的税前盈利收益。
该公司的公众领域营业额偏低，某些工程被拖延，导致成本高涨，加上业绩在审查时， 特别是在第4季业绩中，美元兑令吉汇价时挺稳为成本带来冲击所致。
该公司的净亏损是764万令吉，在12财政年内，它尚有974 万令吉的净利收益。
在第4季业绩中，该公司蒙受了1012万令吉的净亏损，它在前期时尚有477万令吉的净收益。【光华日报财经】

Mesiniaga Berhad is pleased to announce that the Company has accepted a Letter of Award from Telekom Malaysia Berhad for the ‘Supply, Delivery, Installation, Testing, Commissioning, Post Acceptance Maintenance and Support Services of New IP Core and Service Edge’.
2. The Contract Value
The total contract value of the project is RM90,014,699 (Ringgit Malaysia : Ninety Million Fourteen Thousand Six Hundred and Ninety Nine).
3. Duration of the Project
The Contract is for a period of five (5) years commencing from 11th June 2014.
4. The effect on net assets of the Group
The proposed transaction will not have any material effect on the Company’s Net Assets for the financial year ending 31 December 2014 but is expected to contribute positively to the Company’s earnings over the period of Contract.
5. The risks in relation to the contract.
The risks relate mainly to meeting deadlines imposed by the customer and meeting the terms of the service level commitments. The Company has however taken the necessary steps to protect itself in mitigating the risks.
6. Directors' and Substantial Shareholders' Interest
None of the Directors or substantial shareholders or any person connected to the Directors or substantial shareholders of Mesiniaga Berhad have any interest, either direct or indirect in the above Contract.
7. Statement of the Directors
The Board of Directors of the Company is of the opinion that the above Contract is in the ordinary course of business and is in the best interests of the Company.
8. Financial effects
In addition to the information disclosed, we would like to inform that the Letter of Award will have a positive effect on the earnings per share. Nevertheless, the Contract will not likely to effect on the dividend policy, gearing, share capital and the substantial shareholders’ shareholdings of the Company for the financial year ending 31stDecember 2014. |

（吉隆坡6日訊）商業機器（MSNIAGA，5011，主要板科技）獲馬電訊（TM，4863，主要板貿易）頒發一項總值1億3295萬6324令吉的智慧產權核心（IP core）維修和支援服務合約。
商業機器向馬證交所報備，上述為期5年的合約將在9月1日起生效。該合約料不會對截至本財年12月底的淨資產帶來任何顯著影響，但將貢獻合約期限之間的盈利。【中国报财经】
