释放投资价值 纳音或售达洋股权套现

(古晋18日讯)纳音控股(Naim,5073,主板产业股)可能脱售其在达洋企业(Dayang,5141,主板贸服股)的部分股权,从中套利。

纳音控股董事经理拿督哈兹米表示,目前该公司正在探讨的其中一个方案,就是脱售其在联号公司达洋企业的部分股权,以释放投资价值。

目前,纳音控股持有达洋企业33.6%股权。

不过,他拒绝透露是否有潜在买家接触纳音控股,询问有关脱售股权的事宜。

纳音控股是砂拉越的顶尖产业发展商,也是达洋企业的单一最大股东。

依每股4.85令吉计算,达洋企业现有市值约26.7亿令吉,而纳音控股手中的持股权价值约为8.9亿令吉。

回酬近6倍

根据哈兹米,纳音控股在达洋企业的总投资(加上认购附加股)约1.5亿令吉,这意味着其投资回酬接近6倍。

他出席股东常年大会后,向《星报》说:“大约1年前,达洋企业的股价为每股2令吉,订单约12亿令吉。随着现在的订单增至51亿令吉,5令吉股价看起来还不错。”

达洋企业的订单,包括砂拉越蚬壳有限公司/沙巴蚬壳石油公司颁发总值逾20亿令吉的合约(丰隆投资研究预计25亿令吉)、墨菲砂拉越石油(Murphy Sarawak Oil)颁发3.136亿令吉合约。

尽管达洋企业拒绝透露国家石油勘探私人有限公司颁发的第三份合约价值,但是,丰隆投资研究相信该合约价值逾10亿令吉。

哈兹米说,基于达洋企业拥有庞大订单,纳音控股放眼可从中获派更多股息。[南洋网财经]

纳音放眼10年投资10亿产业

(吉隆坡3日讯)纳音控股(Naim,5073,主板产业股)放眼在未来10年内,增加产业投资至10亿令吉,以确保可为公司带来稳定的收入。

纳音控股总执行长拿督哈斯米说:“在未来5至10年内,我们的目标是投资在购物广场、酒店和其他投资产业,总值10亿令吉。”

他在媒体汇报会上指出,该公司将通过发展该些产业来完成目标,因为要收购好的现有产业不容易,尤其这些产业一般都已成为产托的目标。

目前,纳音控股在美里拥有一间购物中心,价值8000萬令吉,可出租面积达15萬平方尺。该公司计划在古晋和美里建造新的购物中心,也打算在民都鲁兴建酒店。

此外,该公司也将探讨进军在砂拉越以外的产业发展计划。

他说,该公司的焦点还是在古晋、美里和民都鲁,但同时也会探讨在沙巴亚庇、吉隆坡、雪州、槟城和森美兰等市场的機会。

目前,纳音控股地库达971.25公顷,发展总值预计达80亿令吉。

哈斯米对纳音控股的产业发展业务前景感到乐观,不过,公司旗下建筑臂膀则因在海外的业务,前景欠乐观。[南洋网财经]

券商買進心頭好.納英真德拉 美里發展項目貢獻大

納英真德拉(NAIM,5073,主要板房產)位于砂州美里的Permyjaya新城市(Bandar Baru Permyjaya)住宅與商業發展計劃,將分別為房地產盈利和毛盈利作出高達70%和50%的貢獻。

目前,該公司位于Permyjaya新城市仍有約750英畝的地庫,發展總值料達20億令吉,將成為未來3至5年主要盈利貢獻。

該公司計劃從目前的中低檔住宅計劃,轉向高檔綜合發展計劃業者。該公司將在明年推出Prima Vila、Danau Permy,以及Desa Murni的第4階段。

管理層拒絕透露明年推介計劃的發展總值,不過相信有能力提高未進賬銷售,並提高營業額及推高2015至2017財政年的盈利。

該公司在美里還有約30英畝的地庫,潛在產生超越10億令吉的發展總值。

未來3年,納英真德拉可能將該地庫將作為綜合發展計劃,涵蓋公寓或高檔住宅。

我們給予該股買進的投資評級,目標價格為4.23令吉,與目前3.37令吉價位相比,潛在上漲空間31%。

3大利好 纳英前景光明

(吉隆坡21日讯)在三大利好因素的支撑下,分析员对砂拉越建筑商兼產业发展商--纳英控股(NAIM,5073,主板產业股)的前景抱持正面的態度,所以维持该股「买进」投资评级。       

以上所指的三大正面因素,包括:

第一、纳英控股有能力取得强劲的订单合约,甚至超越肯纳格投行分析员的预期,即每年超过5亿令吉;

第二、该公司的產业发展计划位於策略性地点,即砂拉越的美里(Miri)和民都鲁(Bintulu),而且其未来5至7年未开发地皮的毛发展总值超过30亿令吉;

第三、该公司通过持有达洋企业(DAYANG,5141,主板贸服股)的33.7%股权,参与正在蓬勃发展的油气领域。

肯纳格投行分析员指出,纳英控股是美里最大的產业发展商,其市占率达30%,剩余的70%则由数家小型发展商瓜分。

他说,纳英控股在美里坐拥3000英亩的地库,其中的780英亩尚未开发。

「该公司產业发展的旗舰计划,是美里相当著名的城镇发展计划--Bandar Baru Permyjaya(简称BBP)。这是一项庞大的发展计划,涵盖有地住宅和商用產业(店屋)。同时,该公司也在BBP拥有一座购物商场,称为Permy广场。该广场的出租率高达95%,净出租面积为15万3000平方尺。」

780英亩地皮未开发

BBP的地点位置良好,毗邻美里镇和美里油气中心--鲁东镇(Lutong)。

分析员称,BBP一直以来是纳英產业业务的最大盈利贡献来源。

「自掛牌上市以来,BBP持续性地为纳英控股產业业务带来70%的盈利贡献。今年上半年,BBP取得超过1亿3000万令吉的新销售,这占纳英控股上半年新產业销售的66%比重。目前为止,该公司在美里还有780英亩的未开发地皮,这些地皮的毛发展总值估计是20亿令吉,这提振了纳英控股中期盈利的能见度。」

分析员补充说,美里经济的最大贡献来源是油气领域,其中砂拉越蜆壳公司和国油探勘都在美里设立它们的总部。除了这两家公司,美里也吸引不少大型油气公司,如日本石油公司(NipponOil)、斯伦贝谢公司(Schlumberger)、美国贝克休斯公司(Baker Hughes)、美国哈里伯顿公司(Halliburton Company)等。他解释说,这显示了美里油气领域正在成长,这有助于推动当地的產业领域。

纳英控股(NAIM,5073,主板产业股)是于2003年9月12日于马交所上市,它是砂拉越一家城镇房地产发展商,旗舰计划分布在美里、古晋和民都鲁。

纳英控股也是A级承包商,拥有ISO9001证书,以及最近崛起成为我国最大的土著承包商,有50亿令吉工程在手,包括本身的发展计划。

除了砂州,该公司也将业务伸展至沙巴,与韩国三星合作发展石油与天然气终站计划。

此外,纳英控股是首家获得巴生谷捷运工程合约的东马公司。它在斐济也拥有负责提升公路的工程合约。

它的估值处于不昂贵的14财年本益比6.9倍水平。根据9月20日的闭市价计算,纳英控股拥有达扬企业(DAYANG,5141,主板贸服股)的33.7%股权,已经相等于纳英控股10亿4000万令吉企业价值(市值9亿1300万令吉+1亿2800万令吉净债务)的86%或是8亿9800万令吉。

在12财年的税前盈利当中,房地产、建筑和其他业务贡献当中的67%,而余下的33.7%是由联号公司达扬企业贡献。

纳英控股的优势包括:发展计划位于砂拉越策略地点,例如美里、古晋和民都鲁,未来5至7年的发展总值达到30亿令吉,以及通过达扬企业直接参与蓬勃发展的油气领域。



产业业务 美里最大房地产发展商

纳英控股位于快速发展的砂拉越,房地产发展业务受惠于人民收入提高的发展趋势,这使得市场对有品质、可负担以及产业升级的需求不断增加。

根据肯纳格投行表示,纳英控股是美里最大的房地产发展商,占有30%市场份额,其余的70%是由几家小型发展商瓜分。美里是油气业重镇,为砂州经济做出重大贡献。

纳英控股的总地库为3000英亩,780英亩仍在发展中。纳英控股的旗舰计划为Bandar Baru Permyjaya,这是著名的城镇发展计划,包括住宅和商业产业,也拥有一座购物中心———Permy Mall,净出租面积为15万3000平方尺,而出租率达到95%。

放眼设立产托

纳英控股已经在民都鲁推介综合发展计划,名为Bintulu Paragon。第一期是计划于2013年2月12日在民都鲁和诗巫同时推介,接着是在4月份推介总值20亿令吉的SOVO单位,此外,Street Mall单位的反应也很热烈,归功于Samalaju工业园区发展的益处效应、位于民都鲁旧机场的策略地点,以及砂拉越再生能源走廊的带动。

根据《星报》去年10月报道,纳英控股表示有意成立产业信托,未来6至9年的规模为30亿令吉。

油气业务 竞标大型计划

纳英控股与韩国三星以及国油,联合发展沙巴油气终站的计划进展顺利。随着从这计划中吸取经验之后,纳英控股正竞标几项大型的油气领域建筑计划。

建筑业务手持12亿合约

2013财年共获得5亿6000万令吉的建筑工程。

根据兴业研究的报告,纳英控股至目前为止,已经获得5亿6000万令吉的建筑合约,大部份是来自MLNG Train9次承包商工程,以及庞大的砂拉越大学校园工程。

这个数目已经超出之前兴业研究所预测的5亿令吉数目。目前,它手上拥有的建筑合约达到12亿令吉。

砂能源走廊激励

展望未来,纳英控股在2014财年及2015财年这两年期间,平均每年会竞标5亿令吉的合约。

长期而言,纳英控股将从400亿令吉砂拉越再生能源走廊投资计划(SCORE)中受惠。

我国的许多岸外平台已经超过20年,所以这些平台如今已经须要提升。

这些合约通常是每5年发出一次。

由于达洋企业拥有良好的纪录以及执行能力,因此,纳英控股相信,达洋企业将会获得有关的合约。若成功竞标总值超过100亿令吉的泛马钩调试工程(HUC),将大幅添加现有约40亿令吉的新订单。[南洋网财经]

股價挫11仙‧納因:無新企業發展

(吉隆坡11日訊)納因控股(NAIM,5073,主板產業組)遭投資者套利,週五下挫11仙至3令吉78仙,以全日最低收市。

無論如何,該公司副董事經理兼執行董事克里斯丁那接受英文財經報《The Edge》訪問時表示,公司並沒有任何可需向交易所匯報的企業發展。

納因控股全天成交量並不顯著,只有22萬5千500股易手。

抽傭經紀認為,納因控股股價下滑可能因投資者趕在農曆新年前套利離場,包括雇員公積金局在本月7日脫售37萬8千股股票。

不過,他補充一些機構基金卻從上月開始出手吸納該股。

肯納格研究在本週初研究報告中,重申納因控股“超越大市”評級不變,目標價4令吉45仙,主要因認為該股將是砂拉越再生能源走廊(SCORE)主要贏家。(星洲日報/財經)

納英真德拉售達洋進賬6200萬

(吉隆坡13日訊)納英真德拉(NAIM,5073,主要板房產)以8400萬令吉脫售達洋(DAYANG,5141,主要板貿易)2.7%股權,取得6200萬令吉收益。

納英真德拉指出,該公司在上週四和週五,通過公開市場脫售1500萬股達洋股票。

對比達洋截至去年9月30日達1.17令吉每股淨資產,納英真德拉售股價格,每股溢價4.43令吉或378.6%。

納英真德拉向馬證交所報備,根據公司截至去年9月杪未經審核綜合季度報表,公司售股后,每股淨資產將從3.52令吉提升至3.77令吉,負債率亦從0.4倍縮減至0.38倍。

達洋核心業務為供應離岸維修服務、微型製作工程、離岸油氣裝配和調試服務,及船海運船隻租賃。[中国报财经]

納因訂單龐大前景亮麗

(吉隆坡15日訊)納因控股(NAIM,5073,主板產業組)以8千400萬8千令吉,在公開市場脫售達洋企業(DAYANG,5141,主板貿服組),並從中獲益6千200萬令吉,分析員看好脫售與套利行動減低負債,納因所持龐大訂單前景亮麗可期。

納因是以5令吉60仙的股價沽出,脫售1千500萬股或2.7%股權後,仍持有達洋30.93%股權。基於這項脫售行動,現金流改善,負債由0.4倍改善至0.38倍,即由1億4千700萬減低至6千300萬令吉。

肯納格研究說,即使每股5令吉60仙閉市價折價3%,仍對上述脫售看法正面,這是卓越的投資,當時平均每股投資77仙或總投資1億8千400萬令吉。以現價每股5令吉79仙,總投資值11億令吉,相等飆漲652%(不包括股息)。

納因控股將從這項脫售行動獲收益6千200萬令吉或每股26.2仙,分析員不排除,該公司未來也有可能再脫售持股。

從納因基本面看,納因持有6億6千500萬令吉訂單,超越肯納格預期的5億令吉,未進賬訂單達13億令吉,可持續至2016年。

“納因是砂州發展與成長的主要受惠者,砂拉越再生能源走廊(SCORE)有很多基建計劃;納因也是具能力承包商與主要發展商。”

肯納格稍微調低2014與2015年財測1.9%與1.4%,脫售後達洋仍對納因顯著貢獻,且佔稅前盈利的40%。

興業研究調低2014年淨利預測4%至1億3千500萬令吉,每股核心盈利調整至53.8仙,主要是來自達洋企業貢獻減少所致,旦由於也同時降低利率成本,導致調幅不多;風險是2014財年攫取訂單比預期的5億令吉低、成本高築和砂拉越再生能源走廊計劃出現延宕。

砂州建築業前景強勁

不過,興業看好建築業前景受開動中的捷運工程帶動,可以忙至2019年;而納因在砂州建築業前景更是強勁,該州美里、民都魯產業發展起飛、油氣與工業發展蓬勃,聯號達洋企業盈利每年有30%成長。(星洲日報/財經‧報道:張啟華)

納英真德拉 售子公司股權650萬

(吉隆坡22日訊)納英真德拉(NAIM,5073,主要板房產)今日發表文告指出,將以約650萬令吉出售出子公司Total Reliability的51%股權。

文告指出,納英真德拉與HWS地產私人有限公司簽署一份協議,將出售Total Reliability私人有限公司股權51%于后者。

納英真德拉當初投資Total Reliability255萬令吉,如今以650萬令吉釋放投資價值,脫售所得可充作集團之營運資金,並從中提高效率。

在完成上述交易后,HWS地產持有Total Reliability的股權,將由原本的9%增加至60%。

納英真德拉指出,預計2014年第4季度將完成上述股權出售交易。[中国报财经]

LAND EXCHANGE
1) INTRODUCTION
The Board of Directors of Naim Holdings Berhad (“Naim” or “the Company”) wishes to announce that the Board had on 22 February 2014 endorsed and ratified the land exchange between wholly-owned subsidiary company, Naim Tujuh Sdn. Bhd. (“N7SB”) and the relevant authority whereby N7SB shall surrender 2 parcels of lands i.e. Lots 30 and 31 both of Block 34 Kemena Land District with total land size of 401 hectares in exchange with the following lands with a total land area of 431.3 hectares :-
(i) Lot 2532 Block 20 Kemena Land District
(ii) Lot 789 Block 20 Kemena Land District and
(iii) Lot 2547 Block 20 Kemena Land District
(“Land Exchange Exercise”).

2) INFORMATION OF N7SB
N7SB was incorporated in Malaysia as a private limited company under the Companies Act 1965 on 13 June 2000.
N7SB is principally engaged in investment and property holding.  It has an authorized and paid-up share capital of RM100,000 divided into 100,000 ordinary shares of RM1.00 each.

3) EFFECT OF THE PROPOSED LAND EXCHANGE EXERCISE
a) Share Capital and Shareholding Structure of the Substantial Shareholders
The Land Exchange Exercise will not have any effect on the issued and paid-up share capital and shareholding structure of the substantial shareholders in Naim.
b) Gearing
The Land Exchange Exercise will not have any material effect on the gearing ratio of the Naim Group.

4) APPROVAL REQUIRED
The Land Exchange Exercise is not subject to the approval of the shareholders of Naim.

5) DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST
None of the directors and substantial shareholders of the Company, or persons connected with them, have any interest, direct or indirect in the above transaction.

6) STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors, having considered the aspects of the Land Exchange Exercise, is of the view that the Land Exchange Exercise is in the best interest of Naim Group.

7) HIGHEST PERCENTAGE RATIO APPLICABLE TO THE LAND EXCHANGE EXERCISE PURSUANT TO PARAGRAPH 10.02(G) OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA SECURITIES (“LISTING REQUIREMENTS”)
The highest percentage ratio applicable to the Land Exchange Exercise pursuant to Paragraph 10.02 (g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is approximately 22%.
  
This Land Exchange Exercise is deemed as a transaction of a revenue nature in the ordinary course of business under item 1 of Paragraph 10.2, Chapter 10 of the Listing Requirements.  The Board of Directors is of the view that it is prudent in keeping with good corporate governance to, nevertheless, make this announcement.

纳英控股毛利倍增

(吉隆坡13日讯)纳英控股有限公司(NAIM,5073,产业组)公布,截至2013年12月31日止财政年,所取得的税前利润按年从1亿1286万令吉上升逾倍至2亿5307万令吉。

它致函马交所说,至于营业额则由前期的4亿9278万令吉猛增至7亿848万令吉。

该集团称,营业额较高主要是由产业和建筑领域贡献增加所致。

纳英控股表示:“展望未来,鉴于今年砂拉越州产业前景不明朗,我们将会保持谨慎态度。”【光华日报财经】

纳音提前赎回1.5亿回债

(吉隆坡1日讯)纳音控股(NAIM,5073,主板产业股)宣布,已提前赎回价值1亿5000万令吉的回教中期票据(IMTN),及取消总值6亿令吉的回教债券发行活动。

纳音控股通过文告指,提前赎回的债券,分别是在2016及2021年到期。

公司会决定提前赎回该批债券,及取消价值1亿令吉的回教商业票据和5亿令吉的回教中期票据,主要是为了重新调整债务组合及现金流。

同时,也能够减少过度依赖限制性债务契约。【南洋网蔡京】

1. Introduction
The Company’s announcement made on 3 October 2007 in relation to the issuance of the Islamic Commercial Papers refers.

The Board of Directors of the Company wishes to announce that the Company had on 31 March 2014 redeemed all the Outstanding Bonds amounting to RM150 million in full prior to the respective maturity dates of the Bonds (“Maturity Dates”) including interest accrued thereon (“Early Redemption”) and cancelled the Islamic Securities Programmes (“Cancellation of the Islamic Securities Programmes”)

2.   Rationale
The rationale for the Early Redemption of the Bonds and the Cancellation of the Islamic Securities Programmes are as follows:
a) To reprofile the Company’s borrowing to better suit the Company’s cash flow; and
b) To free the Company from complying with overly restrictive debt covenants and provide the Company with financial flexibility to pursue its growth aspirations.

3. Source of Funding
The Early Redemption is funded by internally generated funds.

4. Effects of the Early Redemption and the Cancellation of the Islamic Securities Programmes
The Early Redemption and the Cancellation of the Islamic Securities Programmes will not have any effect on the issued and paid-up share capital of the Company as well as its substantial shareholders’ shareholdings.  The Early Redemption is not expected to have a material effect on the earnings and net assets of the Company for the financial year ending 31 December 2014.

5.    Approvals Required
The Early Redemption and the Cancellation of the Islamic Securities Programmes do not require any approval from the shareholders of the Company.

6. Directors and Major Shareholders’ Interest
None of the directors and/or major shareholders and/or person connection with a director and/or major shareholders of the Company has any interest, direct or indirect in the Early Redemption and the Cancellation of the Islamic Securities Programmes.

7. Statement by Board of Directors
The Board of Directors of the Company, having considered all aspects of the Early Redemption and Islamic Securities Programmes is of the opinion that the Early Redemption and the Cancellation of the Islamic Securities Programmes  are in the best interest of the Company.
