Combining each other’s skillsets and resources, the Parties will collaborate to set up an executive working group to develop the platforms and procedures required for the launch of the kiosks and food trucks. (Bursa Depository) on 26 March 2021 that the 7,092,698 new ordinary shares of SAUDEE (Shares) were ready to be credited into the securities accounts of the respective holders (Confirmation) and the Company was required to make the announcement pursuant to paragraph 13.2 of PN28 (PN28 Announcement) before 3 p.m. on 26 March 2021. However, SAUDEE had only made the PN28 Announcement on 30 March 2021, resulting in the Shares being listed only on 31 March 2021 instead of on 29 March 2021.

Paragraph 2.23(1) of the Main LR states that the Exchange may, from time to time, issue any instruction or directive to or impose any condition on an applicant, a listed issuer, a management company, a trustee, a trustee-manager its directors, officers, employees, advisers or any other person to whom these Requirements are directed and such person as aforesaid must comply with the said instruction, directive or condition and within such time as may be specified by the Exchange.

Paragraph 13.2 of PN28 states that where the additional securities are listed in accordance with the procedures set out in paragraph 4.0 of PN28 (i.e. procedures relating to the listing of additional securities of the same type and class), a listed issuer must announce the following information immediately upon receipt of confirmation from Bursa Depository that the securities are ready to be credited into the securities accounts of the respective holders:

(a) details of the corporate proposal;

(b) total number of securities issued under each proposal and the issue price per share, if any;

(c) date of listing and quotation; and

(d) latest share capital and number of issued shares of the listed issuer after the proposal indicating the number of shares (in unit and RM).



While Bursa Malaysia Securities had not found any of SAUDEE’s directors to have caused or permitted the breach by the company, Bursa Malaysia Securities wishes to highlight and remind that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the Main LR.  The Board of Directors of SAUDEE at the material time of the breach were as follows:-



(1) Tay Ben Seng, Benson

(2) Sim Yee Fuan

(3) Chen Chee Peng

(4) Datuk Sham Shamrat Sen Gupta

(5) Ong Poh Lin Abdullah



The finding of breach and imposition of the public reprimand on SAUDEE was made pursuant to paragraph 16.19(1) of the Main LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.  



Bursa Malaysia Securities views the breach seriously and has reminded SAUDEE and its board of directors of their responsibility to maintain the appropriate standards of corporate responsibility and accountability to its shareholders and the investing public.



BACKGROUND



SAUDEE had on 18 December 2015 announced the approval of Bursa Malaysia Securities on the following:-

i. the admission to the Official List and the listing and quotation of up to 45,000,000 Warrants to be issued pursuant to the Proposed Two-Call Rights Issue (as announced by the Company on 25 November 2015);

ii. listing and quotation of up to 30,000,000 new SAUDEE shares to be issued pursuant to the Proposed Two-Call Rights Issue; and

iii. listing and quotation of up to 45,000,000 new SAUDEE shares to be issued pursuant to the exercise of the Warrants.  



It was also stated in Bursa Malaysia Securities’ approval letter dated 18 December 2015 that in the event the new ordinary shares to be issued pursuant to the exercise of the Warrants would be listed and quoted as the existing shares of the same class, quotation of the new ordinary shares would commence on the next market day after, amongst others, the PN28 Announcement is made before 3 p.m. on the market day prior to the listing date (Bursa’s Condition).



SAUDEE’s share registrar had vide letter dated 25 March 2021 submitted to Bursa Depository the share certificate arising from the conversion of 7,092,698 warrants where the listing and quotation of the Shares would be on 29 March 2021 (25 March Letter). Bursa Depository had provided the Confirmation at 8 a.m. on 26 March 2021 and as such, SAUDEE must make the PN28 Announcement before 3 p.m. on 26 March 2021 in accordance with Bursa’s Condition and paragraph 13.2 of PN28. However, SAUDEE had failed to make the PN28 Announcement on 26 March 2021 despite being informed of the 25 March Letter and the Confirmation. This had resulted in the deferment of the listing of the Shares from 29 March 2021 to 31 March 2021. SAUDEE represented that the company needed to verify the amount and that the funds had been credited into the bank. This was not acceptable as SAUDEE must undertake the necessary verification expeditiously and strictly comply with the timeframe and procedures prescribed for the listing of the Shares which serve to safeguard investors’ interest and provide certainty on the listing of the securities.
