微领科技拟配售股票‧集资进军博彩业

（吉隆坡7日讯）微领科技（MQTECH,0070,创业板工业产品组）打算透过配售股票，以集资进军博彩市场。

该公司在文告中说，建议配售占缴足股本20%的8295万3024股予黄健宏和胡奕福（人名译音），每股售价5仙，从中筹措414万8000令吉。黄健宏为该公司执行董事。

该公司表示，大约387万8000令吉将用于开发新博彩业务。

该公司已与Vivo Tower签署行销协议，将负责柬埔寨波别Star Vegas渡假村的行销活动。

云顶集团创办人已故林梧桐的孙儿林拱和与林拱耀控制的澳洲上市公司Donaco国际，已透过香港Donaco公司，颁发赌场经营执照予Vivo Tower。

根据行销协议，微领科技将获得Vivo Tower通过赌场获得的50%盈利。这份合约为期5年，若Vivo Tower的赌场合约延长，微领科技也会自动获得续约。

1. INTRODUCTION Pursuant to Paragraph 9.19(24) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of MQ ("Board") wishes to announce that the Company had, on 6 July 2018, incorporated a new wholly-owned subsidiary, namely MQ Integrated Marketing Sdn Bhd (“MQ Marketing”) in Malaysia. 2. INFORMATION ON MQ MARKETING MQ Marketing was incorporated on 6 July 2018 under the Companies Act 2016 with an issued share capital of RM1.00 comprising 1 ordinary share. Its intended principal activities are marketing and operating of gaming related businesses. The directors of MQ Marketing are Gerald Nicholas Tan Eng Hoe and Wong Ken Hong. 3. RATIONALE On 7 December 2017, MQ had entered into a marketing agreement with Vivo Tower ("Marketing Agreement") to exclusively develop and implement marketing services as well as to provide manpower for Vivo Tower's conduct of operations ("Marketing Services") in the designated gaming rooms and entertainment rooms ("Casino Premises") within the Star Vegas Resort & Club in Poipet, Cambodia ("Resort"). The Marketing Agreement allows MQ to assign, novate or transfer all the rights and obligations specified in the Marketing Agreement to its wholly owned subsidiary by written notice to Vivo Tower. Accordingly, the Board has decided to incorporate MQ Marketing to undertake the Marketing Services.  In future, MQ Marketing may also carry out other business activities related to the gaming industry. 4. FINANCIAL EFFECTS The incorporation of MQ Marketing will not have any material effect on the issued share capital, net assets, gearing level, earnings and earnings per share and substantial shareholders' shareholdings of the Company for the financial year ending 31 December 2018. 5. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/ OR PERSONS CONNECTED TO THEM None of the directors and/ or major shareholders of MQ and/ or persons connected to them have any interests, whether direct or indirect, in the incorporation of MQ Marketing. 6. DIRECTORS' RECOMMENDATION The Board, having considered all aspects of the incorporation of MQ Marketing, is of the opinion that its incorporation is in the best interest of MQ. 7.
