有条件献购截止 Doh Properties需退还陈兄弟格尼股票

（吉隆坡15日讯）陈兄弟格尼（DBE Gurney Resources Bhd）大股东Doh Properties Holdings私人有限公司将退还在有条件强制性献购下收购的所有陈兄弟格尼股票与凭单，因无法获得超过50%股票。
截至今日下午5点，献购截止时，Doh Properties及相关人士持有陈兄弟格尼约38.34%的具表决权股份，因此未达到承认条件。
陈兄弟格尼向大马交易所报备：“有鉴于此，献购方必须退还所有股票及凭单给指定股东。”
Doh Properties通过公开市场把其在陈兄弟格尼的持股权从32.89%增至33.02%后，于9月份触及上述献购。
Doh Properties献议以每股3.5仙，收购尚未持有的陈兄弟格尼股票，相等于比后者截至8月30日止5天交易量加权平均市价（3.26仙）溢价7.36%。
同时，该公司还献议以每张凭单1仙，收购尚未持有的凭单。
Doh Properties是Setia Awan Holdings私人有限公司的独资子公司，由Doh家族掌控，分别是Datuk Doh Jee Ming（30%）、Datuk Doh Tee Leong（30%）、Datuk Doh Jee Chai（30%）、Datuk Doh Neng Chiong（5%）及Datin Lee Hong King（5%）。

The Board of Directors of DBE (“Board”) wishes to announce that DBE has today, received a press notice from AmInvestment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on Monday, 15 October 2018 (“Closing Date”).
As set out in the Offer Document dated 24 September 2018, the Offer is conditional upon the Offeror having received valid acceptances by the Closing Date which would result in the Offeror, the Joint Ultimate Offerors (as defined herein) and persons acting in concert with it (“PAC”) holding in aggregate, together with such DBE Shares that are already acquired or agreed to be acquired, held or entitled to be acquired or held by the Offeror, the Joint Ultimate Offerors (as defined herein) and PAC, more than 50% of the voting shares of DBE (“Acceptance Condition”).
As stated in the Offer Document:- - Dato’ Doh Jee Ming, Dato’ Doh Tee Leong, Dato’ Doh Jee Chai, Dato’ Doh Neng Chiong and Datin Lee Hong King being substantial shareholders of Setia Awan Plantation Sdn Bhd, which in turns holds 100% shareholdings in the Offeror, are deemed as the joint ultimate offerors for the Offer (collectively, “Joint Ultimate Offerors”); and
- Setia Awan, being the holding company of the Offeror, is deemed to be a PAC in accordance with section 216(3) of the Capital Markets and Services Act, 2007.
As at 5.00 p.m. on the Closing Date, the Offeror, the Joint Ultimate Offerors and PAC hold in aggregate, valid acceptances together with such DBE Shares that are already acquired or agreed to be acquired, held or entitled to be acquired or held, approximately 38.34% of the voting shares of DBE. As such, the Acceptance Condition has not been fulfilled.
Accordingly, the Offeror shall return all the DBE Shares and DBE Warrants which have been transferred into the Central Depository Account of the Offeror pursuant to the acceptance of the Offer by the respective holders.
In accordance with Paragraph 13.01 of the Rules on Take-overs, Mergers and Compulsory Acquisitions, the detailed disclosure of level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice.
