Bhd. (“GSSB”), one of its wholly-owned subsidiary of the Company, has on 31 March 2017,  acquired 100% equity interest of Greatway Capital Sdn. Bhd. (“GCSB”) comprising of one (1) ordinary share for a cash consideration of RM1.00 from Mr Yap Kian Mun (hereinafter referred to “Vendor”).

GCSB was incorporated in Malaysia on 27 February 2017 as a private limited company under the Companies Act, 2016 with an issued and paid up share capital of RM1.00 comprising of 1 ordinary share. GCSB is currently a dormant company and has not commenced any business operation since the date of its incorporation. The intended principal activities of GCSB will be in the business of construction, property development, project management, real estate etc.

In addition, none of the Directors and Substantial Shareholders or persons connected with the Directors or Substantial Shareholders of OCR has any interest, direct or indirect in the aforesaid acquisition.

OCR公司获3.24亿合约

2017年7月19日
(吉隆坡18日讯)OCR公司(OCR,7071,主板消费产品股)获白沙罗实业(DBHD,3484,主板产业股)子公司Damansara Realty(柔佛)私人有限公司颁发总值3亿2400万令吉合约。

OCR公司今日向交易所报备,将负责在布城,面积达11.898英亩地皮发展一马公务员房屋(PPA1M)计划的统筹和建筑。

去年10月14日,Damansara Realty(柔佛)与布城机构签署发展协议,获得PPA1M,及非PPA1M或商业部分的发展权利。

因此,OCR公司将负责PPA1M,以及非PPA1M或商业部分的统筹与建筑。

该公司解释,非PPA1M或商业部分,双方将按照比例来分配盈利。即Damansara Realty(柔佛)将享有当中的20%,剩余80%属于OCR公司。

不过,若Damansara Realty(柔佛)所获的盈利少过1000万令吉,OCR公司需支付差额给Damansara Realty(柔佛)。

而PPA1M的部分,双方还未决定盈利共享条款。

OCR公司将通过内部资金来融资上述为期4年的项目。预计不会贡献公司2017财年的盈利及净资产。【e南洋】

Letter of Award receive by O&C Resources Berhad from Damansara Realty (Johor) Sdn. Bhd., a subsidiary of Damansara Realty Berhad, for its project, Perumahan Penjawat Awam 1Malaysia situated in Putrajaya.
The Board of Directors of O&C Resources Berhad (“OCR”) wishes to announce that OCR has on 17 July 2017, received a Letter of Award (“LOA”) from Damansara Realty (Johor) Sdn. Bhd. (“DRJ”) of Level 10.3 Level 10, Wisma Chase Perdana, Off Jalan Semantan, Damansara Heights, 50490 Kuala Lumpur, to develop its project known as Perumahan Penjawat Awam 1Malaysia (“PPA1M”) on all that piece of land held under No. Lot PT 12952 (5R7) in the district of Precinct 5 in the state of Putrajaya measuring approximately 11.898 acres.

On 14 October 2016, DRJ had entered into a Development Agreement (“DA”) with Perbadanan Putrajaya (“PJC”) whereby DRJ was given the right to develop the following two (2) parts of the Project:-
  • PPA1M portion; and
  • Non-PPA1M/Commercial portion.

The final governing contract to be executed between DRJ and OCR shall consist of:-
  • A Turnkey Construction Contract between DRJ and OCR for the PPA1M portion with estimated at RM324 million; and
  • A Commercial and Collaboration Agreement (or a contract of that nature) between DRJ and OCR for the Non-PPA1M/Commercial portion.

Both contracts shall be read in conjunction with each other.

In respect of the Non-PPA1M/Commercial portion, parties shall negotiate and agreed that the profits earned from the said Non-PPA1M/Commercial portion shall be distributed to DRJ and OCR based on the following broad principles:-
  • DRJ shall be entitled to 20% of the said profit with the remaining 80% to OCR; and
  • The cumulative profit for DRJ is less than RM10.0 million, OCR shall pay DRJ the difference so that DRJ will have a minimum profit of RM10.0 million earned from the Non-PPA1M/Commercial portion.

In respect of the PPA1M portion, the terms on the profit earned has yet to be finalised and agreed upon.

OCR will source its own financing for the said Project.

The duration of the said project is expected to be over a period of four (4) years.

The contract sum of the said project is estimated at RM324 million.

None of the Directors or major shareholders or persons connected with them has any interest, direct or indirect on the abovementioned Project. The Board is of the opinion that the abovementioned Project is in the best interest of OCR and its Group.

The said Project will not expect to contribute any earnings and net assets of the OCR Group for the financial year ending 31 July 2017.

联手彭亨基金局
OCR发展1.7亿可负担屋


2017年8月10日
(吉隆坡10日讯)OCR公司(OCR,7071,主板消费产品股)与彭亨基金局联手进行一项综合发展项目,包括商业发展以及被称为“PRIYA计划”的可负担房屋计划,预计发展总值达1.66亿令吉。

OCR公司发文告宣布,持股90%的子公司O&C房地产(关丹)私人有限公司,与彭亨基金局签署联营发展协议,双方在联营公司各占一半股权。

彭亨基金局是位于彭亨关丹柏努(Penor)面积约814英亩地皮的地主,双方将联手把其中100英亩地打造成综合发展项目,将包含排屋、半独立式房屋及店屋办公楼。

此外,公司预计在2018财年上半年开始动工。

OCR公司董事经理王家豪、彭亨基金局总经理拿督马慕纳瓦维、副经理安阿都拉尼、O&C房地产(关丹)董事拿督阿都哈密,以及新联营公司董事黄良川,今天一起出席签约仪式。

王家豪指出,这项联营协议是OCR公司非常重要的里程碑,符合公司策略,即增长和多元化业务,以通过永续增长来持续获利,同时平衡非传统收入来源。

  • The value of 100 acres land held under PN 25656, Lot 8094, Mukim Penor, Daerah Kuantan, Negeri Pahang is RM7.0 million and there is no valuation carried out on the said Land.
  • The Gross Development Value (“GDV”) and Gross Development Cost (“GDC”) of the Project are RM166 million and RM146 million respectively. The profit entitlement of OCR is approximately to RM10 million.
  • The basis of arriving Profit Sharing of RM5 million is based on the basis of the Joint Venture Project is 50:50.
  • None of the Directors and/or major shareholders of the Company nor person(s) connected to them have any interest, direct or indirect, in the JVA.

OCR公司 推介2.4億豪華服務式公寓

2017年10月09日
(吉隆坡9日訊)OCR公司(OCR,7071,主要板消費)推出發展總值達2億4000萬令吉的豪華服務式公寓項目,估計可在2021年竣工。

該公司發布文告指出,上述項目是位于葉觀盛路的Isola@KLCC,一共有4棟住宅大樓,但只有140個單位。

OCR公司董事經理王家豪指出:“截至目前,我們已取得80%訂購率,其中一半已簽署買賣合約,可說是獲得正面迴響。”

他稱,這個項目也獲得國際買家的支持,有來自香港、印尼、韓國、台灣、中國、英國等的買家。

此外,該公司與獲得獎項肯定的建築公司Unit One Design合作,為大馬市場打造豪華品牌房屋,並注入尚未體驗過的創新功能。歸功于Unit One Design,Isola@KLCC在亞洲房地產獎項(大馬)上,贏得 “最佳建築設計”殊榮。【中国报财经】

OCR以425万购联号O&C建筑

(吉隆坡2日讯)OCR公司(OCR,7071,主板消费品组)以425万令吉现金收购旗下联号O&C建筑有限公司全部股权。

该公司在文告中表示,该公司原本持有该公司15%股权,在增持余下85%股权后,O&C建筑将成为OCR公司独资子公司。

Pursuant to Paragraph 9.19 (23) of Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of O&C Resources Berhad (“OCR” or the “Company”) wishes to announce that the Company had on 31 October 2017, subscribed for an additional 4,250,000 ordinary shares of RM1.00 each at par in the capital of its wholly-owned subsidiary, O&C Construction Sdn. Bhd. (Formerly known as Takaso Land Sdn. Bhd.) (Company No.: 1119151-W) (“OCCSB”) for a cash consideration of RM4,250,000.00.

Following of the share subscription, the issued and paid up share capital of OCCSB has increased from RM750,000 to RM5,000,000.00. Details of the shareholdings of the Company after the increase in share capital of OCCSB are as follow:-

OCR 2459万向丽阳买地

2017年11月9日
(吉隆坡8日讯)OCR公司(OCR,7071,主板消费产品股)以2459万令吉,向丽阳机构(TROP,5401,主板产业股)购买八打灵再也1.01英亩的地皮,用作发展商业地产。

OCR公司向马交所报备,独资子公司O&C建筑昨日与丽阳机构旗下的丽阳城私人有限公司签署买卖合约。

文告指,有关土地属永久地契,按丽阳城的账面净值地价为1852万令吉。OCR公司实为购地多付607万令吉溢价。

“该地皮升值潜质不错,每平方尺557令吉的售价尚算合理。”

OCR公司指出,购地将有助长期发展,同时也可多元化业务至产业发展;收购金额将从内部资金和向银行举债筹得。

购地计划不会对OCR公司2018财年的盈利、净资产和负债率有实质的影响。 【e南洋】

Pursuant to Paragraph 10.06 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“MMLR”), the Board of Directors (“Board”) of O&C Resources Berhad (“OCR” or the “Company”) wishes to announce that O&C Construction Sdn. Bhd. (“OCCSB”), a wholly-owned subsidiary of the Company, had on 7 November 2017, entered into a Sale and Purchase Agreement (“SPA”) with Tropicana City Sdn. Bhd. (“TCSB”) to purchase a piece of freehold land for a total cash consideration of RM24,587,651.00 (“Purchase Consideration”).
