百盛纳2股东购20% 达家富资源易主

(吉隆坡20日讯)建筑集团百盛纳控股有限公司(PESONA,8311,建筑组)控制股东最近崛起成为达家富资源有限公司(TAKASO,7071,消费产品组)最大股东,持有这家育婴用品与保险套公司的20.04%股权。

也分别担任百盛纳控股董事经理和非独立非执行董事职位的兄弟档黄富明与黄富强,已透过他们的私人工具Kombinasi Emas私人有限公司和Sincere Goldyear私人有限公司,自8月12日起从公开市场稳定购入达家福资源股票。

该股于8月初挂价每股26仙,今早一度晋至38.5仙的一年最高价位。

透过上述2个工具,黄氏兄弟也控制百盛纳控股的55.28%股份。

大马交易所的资料显示,达家富资源前第2大股东为陈文隆,至6月24日止持股16.02%。不过,在数日前的一项宣布指出,他已在8月13日终止成为达家富资源大股东。

市场相信,陈氏的大部分持股是由上述2造从公开市场购入。

目前上述2造收购行动的动机未明。

早前,陈文隆也持有Ingenuity统一有限公司(INGENCO,0034,创业板)和迈德资源有限公司(MINETEC,7219,工业产品组)股权。

在黄氏兄弟入股前,达家富资源的最大股东是其执行主席兼董事经理郑志成,控股15.55%,而首相署部长拿督斯里沙希淡也是股东之一。

旗下拥有英国Japlo育婴用品品牌和Playsafe保险套的达家富资源,自2012年10月起已经连续6个季度蒙亏,截至2014年4月30日止第3财季的最新亏损达84万令吉,及录得营业额880万令吉。

该公司的每股净资产值企于26仙,而截至2014年4月30日止的负数净营运流动现金地位为448万令吉。其借贷为614万令吉。

Salient Terms of the LOI

(a)        Dynavance represents and warrants to deliver a minimum net profit after tax of RM12.0 million over 24 months from the completion of the Sale and Purchase Agreement. Dynavance also agreed to full disclosure for the due diligence exercise which will be a condition precedent to completion; and

(b)        The parties shall both sign a Sale and Purchase Agreement in relation to the proposed acquisition within 7 working days from the date of the LOI.

The LOI shall be effective from the date of the LOI and shall remain in full force until the execution of the Sale and Purchase Agreement.

The Audit Committee and Board of Directors are of the opinion that the salient terms of the LOI are in the best interest of TRB Group and the acquisition will not be detrimental to the interest of the minority shareholders.

None of the Directors, major shareholders of TRB and/or any persons connected with them have any interest, direct or indirect, in the LOI.

TRB will announce other information which will be available later at the time of signing of the Sale and Purchase Agreement.

達加富資源 950萬購Dynavance建築

(吉隆坡2日)達加富資源(TAKASO,7071,主要板消費)以950萬令吉,收購Dynavance建築私人有限公司,料可貢獻淨利約25%,並多元化業務至建築和房產發展。

達加富資源通過馬證交所發布文告,該公司和Dynavance建築已簽署股權買賣協議。后者現正執行2項建築工程,並有一項為Konsortium SKS公司建築6棟廉價住宅公寓合約。這價值1億4000萬令吉合約,將在2015年3月動工,于2017年5月竣工。

Dynavance建築的其他工程,包括為娛樂商店建築和完成地基工程,總值1052萬令吉,料在明年6月竣工。

“這項收購活動料會加強達加富資源截至7月底2015財年盈利表現,因工程都在明年3月動工,會加強公司未來盈利表現。”

Reference in made to the announcement made on 4 June 2014 in relation to the Joint Venture and Shareholders' Agreement to form a joint venture company, P.T. Takaso Indonesia Manufacturing ("TIM").

On 4 November 2014, the said joint venture company has been incorporated under the name of PT. Takaso Indonesia Global Manufacturing ("TIGM") instead of TIM.

Pursuant to Chapter 9, Paragraph 9.19(23) o the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Takaso Industries Pte. Ltd., a wholly-owned subsidiary of TRB, has on 4 November 2014 subscribed for 510,000 ordinary shares of US Dollar ("USD") 1.00, representing 51% of the total issued and paid-up capital of TIGM for a total consideration of USD510,000 which equivalent to RM1,695,750, as at yesterday's exchange rate of USD1 to RM3.325.

TIGM issued and paid-up capital are USD1,000,000. TIGM is presently  dormant and is intended for the manufacturing, marketing and trading of rubber and plastic products especially baby products.

TAKASO RESOURCES BERHAD (“TRB” OR “COMPANY”)

PRIVATE PLACEMENT OF UP TO TEN PERCENT (10%) OF THE ISSUED AND PAID-UP SHARE CAPITAL OF TRB (EXCLUDING TREASURY SHARES, IF ANY) (“PRIVATE PLACEMENT”)
We refer to the announcements made on 28 November 2013, 29 November 2013, 18 June 2014 and 19 June 2014 in relation to the Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of TRB, TA Securities wishes to announce that the Board has on 3 December 2014 (“Price-fixing Date”) fixed the issue price for the placement of 17,900,000 Placement Shares at RM0.514 per Placement Share (“Issue Price”).

The Issue Price represents a discount of approximately RM0.0561 or 9.84% to the five (5)-day volume weighted average market price of the TRB Shares up to and including 2 December 2014, being the last market day immediately preceding the Price-fixing Date of RM0.5701 per TRB Share.

This announcement is dated 3 December 2014.
