达加富资源首季亏41万

(吉隆坡17日讯)达加富资源(TAKASO,7071,主板消费产品股)制造业务销量增加,带动2015财年首季净亏收窄,至41万3000令吉。

达加富资源上财年首季净亏为97万1000令吉。

首季营业额,从上财年的1157万令吉,下跌5.8%,至1091万令吉。

公司解释,营业额表现逊色,主要是阴极射线管(cathode raytube)再循环业务放缓。

以出口为主的达加富资源,预计现财年市场前景更严峻,因中东和欧洲客户采购量减少。

达加富资源已积极扩展市场,改善现有营运和投资新业务,但放眼全年表现仍会极具挑战。【南洋网财经】

获大股东颁3744万工程 达加富多元化至建筑业

(吉隆坡13日讯)达加富资源(TAKASO,7071,主板消费产品股)从大股东OCRLand手中,获颁一项总值3744万290令吉的建筑合约,正式多元化至建筑领域。

根据文告,子公司Takaso Land昨天接获OCR Land的授权书,负责一栋21层商业大楼的机械与电子和土木工程,预计明年末季完成,为期22个月。

该公司计划通过内部筹资,或向银行贷款来完成融资。不过,董事部有信心,该公司内部资金充裕,无需向银行借贷。

达加富资源原本的主要业务,是制造橡胶产品和婴儿用品,如婴儿服装、奶粉和用品等。

不过,自2009年开始蒙亏后,管理层就致力于改善财务表现,包括减少营运成本、寻找合适的收购对象、及与不同的生意伙伴合作。

如今,随着多元化至建筑领域,该公司相信未来可从中获得额外25%或以上的净利贡献,减轻对现有业务的依赖。

该公司未来也将持续放眼取得更多建筑项目,建筑业务料崛起为主要的贡献者之一。

OCR去年成大股东

OCR Land主要业务涉及房产投资、管理和房产发展,该公司在12月17日,以场外交易方式购入达加富资源1250万股,相等于6.31%股权并成为大股东。

On behalf of the Board of Directors of TRB, TA Securities Holdings Berhad wishes to announce that:

(i) Takaso Land Sdn Bhd, a wholly owned subsidiary of TRB, has by a letter of award dated 12 January 2015 (“Letter of Award”) from OCR Land Holdings Sdn Bhd (“OCR Land”), been appointed to construct and complete the mechanical and electronic works as well as architect, structure and civil works of a block of twenty-one (21) storey commercial building consisting of:

(a) one (1) storey of basement carpark;

(b) six (6) units of shop lots on ground floor and six (6) units of shop lots on first (1st) floor;

(c) seven (7) storeys of carpark (from second (2nd) floor to eighth (8th) floor);

(d) one (1) storey for facility and food court (ninth (9th) floor); and

(e) eleven (11) storeys of office lots with an aggregate of 286 units (from tenth (10th) floor to twentieth (20th) floor).

The Letter of Award is deemed a related party transaction pursuant to Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad as OCR Land, being the party awarding the contract, is a substantial shareholder of TRB and a company in which Ong Kah Hoe (a Non-Independent Non-Executive Director and a major shareholder of TRB) has interests in; and

(ii) the Company proposes to diversify the business of TRB and its subsidiaries to include the construction business.

大股东增持达加富资源

(吉隆坡24日讯)大股东OCR Land增持达加富资源(TAKASO,7071,主板消费产品股)股权,将持股率推高至13.88%。

达加富资源通过文告表示,OCR Land是在今天通过场外交易,购入达加富资源的1500万股股权,目前持股2750万股,相等于13.88%。

此前,OCR Land的持股率为6.31%,或1250万股。

达加富资源非独立非执行董事兼大股东之一的王家豪(译音),与OCR Land也有利益关系。

通过持有OCRLand,王家豪的持股率也随之扬升至28.45%,其中有9.4%是直接持股。【南洋网财经】

(吉隆坡17日讯)达加富资源(TAKASO,7071,主板消费产品股)进军建筑领域的建议,获独立顾问给予“公平且合理”意见,建议股东接受献议,以享有未来盈利贡献。

橡胶产品和婴儿用品制造商达加富资源,日前获大股东OCRLand的3744万290令吉建筑合约,负责一栋21层商业大楼的机械与电子和土木工程。

膠價下跌引購興 達加富資源交投熾熱

(吉隆坡24日訊)機構投資者趁橡膠價格下跌買進達加富資源(TAKASO,7071,主要板消費),加上週期性交易模式,帶動該股成為今日十大熱門股項。

今早開市時,達加富資源微揚0.5仙,股價掛49仙,不過在今日略為淡靜的市場,交投卻相對熾熱,休市時成交量多達5400萬1600股,為最熱門股項之一,股價微揚2.5仙至51仙;午盤該股交投稍微放緩,閉市時,該股起2.5仙,掛51仙,成交量6102萬8300股。

《The Edge財經日報》報導,一名基金經理指出,部分機構投資者從今年2月中,冀趁橡膠價格回彈前,開始從公開市場增持達加富資源股權。

該公司為一家橡膠製品公司,旗下生產及交易產品包括高素質嬰兒用品、玩具及醫療避孕安全套等。

不過基金經理亦透露,該股走勢亦具週期性交易模式,去年8月僅以每股25仙交易,10月漲至65仙水平,今年1月回落至50仙后走高至71.5仙,為週期性模式,模式有可能再重演。【中国报财经】

Acquisition by Takaso Resources Berhad of the entire issued and paid up capital of Dynavance Construction Sdn. Bhd. (“Proposed Acquisition”)
Reference is made to the announcements made 2 October 2014 and 30 December 2014 in relation to the Proposed Acquisition. The definitions in this announcement shall have the same meanings as per the aforesaid announcements.

The Board of Directors of Takaso Resources Berhad (the "Company") wishes to inform that after taking into consideration the intention of the Company to deliver the performance of its existing secured construction business as announced on 13 January 2015 and the scale of the Proposed Acquisition, the parties to the Shares Sale Agreement ("SSA") had vide a Deed of Mutual Rescission dated 31 March 2015 (“DMR”) decided to revoke the SSA with effect from the date of the DMR and subject to the terms and conditions stated therein.

Salient Terms of the DMR
1.1 Mutual Release from performance
The Vendors releases the Purchaser from the due performance and observance of all its obligations and covenants under the SSA and the Purchaser likewise releases the Vendors from the due performance and observance of their obligations and covenants under the SSA.

1.2 Return of Deposit
The Vendors shall refund the sum of RM950,000.00 only being the refundable Deposit under the SSA to the Purchaser within 14 days from the execution of the DMR, free of interest.

The rescission of the Proposed Acquisition will not have any financial impact on the Company.

The Company will continue to seek potential construction projects, in line with Company’s strategic plan to grow and expand the Company’s construction business, pending approval from the Company's shareholders on the proposed diversification of the Company and its subsidiaries to include the construction business at the forth coming Extraordinary General Meeting on 2 April 2015, as well as to enhance the Company’s future prospects and revenue growth.

新建築合約貢獻‧達加富明年料轉盈

(吉隆坡2日訊)達加富資源(TAKASO,7071,主板消費品組)看好明年可在新建築合約貢獻下轉虧為盈,放眼獲取更多建築合約,提昇短期獲利至少50%。

達加富資源為橡膠製品公司,生產及經銷嬰兒用品、玩具及避孕套等,根據大馬交易所數據,業績從2002財政年期至今處於虧損狀態。

特大通過3744萬工程
多元化至建築領域

今日該公司於特大獲股東通過一項由大股東頒發、價值3千744萬令吉的建築工程合約及多元化業務至建築領域。

達加富資源執行主席鄭志成在特大後表示,在該建築合約顯著貢獻下,至少可取得25%的盈利,令公司在下財政年(2016)轉虧為盈。

“進軍建築領域只是一個開始,未來還會探討獲取更多工程及進軍其他領域,為公司帶來盈利,至於50%以上獲利目標,還需視未來2至3年內獲取的工程數量及價值而定。”

他指出,建築合約將以利基市場為目標,如可負擔房屋或中低價公寓建築項目,目前還在洽談其他建築合約,一旦獲取合約將作出宣佈。

針對早前宣佈放棄收購建築公司Dynavance一事,鄭志成表示諮詢顧問後,決定暫時放棄收購,以專注於執行上述建築合約。

“但我們依然對收購持開放態度,不排除未來會考慮收購付合條件的建築公司。”

探討進軍產業購地

另外,除了建築領域,達加富資源也有意在建築業務持穩後,探討進軍產業領域及收購土地。

“建築及產業為相關領域,我們有能力經營建築業務,相信也可以推行產業計劃,初始階段將探討與其他公司聯營,屆時會再度探討是否展開另一輪的融資活動或貸款籌措資金。”

現有業務方面,鄭志成說將維持該業務不變,過去幾年面臨虧損,主要是公司積極投資提昇品牌在海外市場的知名度及進行研發(R&D)計劃所致。

“原本預期今年可取得成果,可是一些主要出口國家面臨政治問題而放緩,導致我們無法達到預期效果。”

達加富資源主要出口市場為中國及中東,兩者貢獻約30至40%,本地市場也佔約30至40%,剩餘貢獻來自其他國家。(星洲日報/財經)

達加富資源 3.68%股權場外易手

(吉隆坡23日訊)達加富資源(TAKASO,7071,主要板消費)有一批達750萬股股票,相等于3.68%股權于場外易手,總值375萬令吉。

根據“彭博社”數據顯示,上述交易分兩批易手,每次有375萬股,價值187萬5000令吉。這相等于以每股50仙成交。

不過,達加富資源今日交易表現平平,早盤以50仙開跑,午盤一度下滑至49.5仙,閉市平盤掛50仙,成交量為312萬5100股。【中国报财经】

Acquisition of 70% equity interests of Takaso Development (Kuantan) Sdn. Bhd.
We wish to announce that pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Takaso Resources Berhad ("TRB") has today, 6 May 2015, acquired 70 ordinary shares of RM1.00 each representing 70% equity interests of Takaso Development (Kuantan) Sdn. Bhd. ("TDKSB") for a cash consideration of RM70.00 from Yap Siok Foong. Consequently, TDKSB became a 70% owned subsidiary of TRB.

The remaining 30% of equity interest of TDKSB is held by Encik Mohd Zabidi Bin Yaakub who is not a person connected with the Directors or Substantial Shareholders of TRB.
TDKSB was incorporated on 24 April 2015 with an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each. TDKSB has an issued and paid-up capital of RM100.00 comprising 100 ordinary shares of RM1.00 each. TDKSB is currently dormant and its intended activities are property development and construction of residential and commercial properties.

In addition, none of the Directors and Substantial Shareholders or persons connected with the Directors or Substantial Shareholders of TRB has any interest, direct or indirect in the aforesaid acquisition.

This announcement is dated 6 May 2015.

关丹联营综合项目 达加富进军产业发展

(吉隆坡1日讯)达加富资源(TAKASO,7071,主板消费产品股)与SSPP发展私人有限公司合作,在关丹市镇发展综合项目,多元化业务至产业发展。

根据文告,达加富资源持有70%股权的子公司达加富发展(关丹),与SSPP发展私人有限公司签署有条件联营协议。

发展计划完成后,达加富发展和SSPP,将分别取得70%和30%的税后盈利比重。

此外,在参与这项发展计划下,达加富发展必须支付不少于1700万令吉给SSPP。

达加富资源表示,该项联营符合增长和多元化业务的策略,并致力转亏为盈和减少传统业务领域所带来的负面影响。

目前,达加富现有业务过度依赖国际需求,也受到经济前景的左右,而联营发展计划将有助加强未来净利表现。

Query Letter Contents
We refer to your Company’s announcement dated 1 June 2014, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) Further clarification on the nature of relationship between SSPP Development Sdn Bhd ("SSPP") and Pasdec Corporation Sdn Bhd.
2) The detailed basis in deriving at SSPP's entitlement which shall not be less than RM17 million.
3) Full details of the land and Project pursuant to Part C (1) to (4), Appendix 10A of Main Market Listing Requirements ("MMLR") (where applicable).
4) The estimated conversion premium from Malay reserved land to Non-Malay reserved land and whether to be borne by Takaso Development (Kuantan) Sdn Bhd or SSPP.
5) The breakdown of the total capital and investment outlay in the joint-venture for the development of the said Project and the source of funds.
6) Further elaboration on your Company's capacity, capability and resources in undertaking the Project.
7) To provide the outlook of property industry, in particular on the state of Pahang.
8) Further clarification as to whether the RM17 million would be settled on a deferred basis depending on the progress of the development or otherwise .

达加富第三季亏损扩大

(吉隆坡26日讯)在面对较高的成本下,达加富资源(TAKASO,7071,主板消费产品股)截至4月杪第三季,净亏扩大至190万9000令吉或每股亏损0.94仙,上财年同期则净亏84万令吉或0.52仙。

公司表示,亏损增加是基于成立新子公司的成本,以及业务销售缓慢,如一般消费品和电脑配件无法应付固定成本。

此外,为清除置放已久的消费产品,公司采取企业计划和措施,须支付专业咨询费用,也是导致集团亏损的原因之一。

不过,营业额则从877万9000令吉,按年增长35.51%,达1189万6000令吉。

至于首三季业绩,达加富资源净亏310万9000令吉或每股1.67仙,高于上财年同期的净亏293万6000令吉或1.87仙;营业额则按年上扬2.68%,达3041万2000令吉。【南洋网财经】

Bhd. (“TCSB”) for a total consideration of RM2.00.

TCSB was incorporated on 5 June 2015 and its present authorised share capital is RM400,000.00. TCSB is presently dormant and the intended principal activities are property development, property investment and general trading.

None of the directors or substantial shareholders of TRB or persons connected with them has any interest, whether direct or indirect, in the aforesaid acquisition.

The announcement is dated 21 July 2015.

达加富资源 场外交易9.77%

二零一五年七月二十二日 晚上六时四十八分
(吉隆坡22日讯)婴儿用品和避孕套制造商达加富资源(TAKASO,7071,消费产品组)昨日有1996万股或9.77%,以760万令吉,通过场外交易。

根据彭博社资料,上述股票被分为6批在场外交易。其中一批1396万股,每股33仙;另5批合共600万股,每股50仙,共计760万令吉。

每股33仙的报价比达加富资源目前47仙的股价折价29.79%,而每股50仙的报价则溢价6.38%。

目前还不知道谁是买家和卖家。

达加富资源也涉足建筑和产业发展,上个月与SSPP发展私人有限公司签署有条件联营协议,以在彭亨州关丹一幅地进行综合发展。

该集团最大股东是持有15.01%股权的OCR置地控股私人有限公司,后者是达加富资源执行董事王家和的投资工具。其次是达加富资源执行主席郑志成的工具Nextplus Fortune私人有限公司,持14.46%。

今年迄今,该股跌了12.15%,以每股47仙计,市值为9602万令吉。【光华日报财经】
