腾飞酒店信托“合订证券”　IPO集资规模缩小

本地房地产发展商腾飞集团（Ascendas Group）管理的腾飞酒店信托（Ascendas Hospitality Trust），从它的组合中抽出韩国酒店资产，以致通过首次公开售股（IPO）筹集的资金较原先计划的减少13％，而每单位最终发售价也定在发售价范围的下限。

腾飞酒店信托昨日向新加坡金融管理局提交更新版招股书，将以每单位88分首次公开发售4亿3733万“合订证券”（stapled securities），准备在本地主板股市挂牌交易。“合订证券”是指由两个或更多份证券包装或“组合”起来，作为单一股票交易的金融产品。腾飞酒店信托这次发售的每股“合订证券”包括一个商业信托单位以及一个房地产投资信托单位，初步组合为总值约10亿5700万元，位于澳大利亚、中国和日本的10家酒店。

首次公开售股计划将包括配售3亿5514万“合订证券”给新加坡其他投资者和机构投资者在内的美国境外投资者，其余8218万“合订证券”则供新加坡公众认购，其中1400万“合订证券”已经保留给腾飞集团的董事、管理层、商业伙伴和雇员认购。

按照88分的售价，腾飞酒店信托在2013年的股息收益率预计可达到7.9％，2014年则达8％，将从今日起，直到本月24日中午开放给公众认购。

信托上周原本计划要首次公开发售介于5亿零610万至5亿2960万“合订证券”，以筹集至少大约3亿5000万元。随着配售的“合订证券”单位减少，信托首次公开售股筹资额也相应减少至大约3亿零400万元，意味着将限制信托购买地产和偿还债务的能力。

由于债权人取得禁制令（Injunction）推迟或禁止腾飞集团买入本该列入信托资产组合内的韩国五星级商务酒店，腾飞酒店信托被迫从组合中抽出韩国酒店资产。据上周提交的初步招股书，有关韩国酒店原本占信托价值的10％。

野村控股（Nomura Holdings）和渣打银行（Standard Chartered）受委为共同全球协调这项首次公开售股计划，汇丰银行和星展银行则作为联合账簿管理者（joint bookrunner）。

腾飞酒店信托（Ascendas Hospitality Trust）以每股0.88元上市，截止时私下发售的3亿5514万股获得超额认购，供公众认购的7014万股则获得6.9倍认购率。账簿管理人（Bookrunner）决定在私下发售渠道额外售出7340万股。

该信托的经理人昨日透露，供公众认购的股票方面，成功申请认购者绝大多数认购10万股以下，他们成功购得的股票从1000股至1万1000股不等，占供公众认购的股票总数的超过一半。

腾飞酒店信托预订明天下午2时开始挂牌交易。

腾飞酒店信托(Ascendas Hospitality Trust)截至2012年12月31日的3Q13盈利连续第二个季度比预期来得好。可分配收入为1,250万元(比预期高出3.6%)，由于净产业收入为1,710万元(比预期高出4.1%)。收入比预期低了2.5%，为5,140万元，由于澳洲经济趋软及日元兑新元贬值，但部份影响因提前6个星期完成收购宜必思北京三元酒店(Ibis Beijing Sanyuan)而被抵消。后者在本季度贡献了10万元的净产业收入。另外，公司表示，澳洲酒店的提升工程正如期进行，并将专注于渗入新市场和采取成本节约举措来提高营运毛利。

启示：值得留意的是，公司自2012年7月27日上市至同年12月31日所录得的可分配收入为2,120万元，比预期高出3.1%；而净产业收入为2,970万元，比预期高出6.1%。

DBS Vickers downgrades Ascendas Hospitality Trust to Hold from Buy, citing limited upside, even after raising its target to $1.03 from $0.98 on lower discount rates. AHT’s outlook remains mixed, with its Australian operations under pressure, DBSV says.

“Occupancy rates have slipped slightly to 79.5% in the midst of a tough operating climate. We note that the industry continues to price rates competitively and thus, A-HTRUST hotels have to follow likewise in order to maintain occupancies.” But on the 2H13 completion of the Australian hotels’ refurbishment and rebranding exercise, it expects the portfolio to reap benefits through room-rate hikes and improved margins. It expects the China hotels to continue benefiting from robust domestic demand for travel into Beijing.

Fiscal-3Q13 results were in line with its expectations, with revenue of $51.4 million 2.5% below forecast on the Australian hotels’ soft operating environment and with the weak JPY vs the SGD slightly impacting the Ariake Hotel performance, while the China hotels performed strongly and net property income rose 4.1% amid stringent cost measures. The stock is down 1.5% at $0.98.

腾飞酒店信托(Ascendas Hospitality Trust)将发售2亿2,640万股的新合订股票，以筹集至少2亿元。私下配售的股票发售价将介于0.885至0.915元，优先股则介于0.88至0.905元。优先股将以每持有25股现有股配2股新股的形式发售。所获收益将用于偿付收购新加坡百乐海景酒店(Park Hotel Clarke Quay)的部份款项。后者是一家获奖酒店，位于克拉码头娱乐区。收购该酒店将让公司从新加坡不断增长的旅游业和相关行业中受惠。腾飞置地国际(Ascendas Land International)为公司最大的合订股票持有者，它已作出不可撤回的承诺，将认购获配售的优先股，并将认购任何没有被认购的余下股权。

启示：在完成收购后，公司的组合料将扩大29.5%至14亿元。公司将向现有股东预先派发每合订股0.95至0.99分的股息。

Ascendas Hospitality Business Trust has entered into a conditional sale and purchase agreement with Ainodake Godo Kaisha to buy Osaka Namba Washington Hotel Plaza in Osaka, Japan for ￥8.9 billion ($110.8 million).

The purchase price for Ascendas' second Japanese asset is 3.3% below the independent property valuation of ￥9.2 billion by Savills Japan Co.

The hotel, which has 698 guest rooms and two restaurants, will continue to be leased to Washington Hotel K.K. until Dec 31, 2015 under a fixed-term building lease agreement for a fixed rent of ￥652.6 million per year.
