The Board of Directors of TIGB wishes to announce to Bursa Malaysia Securities Berhad (“Bursa Securities”) that the Company had on 16 January 2017 entered into a Memorandum of Agreement (“MOA”) with the Department of Natural Resources and Environment of Hau Giang Province (“Hau Giang DONRE”) whereby, both parties had confirmed their agreement to the terms and conditions of the Land Lease Agreement (“LLA”) on the lease of the project site land for the development of Song Hau 2 - 2x1000 MW Coal-Fired Thermal Power Plant Project in Hau Giang Province, Vietnam (“the Project”). Timeline For Completion of The LLA (a) TIGB shall use their commercially reasonable efforts to reach agreements on all outstanding terms and issues relating to the Build-Operate-Transfer (“BOT”) Contract and the Power Purchase Agreement (“PPA”) in good faith and as soon as possible but in any case on or before August 2017. (b) Hau Giang DONRE shall use their commercially reasonable efforts to accommodate certain changes raised by international lenders in the LLA which are standard and usual for this type of non-recourse financing and are in accordance with the Laws of Vietnam. (c) The MOA shall become effective on the date of its execution and shall continue in effect until eight months from the date of this MOA or the date of signing of the BOT Contract, whichever date is earlier.   The Board, after having considered all aspect of the MOA, is of the opinion that the MOA is in the best interest of the TIGB group and its shareholders. None of the Directors or major shareholders of the Company or persons connected to them have any interest, direct and/or indirect, in the Project. （吉隆坡1日讯）东洋油墨集团（TOYOINK，7173，主板工业产品股）宣布，于周一（29日）接获来自越南工业贸易部（MOIT）的通知书，批准上调该公司在越南发电厂的发电量。

该集团昨日向交易所报备，越南副总理郑庭勇已批准该公司，上调越南Song Hau 2两座燃煤发电厂的兴建、经营和转移（BOT）项目中发电量，从原本的1000兆瓦，增加到1060兆瓦。

包装需求带动业务．东洋油墨料同步成长

（吉隆坡7日讯）东洋油墨（TOYOINK,7173,主板工业产品组）看好包装领域需求将带动业务成长，预期2018财政年业绩料由制造及贸易业务支撑。

该公司董事经理宋国祥在股东大会后表示，包装领域预测每年将成长8至10%，看好将带动油墨需求，业务有望与其同步成长。

目前油墨制造及贸易业务贡献该公司各半盈利。2016年3月杪，因出版业需求下滑，该公司宣布退出亏损的印刷油墨业务，但仍然保留包装油墨业务。

该公司年报显示，出版油墨业务于2016年4月29日停运，包括关闭工厂及裁减30多名职员，商誉减值导致该业务在2017财政年税前盈利由盈转亏。

洽越南购电合约料明年有结果

至于越南发电厂合约进展，他表示还在洽谈购电合约（PPA），预计明年有结果，不过他以保密条约为由，拒绝透露合作伙伴详情。

该公司8年前开始洽谈越南发电厂合约，购电合约则是近两年展开洽谈。

将设SPV管理发电厂

“合作伙伴必须根据购电合约作出评估与投资，因此我们仅会在谈妥购电合约后宣布伙伴关系。”

他指出，未来将成立特殊用途公司（SPV）管理发电厂业务，也打算脱售发电厂持有权融资该计划。

“脱售比例将由董事部及融资能力决定，目前还未有任何决定。”

根据发电厂融资比例，该公司必须支付发展成本的25%，75%则从金融机构融资。

越南发电厂计划整体发展成本为34亿8000万美元（约146亿5700万令吉），目前东洋油墨持有该计划100%股权。

预计该发电厂需4至5年建设，他表示，建筑工程将交由其他公司负责，若无不可预见因素影响，有望在2023年商业投运及贡献营收。

The Board of Directors of TIGB wishes to announce to Bursa Malaysia Securities Berhad (“Bursa Securities”) that the Company had on 27 October 2017 entered into a new MOA with Hau Giang DONRE with revised terms and conditions of the LLA. These new MOA shall replace the MOA dated 16 January 2017 in its entirety. Timeline For Completion of The LLA (a) TIGB shall use their commercially reasonable efforts to reach agreements on all outstanding terms and issues relating to the Build-Operate-Transfer (“BOT”) Contract and the Power Purchase Agreement (“PPA”) in good faith and as soon as possible and it can be reasonably estimated to be completed by August 2018. (b) Hau Giang DONRE shall use their commercially reasonable efforts to accommodate certain changes raised by international lenders in the LLA which are standard and usual for this type of non-recourse financing and are in accordance with the Laws of Vietnam. (c) TIGB and Hau Giang DONRE shall use their best efforts to make changes to the LLA to the extent that they are required to make it consistent with the BOT Contract and the PPA after the BOT Contract and the PPA are finalised. (d) The new MOA shall become effective on the date of its execution and shall continue in effect until 31 August 2018 or the date of signing of the BOT Contract, whichever date is earlier. (e) The new MOA shall replace the MOA dated 16 January 2017 in its entirety as from the date of execution of the new MOA. 环境评估报告获批准

（吉隆坡7日讯）东洋油墨集团（TOYOINK，7173，主板工业产品股）宣布，于上周四（1日）接获来自越南天然资源和环境部（MONRE）的通知书，批准Song Hau 2燃煤发电厂项目的环境影响评估报告。

东洋油墨集团日前向交易所报备，该项目的环境影响评估报告，是授权组织审议和决策的基础，以便展开项目的下一步工作。

东洋油墨集团是该项目拥有人，除了满足环境保护要求，该集团还负责为项目的公开发布制定环境管理计划，以及在项目执行前，报告环境保护设施的绩效情况。

在项目执行期间，如果环境影响评估报告有任何变化，该集团必须通知MONRE。

若项目有任何重大发展，该集团将向交易所报备发电厂项目的进展。

根据备忘录，双方正式同意早前签署的土地租赁协议（LLA）条例，租赁位于后江省的土地，发展Song Hau 2两座1000兆瓦燃煤发电厂项目。【e南洋】

Query Letter Contents	We draw your attention to the sharp rise in the price of your Company’s shares recently (“trading activity”). In light of the above and in order for investors to be able to make informed investment decisions, you are requested to respond, after making due enquiry with your directors, major shareholders and such other relevant persons, to the following queries immediately for public release in accordance with paragraph 9.11 of Listing Requirements: 1. Whether there is any corporate development relating to your Group’s business and affairs that has not been previously announced that may account for the trading activity including those in the stage of negotiation/discussion. If yes, kindly provide the details including status of the corporate development to enable investors to make informed investment decisions; 2. The Board of Directors of Toyo Ink Group Berhad (“TIGB”) refers to the query from Bursa Malaysia Securities Berhad ("Bursa Securities") dated 22 February 2018 (Ref No: IQL 22022018-00001) in relation to the unusual market activity (“UMA”) in the Company’s shares. In accordance with Corporate Disclosure Policy on Response To Unusual Market Activity pursuant to Paragraph 9.11 of the Main Market Listing Requirements of Bursa Securities, the Board of Directors of TIGB (“the Board”) wishes to clarify that to the best of their knowledge and after due enquiry with its Directors, Major Shareholders and such other relevant persons, the Company is not aware of any of the following events that may have contributed to the unusual market activity:- 1. There is no corporate development relating to TIGB Group's business and affairs that has not been previously announced that may account for the unusual market activity. 2. The Board is not aware of any rumour or report concerning the business and affairs of the TIGB Group that may account for the unusual market activity. 3. The Board is not aware of any other possible explanation to account for the unusual market activity other than what has been disclosed in item (1) above. 4. The Board also wishes to confirm that TIGB complies with Paragraph 9.03 of the Main Market Listing Requirements of Bursa Securities on immediate disclosure obligations.
